Als den ersten Schlag der Europäer, die Macht der Amerikaner im Internet zu brechen würde ich diese Übernahme bezeichnen. In der Tat ist es so, das dies die erste große Übernahme eines amerikanischen Internetunternehmens durch einen Europäer ist.
Eine Übernahme der Superlative! So entsteht ein europäisches Gegenstück zu AOL. Doch ein Gegenstück mit einem klaren Vorteil. Doch schauen wir hierzu auf AOL/TimeWarner:
AOL hat sich Content dazugekauft durch die Übernahme von TimeWarner. Persönlich war ich davon begeistert, jedoch der Markt schien den Content-Vorsprung der sich da aufbaute nicht würdigen zu wollen, die lapidare Begründung war: Durch die Übernahme verlangsame sich das Wachstum.
Bei TerraLycos hingegen sieht die Lage anders aus. So schliessen sich zwei Wachstumsstarke Unternehmen zusammen, die eine ähnliche Vielfalt an Content bieten können wie AOL/TimeWarner. Dies jedenfalls garantieren die Verknüpfungen.
Mehrheitsaktionär von Terra ist die Telefonica. Diese wiederum hat eine Mediensparte und Endemol (wurde vor kurzem übernommen). Beides garantiert für Content!
Auch bei Lycos gibt es auch eine interessante Verknüpfung. So hält Bertelsmann 27,3% an Lycos Europe und es scheint jetzt schon festzustehen, das Bertelsmann über Grunner & Jahr Content liefern wird.
Telefonica und Bertelsmann als Contentlieferanten für TerraLycos, ein Bündnis das AOL/TimeWarner Paoli bieten kann!
Um das ganze noch einen Schritt weiter zu treiben, gründen Bertelsmann und die Telefonica ein Joint Venture für eCommerce, hier soll u.a. auch mobiler eCommerce fokussiert werden.
Als Abschluss erhält Bertelsmann die Option auf eine Beteiligung an TerraLycos.

Kommen wir mal kurz zum Zahlenwerk des ganzen:
12,5 Milliarden Dollar oder auch 97,55 Dollar pro Aktie ist die Telefonica gewillt zu zahlen, dies entspricht einem Aufschlag von ca. 30%. Terra selbst ist mit ca.18 Milliarden bewertet.
Terra garantiert gar die 97,55 Dollar je Lycos Aktie. Bedingung sei, das sich der Kurs ihrer Aktien nicht um 20% nach oben oder unten bewege.
Lycos Chef Bob Davis soll auch neuer Chef von TerraLycos werden. Telefonica Chef Juan Villalonga wird als Chairman fungieren.

Man darf gespannt sein, ob die Lycos Aktionäre der Fusion zustimmen, es gab da ja schonmal eine gescheiterte Fusion. Die ersten Analysten-Stimmen haben sich schon sehr skeptisch geäusserst, vorallem was die Relation des Aktientausches betreffe, solle Lycos mehr zustehen, da Lycos 60% des Umsatzes des neuen Unternehmens generieren werde, währenddessen man nur 40% Anteil haben werde bei der Fusion.

Was mache ich nun mit meinen restlichen Terras. Ich hatte damals zu 37 EUR gekauft und habe die Hälfte bei 145 wieder verkauft. Seit Wochen muß ich nun betrübt der Talfahrt von TRRA zusehen.
Richtig lieb gewonnen habe ich mein Terras. Doch kurzfristig sieht es für den Wert doch nicht gut aus, oder? Langfristig glaube ich immer noch an Terra, daher werde ich sie wohl auch behalten.
Was ist Deine Meinung verkaufen oder halten evtl. nachkaufen?

Also, für mich sind das Luftschlösser. Wenn ich die Berwertung von Terra anschaue. Beim heutigen stark gefallenen Kurs von Terra wird jeder User mit 35000 DM bewertet. Ich weiß nicht, was ein User im Jahr bringt. Vielleicht 500 DM ? Dann das enorme Wachstum von Terra. Im 1.Quartal hat sich der Verlust auf 71 Mill. € verdreifacht. Ein Umsatz von 36,8 Mill. und ein Börsenwert von 18 Milliarden. Einfach grandios. Selbst wenn alle Annahmen eintreffen, ist das in den Kursen drin. Die Zahlen von Lycos sind mir nicht bekannt. Aber in diesem Zusammenhang ist auch der AOL Skandal interessant. AOL wurde von der SEC dabei erwischt, seine Bilanzen geschönt zu haben. AOL hat einfach die ganzen Aquisitionskosten als Assets bilanziert. Nun muß AOL nicht nur Strafe zahlen, sondern seine Bilanzen neu schreiben. Anstelle der paar Millionen Gewinn stehen dann ein paar hundert Millionen Verlust. Das beleuchtet die ganze Branche. Und Lycos muß erst mal da hin kommen wo AOL schon ist. Contend ? Was für Contend ? Wenn ich z.B. einen Film anschauen will, mach ich den Fernseher an. Ich habe 6 Provider mit DFÜ Netzwerk installiert. Der billigste und schnellste wird benutzt. Ich brauche kein AOL, Lycos oder T-Online. Nur Ahnungslose benutzen noch T-Online, AOL und Konsorten. Der Wettbewerb sorgt für immer niedrigere Preise. Auch die Preise für Internetwerbung wird fallen. Viele Firmen haben die Wirksamkeit der Internetwerbung untersuchen lassen und das Ergebnis war enttäuschend. Aber ich lasse mich gerne eines besseren belehren.

...es fragt sich jetzt natürlich,ob jemand versucht,den Lycos Kurs um 20% zu drücken,um vieleicht einen günstigeren Preis für Lycos zu erzielen.
Ist das überhaupt möglich?
Am NM gab es ja ähnlichen Fall,wo eine durch Pixelpark geplante Übernahme wegen Kursverfalls geplatzt ist?

Ich muss ehrlich gestehen, das ich ein Fan solcher Fusionen bin! Die Bewertung der einzelnen User bei Terra wird zurück gehen, da TerraLycos jetzt aufeinmal sehr viel mehr User hat. Das interessante wird die Bewertung, denn es sind 2 verschiedene Arten von Usern. Für die beiden Unternehmen bietet sich hier jeweils die Chance, völlig neue Vertriebskanäle nutzen zu können. Ein rieser Absatzmarkt entsteht. Wem Terra zu teuer ist, der kann ja Telefonica kaufen. Ich habe die Charts der beteiligten Unternehmen reingestellt. Bertelsmann ist leider nicht Börsennotiert...oder irre ich?

Beim Boardtreffen reden wir mal darüber, gegen die Jungs sind die Amis oder Chinesen echt Menschenfreundlich.

Allerdings läuft es beim verlassen der Range wohl darauf hinaus das die Fusion platzt oder nue verhandelt wird. Da Terra allerdings weniger Umsatz mitbringt, wird es schwer werden, zu erklären, warum man weniger für Lycos zahlen wolle. Ich denke das von der Seite aus also keine Gefahr bestehen sollte!

Laut der spanischen Presse verhandeln die Telefonica und die Prisa-Gruppe gerade bzgl. einer Kooperation. Die Kooperation soll Internet wie Fernsehen forcieren. Die Prisa-Gruppe ist der größte Konkurrent der Telefonica in spanischen Bereich Medien.
Prisa soll die Inhalte liefern und Terra die Plattform zur Verfügung stellen.

@ Chris2662: Lycos Europe wird weiter gehandelt und nicht getauscht, es ergeben sich allerdings Vorteile beim Content und der Kundenakquise. Weiterhin wird die Partnerschaft mit Bertelsmann gestärkt.
@ brunhilde: Die Bodenbildung findet gerade bei Kursen um 45$ statt. Siehe auch Chart im Eingangsposting.
Für Langfristige Anleger bietet sich hier ein attraktiver Einstieg, allerdings werden die Synergien erst nach abgeschlossener Fusion greifen und wirken sich somit erst dann positiv auf das Ergebnis ergo auf die Geschäftstätigkeit aus. Was für Potentiale sich hier noch offenbaren werden, sieht man ganz klar an den Bemühungen der Telefonica, Contentanbieter zu gewinnen!
Persönlich habe ich bereits erste Positionen aufgebaut und werde diese nach Abschluß der Übernahme weiter ausbauen.
Terra hat den Vorteil, durch die Verknüpfung mit de rTelefonica eine sehr starke Position zu haben, falls der Deal mit KPN perfekt sein sollte, wird sich Terra auch in Europa etablieren und kann über NTT Docomo in den asiatischen Markt eindringen! Für Langfristige Anleger bietet sich hier ein attraktiver Einstieg, allerdings werden die Synergien erst nach abgeschlossener Fusion greifen und wirken sich somit erst dann positiv auf das Ergebnis ergo auf die Geschäftstätigkeit aus. Was für Potentiale sich hier noch offenbaren werden, sieht man ganz klar an den Bemühungen der Telefonica, Contentanbieter zu gewinnen!
Persönlich habe ich bereits erste Positionen aufgebaut und werde diese nach Abschluß der Übernahme weiter ausbauen.
Terra hat den Vorteil, durch die Verknüpfung mit de rTelefonica eine sehr starke Position zu haben, falls der Deal mit KPN perfekt sein sollte, wird sich Terra auch in Europa etablieren und kann über NTT Docomo in den asiatischen Markt eindringen! Momentan streiten die sich darum ob Villalonga Insidergeschäfte tätigte oder nicht. Wenn er gehen muß, dann scheitert die Fusion auf alle Fälle.
Schon komisch, daß solche Vorwürfe in dem Moment kommen, in dem er sich gegen den Staat stellt...

Nastradamus das ist ne echt gute Frage. Im Gegensatz zu Yahoo, ist Lycos ziemlich preiswert, meiner Erachtens. Deswegen verstehe ich nicht, weswegen die Analysten diese Übernahme als zu teuer ansehen.
Wenn dies so wäre, dann müßte beim platzen des Deals Terra und Telefonica hochschießen und Lycos eher runter gehen, denn im Endeffekt sieht man Lycos ja als zu teuer an....wobei ich Terra als reichlich überteuert ansehe, egal welches Potential da noch drinnen steckt...Lycos nicht.

Endlich mal ein guter LYCOS Thread !
Was sich auch belastens auswirken könnte ist der schlechte Kursverlauf von Lycos Europe. Allerdings wurde Lycos Europe zu einem Preis an den Markt gebracht der jeglicher "normalen" Bewertung spottete. Da hier die Verluste in die Milliardenhöhe gehen, denke ich, daß dies zumindest kleine Auswirkungen gehabt hat und noch haben wird, da mit einem weiteren Kursverfall zu rechnen ist.

The Dow Jones industrial average fell 8.48 to close at 10,804.27, led by SBC Communications, which fell $2.06 to $43.31.
Activity was subdued at the start of a busy week for earnings announcements. At the end of this week more than half of the companies in the S&P 500 will have reported earnings.
The government will also release consumer price index data for the month of June tomorrow morning. The data measures inflation at the consumer level, which the Federal Reserve uses to set interest rate policy. Mild evidence of inflation would prompt the Fed to favor an increase in interest rates, while strong inflation would urge the Fed to raise rates, therefore increasing the cost of borrowing.
With so much at stake, traders largely elected to stay on the sidelines. Both the Dow and the Nasdaq posted light to moderate trading volume.
Todd Clark, head of listed trading at WR Hambrecht, saw some "posturing" as investors jockeyed for market position. "Some of the tech stocks have had pretty nice runs," said Clark, "so some investors may want to (sell and) take profits, and others might bet on some upside earnings news" and buy into a stock early.
Technology companies are doing well so far in the early stages of earnings season.
According to Tony Crooks, a research analyst at First Call/Thomson Financial, 19 percent of the tech companies in the S&P 500 have reported second-quarter earnings, and they are beating expectations by 18 percent.
Crooks added that the 18 percent figure will fall as more technology companies report in the next few weeks. But he believes that this quarter`s tech sector earnings will exceed last year`s by 35 percent.
At the end of regular trading, Intel closed down 38 cents at $146.31, and Microsoft dropped 75 cents to $78.19.
The CNET tech index gained 16.76 to close at 3,056.38. Winners edged out losers, with 54 of the 97 stocks in the index rising, 41 falling and two remaining unchanged.
Of the 18 sectors tracked, semiconductor equipment companies posted the sharpest gains, rising about 4 percent. Distributors of computer equipment were the day`s largest decliners, sliding about 2 percent.
A negative earnings preannouncement made shares of Mercator Software lose the greatest amount in percentage terms on the Nasdaq today. Mercator fell $36.44, or 58 percent, to $26.19. Volume topped 16.4 million shares, about 41 times more than the stock`s average daily volume.
The company, which makes applications that integrate an organization`s software with other software programs, expects to post earnings of 4 cents a share, compared with the consensus estimate of 8 cents a share expected by 10 analysts surveyed by First Call/Thomson Financial. The company made 6 cents a share during the year-ago quarter.
Among members of the CNET tech index, Lycos and Qualcomm posted strong gains.
Lycos rose $8.19, or almost 17 percent, to $57.38. Terra Networks, which is in the middle of acquiring Lycos, said it acquired 65 percent of La Ciudad, a Colombian company that runs one of the country`s biggest entertainment Web pages, as it steps up its efforts to become the biggest Internet company in Latin America.
Qualcomm rose $6.75, or nearly 11 percent, to $69.81. Qualcomm announced that authorities in Japan and Europe upheld three key patents on its mobile phone technology.
Shares of 3Com fell $6.81, or 9 percent, to $66.81 after the company was downgraded to "maintain position" from "buy" by analyst Peter Andrew at A.G. Edwards & Sons.
The Philadelphia semiconductor index rose 27.27, or 2 percent, to 1,266.39, led by chip equipment maker Novellus, which gained $4.19, or nearly 7 percent, to close at $68.44.
Shares of Novellus and Lattice Semiconductor may see active trading tomorrow, as both companies are expected to report earnings later today. Lattice closed up $2.94 at $78.56.

Vicinity sees boon in wireless services

Vicinity Corp. (Nasdaq: VCNT) will add to its growing stable of wireless partners this week when it announces a deal with Verizon Wireless (NYSE: VZ).
Vicinity, which provides Internet marketing services and leads to its bricks-and-mortar customers, has been pushing hard to bolster its wireless and international efforts. The company provides maps, directions and other services mobile networks and portals in an effort to refer consumers stores and brands in its database.
A bevy of recent wireless partnerships will create a transaction, lead-based revenue streams, said Vicinity President and CEO Emerick Woods, in a recent interview with ZDNet Inter@ctive Investor.
Under the Verizon deal, Vicinity will provide its database of directions, addresses and product information over Verizon`s wireless network. In a separate deal, Vicinity will also provide Lycos (Nasdaq: LCOS) with its mapping service for its portal. Vicinity, backed by CMGI (Nasdaq: CMGI), has recently announced deals with wireless providers, including OmniSky, Palm, AT&T and Phone.com.
The company, which garners most of its revenue from hosting fees from its 350 global customers, said the wireless efforts will develop a transaction "pay for success" revenue stream. Woods said over the long run, 40 percent of Vicinity`s revenue could come from transaction fees.
"Our customers will pay us anywhere from 10 cents to $10 per lead," said Woods. Hotel customers, including Marriott and Hilton, will pay more per lead because Vicinity can track a purchase better. Vicinity executives said they are partnering to track leads to other customers.
The wireless push is key to Vicinity. In its third quarter ending April 30, the company reported revenue of $4.3 million and a loss of $4.5 million, or 18 cents a share. Revenue was above analysts` estimates and the loss was in line with expectations. Vicinity`s revenue growth was strong, but came from a low base.
Although the quarterly growth was impressive, Vicinity is dwarfed in sales by its closest competitor -- Infospace (Nasdaq: INSP), which has its own wireless plans.
Woods said the company will boost sales two ways. First, it will grow its average hosting contract. Vicinity acts as an application service provider to bricks-and-mortar customers such as Barnes & Noble, Best Buy, Starbucks Coffee, Federal Express and The Gap. The company`s average deal size is about $60,000 a customer, but Woods said Vicinity`s goal is to have "every deal size at least six figures."
But Vicinity can`t live on hosting alone. Woods said he expects transaction revenue to be material in four quarters. The company is expecting usage of its wireless services to pick up in the 2000 holiday shopping season, and gain significant traction in the 2001 shopping season.
"Usage will depend on how quickly the services are deployed and transition to WAP (wireless area protocol) phones," said Woods.

On cash burn: Woods said the company is burning through "less than $1 million a month," and is on track to be profitable in the fourth quarter ending in July of fiscal 2001. Vicinity has more than enough cash -- more than $127 million as of April 30, to fund itself until profitability.
On the competition: The Vicinity chief said Infospace is the primary competitor, but there are differences. Vicinity doesn`t try to sell ads and can offer more granular product data. The company also works primarily with bricks-and-mortar companies, which are increasingly using the Internet to market themselves. America Online`s (NYSE: AOL) MapQuest is also a competitor.
On acquisitions: Woods also added that he expects a lot of consolidation among smaller, private players. In the end, he expects Vicinity and Infospace to be the two top players. "We intend to take advantage of M&A to consolidate the space," he said.

Vicinity sees boon in wireless services

Vicinity Corp. (Nasdaq: VCNT) will add to its growing stable of wireless partners this week when it announces a deal with Verizon Wireless (NYSE: VZ).
Vicinity, which provides Internet marketing services and leads to its bricks-and-mortar customers, has been pushing hard to bolster its wireless and international efforts. The company provides maps, directions and other services mobile networks and portals in an effort to refer consumers stores and brands in its database.
A bevy of recent wireless partnerships will create a transaction, lead-based revenue streams, said Vicinity President and CEO Emerick Woods, in a recent interview with ZDNet Inter@ctive Investor.
Under the Verizon deal, Vicinity will provide its database of directions, addresses and product information over Verizon`s wireless network. In a separate deal, Vicinity will also provide Lycos (Nasdaq: LCOS) with its mapping service for its portal. Vicinity, backed by CMGI (Nasdaq: CMGI), has recently announced deals with wireless providers, including OmniSky, Palm, AT&T and Phone.com.
The company, which garners most of its revenue from hosting fees from its 350 global customers, said the wireless efforts will develop a transaction "pay for success" revenue stream. Woods said over the long run, 40 percent of Vicinity`s revenue could come from transaction fees.
"Our customers will pay us anywhere from 10 cents to $10 per lead," said Woods. Hotel customers, including Marriott and Hilton, will pay more per lead because Vicinity can track a purchase better. Vicinity executives said they are partnering to track leads to other customers.
The wireless push is key to Vicinity. In its third quarter ending April 30, the company reported revenue of $4.3 million and a loss of $4.5 million, or 18 cents a share. Revenue was above analysts` estimates and the loss was in line with expectations. Vicinity`s revenue growth was strong, but came from a low base.
Although the quarterly growth was impressive, Vicinity is dwarfed in sales by its closest competitor -- Infospace (Nasdaq: INSP), which has its own wireless plans.
Woods said the company will boost sales two ways. First, it will grow its average hosting contract. Vicinity acts as an application service provider to bricks-and-mortar customers such as Barnes & Noble, Best Buy, Starbucks Coffee, Federal Express and The Gap. The company`s average deal size is about $60,000 a customer, but Woods said Vicinity`s goal is to have "every deal size at least six figures."
But Vicinity can`t live on hosting alone. Woods said he expects transaction revenue to be material in four quarters. The company is expecting usage of its wireless services to pick up in the 2000 holiday shopping season, and gain significant traction in the 2001 shopping season.
"Usage will depend on how quickly the services are deployed and transition to WAP (wireless area protocol) phones," said Woods.

On cash burn: Woods said the company is burning through "less than $1 million a month," and is on track to be profitable in the fourth quarter ending in July of fiscal 2001. Vicinity has more than enough cash -- more than $127 million as of April 30, to fund itself until profitability.
On the competition: The Vicinity chief said Infospace is the primary competitor, but there are differences. Vicinity doesn`t try to sell ads and can offer more granular product data. The company also works primarily with bricks-and-mortar companies, which are increasingly using the Internet to market themselves. America Online`s (NYSE: AOL) MapQuest is also a competitor.
On acquisitions: Woods also added that he expects a lot of consolidation among smaller, private players. In the end, he expects Vicinity and Infospace to be the two top players. "We intend to take advantage of M&A to consolidate the space," he said.

Telefonica, Terra, Lycos and Bertelsmann Reaffirm Commitment to Terra Lycos Merger

WALTHAM, Mass.--(BUSINESS WIRE)--July 26, 2000--Terra Networks, S.A. (MC: TRR; NASDAQ:
TRRA, news, msgs), Lycos, Inc. (NASDAQ: LCOS, news, msgs), Telefonica S.A. and Bertelsmann
today reaffirmed their strong commitment to the Terra Lycos merger.
Bob Davis, president and CEO of Lycos, said, "Our merger with Terra is on track to create a global
powerhouse. All four companies remain strongly committed to completing this groundbreaking
transaction because it is financially and strategically compelling for our shareholders. Telefonica
considers Terra`s acquisition of Lycos to be the cornerstone of its Internet strategy to be a global
leader, and continues to reaffirm their commitment to the merger."
Davis added, "Terra shareholders have approved the merger. We also expect the rights offering that

Lycos [Nasdaq: LCOS Kurs / Chart ] hat im vierten Quartal 2000 (bis 30.07.) deutlich mehr verdient als von Analysten erwartet. Das Internet-Portal meldete am Dienstag nach Börsenschluss einen Gewinn von 13 Millionen Dollar oder zwölf Cents je Aktie. Die durchschnittlichen Schätzungen der Experten lagen lediglich bei acht Cents pro Anteilsschein. Im Vorjahr hatte das Unternehmen noch einen Verlust von 3,3 Millionen Dollar ausgewiesen.
Der Umsatz legte im Berichtszeitraum von 46,4 Millionen Dollar um 89 Prozent auf 88 Millionen Dollar zu. Größter Einzelposten waren mit 57 Millionen Dollar die Erlöse aus Werbung. Hier betrug die Steigerung 72 Prozent. Die Einnahmen aus eCommerce-Geschäften kletterten um 129,6 Prozent auf 31 Millionen Dollar.
Die Marge des operativen Geschäfts stieg im Vergleich zum dritten Quartal von acht auf 13 Prozent. Bei den Seitenaufrufen konnte die Firma ebenfalls weiter zulegen. Waren es im Juni täglich 147 Millionen Seitenaufrufe, so verzeichnete das Internet-Portal im Juli einen Anstieg um 36 Prozent auf 201 Millionen. Bisher haben sich 61 Millionen Personen auf den Lycos-Seiten registriert – 17 Prozent mehr als im Vormonat.
