      Astropower sets three-for-two stock split
      WEDNESDAY, MAY 08, 2002 12:24 PM
      - Reuters U.S. Company News

NEWARK, Del., May 8 (Reuters) - Solar power company Astropower Inc. (APWR) said on Wednesday it will split its common stock three-for-two to improve share liquidity.

The Newark, Delaware-based company said the stock split will be distributed on May 31 in the form of a 50 percent stock dividend. The move will increase the number of shares outstanding to about 21.7 million from 14.5 million, the company said.

Astropower, which manufacturers solar panels and cells, last week posted a first-quarter profit, compared with a year-ago loss. It said it expected higher overall revenue in the current quarter from the previous one.

AstroPower Announces Industry Milestone With Successful Test of Solar-Grade Silicon
      WEDNESDAY, JUNE 12, 2002 10:44 AM
      - PRNewswire

NEWARK, Del., Jun 12, 2002 /PRNewswire-FirstCall via COMTEX/ -- AstroPower, Inc. (APWR) announced today initial success of its joint development program with Elkem (OSLO and FRANKFURT STOCK EXCHANGES: ELK) aimed at establishing a proprietary purification process for solar-grade silicon, the raw material used to manufacture solar cells. Using an improved material supply specification over metallurgical-grade silicon, this process has produced first commercial-quality solar cells as part of an ongoing testing and verification program. This achievement marks a milestone in the company`s Technical Cooperation Agreement with Elkem, the world`s largest producer of silicon metal. The agreement was signed in December 2000.

AstroPower and Elkem have each developed a series of cost-effective proprietary processes that convert quartz into feedstock for AstroPower`s proprietary Silicon-Film(TM) process. Together, they plan to integrate these processes and expect to reach initial industrial-scale volumes by the end of 2003 or early 2004.

The solar power industry depends on scrap silicon from the semiconductor industry for the manufacture of solar cells. However, this by-product silicon feedstock has been a constraint to solar industry growth, as it is both high in cost and limited in supply. AstroPower and Elkem have begun to break the growth barrier by developing this dedicated solar-grade silicon manufacturing process and, thus, creating a new large-volume source of cost-effective solar-grade silicon feedstock.

"Removing these raw material constraints will enable AstroPower -- and eventually the solar power industry as a whole -- to better meet the demand for solar power technology," said Dr. Allen Barnett, President and CEO of AstroPower. "Demand is increasing at a rapid rate as more and more mainstream consumers are beginning to generate their own electricity at home. With this new source of supply for raw material used to produce solar cells, AstroPower will have the silicon feedstock required to continue its rapid growth rate. We plan on working with Elkem and others to develop a material supply stream to bridge our Silicon-Film(TM) supply needs until this new feedstock process has reached full industrial scale in 2005."

Due to the critical nature of this material to the company`s growth plans, AstroPower plans to qualify feedstock from other suppliers in the long term.

"We`re pleased that we`ve been able to realize this milestone in our cooperation with AstroPower," said Christian Dethloff, Vice President, Elkem Solar. "Although we`re pleased to announce this success, we`re already turning our attention to the future. We look forward to working with AstroPower to further develop this material for the solar power industry."

AstroPower Enters Agreement with Clarum Homes to Make Solar Electric Home Power Standard in Two New Northern California Communities

Leading California Homebuilder Shows Commitment to Its Homeowners and Solar Power Technology NEWARK, Del., June 24 /PRNewswire-FirstCall/ -- AstroPower, Inc. (Nasdaq: APWR) today announced an agreement with Clarum Homes, which will make solar electric power a standard feature in two new Clarum communities. The agreement provides that AstroPower will supply 277 solar electric home power systems within the next three years, and they will be standard on every home in the new Vista Montana community in Watsonville and the new Shorebreeze IV community in East Palo Alto. "Clarum is building homes that include solar electric power as a standard feature and incorporate green-building products as well as energy-efficiency features," said Bob Ruggio, Manager, Residential System Sales, at AstroPower. "By including these features as standard, Clarum is enabling homeowners to reduce their energy consumption by up to 60%." Clarum will incorporate AstroPower`s 1.2-, 1.6-, 2.4-, and 3.2-kilowatt SunLine(TM) packaged solar electric power systems in its two new communities. AstroPower`s SunLine system generates solar electric power and delivers it through the home`s existing circuits. Electricity not used in the home is sent back to the utility grid, spinning the utility meter backward and generating a credit on the homeowner`s utility bill. The system is designed to integrate seamlessly into the construction process and it features all necessary components for ease of operation, including a power meter so homeowners can monitor performance. "Solar electric power adds value to the homes we build," said John Suppes, Vice President of Clarum Homes. "By giving homeowners the tools they need to generate their own electricity, we`re enabling them to save money on their utility bills. We`re also differentiating our homes in the marketplace. We set out to provide exceptional value for our customers by adding solar power, and in the process we did something exceptional for our business." Clarum has combined AstroPower`s solar electric power systems with a variety of other technologies in an effort to reduce electricity demand in homes in the Vista Montana and Shorebreeze IV communities. "In doing so, Clarum is offering homes that drastically reduce electricity bills," said Howard Wenger, Vice President, Premium Power, at AstroPower. "This is great news for consumers who face much uncertainty with respect to future electricity supply price and reliability." "There is significant momentum driving solar electric power into the hands of mainstream consumers," said Dr. Allen Barnett, President and CEO of AstroPower. "This agreement is significant not only because Clarum has adopted solar power as a standard feature, but also because it is bringing this value to homebuyers in multiple communities. This agreement is an example of the effectiveness of the incentives in California which are making solar electric power available to all homeowners." AstroPower, Inc. Reports Second Quarter Results
      THURSDAY, AUGUST 01, 2002 4:05 PM
      - PRNewswire

NEWARK, Del., Aug 1, 2002 /PRNewswire-FirstCall via COMTEX/ -- AstroPower, Inc. (APWR) , a leading supplier of solar electric power products, today reported financial results for the second quarter ended June 30, 2002.

      Financial Results

For the quarter ended June 30, 2002, total revenues were $20.4 million, an increase of 27.2% from the second quarter of 2001. Product revenues for the three months ended June 30, 2002 were $20.1 million, an increase of 31.4% from the three months ended June 30, 2001. For the three months ended June 30, 2002, net income was $365,000 or $0.02 per share on a diluted basis on 23.6 million weighted average shares outstanding, as compared to $1.7 million or $0.07 per share on a diluted basis on 23.4 million weighted average shares in the year-earlier period.

      Management Comments

Commenting on the quarter, Dr. Allen Barnett, President and CEO of AstroPower, said, "Although we continue to show strong revenue gains year over year and remained profitable, we are disappointed with the results for this quarter. There were a number of external and internal factors that contributed to slower growth than planned.

"As has been widely reported in the trade press, the German market got off to a very slow start this year. AstroPower`s shipments to Germany during Q2 were higher than in 2001, but did not increase as strongly as we had planned. In addition, we experienced some uncertainty in California due to an announcement concerning possible elimination of a solar tax credit. Temporary relative softness in these two key markets required us to shift geographic and product mix, and reduced our sales growth for the quarter. Internally, we experienced some difficulty in adjusting our forecasting and build planning systems to the above-mentioned market developments. The net result was a mismatch between products for which we had orders and the products that our factory built. This was an unusual situation for AstroPower, and resulted in a finished goods inventory increase of approximately $2 million at the end of the quarter.

"The effect of slower-than-planned sales growth dropped to our bottom line, since our spending budget was planned for significantly higher sales revenue. In addition to this across the board effect, our selling and G&A costs increased substantially in Q2 as we geared up for our SunChoice and Home Depot program scale-up that is currently in progress.

"Although our results for the second quarter did not meet our expectations, we are optimistic about the second half of the year. We continue to see an expanding array of on-grid programs worldwide. In Germany, the total scope of the PV program was recently increased by almost 200%, and our German customers are finally starting to see a higher level of order flow. We also anticipate tangible demand contribution from new programs in Italy, Spain, and the UK in the second half of the year.

"In the domestic market, a strong display of public support has ensured that the California tax credits stay on track, and there is an evolving base of East Coast on-grid programs, including a recently expanded program in Long Island. AstroPower is extremely well positioned in many of these key markets through our work with The Home Depot and an expanding roster of many leading homebuilders.

"We also see ongoing strength in the off-grid markets. In addition to our project pipeline through our Spanish subsidiary Atersa, we are seeing higher than usual demand in China and South Africa as well as in Southeast Asia.

"In addition, we are making changes to our forecasting and build planning systems to better match customer orders with factory production. However, as our business grows and becomes more complex, we believe that slightly higher levels of finished goods inventory are desirable to allow for more efficient scheduling of our module factories. We believe that the roughly two weeks of additional finished goods inventory accumulated during Q2 represents a good near-term equilibrium, and do not anticipate significant increases or reductions from this level for the balance of the year."

Dr. Barnett continued, "For the third quarter of 2002, we expect product revenues to be in the range of $24 - $26 million. Product gross margin is expected to be in the range of 30% to 33%. Operating expenses are expected to be in the range of 21% to 23% of the total revenues for the quarter.

"For the fourth quarter of 2002, we expect product revenues to be in the range of $26 - $30 million. Product gross margin is expected to be in the range of 31 to 34%. Operating expenses are expected to be in the range of 20% to 22% of the total revenues for the quarter."

AstroPower, Inc. Announces Expected Third Quarter Product Revenues
      THURSDAY, OCTOBER 03, 2002 2:28 PM
      - BusinessWire

NEWARK, Del., Oct 3, 2002 (BUSINESS WIRE) -- AstroPower, Inc. (APWR) , a leading supplier of solar electric power products, today announced that its product revenues for the three months ended September 30, 2002 are expected to be approximately $22.7 million.

Dr. Allen M. Barnett, President and CEO of AstroPower commented "We are pleased by the resumption of sequential growth, with expected product revenues for the quarter up 13% on a sequential basis and more than 27% over the same quarter in 2001. Although market growth in Germany continued to be relatively flat through Q3, this was offset somewhat by growth in several other regions, including North America and Asia. North American shipments were driven by a particularly strong performance in our SunChoice residential rooftop program. Shipments into Asia were bolstered by strong demand for solar cells. We expect to be able to accelerate our sequential growth rate in the fourth quarter based on present demand and increased manufacturing output."

AstroPower will issue a news release regarding its full third quarter 2002 results on Monday, November 4, 2002 after the close of the markets. AstroPower will then host a conference call to discuss the release, financial results and other matters of interest to investors and analysts on Monday, November 4, 2002 at 5:30pm, Eastern Time.

The conference call will be broadcast simultaneously over the Internet. Investors and others are invited to visit www.vcall.com or the corporate website at www.astropower.com to access this broadcast.
