Wer sagt denn, dass wir nicht mehr essen können, im Falle eines Totalverlustes . Ich glaube der gute Kostolany hat schon gesagt, dass man solche Investments (bzw. generell Aktien) nur mit Geld macht, das man nicht braucht.

Es wäre zwar ärgerlich, aber gedanklich ist das Geld eh schon abgeschrieben. D.h. Danny hat die besten Chancen mich positiv zu überraschen.

Hello, danny_walsh. I have read your posts yesterday and today, and those of bootsup1 with interest.

As on other occasions, when clarification of basic points may be useful to readers of this board, I pick up my phone and contact IR.

My contact at Upgrade IR remarked that all that has been announced (referring to the items that are being discussed here, on RB) is still proceeding on its way. Noting the low ebb of the share price, he thought it fair to give investors "a word of comfort", in the sense that "the things we say we are doing, we are doing, and
then some". More specifically:

1) The development of the UltraCard technology is moving forward.
2) The G & D negotiations are ongoing.
3) The funding agreement is still being worked out, even if this is almost the most complicated kind of funding agreement that exists.
Just the first draft of the agreement is 250 pages long. To become implemented, the agreement has to go through various stages, each of which requires strict observance of a set of legal conditions. For these reasons a funding agreement of this sort
necessarily takes a long time to finalize.

What has just been said does not mean that the company is not looking for additional sources of financing, and keen interest is being shown by several new prospective financiers.

The IR representative stressed that if progress on any of these
fronts had been abandoned, investors would have been informed. In the absence of new PRs, things are going forward as originally announced.
There are special opportunities in China, each of which is attractive to the UPGD group, considering the uniqueness of the UltraCard technology. Innovations can be implemented very quickly in China, which has an economy that is expanding at about the fastest
rate in the world. There are far fewer obstacles to ID technology in China than in Western economies. This is a concrete advantage.

In current technology markets, people who are looking to invest in stocks want to see a product that is available and that generates revenues that are already coming in. In this connection, the message is that "We are close, but we are not quite there yet". The low share price reflects the fact that the product -- card plus reader-writer -- is not yet there on a shelf, but it could now be said that "We are very close" to reaching that stage.

Switching back now to my posting as "alj14",in replying to your (DW`s) remark -- it is not, and never has been my intention to "mislead" anyone. I hope the foregoing can alleviate some of the mindache, the angst and the
anguish -- at least of those willing to accept that I have not invented my account. I have kept close to my notes, and only omitted a few specific details that might be considered sensitive.

I hope this finds you, as it leaves me, in good spirits.

Thank you for your inquiry. The cards and readers are
not yet in production. As provided in a recent press
release, the Company is in the process of arriving at
a definitive agreement with G&D to produce the cards
internationally in addition to other matters under
negotiation. A similar letter of intent in in process
for the Company`s Read/Write device. Please appreciate
that on both fronts, the read/write device and card
production we are engaging a supplier. This represents
a significant opportunity for that supplier. In addition
the supplier will become an integral part of our business
and so proceeding in a very cautious manner to develop a
favorable relationship is very important to us, and takes
some time. Once engaged the production schedule will be
dependent upon our suppliers capabilities, which in the
case of G&D we assure you are very substantial.

We appreciate your patience as we proceed with these very
important aspects of our business development.

In replying to the impetus given by posters including, particularly, Danny_Walsh and Daniel25, I have just had a follow-up call with UPGD IR, and can report as follows:

As shareholders we should bear in mind that UPGD is coming up, in just over a week, to its latest quarterly report, which will actually be the second quarterly report of its financial year, because its financial year starts on October 1st of each year. The new direction planned is to raise the level of Upgrade`s communication with its shareholders by expanding the management discussion to provide a detailed update on events which have been presented by press releases in the past.

In this sense, many of the areas of uncertainty surrounding the original China order and other matters should soon be superseded by the new information to be released on that occasion - within the next two weeks.

This practice of expanding the management discussion dealing with various areas of the Upgrade group`s activities will represent a more even-handed manner of disseminating such information , and should remain consistent with future 10Qs. I think we can look forward to keeping us more well-informed in the future , and that could represent a big advance in itself.

We should expect to see a discussion on the group`s opportunities in China. As to Danny_Walsh`s question on the original China order, what can be said is that the "Pilot deal is going through a metamorphosis and will certainly maintain what it was intended to be, that of an initial pilot project for the Company ". What counts strategically is that there are plenty of opportunities out there in China. There are inviting opportunities in North America too, but in that case more political and legal filters have to be overcome (especially in the USA), and that means a considerably longer time-span.

One does not have too investigate the China marketplace too closely to appreciate that if the whole world except China were, for some reason, to be precluded or foreclosed to UC-UPGD, there will still be sufficient opportunities in China alone, to make UPGD-UC "a multibillion dollar company" in a few years` time.

In the mean time, the original source of the China order is still there, and still interested, while there are several other parties in China who are keen on the technology, and discussions continue at this time.

Now, referring to the home straight in the move towards commercialisation, a sense of proportion is needed. Progress has been made on all fronts. As regards the production of shims, UC-UPGD already has its own machine, this is up and operational (able to produce up to 250,000 shims a day). As to the large-scale production of cards, if a definitive agreement with G & D can be reached, the actual cost of converting or `re-tooling` one of their current facilities would be limited (below a quarter of a million dollars, on a rough estimate), just as the time required for conversion would be limited. These three perspectives lead to the conclusion that a time-horizon based on this year (calendar 2002) cannot at all be ruled out. The Company has continued to deal with Pemstar on the Read/Write device in addition to numerous other potential suppliers. Management assure us that the read/write device production capability is well in hand.

A fourth pertinent area is that of the operating system for the UC. It should be said at the outset that several systems are readily available and on the market -- there, `on the shelf`. Another, possibly more attractive - longer-term - option would be for UC-UPGD to develop its own operating system. The advantage would be that the UPGD group would then enjoy proprietary rights over that, so that for each initial and later application, revenues would be earned on a continuing basis. The parallel with the generation of ongoing earnings by a company like Microsoft (on all applications) springs to mind.

In conclusion, it can be stressed that an upwards shift in the priority given by the UPGD group to the quality of its communications with shareholders will find almost immediate application in the 10Q to be made public this month. For the moment, these indications aim to give a rough projection of how the company`s business plan may take shape.
