Item 8.01. Other Events.

On July 8, 2007, pursuant to a Purchase Agreement (the "July 8 Agreement"), Mobilepro sold Kite Broadband, LLC, Neoreach, Inc. and, indirectly, Kite Networks, Inc. (the "Kite entities") to Gobility, Inc. ("Gobility"). This transaction was originally reported by Mobilepro in its Current Report on Form 8-K filed on July 10, 2007.

Pursuant to the convertible debenture issued to Mobilepro by Gobility in connection with the transaction, Gobility was required to raise at least $3 million of capital no later than August 15, 2007 in order to fund its operations.

To Mobilepro's knowledge based on discussions with Gobility's chief executive officer, Gobility has not yet received funds sufficient to meet its obligation under the debenture. As a result of this failure, Mobilepro therefore has the option to re-acquire the Kite entities effective immediately.

Mobilepro also believes that it has the option to sue Gobility for breach of contract and/or sue Gobility and/or its officers and directors for intentional, knowing misrepresentations in connection with the July 8 Agreement. Mobilepro also believes that it has the ability to sue additional parties in connection with the events surrounding the July 8 Agreement. The results of any such lawsuits are inherently uncertain, and while Mobilepro believes that it has multiple causes of action, there can be no assurances that Mobilepro would prevail in any lawsuit or that, if it prevails, the defendant(s) would be solvent and able to pay any judgment.

Mobilepro has entered into discussions with a number of parties regarding the acquisition of the Kite entities, some of which discussions are in an advanced stage. However, there can be no assurances that such discussions will result in a transaction or that such transaction will be favorable to Mobilepro or its shareholders.

Mobilepro has received notice from Kite's lessors that Kite has failed to make payments when due subsequent to the closing of the July 8 Agreement. If Gobility fails to obtain its funding and Mobilepro fails to sell the Kite entities to another party, Mobilepro could be required to make payments to the Kite lessors. Such obligations, reflected in Mobilepro's 10-Q filing for the quarter ending June 30, 2007, are material.

Entry into a Material Definitive Agreement, Unregistered Sale of Equity Securities



Item 1.01 Entry into a Material Definitive Agreement.
On August 27, 2007, the Registrant ("Mobilepro") entered into an Addendum to Second Amended and Restated Executive Employment Agreement (the "Addendum") with Jay O. Wright, Mobilepro's CEO and Chairman of the Board of Directors. Under the terms of the Addendum, Mr. Wright will be employed through June 30, 2008, his annual salary commencing January 1, 2008 will be reduced from $270,000 to $240,000, and he will receive a warrant for up to 10,000,000 shares of Mobilepro common stock, par value $0.001 per share ("Warrant Stock") and a cash bonus under the terms described below. The Warrant Stock shall have an exercise price of $0.0075 per share to vest as follows: 3,000,000 shares of Warrant Stock to vest immediately upon the closing of the sale of the CLEC subsidiaries to USA Telephone; 2,000,000 shares of Warrant Stock to vest immediately upon eliminating the Company's debt to Yorkville Advisors, LLC (f/k/a Cornell Capital Partners, LP); 2,000,000 shares of Warrant Stock to vest immediately upon the closing of the sale of at least 80% of the telephones of Davel Communications; 1,000,000 shares of Warrant Stock to vest immediately upon elimination of the debt of Kite Broadband, LLC and Kite Networks, Inc. from the Company's balance sheet, including any guaranties related thereto; and 2,000,000 shares of Warrant Stock to vest immediately upon completing an acquisition into a new line of business, which acquisition shall have received Board approval. A cash bonus of up to $100,000 shall be paid as follows: $20,000 for achieving three of the five objectives above, $50,000 for achieving four of the five objectives above and $100,000 for achieving all five objectives above. In addition, Mr. Wright may receive up to an additional cash bonus of up to $100,000 at the discretion of the Board of Directors.

The foregoing is intended to be a summary only of the Addendum and is modified in its entirety by the terms of the Addendum, a copy of which is attached hereto and incorporated herein as an exhibit to this Current Report on Form 8-K.





Item 3.02. Unregistered Sales of Equity Securities.
The Board of Directors of Mobilepro approved on August 27, 2007 the issuance of up to 19,000,000 shares of its common stock as follows: a warrant for up to 10,000,000 shares of its common stock to Jay O. Wright, as described in Item 1.01, above; a warrant to each of Richard H. Deily, Mobilepro's Chief Accounting Officer, and Tammy L. Martin, Mobilepro's Chief Administrative Officer, for 3,000,000 shares of its common stock in recognition of both employees staying with Mobilepro during its sale of its assets and without the protection of a written employment agreement, to vest at the earlier of June 30, 2008 or should their employment with Mobilepro be terminated without cause, including as a result of a merger or acquisition resulting in a change of control; and 1,000,000 shares of common stock to each of Mobilepro's independent directors, Donald Sledge, Michael O'Neil and Christopher MacFarland, to vest equally over 12 months commencing September 2007. The issuance of the securities will be made pursuant to an exemption from registration provided by Section 4(2) of the Securities Act and/or Regulation D promulgated under the Securities Act of 1933, as amended.

Item 1.01. Entry into a Material Definitive Agreement.

The Registrant's subsidiary, Davel Communications, Inc. ("Davel"), closed on September 7, 2007 the sale of approximately 21,405 payphones and other assets from Davel under an Asset Purchase Agreement (the "Agreement") with Sterling Payphones, LLC (the "Buyer").

Under the terms of the Agreement, Davel received $50,000 cash, $1,839,821 was paid to YA Global Investments, L.P. (f/k/a Cornell Capital Partners, L.P) to reduce the amount of principal and interest owed by the Registrant under the outstanding convertible debentures with YA Global Investments, L.P. (the "Payment"), and, pursuant to the Agreement, the remainder was held in escrow to pay certain key vendors of Davel and potential indemnification claims. The Payment also served to reduce Davel's obligation to the Registrant under certain senior secured promissory notes owed by Davel to the Registrant. The Buyer also assumed certain liabilities of Davel.

The preceding description of the Agreement is only a summary and is qualified in its entirety by reference to the Agreement, which is attached to this filing as Exhibit 10.1 and incorporated by reference.

On October 12, 2007 Richard H. Deily, Chief Accounting Officer of Registrant ("Mobilepro"), resigned to pursue other interests. Don Paliwoda, now Chief Financial Officer of Davel Communications, Inc., historically Mobilepro's largest subsidiary in terms of revenues, will assume his duties and shall have the title of Chief Accounting Officer of Mobilepro. Mr. Paliwoda has been Chief Financial Officer of Davel Communications since 2003 and was previously Comptroller of Davel Communications since 1997. Mobilepro acquired Davel Communications in November 2004. Mr. Paliwoda is a Certified Public Accountant and received his Masters of Business Administration and undergraduate degrees from Cleveland State University. Mr. Paliwoda's experience includes serving as a senior manager at Deloitte & Touche USA LLP for eleven years.

Na mal schauen wies heute weiter geht. Hat ja gestern auf TH geschlossen.

War gerade mal auf der homepage von MOBL. Die ist ja ziemlich umgekrempelt worden. Und vor allem viel Platz jetzt unter Progames. Vielleicht sehen wir wirklich bals ne anständige PR.

Diese Aktie ist also wirklich eine grosse Enttäuschung. Glaubt jemand noch daran, dass MOBL nach oben geht???
Ich hoffe, ich kann meinen Verlust mit CIRT (Cardio Infrared Technologies Inc.)wettmachen
