      AN OPEN LETTER TO ALL SHAREHOLDERS

      As our fiscal year comes to an end, I can tell you with certainty that looking back is not an option. The experience of the Global Healthcare lawsuit (former distributor) coupled with the injustice of the justice system and the horrendous expense of the litigation has left its scars. The continuous fight to maintain shelf space, having its own set of complex costs, which are associated with coop advertising and in store PR, presents other daunting challenges. Controlling the “Public” side of the business has its own peculiar set of challenges. A great amount of time is spent with Analysts, Investor Relations and Broker Dealers trying to “explain” the company and its future plans. Concerns over stock gyrations and trading variations sap whatever energy is left. The challenge is of outrageous proportion. And, I think it is fair to say, enough is enough!

      I have made it a priority to be open and communicative with shareholders and employees alike. I know of no company Chairman who has gone as far as I have in publishing “Answergrams” and “Shareholder Letters” explaining what is going on within the company with an outlook towards the future. At least to the extent that I am legally able too. I have conveyed to all, my belief in what we are today and what our future prospects are. There is an attitude amongst some shareholders that management should take second positions behind those shareholders that want an unfettered market position in which they can trade shares for profit. Such a position is unfair and without merit. Managements ownership in shares, most of which were awarded as salary compensation, is fully disclosed by law. Share ownership is a personal matter… and so long as it is within the law and duly reported, the owner has the sole right to trade as he/she sees fit. Further, it is a well known fact that the income derived from the exercise of options has been used by the company for good purpose, many times to promote its products. The advertising campaigns have had a lot to do with promoting our products, but also they have had an extremely positive effect on our company and its shares. So, in the end everyone has benefited from the sales and the programs. These programs are well thought out and timed, juggling the economy, the war, the general market and the overall benefit to our company. Nothing is taken for granted.

      Recognizing that over 15 million customers visit drugstores everyday, I have made it a priority to gain shelf space in the largest of these chains over the past two years. Our success can be measured in results not forecasts. Mr. Mitchell, our President and I have effectively used our personal dollars to support selling campaigns that have placed our products on the top five of these chains as reported in the Medical Marketing & Media magazine. They are (in order)

      1.CVS/pharmacy 5,250 stores

      2.Walgreens 4,480 stores

      3.Wal*Mart 3,000+ stores

      4.Albertsons 2,000+ stores

      5.Brooks Pharmacy 1,885+ stores



      At very least, three more major drug chains are expected to be added during this current year. New distribution channels are being opened on a regular basis. Last week alone, we announced a key partnership with Northside Distributors in New York City. We already sell McKesson, Cardinal Distributing and Amerisource Bergen, giants in pharmaceutical distributing. International partnerships are being formed as products get approved in foreign countries, a lengthy and costly process.

      Today, more than ever, moving products off the shelves is a function of brand awareness. We understand the mechanics, yet the execution of the plan requires capital and we have found precious few investors that are willing to take the risk. When necessary, Management has become both investor and administrator, wearing both hats at the same time.

      Recognizing the risk that management has taken and understanding the logic of the overall business plan, should inspire all shareholders to buy a piece of a very bright future.

      As we head to the holiday season, I want to personally thank my staff, my shareholders and the many professionals that have managed to clear the roads. I am buoyed by the many wonderful calls I receive from shareholders who really support Med Gen for the long term and on all terms.

      The company is grounded on producing alternative medicines that have mass appeal. Basically, “Sprays the Way” technology that we exceed at. It was Med Gen that first produced an all-natural snoring relief formula in a liquid spray format and it is Med Gen that has brought to market the first sleep-aid, formulated as an easily absorbed throat spray formula. Snorenz® and Good Night’s Sleep® remain today as stand alones and as leaders in their field. The combined markets exceed $1.6 billion. My days and nights are filled, not with dancing lolly-- pops and bright stars, but with thoughts on capturing an available market share…A goal that will enrich all.

      Bedenken daß ihm dabei das Pathos abhanden kommt habe ich keine ....... and shall we soon see peace in the world.

      Was der gute Mann aber verschweigt, daß es sich hier nicht um normalen Handel von normalen Aktionären handelt, sondern, daß hier bewußt Meldungen abgestzt werden, damit ein paar Insider ihre günstigen Teile preisoptimiert unter das normale Anlegervolk bringen können.
      Preisoptimiert heißt hier Gewinne zwischen 100% und 200% auf Kosten der Kleinanleger.

      Hier sollte man dem guten Mann schon mal die Frage stellen.
      1.) Warum sollen gerade die Kleinanleger an diese `bright future` glauben, wenn das Management dem scheinbar nicht traut und Aktien in großer Zahl auf den Markt wirft ??


      Könnte aber so ausschauen, als würde nochmals eine PUMP&DUMP Runde kommen.
      Jedenfalls klingt auch der Oberboss der Bude etwas konsterniert und scheint von der Heftigkeit, mit der der Markt die Verkaufsaktivitäten des Managements abstraft,
      selbst überrascht zu sein.
      Schaut also so aus, als wären die mit ihren Verkäufen noch nicht fertig und versuchen daher das Ding nochmals nach oben zu bringen.

      Klingt gefährlich nach Verwässerung, wenn sowas öffentlich einbekannt wird. Vielleicht auch deshalb die Eile mit der das Management noch schnell ein paar Milliönchen machen will ?

      Den Plan würde ich gerne sehen,
      immerhin hat der seit 2 Jahren zu einem Umsatzrückgang von 75 % und zu einer Explosion der Kosten geführt.

      Overall my impressions were this : MDGN is run by honest people who finally are advertising and as Mitchell stated : WALL Street is closed off to us for raising the caopital to grow quickly because of the lawsuit... by selling shares we fund the Company`s growth.. it would be easier to go Chapter 11 and start over but we worked to hard and sacrificed alot so we will do whatever it takes!!

Mr. Mitchell stated that the lawyers have told him that the judge failed to instruct the jury on deducting executive compensation which is reversible error. Apparently in Florida it is a requirement. He stated that in the worst case scenario MDGN will appeal to the Appellate division if necessary.
      He also told me that the plaintiff is willing to settle to avoid bankrutcy and MDGN wants to do it in stock and not cash which they need for operating and advertising



      Sollte man nicht rechtzeitig rauskommen aus dem Teil, kann
      sehr schnell in Richtung Totalverlust gehen.
      Immerhin hat der CEO gestern wieder verkauft zu Kursen um 0,16 !!.

      Med Gen Announces Financial Results

      November 3, 2004

      BOCA RATON, Fla., Nov 3, 2004 (BUSINESS WIRE) --

      Med Gen Inc. (OTCBB:MDGN), manufacturers of the national brands Snorenz(R), snore relief throat spray and Good Night`s Sleep(R), sleep aid throat spray, announced today that it has posted revenues for the month of October 2004 that exceed same month revenues for 2003 by over 45%. October shipments were $97,721 as compared to shipments for October 2003, which were $53,892. In addition, the cash position, when comparing the same two years, increased 64% to $173,000 from $61,000.

      Gross Profit increased 60% to $69,755 as compared to 2003 Gross Profit was $27,262. The company showed a small net loss of $24,880. "However had it not been for unusually high purchases, gearing up for new business and a one time Consulting fee, the company would have been profitable for the month," said Paul Kravitz Chairman and Chief Executive. This marks the third consecutive month of sales increases and indicates a steady rise in company performance. A mark of future performance is backlog (unshipped orders). Company backlog is $52,000. When compared to the backlog in 2003, which was $16,583 an increase of 68%, the comparison overall is an indication of steady growth plus a forecast for an excellent November.

      Increases in shipments and sales increases can be attributed partially to the companies aggressive advertising programs and partially to the building of customer loyalty to the Snorenz(R) and Good Nights Sleep(R) brands. Starting November 15 the company will air its newest advertising messages targeting consumers in New York City, Los Angeles, Chicago, Phoenix, Tucson, Rhode Island and Boston.

      The Company will continue to seek ways to gain market share in this $1.6 billion market.       verstehe ich auch nicht, vielleicht haben die den letzten "kurzanstieg" nach den news noch nichtn verkraftet oder sell on god news. ich versteh die welt nicht mehr. auch das volumen ist viel zu niedrig. haben wir etwas übersehen bei der news heute oder haben die amis mehr erwartet?

      In welcher Welt lebt ihr.
      Auf Quartalsebene präsentiert MDGN einen Verlust von 1,2 mio., wenn die jetzt auf Monatsbasis 97 k Umsatz erzielen, würde das hochgerechnet auf 12 MOnate nicht mal ausreichen um einen Quartalverlust abzudecken.

      Dazu haben sie auch noch auf Monatsbasis einen Verlust ausgewiesen und die scheinbare Umsatzsteigerung ist verglichen mit 2002 zwar ein kleiner Schritt vorwärts, aber die haben 80 % Umsatzeinbruch aufzuholen.

      So nebenbei bemerkt, wurden schon die letzten Quartalsverluste teilweise mit Einmaleffekten begründet.
      Sodaß wir bei MDGN den Spezialfall von regelmäßig auftretenden Einmaleffekten beobachten können.

      Wenn man jetzt noch bedenkt, daß auf Monatsbasis bei den Zahlen massiv manipuliert werden kann (eine große Rechnung wird halt nicht mehr gebucht) so sind sowohl 97 k Umsatz, als auch 24 k Verlust, kaum aussagekräftig genug sind, um davon etwas Positives abzuleiten.

      Wenn man weiters bedenkt, daß immer die Gefahr besteht, daß Insider Aktiern auf den Markt werfen, hat sich der Kurs doch ganz gut gehalten.
      Der CEO hat sich gerade wieder ein paar Mio. Optionen zu 0,10 geholt.

      Und immerhin hat irgendwer einige K losschlagen können, ohne daß es zu einem Kurseinbruch gekommen ist.

      Wobei ich vermute, daß das kein Kleinanleger war !

      ich erwarte sicherlich keine Wunder, allerdings sollte, so wie schon öffter, jedenfalls eine erholung auf über 0,23 möglich sein. Wenn man bedenkt wo die herkommen?
      mehr möchte ich garnicht!

      Wenn du schaust wo die herkommen, dann schau dir auch das O/S zum damaligen Zeitpunkt an.

      Da relativiert sich sehr Vieles.

      Von den Umsätzen und Erwartungen zu der Zeit will ich nicht mehr sprechen.
      Es ist ein großer Unterschied, ob eine Firma als Turnaround-Kandidat oder als Chapter11-Kandidat wahrgenommen wird.

      A VIEW FROM THE TOP

      Looking Back

      From the dismal days of summer, when with the legal loss upon us, we thought all was lost, to our individual commitments to stand strong; we have come a long, long way. Being convinced that our legal system has built in safe guards, preventing an injustice from being prosecuted, learning about the many opportunities for redress and the formulation of a plan by which the company can move forward and finance itself, has brought us to this day.

      First and foremost, we felt it necessary to formulate a plan of communication by which Management could [talk] directly to its constituents. Frankly, this is where I believe the Democrats and many companies fail. I have always felt that by fostering a clear line of communication between management and shareholder, I would be able to develop a much stronger and more loyal base of investor that would look at Med Gen as a long term opportunity for growth rather than a short term profit motive. Frankly, I am not sure if I have accomplished this goal and I am not at all certain if this goal can be accomplished. To be sure, there are many forces in play that make this opportunity difficult, I will however, keep trying.

      Over the past three months we have doubled our News Releases and instituted informative “Shareholder Letters” and “Answergrams” in an attempt to get the real story out to our interested public. We have tried to combat “bashers” and “mashers” who do nothing but try to take a company down. Few companies offer their public this sort of continuous flow of information. We have not attempted to hide any bad news, nor have we pumped up the good news. Our sole interest is to get the news out to those who have an interest in our company. From the feedback, it has been mostly positive. Although I do admit that there are those who believe we put out releases so that we can sell “insider” shares while at the same time “pumping” up the stock. This is not true. Management sells shares only when it must, and [only] after it has reported these events as required by law. The amount of shares sold pales in comparison to the volume during any given day of trading…..In all, the effect on the market is zero.

      Financing our programs is a challenge. Corporately we have accepted the challenge and have used every method available to us. Since we are shareholders like many of you, anti-dilution is always a main consideration. At times, a sale of stock by insiders is the least harmful to the company. In doing so, management is reinvesting in the company since the shares sold represent past salary earned but unpaid. Thus, the issuances of new Options represent not only a replacement of those shares, but additional shares for salary. Working for options, as one can imagine, has risk. Nevertheless, it has become a way of life at Med Gen…I have convinced everyone that it will pay off. Certainly the last few Releases point to very positive events. I think I can promise you that there are more to come.

      Looking Forward

      In the past several months, Med Gen has morfed into a dynamic machine, hell bent on success. The attitude is positive and full of assurance. By past experience, I can tell you that you can smell a successful company by the attitude of its employees. We are a positive bunch, brimming with enthusiasm. Our business is stronger now than it has ever been in the past. Signs are abundantly evident that we will grow exponentially this year… and for these reasons:

      1. Our products are now distributed in over 30,000 stores nationwide. Our combined market exceeds $1.6 billion. A small 1% share ($16 million) means huge profits.

      2. We have a financially successful business model. Gross profits over 63% and distribution improving everyday. The company, over the past year, has reduced overhead and other expenses by 73%.

      3. International business is growing and will eventually add substantially to overall profitability.

      4. Self-sustaining advertising programs with management’s commitment to fundings.

      5. Future Investor interest and opportunities for large capital infusion will allow company to increase advertising to support new product introductions.

      Legal

      Forecasting the outcome of our legal situation is something I cannot do. What I can do is repeat what I have already communicated. We will not allow anyone destroy our company. We have taken appropriate steps for the present to safeguard shareholder interests. Motions and Appeals will take time to wind themselves through the courts. I have a keen sense of my fiduciary responsibilities to my shareholders and as you must know, safeguarding my position is safeguarding yours. There are good reasons for starting this communicating procedure. Although unorthodox, it is for sure the only way to provide up to the minute advice on any changes in our legal status, at the same time protecting myself and the company against the dissemination of “insider information”. All events are reported promptly and accurately to the public.

      Lastly, I wish to thank the many supporters out there. Getting rid of the “Bashers” should be easy…just ignore them as I have. Being Chairman of a Bulletin Board Company has its risks and rewards. It is not for the thin skinned. I appreciate the calls from interested shareholders, and unlike most of my contemporaries, I don’t believe in hiding from the inquisitions of many angry shareholders. When choices have to be made there are always dissenters and I know of no one that enjoys losing money, least of all me. Nevertheless, I will continue to do what is necessary to run the business, and grow it. Hopefully, in the long term, you will all prosper from the outcome.

      Red`s Lunch with Mitchell the President:

      As promised I had lunch with Mr. Mitchell and discussed three aspects of the future of MDGN.

      Heed what I say here as the facts as I transcribed my meeting with his approval

      First:
      Lawsuit and plaintiff judgment:

      Sounds like a plan to me and he told me its 50/50 on getting it done at this moment...

      My take is they have it in control but need a break with plaintiff`s thinking.......

      Second: MDGN operations: A PRESS RELEASE IS COMING THIS WEEK
      First month sales are up per him.. the numbers and results will be released this week and the Company is operating on a break even or slight positive cash flow..11-15-04 is the ad campaign launch date and he hopes it will boost sales and open up more accounts..(Long`s in Ca and some supermarket chains are in the horizon)

      My take is as I said before.. MDGN is improving each month incrementally and the prediction of 2.5 million in sales is the top estimate.. I think CEO and PRES will have to work hard to get there.. my thought is closer to 2 million.. just my opinion!!
      However they are selling overseas and that is the variable per Mitchell.. selling in ICELAND,France etc... Mitchell could not predict how much so the swing could be 500,000 in gross sales!!

      President has a child who is both autistic and blind from a first marriage. He flys back and forth to Arizona every 10 days and does not charge this to Company. After no salary and little corporate perks.. including when he sold approximately 600,000 dollars to a fund last year he verified he put everything into the Company he told me jhe is streched financially and these sales which do bnot disrupt the market are being used for his child and the constant medical care for him..
      ZWhat more could I say after that... cannot beat up a guy who put his life savings into the Company at his family`s detriment and I gave a donation to the foundation at the end of my lunch...

      He told me that he was advised by his broker not to sell everything at once and trickle it in over several days...
      Seems logical and fair to me....

      Overall my impressions were this : MDGN is run by honest people who finally are advertising and as Mitchell stated : WALL Street is closed off to us for raising the caopital to grow quickly because of the lawsuit... by selling shares we fund the Company`s growth.. it would be easier to go Chapter 11 and start over but we worked to hard and sacrificed alot so we will do whatever it takes!!

      I was impressed and think MDGN has a bright future...

      back in action-some updates

      spoke to company:

      sales are improving in November and they should be at least break even or slightly better..

      lawsuit: motion for appeal was joined yesterday and judge will decide within 45 days...However was told creditor wishes to settle and proposal`s being discussed.. i suggested they do it in stock and reserve as much cash as possible.. if a settlement is announced stock has strong UPSIDE potential.. even if they give them stock a registration will take at least 3-5 months so its out of the way anyway ..

      German investment group; watch the fRANKFURT EXCHANGES.. THEY ARE STARTING TO BRING IN THE BUYERS..

      For the Borad`s information..I have a strong position at an average of 13.12 cents and am also losing money but things are promising on the horizon so I`m holding until next big move...

      NO PR`s will be released until end of month or g-d willing a settlement is reached!!

      I will have nothing to add for the rest of the week!!

      in 1 Instanz verloren, die 2 Runde sollte bis März 2005 abgeschlossen sein. Vieleicht erwirtschaftet MDGN bis dahin soviel Gewinn um diese Summe auszahlen zu können.
      Es kann natürlich auch noch zu einen Sieg von MDGN (oder Vergleich)kommen, währe dies der Fall wird die Aktie wahrscheinlich explodieren!!!!!!

      wurde doch alles von mir hier gepostet.
      Du mußt schon ein sehr löchriges Gedächtnis haben.
      Daher hier nochmals zur Auffrischung aus #12:


      On November 11th the plaintiff must put in his papers opposing teh motion for a new trail or a mini trial on new damages. Mr. Mitchell stated that the lawyers have told him that the judge failed to instruct the jury on deducting executive compensation which is reversible error. Apparently in Florida it is a requirement. He stated that in the worst case scenario MDGN will appeal to the Appellate division if necessary.
      He also told me that the plaintiff is willing to settle to avoid bankrutcy and MDGN wants to do it in stock and not cash which they need for operating and advertising



      Der Kläger legt keinen Wert darauf MDGN zu ruinieren, daher wird versucht eine Einigung über eine Ausgabe von Aktien zu erzielen.
      Nicht gerade positiv für kurzfristig orientierte Anleger.


      So nebenbei, 200 k zusätzlicher Umsatz, bei Millionenverlusten :confused:
      Außerdem LAMP hat vor ein paar Tagen auch eine Vereinbarung bezüglichen Korea gemeldet.
      Scheint so als wäre Korea der neue Hoffnungsmarkt für jene Pharamladenhüter die von US bis China niemand haben will.
      Ob das tatsächlich die geprellten Aktionäre versöhnen wird, würde ich eher bezweifeln.

      ich wollte auch eigentlich bei der vorletzten news, als der anstieg auf 0,28 gewesen ist, nur ein bischen mitschwimmen (ca. 10 min). leider war ich an diesem tag genau diese 10 min zuspät gekommen, sonst würde ich hier sicher nichtmehr drin sein, war nur zur eröffnung usa etwas zu spät am computer.

First, GSI Korea is a multi-national company with connections to Hyundai and other Asian countries. Being granted the KFDA means almost assuredly entrée into Japan and China, possibly the Philippines. That market is untouched, is less capital intensive and returns larger profits. Dealing with mass-merchants in the USA is akin to crossing the deserts of Iraq, filled with many more mines and bombs. Any illusion that products are bought by stores because of customer demand or because of their efficacy can be quickly dispelled. Without the m-o-n-e-y to support co-op advertising, temporary markdowns and other invented events… the truth is you can just close shop. The cost of entrée to this elite group of stores exceeds $8,000,000.

      What our shareholders should know is that we live with the threat of being wiped off the shelves everyday if our products don’t bring in the numbers. Negative comments about our 2,000 sq. ft. facility in Boca reek of stupidity. We all live in the stores we sell and at the factories that manufacture our merchandise. Big beautiful offices are for those wealthier than we are are and more eager to show their egos. If I can grow our business in a basement to save money and spend it on our necessary programs, I would gladly do so.

      Med Gen, its people and its products, stand out in stark contrast to most companies in our industry today who have raised hundreds of millions before ever attempting to market their products. Many never get to market… a shot in the dark. Med Gen has niche products in huge market places. They are there; many of you are satisfied users.       November, although early in the month, promises to be very positive. December is usually a slow month, but we are promoting heavily in large geographical areas, thus my hopes of a positive December are high as well.
