IFEX Group announces Gold Rock Creek Enterprises /Bahamas Film Studios deal
IFEX Group (FSE: IFQ1, XETRA: AOBLX3.DE, ISIN: NL0000210532, BLOOMBERG: IFQ1) http://www.ifexgroup.com announces that a letter of intent has been signed with Finpac Ltd in regard to Gold Rock Creek Enterprises Ltd (“GRCE”), the owner of the Bahamas Film Studios project. Finpac Ltd is the controlling shareholder in Ashby Corporation (listed on Bermuda Stock Exchange) that owns 100% of GRCE.
IFEX Group is positioned to secure an exclusive mandate to facilitate the listing of the GRCE business on a suitable stock exchange in Europe or the US. In addition, IFEX will work with GRCE to secure suitable project financing facilities. IFEX will support GRCE by introducing candidates for positions on the senior management team.
During the coming period, the parties will work out the details of the transaction and further announcements will follow.
IFEX Group expects to receive a substantial equity based remuneration for its participation, with the potential to generate an important contribution to the revenues of the Group.

During March 2005, the Government of the Bahamas granted a 50 year lease (renewable for an additional 49 years) on the entire decommissioned US Missile Base, comprising 3,500 acres located near Freeport on Grand Bahamas Island to GRCE, the developers of the US$ 100 million Bahamas Film Studios Project. GRCE is developing a state-of-the-art movie and television studio complex with film theme park on the decommissioned US Missile Base. The complex will provide a minimum of three production sound stages, with the largest measuring 50,000 square feet. The Bahamas Film Studios are designed to house state-of-the-art production equipment and easily up-gradable to keep pace with new technological developments. Full-scale post production facilities will be available providing producers with a “one-stop-shop” production centre. The studios will produce commercials, feature films, TV series, music, in-house productions etc. The studios will have viewing galleries so visitors can watch commercials or shows being filmed.
An agreement has been made with Disney to locate filming for the US$ 400m blockbuster “Pirates of the Caribbean” parts 2 and 3 (starring Johnny Depp) at the GRCE facility. This is said to be the biggest single film budget announced by Hollywood for 2005 and filming at the GRCE complex starts in May 2005. GRCE is currently fast-tracking construction of a special water tank for completion in May for start of the filming.
The water tank is the largest and most state of the art tank in the world, with a gimble to move ships to give actual at-sea simulation and a perfect horizon for each filming. Unlike the other two comparable tank facilities in the world (in Malta and Mexico), the GRCE tank is structurally designed to accommodate all kinds of wave machines, water canons etc that would be required for any type of water film.
The GRCE project also includes amenities including: resort hotel, water park, theme restaurants, bars, merchandising outlets, various tourist attractions and studio tours. In the future GRCE plans to offer a 3D Imax theatre and an endangered species area. The Gold Rock complex is set to become one of the most sought after tourism destinations in the Caribbean and a major boost for the economy of the Bahamian Islands. In the longer term it anticipated that the project will create up to 1,200 full-time, permanent positions within all levels of the project`s operations. The Prime Minister of The Bahamas, The Right Honourable Perry Christie, stated that “this project is the most exciting endeavour to base itself on Bahamian soil”.

One of the next films to be shot in country will be Disney’s sequels to its 2003 blockbuster film, “Pirates of the Caribbean: The Curse of the Black Pearl”, which grossed over $600 million worldwide. Pirate of the Caribbean 2 and 3 are also expected to be box office hits. 29. Juli 2005 - Wie IFEX Innovation Finance & Equity Exchange NV (ISIN:
NL0000210532) heute mitteilte, stimmten die Anteilseigner der Gold Rock Creek
Enterprises ("GRCE"), die wiederum Eigentümer des Bahamas Film Studios Project
ist, einem Vertrag zu, wonach die GRCE-Geschäftstätigkeit in die an der
NASDAQ OTC notierte Gesellschaft überführt wird.
IFEX führte Beratungsleistungen aus und stellte die Kontakte zu Beratern und
Maklern her, die für eine einfache Umsetzung der Konvertierung der GRCE-
Geschäfte in eine US-amerikanische Aktiengesellschaft sorgen werden.
Mit der Notierung an der NASDAQ OTC in Q3 2005 erhält IFEX dafür ein Honorar
in Höhe von 1,5 Millionen US-Dollar in Form von Aktien der neuen Gesellschaft.

Insgesamt gesehen bei einem Markt, bei dem nicht einmal täglich lediglich 120.000 Aktien (zuletzt am 6.9.05 48.000)gehandelt werden (4.800 € bzw. 1920 € Tagesumsatz), eine glatte Nullnummer bzw. Luftbuchung.

The $76 million Grand Bahama Film Studios is hoping "to move forward pretty quickly" with the next stage of its development, construction of a 141-room hotel, as Disney prepares to begin two-and-a-half months of filming at the site tomorrow for Pirates of the Caribbean II and III.
With "everything in place" for Disney, Paul Quigley, a principal of Gold Rock Creek Enterprises, the holding company for the film studios, yesterday told The Tribune that the firm was now "starting up on our next phase".
He explained that the developers had "a little more time" to prepare for the hotel`s construction, as it had to rush to completion construction of the water tank, where the Pirates of the Caribbean II and III films will be shot, due to Disney`s tight production schedule.
"We have all our initial designs, and are putting together a package for the Government to review," Mr. Quigley said.
Much logistical work had already been done for the 141-room property, and he added: "We are moving forward and have a lot of people in place pulling together different aspects, and once we are clear on the exact location of the hotel and get a preliminary environmental impact assessment, hopefully we`ll be moving forward with that pretty quickly.
"The Government has previously said that filming Pirates of the Caribbean II and III at the Bahamas Film Studios would inject between $30-$40 million into the Grand Bahama economy, providing that island with a much-needed shot in the arm as it continued its recovery from the September 2004 hurricanes.
Mr. Quigley yesterday revealed that the Disney film crews had booked a total of 65,000 room nights on Grand Bahama for shooting the film, and were spread between Our Lucaya`s Sheraton and Westin properties, plus Pelican Bay. Separately, The Tribune has been told that Disney film crew members are taking up at least 400 rooms at the Sheraton alone.
Gold Rock Creek itself was still employing 70 construction workers on developing the studio infrastructure, and Mr. Quigley said the company had been buying much of its building materials from suppliers on Grand Bahama.
"We`ve been very pressed and it makes life a lot easier by buying locally," Mr. Quigley said. "We have accounts with all the suppliers in Freeport who are constantly supplying materials to the site." The Bahamas Film Studios had also been "using a lot" of small Bahamian contractors, such as electricians.
The Disney contingent for Pirates of the Caribbean II and III numbered about 400, and Mr. Quigley said the company had "hired a significant number of Bahamians in so many areas", including extras and production assistants.
Many of Disney`s departments heads had already spent three weeks on Grand Bahama doing preparatory work.
He explained that the Disney production would further accelerate development of an indigenous film industry in the Bahamas, as those, hired, for Pirates of the Caribbean II and III would learn skills through on-the-job training that would be especially attractive for other productions the Bahamas Film Studios was looking to attract.
Effectively, the Pirates of the` Caribbean II and III films will be the gateway for developing a film and television production industry in the Bahamas that "can be counted on by other companies".
Mr.. Quigley said: "Producers will come to us for pictures down the road, and say: `The Bahamas: What do you have to offer there? ` Does anyone have any experience?` The more people you can put to them, the less people they have to bring in, and that makes it much more interesting for them.
"The Disney, machinery will not only be training people, but have them qualified and available for the next production. You learn far more by being there and working with professionals than in school. There`s definitely great opportunities for those interested in a career.
"If we can maintain some kind of consistency of production, it will keep these people employed and help develop an indigenous industry a little quicker.
"The Bahamas Film Studios has not booked any other productions for after Pirates of the Caribbean II and III is completed, as it wanted to give Disney some flexibility to complete everything it needed to do.
"We`re still looking at other movies, and once we get finished shooting for Disney, we`ll be following up on other leads we`ve been looking at," said Mr. Quigley.
"There`s an incredible amount of interest, but we`re not in a position to give a schedule yet.
"It has taken Mr. Quigley and the Bahamas Film Studios some five-and-a-half years to get to this point, having begun negotiations on getting the project approved under the former FNM government. It was the current administration that signed the Heads of Agreement for the development, one of the first it agreed upon taking office.
"It`s been a long haul, but it`s certainly been all worthwhile and it`s wonderful to see it all happening," Mr. Quigley said.
Gold Rock Creek Enterprises had earlier this year taken out a $10 million construction loan to finance completion of Phase I development at the Bahamas Film Studios, which included the water tank - the world`s largest.

The Managing Board proposes to convene a general meeting of shareholders to amend the articles of association of IFEX Innovation Finance & Equity Exchange N.V. (the “Company”).
The Annual General Meeting of Shareholders of the Company will be held on December 21, 2005 at 10.00 a.m., local time, at Restaurant Rosarium, Europaboulevard, Amstelpark 1, Amsterdam, The Netherlands. Registration of attendees at the meeting will start at 09.30 a.m..
The agenda:
opening;
amendment of the Articles of Association of the Company whereby each parcel of ten shares of ten eurocent (€ 0.10) each will be combined into one share of one euro (€ 1.00);
adjournment.
The agenda, the description of the amendment, the approval of the Supervisory Board and a draft deed of the amendment of the Articles of Association are available at the Amsterdam office of the Company at Keizersgracht 365A, 1016 EJ Amsterdam, The Netherlands and at the office of DZ Bank AG, Deutsche Zentral-Genossenschaftsbank, Abteilung EQCS, Platz der Republik in Frankfurt am Main, Germany. Copies may be obtained free of charge.
To attend the meeting and to cast votes, holders of ordinary shares must submit a written statement by a direct participant in the German clearing system (or a depository bank participating in the German clearing system through another bank) no later than December 18, 2005 showing that the holder in question participates in the deposit for the number of bearer shares as stated in the afore-mentioned written statement, and will remain participant in the deposit for that number of shares until after this Annual General Meeting of Shareholders.
A shareholder can be represented by a proxy-holder. The power of attorney must be in writing and has to be in the actual possession of the Managing Board no later than December 18, 2005.
