Mit dem Anbau von Gemüse und Rosen im afrikanischen Staat Sambia lässt sich unter normalen Umständen kein Hund hinterm Ofen hervorlocken. Dennoch ist die Aktie der britischen Plantagengesellschaft Plantations and General Investments (WKN 873258; Berlin-Bremen; ISIN GB0006911696, aktueller Kurs 0,85 Euro) rasant gestiegen. Hintergrund sind Aktivitäten eines der erfolgreichsten, zugleich aber geheimnisvollsten Fondsmanagers der Welt.
Außerhalb Kreisen der Hochfinanz ist Spencer Nicholas Roditi kaum jemandem ein Begriff. Der in Simbabwe geborene Brite hatte zuletzt vor neun Jahren für Schlagzeilen gesorgt, als er zwei Mal in Folge Großbritanniens höchstbezahlter Manager war. Im Jahr 1996 erhielt er 52 Mio. Pfund (75,75 Mio. Euro) Gehalt, im Jahr darauf sogar 80 Mio. Pfund (116,5 Mio. Euro). Roditi arbeitete seinerzeit für die Fondsgesellschaft Quantum, die der Familie des Milliardenspekulanten George Soros gehört. Innerhalb der Quantum-Gruppe war Roditi der mit Abstand erfolgreichste Geldverwalter, sein Fonds brachte zwischen 1992 und 1997 rund 975 Prozent Gewinn.
Im Jahr 1999 verließ Roditi das Licht der Öffentlichkeit, um sich mit einer eigenen exklusiven Vermögensverwaltung selbstständig zu machen. Sein neues Unternehmen hat keine Internetseite, die Telefonnummer ist geheim und das letzte bekannte Foto von Roditi ist über 25 Jahre alt. Sein Interesse an einer winzigen Plantagengesellschaft mit Notiz an der Börse London konnte er jedoch nicht verbergen - dort ist er seit Jahren offiziell Großaktionär und Aufsichtsratsmitglied. Schon im Jahr 1992 begann Roditi damit, Aktien der winzigen Plantation and General Investments einzusammeln. Als sein Aktienanteil im Jahr 1997 die Marke von 30 Prozent überschritt, musste er ein Übernahmeangebot von 80 pence abgeben. Offiziell gehören Roditi heute 67,8 Prozent der Aktien.
Aus Afrika nach Russland
Jahrelang schien Roditi nur passiver Aktionär zu sein. Am 4. Februar gab Plantation and General Investments dann den Kauf einer Beteiligung in Russland bekannt: die Gesellschaft wird sich mit 80 Prozent an der Immobilienspezialisten Jensen (www.jensen.ru) in St. Petersburg beteiligen. Der bisherige Alleineigentümer von Jensen, der Amerikaner Steven Wayne, wird anschließend mit 9,5 Prozent an PGI beteiligt sein. Jensen ist seit 1991 im Geschäft mit russischen Immobilien aktiv, zu den Kunden gehören u.a. Coca-Cola, die Citibank und die Dresdner Bank. Jensen verwaltet im Kundenauftrag Büroimmobilien, zudem legt das Unternehmen geschlossene Fonds für Immobilieninvestments auf. Die nahe liegende Vermutung ist, dass Roditi und Jensen ihr Know-how in der Konzeptionierung und Platzierung von Immobilienfonds kombinieren wollen. In der Londoner City besteht erhebliches Interesse daran, in Russland zu investieren, wie zuletzt das 1,5 Mrd. US$ IPO des russischen Mobilfunkunternehmens Sistema gezeigt hat.
So verschwiegen Roditi ist, so gut sind seine Kontakte. Zu seinen früheren Schulfreunden und heutigen Geschäftspartnern zählt u.a. Rupert Pennant-Rea, früher Vizegouverneur der britischen Zentralbank und früherer Chefredakteur des Economist. Pennant-Rea ist heute Aufsichtsratschef von PGI. Zu seinen Verbündeten dürfte auch der Übernahmespezialist Luca Padulli di Vighignolo gehören. Die familieneigene Vermögensverwaltung des italienischen Grafen - der zu den führenden Übernahmespezialisten Europas zählt - wurde wurde mittlerweile in den Hedgefondsanbieter Camomille umgegründet. Camomille dürfte Fonds im Milliarden-Dollar-Volumen verwalten und ist mit 5,63% an PGI beteiligt. Auch Jensen-Gründer Wayne scheint gute Kontakte in den Zusammenschluss mitzubringen. Er ist Absolvent der Elite-Universität Harvard und früherer Mitarbeiter von Morgan Stanley. Im Dezember 2004 sorgte er für Schlagzeilen, als er die Ur-Ur-Enkelin von John D. Rockefeller heiratete.
Noch sind alle Aussagen über die Zukunft der Tee- und Gemüsegesellschaft reine Spekulation. Wer jedoch Eins und Eins zusammenzählt, kann interessante Rückschlüsse auf das Potenzial der Gesellschaft ziehen. Die Indizien deuten darauf hin, dass PGI als Anbieter von Fonds die in russische Immobilien investieren etabliert werden soll. Für die Aktie ergeben sich daraus völlig neue Perspektiven. Bislang wurde PGI hauptsächlich anhand der Plantagen in Afrika bewertet. Es ist jedoch unwahrscheinlich, dass Kapitalmarktspezialist Wayne seinen Anteil an Jensen gegen eine Beteiligung an einem afrikanischen Gemischtwarenladen eintauscht. Ein Verkauf der alten Beteiligungen erscheint mittelfristig wahrscheinlich.
Vervielfachung dank der Großkaräter
PGI ist in einer Umbruchsituation, in der sich das Unternehmen fundamental praktisch nicht bewerten lässt. Dennoch wurden seit Bekanntgabe des Beteiligungskaufs zu steigenden Kursen Stücke aus dem Markt genommen. Marktteilnehmer setzen offenbar schon jetzt darauf, dass PGI über performanceabhängige Vergütungen erhebliche Einnahmen erzielen wird. PGI ist mit 31,5 Mio. Pfund (46 Mio. Euro) bewertet, daher könnte sich ein Basiseffekt ergeben. Angesichts der hochkarätigen Hintergründe der Großaktionäre bestehen wenig Zweifel, dass PGI bei seinem neuen Geschäft relativ schnell große Volumina bewegen könnte. Nachdem er nunmehr 13 Jahre lang an seiner Beteiligung gearbeitet hat, wird Roditi diese Gesellschaft zu einem ähnlichen Erfolg führen wollen, wie Anfang der neunziger Jahre seinen Quantum-Fonds. Die PGI-Aktie ist zwar aufgrund des volatilen Marktes nicht ohne Risiko, hat wegen des möglichen großen Gewinnhebels aber seinen ganz speziellen Reiz. Spekulative Anleger können das Papier als Depotbeimischung kaufen. Die Aktie kann sich im günstigen Fall in den kommenden Jahren vervielfachen. Der aktuelle Kurs an der Heimatbörse in London liegt bei 62,25 Britischen Pence. Da die Aktie in Berlin so gut wie nicht gehandelt wird, ist es ratsam in London zu kaufen.

Da steht dann z.B., daß der Name der Gesellschaft kürzlich erst in PGI Group geändert wurde (vorher Plantation and General Invetsments), um dem aktuell vorangigen Geschäftszweck Rechnung zu tragen.
Außerdem wurde der alte CEO Richard Clothier gegen einen neuen ausgetauscht, nämlich jenen Steve Wayne, der auch CEO der Jensen Group ist, der 80%-Tochter von PGI in St. Petersburg.

Der Kurs stieg heute auf ein ATH von 66,50 p. Das Volumen war dabei mit 1.036.114 deutlich höher als das sonstige Durchschnittsvolumen von 108.915 (siehe Yahoo Finance, Link oben).
Es gibt auch ein interessantes neues Mitglied im Aufsichtsrat der PGI Group, Charles Ryan, einer der größten Banker und bekanntesten Geschäftsmänner Rußlands. Ihm gehört die UFG Investmentbank, an der wiederum die Deutsche Bank seit 2003 mit 40% beteiligt ist.

Der unentdeckte Teil des russischen Immobilienmarktes
Moskauer Immobilien gehören nach den enormen Preissteigerungen der letzten Jahre zu den teuersten der Welt. In der Innenstadt der Landeshauptstadt übersteigt die Nachfrage nach Büro- und Einzelhandelsflächen das Angebot, es gibt mittlerweile sogar Wartelisten für freie Flächen.
Auch herrscht ein akuter Mangel an Hotelzimmern - was dazu führt, dass Moskau trotz der teilweise exorbitant hohen Zimmerpreise, die weltweit höchste Belegungsrate in Luxushotels hat. Wer ein Luxushotel betreibt, bekommt derzeit trotz der gesalzenen Zimmerpreise von Gästen die Bude eingerannt.
Aber wie so oft am Kapitalmarkt, waren es die Früheinsteiger, die den ganz großen Reibach machten. Wer zu absoluten Ausverkaufspreisen investiert, hat seinen Einsatz schon nach einer ersten Aufwärtsbewegung verdoppelt oder verdreifacht - und kann die weiteren Preissteigerungen anschließend umso gelassener abwarten.
Richten Sie Ihr Augenmerk auf russische Städte mittlerer Größe
Für abenteuerlustige Investoren ist nun die Zeit gekommen, über die Grenzen der beiden bekanntesten russischen Immobilienstandorte hinauszuschauen. Neben Moskau und St. Petersburg hat Russland zwölf weitere Städte mit mehr als 1 Mio. Einwohnern sowie eine Fülle von Städten mit 200.000 bis 999.999 Menschen.
Keine dieser Städte ist so wohlhabend wie die beiden kommerziellen Knotenpunkte des Landes, nichtsdestotrotz gibt es dort eine schnell wachsende Mittelklasse mit frei verfügbarem Einkommen. Denken Sie bloß an sibirische Städte, die in der Nähe von Ölfeldern liegen!
Nicht umsonst haben mittlerweile rund 67 Prozent der Russen ein eigenes Mobiltelefon: Ein Mobiltelefon kauft nur, wer seine Ausgaben für Miete und Essen bereits gedeckt und danach immer noch überschüssiges Geld im Portemonnaie hat - der Massenwohlstand hat nun auch Russland erreicht.

Das weltweit gelesene Magazin berichtet, wie Unternehmen in die Provinz drängen, um an der Kaufkraft jener Russen zu verdienen, die nicht in Moskau oder St. Petersburg leben. Die Story ist klasse! Der Kurs ist auf aktuell 60,50 in London zurückgegangen, bei schwachen Umsätzen. Wieder ein ganzes Stück vom ATH 67 entfernt.
Es gibt halt so gut wie keine Infos, alles sehr verschwiegen. Hab mal Gerüchte gehört, daß ein Makler in London händeringend nach Stücken sucht, es dabei aber schwer hat. Der Markt ist sehr eng und keiner will verkaufen. Aber bei dem Netzwerk von Bänkern, das weiter oben im Thread beschrieben wird, kriegen die schon große Investoren für ihre Fonds zusammen. Das bringt dem Unternehmen dann die entsprechenden Erträge, und damit geht der Aktienkurs auch gen Norden. Bis es soweit ist, braucht man halt etwas Geduld. Aber soviel Geduld wie Roditi schon bewiesen hat, werden wir wohl nicht benötigen. Der hat schon in 1992 begonnen, Aktien von PGI einzusammeln. 1997 hatte er dann 30%, heute sind es ca. 68%.

Disposal of PT Air Muring
PGI Group Plc (`PGI`) announces that the Group has entered into a conditional agreement to dispose of the whole of its shareholding in PT Air Muring (`PTAM`) to PT Huma Indah Mekar for a total consideration of US$6,295,000, payable in cash on completion.
PTAM, a wholly owned subsidiary of PGI, operates a rubber estate in Sumatra, Indonesia. The value of its gross assets in the last published group accounts, at 31st December 2004 amounted to £1.71 million and for the year ended on that date it recorded a profit before tax of £658,000.
The disposal is conditional on the approval for the sale and transfer of the shares by the Indonesian Government`s Investment Co-ordinating Board and , if necessary, by PGI, shareholders. In this latter event, a circular will be despatched to shareholders in due course giving further details of the transaction and setting out a notice to convene an extraordinary general meeting at which a resolution to approve the transaction will be proposed.
The consideration will be used by the Group to reduce net group debt to approximately £6.5 million which will considerably strengthen the Group`s financial position. Approximately £7.8 million of the total borrowings is in the form of Loan Stock convertible at 25p a share. This is due to be converted or repaid during 2006.
The disposal will result in the Group concluding its withdrawal from all its Indonesian businesses. The Group is now focused on Jensen, the Russian property investment management company which was acquired in April 2005, and on its tropical agriculture businesses in Southern Africa.

Die Transaktion stärkt die Position der Deutschen Bank als eine der führenden Investmentbanken in Russland. LONDON (AFX) - PGI Group PLC revealed widening pretax loss for 2005 but it said 2006 has started on a better note.
There were some significant developments in the PGI Group during 2005, and the final result for the year was a pretax loss of 1.69 mln stg, compared with a loss of 721,000 stg a year earlier.
In the last quarter of the year, the group disposed of all its operations in Indonesia, resulting in a net profit of 1.3 mln stg. The withdrawal from all the Indonesian businesses means that the company's tropical agriculture is now concentrated in southern Africa. It has been reorganised into a new operating division, called PGI Food Group.
In the year, drought in southern Africa held back the tea crops and the group's UK wheelbarrow manufacturer, Chillington, had another poor year as a result of weak demand in the DIY sector.
PGI has made an impairment adjustment to the manufacturing assets to reflect its estimate of their current fair value.
However, at the start of 2006 there has been plenty of rain in southern Africa, and tea prices have risen as a result of drought in Kenya.

Ärgerlicher Rücksetzer. Der erste Fonds ist wohl noch nicht ganz platziert. Da brauchen wir noch Geduld. Aber die Umstrukturierung weg von den Plantagen hin zu russischen Immobilien scheint konsequent umgesetzt zu werden.
Es ist so ruhig hier, daher komme ich einfach mal mit dieser "Non-Info", dass ich mir eben in London die erste kleine Position in PGI gekauft habe.
Hatte laengere Zeit schon ein Abstauberlimit im Markt liegen, aber der Kurs will ja einfach nicht Richtung 50p fallen, sodass ich mit 60p heute gekauft habe. Sollte es noch einmal einen Ruecksetzer in Richtung 50p geben, werde ich deutlich aufstocken. Schaun mer mal.
Immobilien sind fuer Sven ja im Moment das ein und alles. Meinl Europ. Land hat er wohl in erster Linie auch wegen des Grossinvestments in Moskau neu ins Depot mit aufgenommen. Wenn ich mir nun das aktuelle Fact-Sheet des Centurion-Fonds anschauen, dann glaube ich zu wissen, dass Sven wohl die Stücke zusätzlich eingesammelt hat. Anteil von PGI ist jetzt auf über 11% gestiegen und die Cash-Position des Fonds auf 0 gefahren worden.
Sven scheint auf News auf der HV im Juni zu setzen. Na, hoffen wir mal, dass er erneut einen guten Riecher hat.

Sagt mal, könnte einer von Euch bestätigen, ob es gestern (01.06.06) an der LSE Umsätze in dem Papier zu 52p gegeben hat.
Hatte ein Kaul-Limit mit53 im Makrt, sehr aber heute, dass die Order nicht ausgeführt wurde.

Noch letzte Woche hatte Sven an einem Tag 11,x % seines Fondsvolumens in PGI angelegt bei einer vorhandenen Liquidität von 0.
Heute sehe ich, dass am gestrigen Tage die Liquidität bei rund 25% liegt und der PGI-Anteil auf 7,51% gefallen ist. Trennt sich Sven von einem gewissen Teil seiner PGI-Anteile?

The total consideration for the transaction will be £750,000 subject to

Bin auch schon seit längerer Zeit auf diesen Wert aufmerksam geworden und habe ihn jetzt auch im Depot.
Einerseits ist es zwar mit der Zielrichtung Russland als spekulativ zu werten, jedoch mit der Chance des Managements und zugleich dem Tätigkeitsfeld spricht viel für die Aktie.
Die Zeit wird es zeigen. Wie auch im Bericht des Aktionärs zu lesen war. Warten wir die Jahre mal ab. Nur so kann man das ganze Potential dieses Unternehmens mitmachen.

Was mich aber wundert, das ich den Eindruck nicht los bekomme, seitdem für die Aktie die "Werbetrommel" gerührt wurde, der Anteil in dem von Lorenz beratenen Fond von über 10 % stetig nach unten geht. Dies hat auch nichts mit dem Fondsvolumen zu tun. Das bleibt nämlich über die Tage fast gleich.

Chairman's statement
I am pleased to report that the Group profit before tax from continuing
activities for the half year ended 30 June 2006 amounted to #1,554,000, almost
50% higher than in the same period last year.
Profits from the food group increased by 35%, boosted by higher tea prices, that
have increased by an average of 19% compared to June 2005. The Malawi tea
estates made the largest contribution to Group profits. Eastern Highlands, the
Zimbabwean subsidiary, continued to improve, with market exchange rate movements
running ahead of inflation.
Khal Amazi, the group's Zambian rose grower, increased exports by 39% to 47
million stems in the first half, as it continued to improve and integrate the
rose business it acquired early in 2005. We have expanded this business again,
by buying the next door neighbour, Sunrose Ltd, which has 6ha or greenhouses
producing roses.
Jensen Group, in which PGI acquired an 80% interest in 2005, has expanded
considerably with the closing (at US$101 million) on 31 July 2006 of a new
property fund. The fund, which has been established in the Cayman Islands, is
managed by Jensen Group and will invest in real estate opportunities in St
Petersburg as well as in an identified property, Sestra River Developments.
Sestra River owns a 14 hectare plot of land and buildings which it has acquired
from Sestroretsk Instrument Works, the oldest factory in St Petersburg. The plan
is to develop Sestra River into a mixed-use project to help revitalise
Sestroretsk, one of St Petersburg's best known suburbs. Jensen will be paid an
annual management fee of 2%, which will significantly increase its contribution
to the Group in the second half of the year.
Chillington Manufacturing, the Group's wheelbarrow manufacturer, had another
disappointing result for the half year due to continuing weak demand that
affected the major DIY retailers. The business, which has lost money for several
years, was sold in July 2006 for a total consideration of just under #1 million.
About half of this is deferred and will be paid between now and December 2008.
This disposal completes the programme of selling non-core businesses. The Group
is now focused on the food operations in southern Africa and (through Jensen)
its property investment management and development in Russia.
Following the rights issue of ordinary shares in 2005, the Group's main
borrowing is the #7.8 million convertible loan stock. The regular annual date
for conversion of this stock is 31 July; but after consultation with the
Trustees, another conversion date of 31 October 2006 has been added. If the loan
stock is not converted on that date into ordinary shares of 25p each, it will be
repaid at par on 31 December 2006.
Because the food business is so seasonal, it is always difficult to predict how
the Group's results will turn out for the full year. However, tea prices remain
firm, at roughly where they were in the first half. Exchange rates in Zimbabwe
are continuing to run ahead of inflation, rose production in Zambia will benefit
from the recent acquisitions, and the contribution from Jensen will be boosted
by the new fund.
When the interim results for last year were announced, we stated that in view of
the seasonal nature of the food group businesses, the Board would consider
declaring dividends only at the half-year. Subsequently, a dividend of 0.25p was
paid which was the first dividend since 1996.
It would have been the Directors' intention to declare a dividend in respect of
the half year to June 2006. Unfortunately, the Board has recently been advised
that under the current interpretation of the provisions of IAS 19 "Employee
Benefits" the group retirement benefit liabilities of #3.8m at 30 June 2006
should be recognised as a liability of the parent company. In previous financial
statements these liabilities were recognised only on the consolidated Group
balance sheet.
Including these liabilities in the company's own individual balance sheet will
result in a deficit on its profit and loss account reserve. Under the provisions
of the Companies Act 1985, the company is permitted to pay dividends only if it
has sufficient distributable reserves.
The Directors are therefore considering undertaking a process to eliminate the
deficit. This would involve the cancellation of the company's share premium
account, which would result in the amount currently standing to the credit of
that account becoming a distributable reserve. This proposal would require
shareholders' approval and sanction by the Court. If the decision is made to
implement this plan, details will be circulated to shareholders in a few weeks'
time.
Assuming that such a process were successfully implemented, it would then be the
Board's intention to consider the payment of a dividend based on the Group's
current financial performance.

1. Corporate information
PGI Group Plc is a public limited company incorporated and domiciled in the
United Kingdom, whose shares are publicly traded. The principal activities of
the Company and its subsidiaries ("the Group") are described in Note 3.
2. Basis of preparation and accounting policies
The interim condensed consolidated financial statements for the six months ended
30 June 2006 and 2005 are unaudited. They have been prepared in accordance with
International Accounting Standard (IAS) 34, Interim Financial Reporting, and on
accounting bases and policies consistent with those used in the Annual Report
and Accounts for the year ended 31 December 2005. The comparative figures for
the year ended 31 December 2005 are an extract from the full accounts for the
year, on which the auditors have made a report under Section 235 of the Company
Act 1985. These accounts have been filed with the Registrar of Companies. The
audit report was qualified in respect of the accounting for the results of its
operation in Zimbabwe which is not fully in accordance with the provisions of
IAS 29 'Financial Reporting in Hyperinflationary Economies'. It did not contain
a statement under Section 237(2) of the Companies Act.
3. Segmental reporting
The Group's primary reporting segments are the following business sectors:
Food group - Tea, , export roses, macadamia nuts and vegetables.
Investment property management - Properties in St. Petersburg, Russia.
The manufacturing segment has been classified as a discontinued operation for
the six months ended 30 June 2006 and comparative periods (see Note 5).

During the six months ended 30 June 2006, a decision was made by the Board to
dispose of Chillington Manufacturing, a division of P&G Industries Plc.
Chillington Manufacturing manufactures wheelbarrows in the United Kingdom and is
a separate business segment of the Group's operations. At 30 June 2006 its
assets and liabilities have been classified in the balance sheet as a disposal
group held for sale. On 31 July 2006, the Group has entered into an agreement to
sell Chillington Manufacturing for a total consideration of #936,000 of which
#500,000 is on deferred terms.

5. Discontinued operations continued
The results for Chillington Manufacturing have been classified as discontinued
operations for the six months ended 30 June 2006. In accordance with
International Financial Reporting Standard 5, Non-current assets held for sale
and discontinued operations, adjustments have been made to the originally
reported comparative income statements to classify Chillington Manufacturing as
a discontinued operation for the six months ended 30 June 2005 and the year
ended 31 December 2005.

7. Related party transactions
a. Two Russian companies owned by a director, Mr S. W. Wayne, provide
services to subsidiary companies of Jensen Partners LLC, a subsidiary of PGI
Group Plc, and the property funds they manage. These Russian companies are not
designed to make profits but to reallocate expenses between the various

8. Contingent liabilities
There has been no change to the claim made by PT Shamrock Manufacturing Corpora
in the amount of approximately #16.5 million as reported in Note 28 to the
audited financial statements for the year ended 31 December 2005. The directors
are now legally contesting this claim.
9. Events after the balance sheet date
In July 2006, the group acquired 100% of the voting shares of Sunrose Limited, a
company incorporated in Zambia, for a total consideration of US$1.74 million
(#0.93 million). The principal activity of the company is the growing and
exporting of roses.

Interim Report
Chairman's statement
I am pleased to report that the Group profit before tax from continuing
activities for the half year ended 30 June 2006 amounted to #1,554,000, almost
50% higher than in the same period last year.
Profits from the food group increased by 35%, boosted by higher tea prices, that
have increased by an average of 19% compared to June 2005. The Malawi tea
estates made the largest contribution to Group profits. Eastern Highlands, the
Zimbabwean subsidiary, continued to improve, with market exchange rate movements
running ahead of inflation.
Khal Amazi, the group's Zambian rose grower, increased exports by 39% to 47
million stems in the first half, as it continued to improve and integrate the
rose business it acquired early in 2005. We have expanded this business again,
by buying the next door neighbour, Sunrose Ltd, which has 6ha or greenhouses
producing roses.
Jensen Group, in which PGI acquired an 80% interest in 2005, has expanded
considerably with the closing (at US$101 million) on 31 July 2006 of a new
property fund. The fund, which has been established in the Cayman Islands, is
managed by Jensen Group and will invest in real estate opportunities in St
Petersburg as well as in an identified property, Sestra River Developments.
Sestra River owns a 14 hectare plot of land and buildings which it has acquired
from Sestroretsk Instrument Works, the oldest factory in St Petersburg. The plan
is to develop Sestra River into a mixed-use project to help revitalise
Sestroretsk, one of St Petersburg's best known suburbs. Jensen will be paid an
annual management fee of 2%, which will significantly increase its contribution
to the Group in the second half of the year.
Chillington Manufacturing, the Group's wheelbarrow manufacturer, had another
disappointing result for the half year due to continuing weak demand that
affected the major DIY retailers. The business, which has lost money for several
years, was sold in July 2006 for a total consideration of just under #1 million.
About half of this is deferred and will be paid between now and December 2008.
This disposal completes the programme of selling non-core businesses. The Group
is now focused on the food operations in southern Africa and (through Jensen)
its property investment management and development in Russia.
Following the rights issue of ordinary shares in 2005, the Group's main
borrowing is the #7.8 million convertible loan stock. The regular annual date
for conversion of this stock is 31 July; but after consultation with the
Trustees, another conversion date of 31 October 2006 has been added. If the loan
stock is not converted on that date into ordinary shares of 25p each, it will be
repaid at par on 31 December 2006.
Because the food business is so seasonal, it is always difficult to predict how
the Group's results will turn out for the full year. However, tea prices remain
firm, at roughly where they were in the first half. Exchange rates in Zimbabwe
are continuing to run ahead of inflation, rose production in Zambia will benefit
from the recent acquisitions, and the contribution from Jensen will be boosted
by the new fund.
When the interim results for last year were announced, we stated that in view of
the seasonal nature of the food group businesses, the Board would consider
declaring dividends only at the half-year. Subsequently, a dividend of 0.25p was
paid which was the first dividend since 1996.
It would have been the Directors' intention to declare a dividend in respect of
the half year to June 2006. Unfortunately, the Board has recently been advised
that under the current interpretation of the provisions of IAS 19 "Employee
Benefits" the group retirement benefit liabilities of #3.8m at 30 June 2006
should be recognised as a liability of the parent company. In previous financial
statements these liabilities were recognised only on the consolidated Group
balance sheet.
Including these liabilities in the company's own individual balance sheet will
result in a deficit on its profit and loss account reserve. Under the provisions
of the Companies Act 1985, the company is permitted to pay dividends only if it
has sufficient distributable reserves.
The Directors are therefore considering undertaking a process to eliminate the
deficit. This would involve the cancellation of the company's share premium
account, which would result in the amount currently standing to the credit of
that account becoming a distributable reserve. This proposal would require
shareholders' approval and sanction by the Court. If the decision is made to
implement this plan, details will be circulated to shareholders in a few weeks'
time.
Assuming that such a process were successfully implemented, it would then be the
Board's intention to consider the payment of a dividend based on the Group's
current financial performance.

1. Corporate information
PGI Group Plc is a public limited company incorporated and domiciled in the
United Kingdom, whose shares are publicly traded. The principal activities of
the Company and its subsidiaries ("the Group") are described in Note 3.
2. Basis of preparation and accounting policies
The interim condensed consolidated financial statements for the six months ended
30 June 2006 and 2005 are unaudited. They have been prepared in accordance with
International Accounting Standard (IAS) 34, Interim Financial Reporting, and on
accounting bases and policies consistent with those used in the Annual Report
and Accounts for the year ended 31 December 2005. The comparative figures for
the year ended 31 December 2005 are an extract from the full accounts for the
year, on which the auditors have made a report under Section 235 of the Company
Act 1985. These accounts have been filed with the Registrar of Companies. The
audit report was qualified in respect of the accounting for the results of its
operation in Zimbabwe which is not fully in accordance with the provisions of
IAS 29 'Financial Reporting in Hyperinflationary Economies'. It did not contain
a statement under Section 237(2) of the Companies Act.
3. Segmental reporting
The Group's primary reporting segments are the following business sectors:
Food group - Tea, , export roses, macadamia nuts and vegetables.
Investment property management - Properties in St. Petersburg, Russia.
The manufacturing segment has been classified as a discontinued operation for
the six months ended 30 June 2006 and comparative periods (see Note 5).

During the six months ended 30 June 2006, a decision was made by the Board to
dispose of Chillington Manufacturing, a division of P&G Industries Plc.
Chillington Manufacturing manufactures wheelbarrows in the United Kingdom and is
a separate business segment of the Group's operations. At 30 June 2006 its
assets and liabilities have been classified in the balance sheet as a disposal
group held for sale. On 31 July 2006, the Group has entered into an agreement to
sell Chillington Manufacturing for a total consideration of #936,000 of which
#500,000 is on deferred terms.

5. Discontinued operations continued
The results for Chillington Manufacturing have been classified as discontinued
operations for the six months ended 30 June 2006. In accordance with
International Financial Reporting Standard 5, Non-current assets held for sale
and discontinued operations, adjustments have been made to the originally
reported comparative income statements to classify Chillington Manufacturing as
a discontinued operation for the six months ended 30 June 2005 and the year
ended 31 December 2005.

7. Related party transactions
a. Two Russian companies owned by a director, Mr S. W. Wayne, provide
services to subsidiary companies of Jensen Partners LLC, a subsidiary of PGI
Group Plc, and the property funds they manage. These Russian companies are not
designed to make profits but to reallocate expenses between the various
entities. The amounts charged to a subsidiary of Jensen Partners LLC and the

8. Contingent liabilities
There has been no change to the claim made by PT Shamrock Manufacturing Corpora
in the amount of approximately #16.5 million as reported in Note 28 to the
audited financial statements for the year ended 31 December 2005. The directors
are now legally contesting this claim.
9. Events after the balance sheet date
In July 2006, the group acquired 100% of the voting shares of Sunrose Limited, a
company incorporated in Zambia, for a total consideration of US$1.74 million
(#0.93 million). The principal activity of the company is the growing and
exporting of roses.

PGI Group plc ("PGI" or the "Company")
12 per cent . Convertible Unsecured Loan Stock 2006 (the "Loan Stock")
PGI Group plc announces that the final conversion rights for the outstanding
Loan Stock, as detailed in the circular published by the Company on 15 September
2006, closed on 31 October 2006.
Valid conversion notices have been received in respect of £7,508,030 nominal
Loan Stock from Loan Stock holders, which represents an aggregate take-up of
99.63 per cent. of the outstanding Loan Stock.
The Law Debenture Trust Corporation p.l.c has exercised its rights under the
terms of the Loan Stock trust deed to exercise all conversion rights for those
Loan Stock holders who have not converted, with the net proceeds being for the
benefit of those Loan Stock holders.
Accordingly, £27,779 nominal of Loan Stock has been converted into 111,116 shares
and sold in the market at 45 pence per ordinary share. All of these ordinary
shares have been acquired by Nicholas Roditi, one of PGI's Non-Executive
Directors.
Following this share purchase, and conversion of Loan Stock, the Directors'

12 per cent . Convertible Unsecured Loan Stock 2006 (the "Loan Stock")
PGI Group plc announces that the final conversion rights for the outstanding
Loan Stock, as detailed in the circular published by the Company on 15 September
2006, closed on 31 October 2006.
Valid conversion notices have been received in respect of £7,508,030 nominal
Loan Stock from Loan Stock holders, which represents an aggregate take-up of
99.63 per cent. of the outstanding Loan Stock.
The Law Debenture Trust Corporation p.l.c has exercised its rights under the
terms of the Loan Stock trust deed to exercise all conversion rights for those
Loan Stock holders who have not converted, with the net proceeds being for the
benefit of those Loan Stock holders.
Accordingly, £27,779 nominal of Loan Stock has been converted into 111,116 shares
and sold in the market at 45 pence per ordinary share. All of these ordinary
shares have been acquired by Nicholas Roditi, one of PGI's Non-Executive
Directors.
Following this share purchase, and conversion of Loan Stock, the Directors'

Continuing operations revenue was 17.4 mln for the year compared with 13.7 mln a year earlier.
During the year the Food group performed well, with operating profits up by 75 pct. The group said its tea estates were again the most profitable operations. Average tea prices were 22 pct higher than in 2005, and the volume of tea production rose by 23 pct.
In addition to tea, the Malawi estates have slowly been developing 700 hectares of macadamia trees.
PGI said Khal Amazi, its Zambian rose grower, increased production to 104 million stems last year, as it continued to improve and integrate the greenhouses bought in 2005.
The board said the outlook for 2007 is encouraging. Tea prices so far have been above their five year average, and production is similar to what was achieved in the first few months of 2006.

will build approximately 135,000 square metres of mixed-use space. The property

currently the home of the Governor of Saint Petersburg, Valentina Matvienko.
For management of the Fund, Jensen Group receives a management fee on committed
capital of 2% and will receive a 20% carried interest on all distributions made
after the investors receive their investment capital back plus an 8% preferred
return.
Jensen also manages Sestroretsk Instrument Works, a 13.1 hectare territory with
three principal businesses: a real estate business, a heating plant, and a
machine tool works factory. Jensen is currently in the process of expanding and
renovating the primarily industrial and warehouse real estate while it
rationalizes the other two operational businesses.
Since 1994, Jensen has invested eight smaller funds which it continues to manage
and from which it receives management fees and carried interest as compensation.
These funds comprise residential, commercial and retail properties in the heart
of Saint Petersburg along the City's main thoroughfares and canals.

Chairman's statement
The Group profit before tax, biological asset and hyperinflation adjustments in
the half year to 30th June 2007 was £1,863,000, compared with £1,449,000 in the
half year to June 2006.
We have continued the disclosure we introduced at the year end of displaying the
biological asset and Zimbabwe hyperinflation adjustments as a separate column in
the profit and loss account. For the reasons I gave in my Chairman's statement
for 2006, shareholders are again urged to view these adjustments with caution
when assessing the Group's financial performance. Including these adjustments,
the Group profit before tax was £2,878,000 (half year to June 2006 £2,882,000).
A major reduction in Group borrowings was made last year when all of the £7.5
million of loan stock was converted into ordinary shares. This considerably
reduced the net interest cost, which was down to £246,000 in the half year to
June 2007 from £763,000 in the comparable period in 2006.
Profits for the Food group were down 6%. Tea production was stable, though a
combination of lower tea prices and cost inflation has squeezed margins.
The perishable businesses in Zambia recorded strong improvements. The rose
company, Khal Amazi, shipped 67 million stems in the first six months, a 45%
increase on the same period in 2006. The vegetable business has concentrated on
increasing pea production to satisfy the strong seasonal demand in Europe.
The Malawi macadamia cracking factory has operated for the first time, and
performance has been in line with expectation. With our maturing nut orchards,
we expect this to be an increasing contributor to profits.
Eastern Highlands, in Zimbabwe, is still facing difficult conditions. Although
it maintained its tea production, quality was adversely affected by innumerable
interruptions to the power supplies. Inflation and movements in the market
exchange rate have soared so much that it is impossible to track the true
financial performance of this business.
Following Jensen's successful raising of a new fund (Jensen Group I Limited
Partnership 'JGILP') in July 2006, I am pleased to report that it has now
effectively allocated the entire fund to investments in and around St Petersburg
. These investments have been made in four projects, three of which are detailed
in the Review of Activities for 2006. The fourth and final investment, made in
July 2007, was the acquisition of a portfolio of 12 properties in central St
Petersburg. The current leases of the properties are less than one year. The
intention is to restructure the leases and refinance the investment with medium/
long term bank loans. We are now considering the launch of a new fund.
The Food group businesses are seasonal, so predicting the Group's results for
the year before the new season begins is always difficult. Nevertheless, based
on the assumption that crops, prices and inflation/exchange rate movements
continue at current levels, we anticipate a satisfactory outcome for the full
year.
The Board will consider making a dividend payment when the full year's results
are available.

The investment story behind PGI very much lives off the unique set of characters involved with this company, especially Nick Roditi. Because of his exposure in the media (and equally, his efforts to stay out of the media limelight as much as is possible), Roditi certainly is the most notable person within PGI Group.
However, it is equally worthwhile watching how the executive team is taking shape.

He joined last November; his responsibilities include fundraising; and he raised $3bn for his previous employee. If anything, here is a new Jensen employee who has experience with raising large sums of money.
The PGI share price has in the meantime edged up to just under 50p. Could Mr Aleynik be the missing ingredient for a potent mix?

How can you make money out of the current agriculture boom? No easy question this, from the point of view of the UK stock market with its scant sector representation. Hence the sudden emergence from obscurity of PGI Group, capitalized at £55 million. In theory Asia-focussed PGI Group is hitting lots of the right buttons – production of tea, flowers, nuts and vegetables. Practice is a little different, as creating profits in the developing world is by no means easy. Overshadowing the company is the fear that its tea operations at in the Eastern Highlands of Zimbabwe could be compulsorily transferred by the government to indigenous Zimbabweans.
Operating there is extremely difficult. According to chairman and former Bank of England governor Rupert Pennant-Rea, “general economic malaise and soaring hyperinflation have made it impossible to recruit enough labour. With such severe inflation - officially recorded at 66,000 per cent at the end of 2007 - and large but unpredictable movements in the market exchange rate, it is impossible to track the true financial performance of this business. In the circumstances, it is a great credit to the local management that tea production declined by only 5 per cent last year”. He continues: “We have started the current year with a mixed performance. Our tea businesses have benefited from higher tea prices and good growing conditions, but in Zambia our estates have suffered from exceptionally high rainfall that has held back rose production”.
Another difficulty is that not everyone likes PGI’s other major interests - its wide diversification now extends, rather incongruously, into Russian property. So, in spite of just having announced a recovery in profits in 2007, the shares seem stuck in a trading range. They are currently around 42.75p, not spectacularly far from the 12 month high of 54p, or the low of 38.75p.
PGI Group seems more the traditional London quoted plantation group than the more recent quoted arrivals in the sector, with its narrow range of major shareholders and infrequent news. Little here to indicate that, as far as the financial markets are concerned, agriculture’s time has come. Results for 2007 showed total revenue up from £16.9 million to £18.4 million. Underlying profits rose from £1.723 million to £2.417 million. Yet that gain owed a lot to lower interest payments. Group borrowings were substantially lower, thanks to a loan stock issue of £7.5 million which was converted into shares. So, net interest payments fell from £1.252 million to £574,000. But earnings per share fell to 1.13p from 1.29p – down because of the issue of those new shares.
In the food division 48 per cent of sales was derived from tea, 39 per cent from cut flowers, nine per cent from vegetables, and four per cent from macadamia nuts. The division made an operating profit of £3.4 million on a turnover of £17.5 million. This represented a drop in profitability of ten per cent over the previous year, caused mostly by lower tea prices.
But the performance of the company’s perishables businesses in Zambia improved considerably in 2007. Rose production at Khal Amazi increased by 26 per cent as PGI successfully integrated the Sunrose business acquired in 2006. And the vegetable business, Chalimbana, had its first profitable year since it started trading in 2005.
Over the last year, capital expenditure was £1.9 million. That included the purchase of the freehold land of one of the rose greenhouse sites in Zambia. Of the remainder the majority was spent in Malawi on new fields and investments in factories to improve the performance of the tea business.
There was success, too at Jensen, the group’s Russian property management business. The company fully committed the US$101 million fund it raised during 2006. The entire fund is now invested in residential, commercial retail, and industrial projects in the Saint Petersburg region. In addition to the mixed-use Petrovsky Arsenal project, the fund has assembled a portfolio of high street retail assets throughout central Saint Petersburg and made several land acquisitions in the districts outside of Saint Petersburg. As regards the retail portfolio, Jensen has signed new leases or renegotiated terms with several of the existing tenants, increasing the revenue of the portfolio. Jensen’s original, smaller, funds continue to show strong growth, reflecting the buoyancy of the property market in Saint Petersburg. The results for Jensen incorporate the uplift in the value of the first fund, originally established in 1994. Given that just two years ago the company reported a loss of £555,000, it is making progress. But not enough, just yet, to set the market alight."

Charlie Ryan (Director) from that German bank is a mate of Philip Richards of RAB Capital. Panmure Gordon have set-up Steve Waynes 9.2m with RAB special Situations Fund @ 25p per share. The sp may well drop back short term when this news in an RNS but looks to be good for the medium/long term.

Wayne musste ja seine Anteile verkaufen heute wurde 7,3Mio Stück gehandelt.
Momentan würde ich bei PGI eher zukaufen und warten bis die Firma neu ausgerichtet wird.

Weiß jemand zu welchen Kursen der Swen 2004 die Aktie gekauft bzw. empfohlen hat?

Proposed cancellation of listing of the ordinary shares on the Official List
The directors of PGI Group Plc (the "Company") announce their proposal to seek shareholders' approval for the cancellation of the listing of the Company's shares on the Official List and of their trading on the London Stock Exchange and for the re-registration of the Company as a private limited company on the delisting taking effect.
The Company's ordinary shares have been traded on the London Stock Exchange since 1984. The Company's aim has been to generate shareholder value by developing the group's businesses and this continues to be the Company's aim today. However, due to a number of factors, including the relatively small total market capitalisation of the Company, the small free float, the limited trading volumes in the Company's shares and the costs of compliance with the Listing Rules, the directors have come to the view that it is no longer in the Company's best interests to maintain its Listing.
It is the directors' intention to convene a General Meeting at which the necessary resolutions to effect the delisting and re-registration as a private company will be put to the members of the Company immediately after the Company's Annual General Meeting, which is due to be held on 23 June 2009.
The directors of the Company have explored the possibility of the Company or the directors offering to acquire the shares of members who would not wish to continue to hold them after the cancellation of the listing but, as a result of a number of regulatory requirements, the cost of doing so would have been prohibitively high to the Company. Nonetheless, shareholders who wish to offer their shares for sale in the market prior to cancellation of the listing will continue to be able to do so.
The directors will shortly post a circular to shareholders setting out further details of the above proposals and convening the required General Meeting.

The Group profit for the year, before tax, biological assets and hyperinflation adjustments, was £2,008,000, compared with £2,417,000 for 2007.
The adjustments for the biological assets and hyperinflation in Zimbabwe are shown in a separate column. For the reasons I explained in my Chairman's statement when this presentation was introduced, they should be viewed with caution.
Including these adjustments resulted in a Group loss before tax of £1,606,000 (2007: Group profit before tax £3,618,000)
The Food Group did well, improving its operating profit despite unusually dry conditions at the end of last season and large increases in input costs. The Malawi tea business benefited from much higher tea prices.
Khal Amazi, our Zambian flower business, again increased production, to a total last year of 138 million stems. It maintained its profitability despite suffering some flood damage to the estate infrastructure in the middle of the year.
Operating conditions in Zimbabwe were extremely difficult throughout the year. Inflation reached unprecedented levels and it became impossible to recruit enough labour. The estate produced barely half the volume of tea it had achieved in 2007.
Jensen, the Group's Russian property management and investment operation, started the year reasonably well, but was then hit by the rapidly deteriorating market conditions in the second half.

We are recommending an ordinary dividend of 0.25p per share (2007: 0.25p) payable on 5 August 2009 to Shareholders on the register on 1 May 2009.
The current year has started well, and rainfall in Southern Africa has been more or less normal. Tea prices appear to have stabilised at levels well above the average of the past five years. We are also benefiting from the strength of the US dollar, with all our overseas earnings denominated in that currency or currencies pegged to it. If these factors continue, we should produce a satisfactory result in 2009.
