Kanakaris Wireless Signs Letter-Of-Intent for Up to $3 Million in Financing

NEWPORT BEACH, Calif.--(BUSINESS WIRE)--Sept. 4, 2002--Kanakaris Wireless (OTC BB:KKRW - News) has signed a non-binding letter-of-intent for up to $3 million of financing from New York-based investment funds.

The company anticipates closing on $600,000 of the investment in the near future. The appropriate documents will be filed with the Securities and Exchange Commission.

"In a tough economic environment, Kanakaris Wireless is pleased to be in the process of obtaining additional financing to support our content distribution and video distribution businesses which include Cyber+Mortar(TM) features," said Alex Kanakaris, President and Editor-in-Chief of Kanakaris Wireless.

"We will continue to expand our operations and seek suitable potential acquisition candidates," he added.

"On the Internet, we have greatly enhanced our movie, book and pop culture content distribution Web site, which now offers over 400 movies which can be watched online by our paid subscribers in an improved Click and View movie player.

"Our subscribers can also view our Internet TV station 24/7 with regularly scheduled programming. In addition, we are introducing hundreds of DVD and VHS titles which we plan to make available at a 25% discount for Kanakaris.com paid subscribers as we develop Kanakaris.com into the Goliath of movie Web sites.

"To brick and mortar video stores and national retailers, we are distributing VHS and DVD titles through our recently acquired Fast Forward Marketing business. This includes non-exclusive distribution of major video titles and exclusive distribution of proprietary content. In connection with the letter-of-intent regarding new financing, Kanakaris Wireless and Alliance Equities have mutually agreed on Sept. 3, 2002 to exercise a 30-day cancellation clause in their line of credit agreement. As of Sept. 3, 2002, Kanakaris Wireless owed Alliance Equities $15,000 plus applicable interest under the line of credit, not including other amounts owed to Alliance Equities under its outstanding convertible debentures.
