Denkanstoesse
Fuer den neuen Investor eine Reihe von Denkanstoessen zu den Chancen und auch
zu den Riskiken die bei Hartcourt bestehen.
D1:
Bei einem Kurs von 15$ betraegt die Boersenkapitalisierung $315 Millionen. Dann schaue
man sich die Substanz bei Hartcourt an:
- aktuelle Beteiligungen
- im chinesischen ISP Markt ist Hartcourt an 2 von insgesamt 4 chinaweit gueltigen ISP Lizenzen
Beteiligt: zum einen im Sinonet-Jointventure mit IPC (fuer Privatkunden) und zum anderen
bei Innostar (ISP und IP-Phone Services). Und dies in einem absoluten Wachstumsmarkt.
- die Marktstellung im Markt fuer Onlinetrading und Finanzinformationen (Sinobull.com)
und starke Partner (HuaXia Info, Sinobull auf Settopboxen). Wie interessant diese fuer
Banken ist, zeigen Angebote fuer Mehrheitsbeteiligungen von 80% an Sinobull.com von
US-Unternehmen.
Dann vergleiche HRCT mit den (teilweise Uebertriebene) Boersenbewertungen bei anderen Unternehmen
wie Beispielsweise China.com, PCCW (CMGI-ASIA) oder CASH und vergleiche die Substanzwerte (die Beispiele
sind bewusst gewaehlt): Welches der 3 Unternehmen ist in Relation zur Substanz ueberbewertet,
welches bringt 20 Mehrheitsbeteiligungen im asiatischen Raum an die Boerse (aber eben nicht
festlandchina, da dort max 49% erworben werden dueften) und welches der 3 unternehmen hat
zwar $1 Millarde HK$ fuer Beteiligungen, nutzt diese aber eher maessig? Nach diesen Vergleichen
schaue man sich nochmals die Marktpositionierung von Hartcourt in den Geschaeftsfeldern
Financial Services/Onlinebroking (Sinobull.com) und ISP/IP-Phone Services (Innostar, Sinonet)
an und vergleiche mit der Boersenbewertung der genannten Unternehmen.
Es duerfte dieses Jahr eine Neubewertunng von Internet-Aktien im Rahmen eines Crashs
anstehen. Geringernen Schaden nehmen duerften Aktien wie HRCT deren Marktkapitalisierung nicht
ueberhoeht ist, und die sich durch vorhandene Substanz rechtfertigen laesst.

Hartcourt kauft zwar Sahnestuecke, die Gewinne einfahren, dabei verfuegt HRCT aber nicht ueber
grosse Summen um Einkaeufe zu taetigen wie etwa andere Unternehmen wie CMGI Asia oder CASH,
andererseits hat Hartcourt mit wenig Geld wirkliche Sahnestuecke gekauft. Erste Einkaeufe

per Aktientausch realisiert. Einerseits wird Hartcourt dadurch abhaengig, andeerseits sind
unter Umstaenden Stuecke in Umlauf (mehr Liquiditaet) und die durch Aktientausch erreichten
Beteiligungen stellen Aktivposten dar. Die andere Moeglichkeit sind Kapitalgeber wie Swartz
Equity oder Pyr Management, die sich am Risiko durch Bereitstellung von Kapital beteiligen -
im Tausch gegen die Option gewisse Mengen an HRCT-Aktien zu gewissen Preisen kaufen zu koennen.
Andere Unternehmen wie zB CASH sitzen dagegen bereits auf gutgefuellten Kriegskassen, die
es ihnen ermoeglichen ohne Blick auf Finanzierungsfragen Beteiligungen zu taetigen.
Vor diesem Hintergrund sind die Beteiligungen die Hartcourt mit wenig Geld erreicht hat,
beeindruckend, vor allem weil diese Beteiligungen Gewinne erwirtschaften.
Wer sich kritische Gedanken machen will, vergleiche mal in welchen Verhaeltnis Beteiligungspreis
und Nutzen fuer Hartcourt einerseits bei festlandchinesischen Beteiligungen wie UAC und anderer
seits bei US-Technologiebeteiligungen wie aktuell eMPACT stehen. Inwiefern ist der vergleichsweise
hohe Preis (eMPACT is projected to generate revenues greater than $7 Million in 2000.) fuer die
Unternehmen die Hartcourt in seiner *Technology Group* gruppieren will, um den chinesischen
Beteiligungen erstklassige Technologie zu ermoeglichen. UAC hatte zb $4 Millionen an revenues
1998. Ein Vergleich zwischen Aepfel und Birnen? Oder ist der Wert von UAC als Teil von Sinobull
in der Zukunft hoeher anzusetzen als damalige Revenues vermuten liessen? Ist der hohe Preis
fuer die Unternehmen der US-Technology Group ungerechtfertigt, oder rechtfertigt die Moeglichkeit
die chinesischen Beteiligungen und Partner auf diesem Weg mit neuester Technologie auszustatten
und gleichzeitig den US-Beteiligungen Geschaeftsfelder in China zu ermoeglichen?

Das Beteiligungsgeschaeft wird ueberlegt aufgebaut: Den chinesischen Beteiligungen Hartcourts
werden US-Technologiebeteiligungen zur Seite gestellt: Beispiele sind ESAT-->Innostar
und Streamingasia-->Sinobull.com. In china duerfen auslaendische Gesellschaften wie Hartcourt
nicht mehr als 49% an festlandchinesischen Unternehmen erwerben. Sinobull ist das erste
Beispiel, wie auslaendische Gesellschaften vorgehen. Die Synergien aus Minderheits-Beteiligungen
werden gesammelt, und unter dem Dach von Sinobull.com werden diese an die Boerse gebracht.
Aufgrund des 49%-Limits mit dem sich die chinesische Regierung gegen Einkaeufe der Auslaender
zur Wehr setzt, sind auch Mittbewerber wie CMGI Asia (CMGI, PCCW - vorher bestand schon
zwischen SSI, Compaq und CMGI eine Gruppe auf der Suche nach festlandchinesischen Beteiligungen)
darauf angewiesen, nach diesem Modell vorzugehen.
Die chin. Regierung muss fuer Sinobull.com eine Lizenz erteilen - im Gegensatz zu anderen
China-Playern die Aufgrund der kuerzlichen Internet-Beschraenkungen Probleme haben, hat
Sinobull gute Chancen die Lizenz zu bekommen, denn die chinesische Regierung hat INteresse
daran den heimeischen Aktienmarkt stark genug zu machen, um vielleicht irgendwann bei
der Oeffnung der WTO schon auf offenem Markt bestehen zu koennen. Genau bei diesem Prozess
ist Hartcourt behilflich. Und im Gegensatz zu den Mittbewerbern laufen die HRCT-Angebote
ueber Intranet (ChinaPac-Network), dh es bestehen keine Uebertriebenen Aengste seitens
der Behoerden.
D4:
Auch wenn es so aussieht, als ob schnell Geld zu machen waere, koennen durchaus
Verzoegerungen auftreten. So waere es zB moeglich, dass die Sinobull-Lizenz sich verzoegert
oder das Nasdaq-Listing von Hartcourt sich verzoegert. Hierauf koennten fallende Kurse
folgen. Zu den Risiken die bei Hartcourt bestehen, sollte man unbedingt den entsprechenden
Teil im 60-seitigen SEC-Filing (zum Thema Pyr-Management) lesen, wo die moeglichen
Risiken von Hartcourt selbst dargestellt werden. Bevor man sich die HRCT-Zukunft zu rosig
ausmalt, sollte man diesen Teil nochmals lesen.

Solange HRCT noch ein OTCBB-Stock ist, koennen im Zuge der naechsten Wochen noch
Kursschwankungen durch Spekulanten auftreten. Hartcourt hatte bereits 2 mal Kurshalbirungen
innerhalb eines Tages, womit alle die fatelerweise einen Stoploss gesetzt hatten, bestraft
wurden, da sich der Kurs beidemale innerhalb von Stunden Intraday erholte. Im Moment sind
wir sehr stabil, aber im Zuge des Nasdaq-Gangs duerfe Hartcourt nochmal fuer Daytrader
interessant werden die Messageboards mit allen Moeglichen Contra-Arumenten fuellen werden.
Eine fundierte eigene Meinung hilft dann um ruhig zu bleiben. In OTCBB-Stocks duerfen
die US-Marketmaker auch selbst mit verdienen, wodurch es schon zu seltsamen Kursfestsetzungen
waehrend der US-Handelszeit gekommen ist - auch dadurch solllte man sich nicht beunruhigen
lassen, sondern auf die Fakten vertrauen.

gebotenen Fragen und Antworten sehen. Beim Durchlesen dieser Fragen kann man versuchen, das

Phan in offenem (manche meinen: zu offenem) Ton ueber den Stand der Dinge informiert.

keine Experten-Analysen verfuegbar sind, die uns bestaetigen, dass das Gesamtbild zusammenpasst
und gewissen Wert besitzt. Wer aktuell einsteigt spekuliert gerade auf diesen Wert, und wird
dadurch bekraeftigt, dass es bereits abgelehnte Uebernahme-Versuche sowie Angebote hoher
Meheheitsbeteiligungen gab, dh Institutionelle wollten das Gesamtbild bereits kaufen.
Die jetztigen Investoren gehen davon aus, dass wenn die Institutionellen endlich an der
Nasdaq kaufen duerfen, der Kurs entsprechend steigt.
Um sich in die Pro und Contra Argumente einzulesen, ist auch das Lesen der
*Auf zu neuen Ufern*-Threads sinnvoll.
Danach duerfte man sich ueber ein Nicht-Investment oder Investment klarer sein, und ruhiger
schlafen, auch wenn der Kurs eine Ruhepause einlegt oder wegen Verzoegerungen faellt.

Dear Shareholders:
As I prepare to leave for China this week, I would
like to take the opportunity to update you on the daily
progress we are continuing to make here at Hartcourt.
1. Investment in eMPACT:
Besides the talent that can be seen in these energetic
and highly motivated techies, the eMPACT team has
tremendous experience in building and operating central
server networks to host Internet sites for medium sized
E-commerce companies. Their services range from data
storage and site security to cash and account
management. They will be an important part of a joint
venture Hartcourt is setting up in China with a major
Chinese web management company to host B2B E-commerce
and B2B auction business. The business model is similar
to Exodus or HP in the US.
2. The Ernst & Young Report:
We have received the first draft and are meeting in
Hong Kong next week to fine tune all the details. Once
it is officially issued, we will be able to complete
the underwriting agreement for the IPO of Sinobull.com
and the inclusion of the American partner.
3. The CEO and Director Positions:
We are narrowing down our CEO choice to 2 highly
recommended candidates and anticipate making the final
decision within the next 2 weeks. As for Directors, we
are in contract negotiations with several candidates
and will issue a press release when all details are
finalized.
4. Hartcourt`s Nasdaq Listing:
The Nasdaq has sent us a letter acknowledging receipt
of our application with assurances to expedite the
evaluation process as much as possible; but overall
they are backlogged with filings, generally incurring
an additional 10-15 day delay.
5. Public Relations:
We are waiting for the signing of the IPO underwriting
agreement before launching our big media blitz. A large
national investor relation firm will organize it; and
this event will reflect the new status of Hartcourt
among the big boys. A road show for Sinobull will also
be included.
6. Those that would like to help and volunteer:
During the meetings in Long Beach and New Jersey, many
of you approached us and offered your time and services
on a volunteer basis. I am working with a few
executives to organize and maintain our sense of
community that we have built within Hartcourt. Those
who wish to participate would help Hartcourt management
by researching opportunities, communicating and
informing others, keeping Hartcourt sharp on the
technological edge, and exchanging cultural and social
ties among shareholders, employees, and customers.
7. Medium to interact with Executives:
We are considering the creation of a "chat room" for
serious business discussion, to foster ideas and
critique them positively. From time to time, management
executives will also participate in discussions and
answering inquiries. Usage will be restricted to
participants with a verifiable address and phone number
to retain accountability. The intention of this medium
is to foster better understanding of Hartcourt to all
interested parties.
8. Other acquisitions:
As we are completing the S3 filing for our $35 Million
financing, we shall have the opportunity to invest and
acquire at least three more companies in the coming
months. They should propel Hartcourt into a leading
position among the Chinese Internet companies, out
pacing the rest of the field in revenues.
9. Trip to Germany:
Mr. Jack Westfield will arrive in Germany to meet with
strategic partners. We anticipate holding an informal
meeting in Dusseldorf on March 12th, and possibly again
on the 13th. We will be posting details as they become
available, and you may also contact Mr. Frank Scheunert
as the event approaches.
All in all, our efforts continue to be rewarded as
we build and assemble the components for Hartcourt`s
goal to shape the face of the financial, e-commerce and
telecommunications industries in China. We are moving
forward on this exciting journey; and I continue to
enjoy our sense of camaraderie as we build this

to leave our legacy hereafter. We can by building the

Erstmal zum *stark in Hartcourt investiert*.
Natuerlich wollen wir hier alle den Erfolg sehen, weswegen diejenigen
die Hartcourt im Depot haben, auch das gewisse Risiko des Investments
auf sich genommen haben. Die Marktpositionierung in den beiden Standbeinen
ISP/IP-Phone Services ist gut bis sehr gut, wenn man sich vergleichsweise
den einen oder anderen Wettbewerber anschaut. Die aktuelle Marktkapitalisierung
ist mit 300 Millionen $ recht niedrig, eben auch deshalb weil wir a)
noch kein Nasdaq Wert sind und b) wir noch nicht wirklich in trockenen
Tuechern sind. Dh bei guten News wie der amerikanische Parter oder
der Nasdaq-Gang kann eine gewisse Kursbewegung ausloesen, wenn diejenigen
die zwischenzeitlich verkauft haben, wieder einsteigen wollen.
Ein Indikator fuer das *Halten* von Hartcourt auch bei Herumduempeln

keine Profi-Analysen vorliegen, und Hartcourt entiwckelt sich so schnell,
dass zB die Analyse aus dem letzen Jahr schnell veraltet war.
Der Privatanleger traegt halt das Risiko fuer die Moeglichkeit,
hohen Gewinn zu machen, und muss sich mit Verlusten abfinden.
Das ist der Grund, warum HRCT so kontrovers diskutiert wird.
Zu CMGI kann ich nichts sagen da ich sie nicht habe. Was CMGI Asia
angeht, bringen die zwar 25 asiatische Mehrheitsbeteiligungen an die
Boerse, die aber im Gegensatz zu Hartcourt eben nicht Festland-China
sind. Wenn man ein Asien Depot hat, vielleicht unter dem Gesichtspunkt
denkbar.
Das Saikung-Posting beinhaltet klaerende Fragen zu einigen Punkten, und
legt nahe, sich mit eventuellen Verzoegerungen anzufreunden.

Natuerlich wollen wir hier alle den Erfolg sehen, weswegen diejenigen
die Hartcourt im Depot haben, auch das gewisse Risiko des Investments
auf sich genommen haben. Die Marktpositionierung in den beiden Standbeinen
ISP/IP-Phone Services ist gut bis sehr gut, wenn man sich vergleichsweise
den einen oder anderen Wettbewerber anschaut. Die aktuelle Marktkapitalisierung
ist mit 300 Millionen $ recht niedrig, eben auch deshalb weil wir a)
noch kein Nasdaq Wert sind und b) wir noch nicht wirklich in trockenen
Tuechern sind. Dh bei guten News wie der amerikanische Parter oder
der Nasdaq-Gang kann eine gewisse Kursbewegung ausloesen, wenn diejenigen
die zwischenzeitlich verkauft haben, wieder einsteigen wollen.

Regarding the SinoBull website it is under development and preparing itself for the launch in Mainland China, and will not be accessible until the launch date. In terms of SinoBull and the Innostar JV, it may be good to note, oresent estimates number 42 million investors in Mainland China, with a large percentage government and private companies (growing capital, hedging market trends, etc). It`s not uncommon to see very long queues going into brokerage houses which are government run with government workers lacking desire to work quickly to speed through lines (imagine the post office). Also, since the demand is so great through telephone access, even with brokerage offices housing large banks of operators, busy lines are notoriously cumbersome. After wading through repeated hours of busy signals to gain access, successful phone calls to the broker are mechanically switched off after 60 seconds to help facilitate the sheer volume of calls. Hartcourt envisions not only providing nationwide online stock trading access for individual users through Hua Xia Securities, but enabling other brokerage houses as well. Ich wette übrigens dagegen, daß das NASDAQ-Listing keine Kursreaktion bewirkt. Wenn der Termin bekannt gegeben wird, sollte der Kurs das erste mal reagieren, dann beim Listing und dann 1 Monat später, wenn die erste Analyse eines größeren Investmenthauses bekannt gegeben wird. Und nicht wundern, wenn die dann rein zufällig an Hartcourt beteiligt sind.

Dr. Phan will continue as the Chairman, but be more involved with operations in Mainland China and Hong Kong, as well as developing additional strategic alliances. His presence is also important in working with government entities and policy.
The issue of integrating all the component companies under SinoBull will be a significant task, and receives the utmost priority. As such, the CEO`s of all the companies will form the excutive branch of SinoBull. Though not publicly available as to which it would be, but one will also be the CEO of SinoBull. Financial Telecom will be the primary integration body, assuming the persona of SinoBull, with component arms integrated as corporate divisions. As you may know, I just returned from China. It was a week well spent, we completed many important tasks as we continue to make good progress. I would like to give you a brief summary on our activities.
First of all, executives of Sinobull.com and a few investment bankers, together with the Ernst &Young team, met at the majestic board room of the E&Y headquarters in Kowloon for 2 days to work on finalizing portions
of the IPO process. We worked on the final draft of the E&Y report, particularly on the financial figures and future projections. We interviewed the final 3 CEO candidates and met with prospective Board members. We also went into details on the challenges facing us, from competitors to new market conditions and normal legal issues with the IPO.
I am happy to report that everything worked out well, as anticipated and Sinobull.com is on its way to becoming the first online trading and financial portal IPO of Mainland China. We also had a good laugh at the
buying frenzy surrounding the IPO of Tom.com in Hong Kong. Tom.com reported a revenue of about US$400,000 and a net loss of US$17 Million in 1999. Yet, the market capitalization of Tom.com reached US$2.5 Billion and kept climbing. By comparison, the 5 companies comprising Sinobull.com had consolidated revenues of US$6 Million and a net profit of US$42,000 in 1999.

Third, we understand the importance of infusing new talented and energetic management into the Hartcourt team to bring us to the next level. The CEO and CTO positions have been filled and an announcement will be made once the Board approves the compensation packages. We are excited about the abilities and experience of these new executives and believe that their talents will help make Hartcourt grow faster and better.

ohne Grund. Um mal im Bild zu bleiben, hier einige Szenarien,
denen wir auf unserer Reise zu neuen Ufern begenen koennten.
a) Flaute
Kapitaen Phan hat alle Segel gestezt, aber es findet sich kein Wind.
Einer der Haefen auf unserer Reise zu neuen Ufern ist das Nasdaq-
Listing. In diesem Hafen nehmen wir neue Investoren an Board, was
unseren Kurs nicht unwesentlich beinflussen duerfte. Die Flaute
wird dadurch ausgeloest, dass das Nasdaq-Listing in Bearbeitung ist.
Da die Bearbeiter des Listings viel Arbeit haben, wurde
Phan hat keinen Einfluss darauf wann das Listing fertig bearbeitet
wird, genausowenig wie ein Kapitaen in der Flaute den Wind herbeirufen
kann.
b) Haefen
Wir steuern verschiedene Haefen an, wozu neben dem Nasdaq-Gang auch
die Sinobull-IPO im Sommer gehoeren duerfte. Hartcourt ist aehlich
CMGI eine Beteiligungsgesellschaft, die den Wert ihrer Beteiligungen
auch durch IPOs steigert. In diesen Haefen duerften wir neuen Investoren
an Bord nehmen was unseren Kurs beinflussen wird.
c) Wert der Ladung
Wie will man eine Ladung beurteilen, in denen so viel Zukunft steckt?
Entweder durch jemanden, der den Wert einer Ladung einschaetzen kann,
oder durch den Vergleich mit Schiffen aehnlicher Ladung in
aehnlichen Gewaessern.
c.1)
Jemand, der den Wert der Ladung einschaetzen kann, ist Merill Lynch,
die angeboten haben, 85% von Sinobull zu kaufen, und diesen Angebot
aufrecht erhalten. Kapitaen Phan lehnt dies aber ab, da er weiss,
sobald Merill Lynch das Steuer bei Sinobull uebernimmt, die Chinesen
ihre Haefen sperren wuerden. So mancher Deal wuerde Platzen, zB
die Deals mit der chinesischen Armee, die aufgrund politischer
Beschluesse alle ihre Firmen verkaufen muss. Hier sind Schnaeppchen
zu machen - allerdings nicht fuer Merill Lynch. Genauso bei Sinobull.
Wollte Merill Lynch das Steuer uebernehmen, so waeren das 85% an
einem chinesischen Unternehmen - was die Chinesen nicht erlauben -
womit der Deal hinfaellig waere. Aus diesem Grund sucht Hartcourt
einen amerikanischen Partner fuer Sinobull. Ein chinesischer Partner
ist zB HuaXia (die, die den Settopboxen-Deal mit Legend/Microsoft
abgeschlossen haben, und auf denen Sinobull das Onlinebrokingportal
ist.)
HuaXia ist unter den Top3 der chinesischen Banken, und der
amerikansiche Partner findet sich unter den Top3 der amerikanischen
Onlinebroker, also ein amerikanischer Partner, der im Gegensatz zu
Merill Lynch bereit ist, Minderheitsbeteiligter zu sein, und der eben
auch den Chinesen nicht das Gefuehl vermittelt, das Sinobull eine
amerikanische Firma sei.

Wenn man Hartcourt und China.com als Schiffe ansieht, bietet sich
ein Wertvergleich bei der Ladung an, auch wenn diese Ladung nicht
voellig vergleichbar ist.

zeitweise gen Sueden segeln. Da wir aber zum grossen Teil lange
an Bord bleiben, duerften die aktuellen Kursschwankungen die sich
sowieso in Bereichen abspielen, in denen HRCT als unterbewertet gilt,
nicht seekrank werden lassen.
Hollin nannte diese Threads *Auf zu neuen Ufern*, und das nicht
ohne Grund. Um mal im Bild zu bleiben, hier einige Szenarien,
denen wir auf unserer Reise zu neuen Ufern begenen koennten.
a) Flaute
Kapitaen Phan hat alle Segel gestezt, aber es findet sich kein Wind.
Einer der Haefen auf unserer Reise zu neuen Ufern ist das Nasdaq-
Listing. In diesem Hafen nehmen wir neue Investoren an Board, was
unseren Kurs nicht unwesentlich beinflussen duerfte. Die Flaute
wird dadurch ausgeloest, dass das Nasdaq-Listing in Bearbeitung ist.
Da die Bearbeiter des Listings viel Arbeit haben, wurde
Phan hat keinen Einfluss darauf wann das Listing fertig bearbeitet
wird, genausowenig wie ein Kapitaen in der Flaute den Wind herbeirufen
kann.
b) Haefen
Wir steuern verschiedene Haefen an, wozu neben dem Nasdaq-Gang auch
die Sinobull-IPO im Sommer gehoeren duerfte. Hartcourt ist aehlich
CMGI eine Beteiligungsgesellschaft, die den Wert ihrer Beteiligungen
auch durch IPOs steigert. In diesen Haefen duerften wir neuen Investoren
an Bord nehmen was unseren Kurs beinflussen wird.
c) Wert der Ladung
Wie will man eine Ladung beurteilen, in denen so viel Zukunft steckt?
Entweder durch jemanden, der den Wert einer Ladung einschaetzen kann,
oder durch den Vergleich mit Schiffen aehnlicher Ladung in
aehnlichen Gewaessern.

Jemand, der den Wert der Ladung einschaetzen kann, ist Merill Lynch,
die angeboten haben, 85% von Sinobull zu kaufen, und diesen Angebot
aufrecht erhalten. Kapitaen Phan lehnt dies aber ab, da er weiss,
sobald Merill Lynch das Steuer bei Sinobull uebernimmt, die Chinesen
ihre Haefen sperren wuerden. So mancher Deal wuerde Platzen, zB
die Deals mit der chinesischen Armee, die aufgrund politischer
Beschluesse alle ihre Firmen verkaufen muss. Hier sind Schnaeppchen
zu machen - allerdings nicht fuer Merill Lynch. Genauso bei Sinobull.
Wollte Merill Lynch das Steuer uebernehmen, so waeren das 85% an
einem chinesischen Unternehmen - was die Chinesen nicht erlauben -
womit der Deal hinfaellig waere. Aus diesem Grund sucht Hartcourt
einen amerikanischen Partner fuer Sinobull. Ein chinesischer Partner
ist zB HuaXia (die, die den Settopboxen-Deal mit Legend/Microsoft
abgeschlossen haben, und auf denen Sinobull das Onlinebrokingportal
ist.)
HuaXia ist unter den Top3 der chinesischen Banken, und der
amerikansiche Partner findet sich unter den Top3 der amerikanischen
Onlinebroker, also ein amerikanischer Partner, der im Gegensatz zu
Merill Lynch bereit ist, Minderheitsbeteiligter zu sein, und der eben
auch den Chinesen nicht das Gefuehl vermittelt, das Sinobull eine
amerikanische Firma sei.

Wenn man Hartcourt und China.com als Schiffe ansieht, bietet sich
ein Wertvergleich bei der Ladung an, auch wenn diese Ladung nicht
voellig vergleichbar ist.

Chinas Regierung hat angekuendigt, dass dieses Jahr fuenf Millionen Arbeiter in der Industrie ihren Arbeitsplatz verlieren werden. Die hohe Zahl an neuen Arbeitslosen wuerde jedoch die Soziallasten der Regierung dramatische erhoehen und koennte die lebenswichtigen Reformen der chinesischen Staatsbetriebe verzoegern.
Zhang Zuoji, Minister fuer Arbeit und Soziales, sagte, dass die Entlassungen im Staatsdienst die Arbeitslosenzahl von derzeit 6,5 Millionen auf dann 11.5 Millionen erhoehen wuerden. Unabhaengige Oekonomen betrachten diese Arbeitslosennzahl jedoch noch als Untertreibung, da die 900 Millionen auf dem Land lebenden Chinesen bei der Berechnung nicht beruecksichtigt werden. Auf dem Land gelten ueber 100 Millionen Menschen saisonbedingt als arbeitslos.
Vermutlich wird sich die Arbeitsloseigkeit in den naechsten Jahren in dem Masse weiter erhoehehn, in dem chinesiche Unternehmen gezwungen sind, ihre Webttbewerbsfaehigkeit fuer die Aufnahme des Landes in die Welthandlesorganisation WTO zu staerken. Nach Schaetzungen der Weltbank sind noch bis zu 35 Prozent der 140 Millionen in den Staats- und Kollektiv-Sektoren beschaeftigten Arbeiter ueberfluessig. Die Regierung betonte, dass aus dem Staatsdienst entlassene Arbeiter entsprechende Sozaialleitungen erhalten wuerden. Da das System jedoch ueberlastet ist, erhielten 1999 bereits 700000 aus Staatsbetrieben Entlassene keine Leisutungen, so Zhang.
Sheng Huaren, Minister in der Wirtschafts- und Handelskommission, deutete an, dass sich die Reformen der chinesichen Wirtschaft verlangsamen koennten, wenn sich bisher nur punktuelle Arbeiterunruhen ausweiteten. Die Sozialausgaben Chinas werden in diesem Jahr auf 36 Mrd Renminbi veranschlagt, 110 Prozent mehr als im vergangenen Jahr.
Das Kapital, dass die Investoren nach Festlandchina pumpen, kann ja
bekanntlich auch wieder fliehen. Fuer mich ist dieses Szeario das
gefaehrlichste ueberhaupt: China bremst nicht genug und wird daher
mit WTO-Beitritt voll mit der nicht gegebenen Wettbewerbsfaehigkeit
der eigenen Betriebe konfrontiert, und muss die Beschaeftigten
entlassen. Der Investor bringt seine Investitionen in Sicherheit, und schon haben
wir haben die Fortsetzung der Asienkrise von vor 3 Jahren. Nur dass damals
die Beobachter froh waren, dass es nur die Tigerstaaten erwischte,
waehrend der Drache aufgrund eingeschraenkter Kaptialfluesse
Renminbi <-> $ nicht betroffen war. Diesmal ist der Drache mit betroffen,
und die Tiger sind keineswegs voll erholt.
Mit Blick auf Hartcourt waere es mir jedenfalls lieb, wenn sich die

Hier wie versprochen mein Bericht über das Treffen mit Westfield in D-Dorf. In einigen Punkten werde ich mich kurz fassen, weil Ihr ja auch schon alle fleißig wart. Gute Arbeit!
Es gab wie gesagt wenig News, da mir aber einige im Saal nur bedingt informiert schienen, war es trotzdem in Ordnung so. Kleiner Tipp an Frank: Wie wär`s mit der Übersetzung der Press Releases - denn einige habe offensichtlich mit der Sprache zu kämpfen. Und wenn wir schon dabei sind: Die hartcourt.de ist noch auf dem alten Stand. Programmiere doch einfach eine Weiterleitung auf die US-Seite (kann ich auch für Dich machen, wenn Du willst), dann ist sie immer aktuell.
Dann los:
Sinobull startet offiziell in 2-3 Wochen, trotzdem sind es bis jetzt schon so viele Pageviews, daß man hochgerechnet auf 4,5 Millionen/ Monat kommt, daß wäre dann etwa Platz 5 aller Seiten in China.
Alle 5 Sinobull-Partner (außer UAC, die ein Startup sind) produzieren Profite. Trotzdem mußte HRCT nur ca. 8 Mio. $ für die Beteiligungen zahlen, weil sich die Firmen durch den Zusammenschluß eine enorm gesteigerte Profitabilität erhoffen.
China ist die am schnellsten wachsende Wirtschaft der Welt. zur Zeit nutzen 10 Mio. Chinesen das Internet und die Zahl verdoppelt sich halbjährlich. Bis 2008 wäre China demnach Internet-Nation Nummer 1.
Zu den Randbedingungen in China:
- Chinesen haben ein Bedürfnis nach Glückspiel (sieht man in Hongkong wo bei Pferderennen etc. heftigst gezockt wird). In China selbst ist aber alles illegal - außer Aktienhandel.
- Chinesen sind fasziniert von Elektronik, insbes. Pager, Mobiltelefone etc.
- Telefon: In China 70 Mio. Festnetzanschlüse, aber bereits 36 Mio. Mobiltelefone
Seit 100 Jahren gab es keine komplette Revision der chin. Wirtschaft. Die Elektronik, Internet etc. geben die größte Chance seit 100 Jahren, ein industrialisiertes Land zu werden. Das weiß die Regierung und möchte deshalb diese Chance kontrolliert nutzen durch Joint Ventures von chinesischen mit ausländischen Firmen.
Innostar ist die einzige Firma mit einer gesamtnationalen Lizenz für Internet Service Providing. HRCT möchte schnell die 10 größten Städte verbinden.
Zur Finanzkraft der Chinesen in Bezug auf Internet etc.:
Das durchschnittliche Jahreseinkommen liegt bei etwa 1000$ - aber die Kosten sind auch geringer. Trotzdem ist in den Städten, insbes. bei Firmen Geld zum ausgeben vorhanden. Computer sind oft zu teuer, deshalb die Lösung mit den Settop-Boxen, denn 95% der Chinesen haben Fernsehen. 160 Millionen haben Kabelanschluß, deshalb kann man mit den Settop-Boxen nicht nur Online-Trading, sondern alle Arten von E-Commerce angehen, was HRCT tun möchte.
Es gibt 42 Mio. Brokerage Accounts in China, davon gehören 25% Firmen. Das sind potentiell schon jetzt 10 Mio. Firmenkunden, die Sinobull nutzen könnten. Es ist ein großer Bedarf nach B2B und B2C Internet da und der Markt ist profitabler als nur Aktienhandel alleine. Sinobull soll also daß E-Commerce-Portal für China werden.
Beispiel: Eine Art chin. Handelskammer, die 48000 Firmen vertritt, hat die Firma kontaktiert wegen einer gemeinsamen B2B-Plattform dieser 48000 Firmen. Auch bei z.B. nur 2% Kommission könnte Sinobull alleine durch das Volumen kräftig Profite einfahren.
Zu Sinobull:
- Ziel im Moment ist die Etablierung der Marke. Beim hochfahren der Pager soll man Sinobull satt Motorola lesen können, analog bei Palm Pilots etc.
- Die Webseite läuft prima (s. oben). Die Leute nutzen die Seite wegen des Inhaltes, den es sonst nirgends gibt. GuoMao sorgt für Infos zu Futures, Währungen etc. und HuaXia-Info für Aktieninfos. HuaXia hat 3 Top-Analysten an der Hand, wegen denen die Leute Sinobull besuchen, denn Empfehlungen und Analysen hat nicht jeder, Kurse schon. Das Konzept von Sinobull wird ähnlich Raging Bull werden.
- Das Sinobull-IPO findet im 3. Quartal 2000 statt (mit den gleichen Rechten für Deutsche Aktionäre wie für US-Aktionäre, denn "Aktie ist Aktie", Innostar ist 2001 dran (die ISP-Lizenz (s.o.) wird im Moment von Innostar auf das Konsortium übertragen). Das Sinobul-Listing soll an der NASDAQ und an der GEM in Hongkong passieren, weil Internet-Aktien an der GEM noch höher bewertet sind als an der NASDAQ und man sich so Kursverbesserungen erhofft. Für bevorzugte Zeichnungen laufen zur Zeit Verhandlungen. Man versucht, daß HRCT Aktionäre eine Sinobull Aktie für je 10 (!!!) HRCT-Aktien zugeteilt bekommen (wäre je super, bis jetzt war immer die Rede von 20-25, schaun wir mal...), aber das ist zur Zeit alles in Verhandlung, also noch unklar, ob es überhaupt was gibt (ich vertraue da aber unserem Doc, denn der hat das ja immer als Verhandlungsziel genannt). Preis pro Aktie wäre ca. 20$
Zum Ernst & Young Business-Plan:
Der dauert so lange, weil nach Vertragsabschluß mit E&Y noch die Kooperationen mit Streaming Asia, Shangdi und GuoMao kamen, was natürlich die Erstellung verzögert. Der Plan wird in ca. 2 Wochen fertig sein und Westfield habe bereits mit Institutionellen gesprochen, die nach Veröffentlichung des Plan wahrscheinlich in HRCT investieren werden.
Der Business-Pla ist auch die Basis zur Beendigung der Verhandlungen mit potentiellen strategischen US-Partnern - hier gibt es vielseitiges Interesse von ISP und Content-Firmen
Zur Bewertung der Aktie und möglichen Konkurrenten:
TOM.com ist mit 5 Milliarden bewertet und nur ein Internetportal. Dagegen sei HRCT superbillig! HRCT gehören 48% von Sinobull und auch nach dem IPO noch immer 37%. Wenn ca. 4 Millionen Sinobull-Aktien (von 20 Millionen) auf den Markt kommen zu einem Preis von 20$, der danach evtl. noch deutlich steigt, ist klar, was das für HRCT heißt ;-)
NetEase ist zur Zeit die Nummer 1 Seite in China mit 20 Mio. Pageviews/ Monat. Sohu (?) wollte ebenfalls ein IPO machen, bekam aber keine Genehmigung wegen fehlender chinesischen Partner (vgl. o.). Pacific Century Cyberworks ist zwar viel reicher, aber "wir sind schneller".
Zur anschließenden Diskussion:
Nicht alle Fragen waren der Hit, viele hatten entweder Probleme mit der Sprache oder einen zu geringen Infostand. Hier trotzdem ein paar Highlights:
- Werbung für IPO`s ist in den USA 4 Wochen vor dem IPO-Datum von der SEC verboten, deshalb ist die Zusammensetzung des Konsortiums für den IPO-Erfolg erforderlich. Darum verhandelt Dr. Phan auch so ausgiebig (wie z.B. gestern in New York, weshalb er nicht in D-Dorf war).
- 2-3 Monate vor dem IPO wird in China eine Werbekampagne für Sinobull anlaufen (offizieller Launch) mit Prominenten etc.
- HRCT kauft evtl. Anteile an einem weiteren Internet Service Provider in China
- Ein WTO-Beitritt Chinas ist HRCT relativ egal wegen eines Handelsabkommens zwischen den USA und China (habe bei der Logik nicht so ganz durchgeblickt, aber er sieht es so).
- Zensur etc.: Inhalte müssen in China genau geprüft werden. Sinobull hat 3 Leute eingestellt, die immer die Chatrooms überprüfen. Er sieht aber kein großes Problem, weil die Regierung Internet insbesondere in 3 Bereichen forcieren möchte: Bildung, Medizin und Aktienhandel. Mit z.B. pornografischen Websites ist es in China sehr viel schwieriger - für Sinobull kein Problem.
- Das Timing von Press releases hängt von verschiedenen Faktoren (auch technischer Art) ab. Allgemein sollen weder US-Anleger noch Deutsche bevorzugt werden, weshalb das Timing variiert.
Ich habe ihn dann noch zu Taiwan gefragt, allerdings war die Antwort recht enttäuschend: "Ich habe 3 Tage keine Zeitung mehr gelesen und weiß deshalb nicht genau, wie die Lage ist". Er glaubt nicht an einen bewaffneten Konflikt, weil Taiwan sehr viel Geld in China investiert. Außerdem sind viele multinationale Firmen in China investiert, es ist also kein alleiniges HRCT-Risiko. Er nannte z.B. die Telekom und Siemens. Mit denen beiden hatte er es, denn die hat er vorher schon mal genannt. Er war zudem die letzten Tage in Deutschland, da können wir ja mal anfangen, Gerüchte zu spinnen ;-)
A propos Gerüchte: Ich habe ihn nach dem Meeting nach den Gerüchten über eine Kooperation mit Pacific Century Cyberworks gefragt. Er weiß von nichts. Phan habe aber letzte Woche noch gesagt, daß es gut sei, daß die Hongkong Telecom übernommen hätten, da seinen sie erst mal mit beschäftigt (vgl.: "wir sind schneller" (s.o.))
Außerdem habe ich ihn noch auf DDInvestor angesprochen. Er sagte, der Vertrag müsse aufgrund des stark gestiegenen Aktienpreises neu verhandelt werden, denn knapp 100.000$ im Monat seien natürlich viel zu viel ( es waren ja mal 3000...). Man sei aber mit der Arbeit von DD zufrieden.

- Werbung für IPO`s ist in den USA 4 Wochen vor dem IPO-Datum von der SEC verboten, deshalb ist die Zusammensetzung des Konsortiums für den IPO-Erfolg erforderlich. Darum verhandelt Dr. Phan auch so ausgiebig (wie z.B. gestern in New York, weshalb er nicht in D-Dorf war).
- 2-3 Monate vor dem IPO wird in China eine Werbekampagne für Sinobull anlaufen (offizieller Launch) mit Prominenten etc.
- HRCT kauft evtl. Anteile an einem weiteren Internet Service Provider in China
- Ein WTO-Beitritt Chinas ist HRCT relativ egal wegen eines Handelsabkommens zwischen den USA und China (habe bei der Logik nicht so ganz durchgeblickt, aber er sieht es so).
- Zensur etc.: Inhalte müssen in China genau geprüft werden. Sinobull hat 3 Leute eingestellt, die immer die Chatrooms überprüfen. Er sieht aber kein großes Problem, weil die Regierung Internet insbesondere in 3 Bereichen forcieren möchte: Bildung, Medizin und Aktienhandel. Mit z.B. pornografischen Websites ist es in China sehr viel schwieriger - für Sinobull kein Problem.
- Das Timing von Press releases hängt von verschiedenen Faktoren (auch technischer Art) ab. Allgemein sollen weder US-Anleger noch Deutsche bevorzugt werden, weshalb das Timing variiert.
Ich habe ihn dann noch zu Taiwan gefragt, allerdings war die Antwort recht enttäuschend: "Ich habe 3 Tage keine Zeitung mehr gelesen und weiß deshalb nicht genau, wie die Lage ist". Er glaubt nicht an einen bewaffneten Konflikt, weil Taiwan sehr viel Geld in China investiert. Außerdem sind viele multinationale Firmen in China investiert, es ist also kein alleiniges HRCT-Risiko. Er nannte z.B. die Telekom und Siemens. Mit denen beiden hatte er es, denn die hat er vorher schon mal genannt. Er war zudem die letzten Tage in Deutschland, da können wir ja mal anfangen, Gerüchte zu spinnen ;-)
A propos Gerüchte: Ich habe ihn nach dem Meeting nach den Gerüchten über eine Kooperation mit Pacific Century Cyberworks gefragt. Er weiß von nichts. Phan habe aber letzte Woche noch gesagt, daß es gut sei, daß die Hongkong Telecom übernommen hätten, da seinen sie erst mal mit beschäftigt (vgl.: "wir sind schneller" (s.o.))
Außerdem habe ich ihn noch auf DDInvestor angesprochen. Er sagte, der Vertrag müsse aufgrund des stark gestiegenen Aktienpreises neu verhandelt werden, denn knapp 100.000$ im Monat seien natürlich viel zu viel ( es waren ja mal 3000...). Man sei aber mit der Arbeit von DD zufrieden.

Ich denke, man kann mit einem HRCT-Investment zur Zeit nicht viel falsch machen und wir werden noch viel Spaß daran haben.

(OTC:HRCT)(Frankfurt:HCT), www.hartcourt.com, today reported financial results and broad success during 1999 in acquiring critical equity positions and joint venture stakes to become the lead partner in the first commercial e-trade financial network and Internet Service Provider extending through all of China and other parts of Asia.
Early in the year, the company sold its manufacturing business and began pursuing Chinese-based Internet opportunities through partnerships, equity positions and joint ventures.
Acquisitions
Between the sale of previous business operations in March 1999 and the end of 1999, the company concluded the purchase of strategic positions in Beijing UAC Stock Exchange Online Company Ltd. and Hong Kong-based Financial Telecom Ltd. Additionally, the company initiated the acquisition of equity positions in SteamingAsia.com Ltd. (H.K.), Shanghai Guo Mao and Shangdi Network during December 1999.
All of the above entities are now Joint Venture Partners with Hartcourt in the newly created and fully operating business known as Sinobull.com, which Hartcourt and its strategic partners are seeking to build into the premier commercial business portal throughout China for stock and other financial instrument trading as well as the dissemination of financial information via the Internet and a nationwide private network. To provide more meaningful accounting of Hartcourt`s present business, the company, in this news release and in Form 10K filed April 14, 2000, with the Securities and Exchange Commission, reported results after making adjustments to eliminate the affect of previous, now unrelated businesses.
As a result, revenues from on-going operations for the year ended December 31, 1999, were $379,000 vs. zero revenue in 1998. These revenues were generated by Financial Telecom from its date of acquisition on October 4, 1999, to December 31, 1999. These were also the total revenues in the fourth quarter which, of course, compared with zero revenue in the same period of 1998.
Similarly, no company expenses were attributed to operations for 1998, although non-cash and cash expenses were taken in 1998 to make necessary adjustments. For fiscal 1999, Hartcourt had a net loss of $7,862,000 or $0.40 per share vs. a loss of $21,295,653 or $1.18 per share for 1998. The loss for 1999 was primarily due to Hartcourt (1) recording non-cash compensation expense of about $3,380,000 to the officers and directors of Hartcourt; (2) incurring $2,309,000 in professional and consulting fees and losses in connection with litigations and settlements; (3) providing an allowance for doubtful receivables amounting to about $653,000; and (4) a charge-off related to discontinued operations of about $421,000.

Dear Shareholders:
Yesterday, a friend remarked that I looked so confident and energetic for a man who had just lost $60 Million in 2 weeks. I did a quick calculation and he was right. But did I really lose anything? I have not sold a single share during the first 7 years of Hartcourt`s existence, and I will not sell a single share for the next few years until Hartcourt achieves its goals; so the up and down of the market price has no bearing over the long run.
However, the most important question is did Hartcourt lose anything during this market turmoil? The answer is NO. Our SinoBull Web site is still attracting 1.3 million page views per day. Our annual report was filed on time, despite all the complex transactions we did in 1999, bringing us one step closer to our NASDAQ listing approval. The Ernst & Young report will be released this week, and the IPO underwriting agreement will be signed soon after. The big acquisition is still in place. The Innostar project is still scheduled to begin development next month. Financial Telecom is expanding fast with the acquisition of the wireless data transmission network. Streaming Asia is now projecting $4 million in revenues for year 2000, four times larger than initial estimates.
In fact, the opportunities are much more numerous now, for acquisition and market expansion, as weaker Internet companies with less substantial operations will fade away. Above all, with the addition of Dr. Yang as COO, we have added to our most vital asset, our highly experienced U.S. and China based management team. And yes, the projections still have China expected to reach 80 million Internet users by 2005.
In past letters, I have warned shareholders of the short-term risks and the burst of the Internet bubble. I kept repeating that if you are a daytrader, or an investor who cannot afford to hold long, please sell your shares. Yet, I always believe that the market price, over a long-term, will reflect the true value of the company. Therefore, if you are one of the "longs", this turmoil will have little or no long term effect on your Hartcourt holding. If some of you have to take the loss because of the margin calls or the incurred panic, please accept my sincere sympathy, I do feel your pain.
Mike Bianco and I will be returning to China on April 27th to finalize the IPO underwriting agreement. Dr. Yang will be in Beijing at the same time to work with Innostar and China Telecom on the nationwide wireless ISP project. Our plans for the annual shareholders meeting are unchanged. We are moving forward, continuing to expand and executing our business plan.
In short, Hartcourt is managed to support long-term growth, not short-term market volatility. Our growth and performance are strong and focused, with year-end 2000 results reflecting the true value of the company.
As for my shareholders` letters, some have expressed concerned that too much information will affect the stock price. Personally, I believe Hartcourt`s investors should be fully informed. I write these letters simply because I want to maintain an open and honest discussion with my fellow shareholders. I want to share with you, our strong supporters, our viewpoints, our feelings, and our determination.
Booker T. Washington truly taught us something when he said, "I have learned that success is to be measured not so much by the position that one has reached in life as by the obstacles which one has overcome while trying to succeed."

Sinobull.com Announces Online Relationship With Third Chinese Securities Trading Firm 5th and 6th Brokerage Offices Brought Online; Company On Track for 85 Offices Online by Year-End
Los Angeles, CA. 04/28/00 -- The Hartcourt Companies, Inc. (OTC: HRCT, Frankfurt: HCT), www.hartcourt.com, today announced that it`s Sinobull subsidiary contracted with Xiagcai Securities to be the third Chinese securities firm to trade online over the UAC Stock Exchange platform when Xiagcai`s Beijing office is connected to the network next week.
UAC President and Chief Executive Officer Zhang Shi said that the Xiagcai installation and a concurrent installation in Beijing for a Hua Xai Securities office will raise to six the number of securities offices wired to trade online through UAC. Mr. Zhang said these installations put the company on track to reach its goal of 85 installed offices throughout China by year-end. Mr. Zhang said the Xiagcai Securities relationship is particularly important because they are among the fastest growing securities firms in China.
Last month, UAC signed a contract to provide online stock trading to the offices of Gousen Securities of Shenzen. Installation of these offices is expected to begin in May.
Hartcourt owns 48% of SinoBull.com, 50% of UAC Stock Exchange Online and portions of five other Chinese-based companies, all of which have agreed to merge into Sinobull.com.
UAC Stock Exchange Online was created by Hartcourt and Beijing Hua Qin Shi Tai, the first and only operating agent of ChinaPAC, a virtual private network that extends throughout China.
