Air Offers 120 Million New Shares At HK$1.25 Eeach Raises HK$150 Million

First Internet Related Company To Be Listed On The Gem Board



(Hong Kong, December 6, 1999)

The Greater China content provider on the Internet, Asian Information Resources (Holdings) Limited ("AIR"), today announced that it will raise HK$150 million through the offer of 120 million new shares, at a price of HK$1.25 per share. 108 million shares will be placed with professional and institutional investors and the remaining 12 million will be offered for sale to the general public in Hong Kong.

Immediate after the offering, two strategic investors, Aldgate Agents Limited, a wholly owned subsidiary of New World CyberBase Limited, and Hintful Capital Limited hold a 13.8 per cent and a 3.6 per cent stake of AIR respectively.

AIR will be the first Internet related company to be listed on the Growth Enterprise Market ("GEM") board of The Stock Exchange of Hong Kong Limited. Dealings will commence on Thursday, December 16, 1999 and its stock code is 8025. Market capitalisation is expected to be HK$600 million and adjusted net tangible asset value per share is HK$0.31.

Mr. C.M. Chan, Managing Director of AIR said, "We orgainsed an investors presentation on November 29,1999. About 200 analysts and fund managers attended the presentation with great interest in our company. Management of the company were very encouraged by the positive responses of these institutional investors. We are confident that our offering of shares will receive a tremendous response."

AIR is principally engaged in the provision of Greater China content with a focus on business information through the Internet and content related consultancy services. The Group also provides Internet solutions services. Leveraging its core strengths in content provision and Internet solutions services, the Group has formed associated companies to engage in e-commerce operations.

For the seven months ended on 31st July 1999, 57.6 per cent of the revenue was derived from content solutions services and 25.3 per cent was derived from Internet solution services. The Group expects the contribution from e-commerce operations to increase substantially in the future.

Mr. Chan said, "Internet solutions services have provided stable income to AIR in the past few years. In the recent two years, we have built up a solid and sizable collection of Greater China content. In fact, we were the first to provide Greater China content via the Internet with the full text retrieval database. Therefore, content solution services has become significant in our core business and will continue to be our major source of income in the next few years."

Mr. Chan continued, "Leveraging our sizable content and technological know-how, we have decided to expand our e-commerce operations. In the long run, we expect e-commerce operations to override content solutions services to become our major income contributor."

The net proceeds of the share offer, after deduction of related expenses, are estimated to be approximately HK$135 million. HK$40 million will be used for extensive promotional campaigns in Hong Kong, Taiwan and other regions; approximately HK$24 million for the expansion of e-commerce operations; approximately HK$18 million for content translation and new product development; approximately HK$17 million for deployment of human resources and the setting up of representative offices in target regions; and the balance will serve as additional general working capital.

The public offering will commence on Tuesday, December 7, 1999 till noon of Friday, December 10, 1999. The allotment result will be announced on Tuesday, December 14, 1999.

Tai Fook Capital Limited is the sponsor and Tai Fook Securities Company Limited is the lead manager of the share offering.

Das Teil steigt seit einigen Tagen mit zunehmenden Umsätzen.
Die meisten haben davon noch gar nichts gemerkt.
Ist das nicht die Firma, die ab 28.02. an der Nasdaq gelistet
werden soll (gem. S. Harmon)?
Dann muß man sie haben - was dann sicher ein paar Experten
schon erkannt haben.
