NeoMedia boss says future still bright
by Keith Dyer
"Inconceivable" that investor will withdraw just as market accelerates

2D barcode company NeoMedia is currently only funded until the end of April, with no guarantee of future funds, but it faces a bright future as the 2D barcode market is set for major growth, according to CEO Iain McCready.
McCready said that investor Yorkville Advisors (YA) has until now provided funding on a "month by month" basis, but further funding has not yet materialised. So far YA has invested $50 million in NeoMedia since 2006. Earlier this year YA was given a 52% voting share in the company, as part of a deal which saw it provide a further $2.5 million in funds to the company.
NeoMedia struck license deals in 2009 with Mobile Tag, BEMS, Scanbuy and NeuStar, and in 2010 with Mobiento and MORE Mobile Relations, two Swedish companies. It also has an agreement to load NeoMedia's reader in Sony Ericsson phones.
Yet despite these developments, a recent filing by NeoMedia to the SEC warned about the company's ability to continue as a going concern.
The March 10k filing said:
The items discussed above raise substantial doubts about our ability to continue as a going concern.
We do not have any commitments to receive capital, and we need to raise additional funds in order to continue our operations.
We currently do not have sufficient cash to sustain us for the next twelve months.
Should YA Global choose not to provide us with continued capital financing, as they have in the past, or if we do not find alternative sources of financing to fund our operations, or if we are unable to generate significant product revenues, we only have sufficient funds to sustain our current operations through approximately April 30, 2010.
Not much, apart from the announcement of the Swedish deal, appears to have changed since then, despite evidence of the general market moving towards greater usage of 2D barcodes.
But McCready insisted that it would be "inconceivable" that after its $50 million investment to date, Yorkville would cease to invest just as NeoMedia sees "tremendous acceleration in the marketplace" and "as it stands so close to its goals".
"Like so many Investors Yorkville had to face the challenges of the last years' financial melt-down, but they have weathered that storm and continued to support NeoMedia," McCready said. "If you look at any of our filings for the last few years you will see exactly the same language, including the going concern statements."
McCready added that although the company lost $67.4 million in 2009, and $8.0 million in 2008, "the vast majority of the losses are non-cash charges resulting from ultra-complex and volatile derivative accounting issues".
The SEC filing made on 26 March 2010 said that the company had an accumulated deficit of $277.0 million and a working capital deficit of $124.6 million as of December 31, 2009. It valued its assets at just under $9.5 million and its liabilities at $125.5 million.
In a briefing with Mobile Europe, McCready said that he believed that the market was looking positive. The licensing deals and the handset deal with Sony Ericsson are evidence that there is movement in the mobile 2D bardcode space, he said. The BEMS deal means the reader will be on all Telefonica phones in 13 Latin American countries. And Sony Ericsson has committed to pre-installing the application on some of its phones. App stores also offer a further opportunity - for example, NeoMedia is a top five download on Sony Ericsson's application store, McCready said.
One major frustration for McCready has been with mobile operators. In November 2008 McCready held out great hope for the mobile operator market, telling Mobile Europe that operators had 2D barcode implementation high up their "to-do lists". McCready agreed that two years ago mobile operators were a key target for NeoMedia, but "not any more." Even though NeoMedia has offered operators a free platform, he said, with a revenue share deal for any earnings, they still haven't had any takers. "I just don't think they get it," he said. "They are in major danger of Facebook, Google and GS1 eating their lunch."
There is a possibility that may change through NeoMedia's licensing deal with NeuStar, under which NeuStar aims to sublicense NeoMedia's technology to operators and other partners. NeuStar launched a mobile barcode clearing house concept at Mobile World Congress this year.
Other companies too have said that the market is picking up. "In recent months, Panorama, la Repubblica and Wired have run 2D barcode campaigns in Italy and we have been seeing, through the i-nigma platform, thousands of daily scans from these campaigns already," Ofer Lev, VP Products and Marketing, 3GVision, said.
3G Vision recently signed a deal with partnership with Vidiemme Consulting, a digital web marketing company in Italy.

Da kommt man doch glatt wieder ins Schwelgen!

- Neuer Rechtsstreit gegen YA Investments

http://www.gomonews.com/retail-vs-vc-investors-in-neomedia-g…
Rating: The dispute between the two gets very legal
An irate retail investor in mobile barcode specialist, NeoMedia, has taken drastic action. The individual investor, William Klawoon, has just started a lawsuit against Y A Global Investments (aka Yorkville Advisors) and NeoMedia itself.
The complaint (filed on 26th April) is due to be heard before a US District court in New Jersey. The legal document (which we’ve seen) is full of detailed allegations about share manipulation.
One GoMo News reader has alerted us to this fact and angrily demanded our reaction. Effectively accusing us of complicity.
As GoMo News is a high tech newsletter rather than a financial or legal organ, all we can say is such a lawsuit will inevitably distract the current NeoMedia management from pursuing its goal of making 2D technology universally accepted.
We make no bones about the fact that NeoMedia is both an advertiser and sponsor of this site. We are not alone in that. It is also true that the site has unintentionally served as a forum for disgruntled investors to air their grievances.
Basically this is a sad day for the 2D barcode industry which we felt had settled its legal differences and had united to move the technology forward.
Bena adds:
The trouble is that NeoMedia, despite having longevity in the market and in the investment space is still only a start-up in the mobile space. This is because codes just didn’t take off as quickly as they should have. Therefore, I understand the problems and the issues that the shareholders have. But I have said this before and I will say it again, “with without Yorkville, there would be no NeoMedia”.
We don’t want to get involved in this battle as there is always a tenuous relation to know the truth. But I will publish (non-abusive) comments from Yorkville, NeoMedia and investors and ask Yorkville and NeoMedia if they would like to comment.

Boston, MA (PRWEB) May 3, 2010 -- Mobile marketing and strategy company, Renu Mobile, has announced the creation of a formalized Advisory Board and the board’s founding members; Dr. Mary Cronin, Tim Scannell, Kitty Dunning, Greg Farrell, Cynthia Artin and Dave Oberholzer.
The decision comes amid a number of moves the mobile marketing group has made, from selection of a mobile barcode partner, NeoMedia, to the launch of innovative mobile campaigns with TechTarget and Earth Day Network, focused on the continuing goal of strengthening the company’s position as an innovative, future-forward mobile marketing and strategy group.
Renu Mobile is bringing together executives with backgrounds spanning a spectrum of mobile-related industries, with the goal of leveraging their collective insights and experiences. Renu Mobile Chief Executive Officer, Carol Glennon, explains how the board fits into Renu Mobile’s strategic approach: “Success in the mobile marketing and strategy arena is highly linked to innovation, creativity and relationships. The founding Advisory Board members are pioneers in their respective industries and are a group of seasoned professionals who have dared to be creative while innovating. We know that the Advisors will challenge and support us as we deploy the mobile campaigns of the future.”
Mary J. Cronin is a professor in the Information Systems Department at Boston College. She is focused on the business and competitive impact of embedded, connected product intelligence or “smart products” in the healthcare, automotive and telecommunications industries. Her latest book, “Smart Products, Smarter Services: Strategies for Embedded Control” is published by Cambridge University Press. She currently serves as an advisor for Auster Capital Partners and for IS Services at Brown University and is the editor for Smart Product Ecosystem Connections.
Dr. Cronin is excited about her new role with Renu Mobile: “Renu Mobile is already leading a new generation of mobile agencies focused on integrating mobile messaging technology with creative branding to deliver end to end implementation options. I look forward to supporting the Renu vision of extending mobile messaging capabilities to all types of organizations, including non-profits, as mobile becomes the primary channel for communication and interaction.”

As previously disclosed in the Current Report on Form 8-K filed with the United States Securities and Exchange Commission on April 2, 2010 by NeoMedia Technologies, Inc., a Delaware corporation (the “Company”), the Company and its stockholders approved a 1 share for 100 shares reverse stock split of its outstanding common stock. The Financial Industry Regulatory Authority (“FINRA”) is the organization responsible for reviewing and processing documents related to the corporate actions of companies quoted on the Over-The-Counter Bulletin Board. On May 7, 2010, FINRA notified the Company that FINRA had received the necessary documentation to process the reverse stock split and that the necessary changes to reflect the reverse stock split would be effected in the market reporting of the Company’s common stock at the open of business on May 10, 2010. For a period of twenty (20) business days beginning on May 10, 2010, the Company’s common stock will trade under the symbol “NEOM”, with the letter “D” added to the end of the trading symbol to indicate that the reverse stock split is now reflected in the market reporting of the Company’s common stock. After the aforementioned twenty (20) business day period expires, the symbol for the Company’s common stock will drop the “D” and revert to its previous trading symbol of “NEOM”. In connection with the reverse stock split, the Company’s common stock has a new CUSIP number, 640505

Hi Leute

'Results of Operations
Beginning in 2009 and continuing into 2010, we continued to focus on the development of our barcode ecosystem technology. During the three months ended March 2010 and 2009, respectively, operating losses were $1.7 million compared to $1.6 million. However our net income was $57.3 million for the three months ended March 2010 compared to a loss of $106.6 million during the three months ended March 2009. The loss incurred in the three months ended March 2009 was the result of non-cash losses from the change in fair value of our hybrid financial instruments, warrants and debentures, totaling $104.0 million. We incurred these non-cash losses principally as a result of increases in the market value of our common stock during 2009. During the three months ended March 2010, we reported non-cash gains on our hybrid financial instruments, warrants and debentures, totaling $65.1 million. These non-cash gains were principally the result of declines in the market value of our common stock during 2010.

"NeoMedia's revenue from the ecosystem for the 3 months ended 3-31-10 was all of $6,000. NeoMedia is no longer a patent play because the patents are unenforceable. NeoMedia is now just another player in the ecosystem. NeoMedia doesn't stand a chance of success in the ecosystem that would translate into any significant revenue."

"Now YA Global's involvement in another deal has been highlighted. A shareholder in the US technology firm NeoMedia recently launched legal action against YA Global for allegedly engaging in a 'manipulative scheme' over an original $10 million convertible note facility provided in 2002. It is claimed YA Global failed to make proper disclosures and that it engaged in 'short-swing trading' of the stock before converting its debt into shares.
YA Global has fared quite well from its 'investment' in NeoMedia, having purchased over $50 million in NeoMedia securities and made untold millions in profits, said the investor, William Klawoon, in a filing to a New Jersey court last month."

http://www.gomonews.com/buongiorno-delves-deeper-into-mobile…
Buongiorno is a huge, multinational creator of content for mobile – and it has a strong presence in mobile marketing thanks to its B! Digital division. Today it announces that it will be offering mobile barcode options to all future clients – in a deal with NeoMedia.
402
gomonews.png
What’s the story?
Buongiorno really is a big company – the B! Digital branch only handles its digital marketing assets, including mobile and internet. It serves display ads to mobile, as well as using mobile coupons (see the recent deal with Glamoo), mobile websites, in-app advertising, advergaming and social network marketing.
That’s a very decent list of mobile capabilities – and now it is adding mobile barcodes with NeoMedia.
What’s the deal?
B! Digital will be using the NeoSphere platform from NeoMedia to offer mobile barcodes to marketing clients. NeoSphere handles the creation, management and delivery of mobile barcodes and any content associated with them. Initially, B! Digital will be focusing on North America and Western Europe, but the deal is for a global emplacement. So when B! Digital feels it is ready to roll our barcodes around the world, it has the platform to do it with.
What we think?
NeoMedia has drawn a lot of flack for not exploiting its IP in the mobile barcoding space (amongst other things). This deal with Buongiorno will go a certain amount towards fighting those claims – B! Digital isn’t a small player, and an exclusive mobile barcode deal with them is a big move in Europe. It won’t go all the way towards quieting angry shareholders, but it shows that the company is still capable of making big deals.
