Animas to buy Cygnus for $10 million cash (PUMP, CYGN) By Chelsea Bellows
SAN FRANCISCO (CBS.MW) -- Animas Corp. (PUMP) , which makes insulin infusion pumps, said late Thursday that it plans to purchase "substantially all" of Cygnus Inc. (CYGN) for about $10 million in cash. Under the terms of the agreement, Animas will take ownership of over 237 of Cygnus` U.S. and foreign patents.



Cygnus hatte laut Yahoo gestern eine Marktk. von ca. $3,5 Mio., animas zahlt $10 Mio in Cash, also knapp 3mal soviel.
Der Kurs hier ist viel zu niedrig.
Die Market Maker in Amerika müssen heute auch ihre Short-Positionen decken, das könnte einen fetten Spike geben heute, men KZ liegt bei 0,2 Euro!!!

Ganz zu schweigen von denen, die heute morgen in Frankfurt und Berlin geshortet haben, ohne die Nachricht gelesen zu haben. Die Makler dürften auch short sein hier. Erstes Kursziel ist jetzt 0,15 Euro, bei US-Eröffnung rechne ich mit 0,2 Euro.

11 Cents, Tageshoch. etzt kommt etwas Bewegung rein. Berliner Orderbuch füllt sich. Glaubt mir, da sind auch hier schon enige short, die decken gleich. Niemand will einen Pennystock bei einer Übernahme short sein.

Guckt mal gestern Kürzel SPEA an der OTC. die hatten ein Tagestief von 0,37 Dollar und haben bei 6,41 Dollar geschlossen, das sind plus 6000%!!!!

Also 16Cent ASK sind dann aber schon wieder zu teuer.
Wenn ich nachrechne komme ich auf einen Wert von etwa 22,5 US Cents was knapp 17Euro Cents entspricht. Da muss man jetzt nicht mehr einsteigen.

(OTC BB:CYGN) pursuant to which Animas will acquire substantially all of Cygnus` intellectual property rights, fixed assets, supplier, manufacturing and license agreements, inventory and tangible personal property, for $10 million in cash. Under the terms of the agreement, Animas will take ownership of over 237 U.S. and foreign patents in the fields of continuous glucose sensing, extraction of interstitial fluid by reverse electro-iontophoresis and electrochemical sensors. Animas will not assume any of Cygnus`s liabilities in this transaction other than customary obligations under assumed contracts.

so siehts aus. Keine Übernahme und außerdem stehen da noch folgende (wichtige) Dinge:

Man sollte nun etwas nachdenken.

Die bisherigen Umsätze sprechen eine klare Sprache.
DA haben sich einige reinlocken lassen und ein paar waren bereits billig drin!
Wäre das tatsächlich sone Bombenmeldung, dann wären wir jetzt beim 10 fachen Umsatz und 0.20!

dennoch gibts 10 Mio $ cash?
auch wenn man die verbindlichkeiten nicht übernimmt, hat Cygnus dann das Geld.
Es ist dann zwar ein leeres unternehmen ohne patente, jedoch mit einem inneren wert, der weit über der aktuellen marktbewertung liegt.

Habe die Hälfte meiner Position mit Mischkurs 0,15 Euro glattgestellt, die andere Hälfte bleibt bis zu der US-Eröffnung drin.

Hatte bei 0,1 Euro angefangen auf den Wert hier aufmerksam zu machen, es konnte also jeder zwischen 0,1 und 0,12 noch kaufen und hätte jetzt knapp 20% Gewinn innerhalt einer Stunde. Was will man mehr?

Glückwunsch an alle, die dabei sind und verdient haben!

also, ich möchte hier nicht bange machen.
ich war der glückliche, der die beiden ersten kurse in frankfurt und berlin bekommen hat. habe aber wieder glatt gestellt.
die gesellschaft wird definitiv nicht übernommen sondern erhält die 10 mio für praktisch alle patente.
danach möchte die gesellschaft sich selbst liquidieren, sofern die aktionäre zustimmen. sollten sie nicht zustimmen, würde man konkurs anmelden (steht in der letzten meldung).
man sollte nicht einfach die 10 mio dem aktienkurs hinzurechnen, weil cygnus eben nicht übernommen wird. es ist die rede davon, daß man das geld benutzen wird, um die gesellschaft weiter zu betreiben. es gibt da scheinbar noch ansprüche der gesellschaft gegen eine andere gesellschaft und offenbar hat man noch verpflichtungen gegenüber sanofi.
der kurs wird wohl steigen, aber ich wäre vorsichtig bei der bewertung.

Entry Material Agreement, Financial Statements and Exhibits

Item 1.01. Entry into a Material Definitive Agreement.

On December 17, 2004, Cygnus, Inc. issued a press release announcing that it had entered into an Asset Purchase Agreement for the sale of substantially all of Cygnus` intellectual property rights, fixed assets, supplier, manufacturing and license agreements, inventory and tangible personal property, to Animas Corporation for $10.0 million in cash. Assets excluded from the sale include Cygnus` cash and cash equivalents, accounts receivable and its arbitration claim against Ortho-McNeil Pharmaceutical, Inc., a Johnson & Johnson company.

The Asset Purchase Agreement was unanimously approved by the Cygnus Board of Directors. Subject to the approval of its stockholders, Cygnus intends to wind up its business in accordance with applicable law following the closing of the asset sale, and at an appropriate time thereafter effect a complete liquidation and dissolution. The asset sale and the liquidation proposals are not conditioned upon one another.

In a separate transaction, Cygnus signed a lease termination agreement with its Redwood City facility whereby Cygnus paid a termination fee of $500,000, forfeited its security deposit of approximately $77,600 and will leave certain trade fixtures and personal property in the facility when the Company vacates on or before March 31, 2005. The early termination relieves the Company of its contractual obligations of approximately $3.7 million for the remaining lease term through April 30, 2009.
