      Petaquilla Copper Ltd. Enters Memorandum of Understanding With Isagen

      VANCOUVER, BRITISH COLUMBIA--(Marketwire - July 7, 2008) - Petaquilla Copper Ltd. ("Petaquilla") (TSX : PTC) today announced it has entered into a Memorandum of Understanding ("MOU") with Isagen S.A E.S.P. ("Isagen") for the study of a power project on the Petaquilla mining concession in central Panama. Isagen is a Colombian mixed public utility corporation affiliated with the Ministry of Mining and Energy of Colombia. It is currently the third largest Colombian power company and its main corporate objectives are electric energy generation and commercialization, commercialization of natural gas by networks, and commercialization of coal, steam, and other energetics for industrial use.

      The MOU defines the terms under which the partners, Petaquilla and Isagen, will advance feasibility studies covering all aspects of the development, structural design, construction, operation and maintenance of a power production facility intended to cover the energy needs of the mining projects on the Petaquilla concession and the commercial sale of excess power into the Panamanian and Central American grids.

      In addition, all fuel sources will be evaluated and the necessary technical, environmental, commercial, financial and legal studies completed along with analyses of transportation of fuel and connectivity issues. Based on the technical, environmental and legal feasibility of establishing a power production plant, both parties will decide together how the project shall proceed.

      Following the initial feasibility study, the parties agreed to form a new joint venture company owned 51% by Isagen and 49% by Petaquilla, for the construction and operation of the power plant.

      The Petaquilla concession includes a gold mining operation owned 100% by Petaquilla Minerals Ltd. (TSX : PTQ) with an estimated 2200 tonnes per day mill scheduled to begin production by year end and a future copper mine with an estimated 120,000 tonnes per day throughput. The copper mine is a joint venture between Petaquilla Copper Ltd., Inmet Mining Corporation and Teck Cominco Limited and the copper project is nearing completion of a bankable feasibility study. The previous bankable feasibility study completed in 1998, and, hence, non-National Instrument 43-101 compliant, by H. A. Simons Ltd. (later acquired by AMEC Americas Limited), outlined a massive porphyry deposit hosting 1.115 billion tonnes grading 0.50% copper, 0.09 g/t gold, 0.155% molybdenum as well as recoverable silver. The resources occur in three project areas: Botija, Petaquilla, and Valle Grande with minimum recoverable payable metal content contained in these reserves of 9.4 billion pounds of copper, 1.37 million ounces of gold, 24.1 million ounces of silver, and 131.1 million pounds of molybdenum, not including the contained metal in the low grade stockpile.

Das Unternehmen bietet 2 CAD in bar je Aktie, über 100% mehr als am Stichtag. Die Übernahme ist jetzt im Preis enthalten, über den Kauf von Petaquilla Minerals (News) kann man aber noch indirekt profitieren. Minerals hält gut 22 Mio. Aktien an Copper, würde also einen Barzufluß von gut 44 Mio. CAD erhalten.       Petaquilla Minerals Ltd. Closes Second Tranche of Senior Secured Notes Financing

      VANCOUVER, BRITISH COLUMBIA--(Marketwire - June 5, 2008) - Further to its news releases dated April 28, 2008, and May 22, 2008, Petaquilla Minerals Ltd. (the "Company") (TSX : PTQ)(OTCBB : PTQMF)(FRANKFURT : P7Z) announces that it has closed the first tranche of its Senior Secured Notes financing (the "Financing"), issuing a total of 10,000 Units and raising gross proceeds of $10,000,000 USD.

      Each Unit consists of one Senior Secured Note in the principal amount of $1,000 USD (each a "Note") of the Company and warrants (each a "Warrant") to purchase 382 common shares in the capital of the Company (each such share a "Warrant Share"). Each Warrant entitles the holder to purchase one common share at an initial exercise price of $2.30 CAD per Warrant Share for a period of five years from closing. The Warrants shall contain weighted average anti-dilution price protection with a floor equivalent to $2.15 CAD. If the volume weighted average trading price of the common shares of the Company, as traded on the Toronto Stock Exchange, exceeds $6.00 CAD per share for a period of 20 consecutive trading days and the average daily trading volume exceeds 50,000 common shares for such 20 consecutive trading days, the Company shall have the right to give notice to each Warrant holder requiring the exercise of the Warrants within a thirty (30) day period.

      The Notes will mature five years from date of issuance at 120% of the principal amount of such Notes; provided however that in the event of a "change of control" of the Company, the Notes shall be immediately due and payable. After 24 months from the date of issuance of a Note, a holder of a Note shall have the right to cause the Company to purchase all of its Notes then outstanding at a price equal to the sum of (a) 120% of the principal amount of such Notes to be purchased and (b) accrued and unpaid interest on the principal amount of the Notes. The Company shall have the right to prepay the Notes at any time for an amount equal to 120% of the principal amount of such Notes and accrued and unpaid interest on the principal amount of the Notes (it being understood that any and all prepaid interest shall be forfeited as a penalty).

      The Notes will bear interest at an annual rate of fifteen percent (15%), in which the first twelve months shall be prepaid in full at the time of issuance of the Note. All interest payments will be grossed up for Canadian withholding tax, if any.

      The Notes will be guaranteed, on a joint and several basis, by all the assets of the Company and of the Company's five wholly-owned subsidiaries: Adrian Resources (BVI) Ltd., Petaquilla Minerals, S.A, Petaquilla Gold, S.A. Compania Minera Belencillo, S.A., Petaquilla Infraestructura, S.A. and Aqua Azure, S.A. (collectively, the "Guarantors") and the indebtedness represented by the Notes will be senior to all other indebtedness of the Company and the Guarantors.

      The Notes and the Warrants will be transferable, subject to compliance with United States and Canadian applicable securities laws. The offered securities have not been and will not be registered under the US Securities Act of 1933, as amended (the "U.S. Securities Act"), or applicable state securities laws, and may not be offered or sold within the United States or to, or for the account or benefit of, "U.S. persons", as such term is defined in Regulation S under the U.S. Securities Act, absent registration thereunder or in transactions exempt from such registration requirements.

      All securities distributed under the Financing (the Notes, the certificates for the Warrants and the certificates for the Warrant Shares) are subject to a four-month plus one day hold period expiring on October 5, 2008.

      In connection with the closing of each tranche of the Financing, the Company will pay the agent a 5% cash commission on the gross proceeds raised by the agent per tranche of the Financing and issue to the agent 4% of the number of Warrants issued per tranche of the Financing. The warrants issued to the agent shall bear the same terms and conditions as the Warrants issued to the purchasers of the Notes. Also, the Company will pay the lead investor upon closing of each tranche of the Financing a 5% due diligence fee on the gross proceeds raised per tranche of the Financing.

      The proceeds from the Financing will be used for the completion of the Molejon Gold Plant in Panama and for working capital purposes.

Minera Petaquilla betreibt das Petaquilla Copper Project mit 1,4 Mrd. Tonnen mit 0,47% Kupfer.
      Mit den Explorationsprogrammen unter seiner Führung wurden die Goldvorkommen in Santa Rosa, Remance und Cerro Quema entdeckt.

      Petaquilla Copper Ltd. gab gestern gute Bohrergebnisse aus dem El Real Korridor des Kupferprojekts bekannt. Zu den besten Ergebnissen gehören 159 m mit 0,6699% Kupfer und 205,3 m mit 0,632% Kupfer. Neue Schätzungen erhöhen die gemessenen und angezeigten Ressourcen gegenüber der FDW-Studie um 15% und gegenüber der H.A. Simons Studie um 23%. Die Ergebnisse aus dem El Real Korridor sind ein Beleg für die bedeutenden Erweiterungsmöglichkeiten des Kupferprojekts.

      financial.de TopStory Rohstoffe: Im Jahr 2008 zählt Panama 21 Verträge über den Abbau von mineralischen Metallen wie Gold, Silber und Kupfer sowie sechs Verträge über die landesweite Gewinnung von Bodenschätzen. „Wenn Panama all diese Vorhaben verwirklichen will, muss das Land mindestens 5 Mrd USD investieren”, so Roberto Cuevas, Präsident der panamaischen Kammer für Minen Cámera Minera de Panamá (CAMIPA). Für Investoren bieten sich nach Einschätzung der Bundesagentur für Außenwirtschaft (bfai) in Köln Chancen und für Exporteure von Bergwerksausrüstungen entsteht ein dynamischer Markt. Panama wird für Bergwerksgesellschaften nach Angaben von CAMIPA immer interessanter. Momentan gibt es keine aktiven Minen, in denen Metalle abgebaut werden. Im Dezember 2007 lagen den zuständigen Behörden jedoch 176 Anträge auf entsprechende Abbaugenehmigungen vor.So geht zum Beispiel die kanadische Petaquilla Minerals davon aus, im August 2008 mit den Abbauarbeiten innerhalb ihres Projekts in Molejon beginnen zu können. Geplant war, ab März 2008 zu produzieren, jedoch hat es Verzögerungen bei der Beschaffung von Personal und Ausrüstung gegeben. Zunächst wird die Mine jährlich 120.000 Unzen Gold produzieren, wobei die direkten Kosten unter 200 USD pro Unze liegen sollen. Die ebenfalls kanadische Teck Cominco Limited hatte kürzlich angekündigt, dass sie zusammen mit der Inmet Mining die Entwicklung eines weiteres Projektes in Panama verfolgen wird. Panamas Metallbergbau ist für Exporteure von Bergwerksausrüstungen ein sehr interessanter Sektor. Florieren wird der Markt allerdings erst dann, wenn die Regierung die entsprechenden Abbaugenehmigungen ausstellt.

      Über die Qualität der Focus Money Empfehlungen brauchma ned weiter diskutieren :p

      Im Moment ist allerdings der Sektor so runtergeprügelt und so niedergemacht, dass eine Gegenbewegung nicht verwunderlicht wäre.

      In Canada gabs gestern auch schon ein kräftiges Intradayreversal.

      Wenn die produzieren steigt auch der Kurs. Ich habe einige abgegriffen. Liegen bei mir im High Risk depot :look:
