A Nikola Corp. contractor testified that he was was so struck by a video of the electric truck maker’s first prototype in action that he made a call to find out how the footage was produced.

Prosecutors on Tuesday showed the jury in the fraud trial of Nikola founder Trevor Milton the now-famous video of the prototype seeming to move on its own power. In fact, they said, it was rolling down a short slope thanks to gravity, and the clip was staged to make it look like the vehicle was operating.

They raised the video in their opening statement in Milton’s trial on securities and wire fraud charges and later played it for the jurors in federal court in Manhattan. The US alleges the 40-year-old entrepreneur lied to investors again and again to make Nikola look better than it was and pump up the stock.

The prosecution’s first witness, an engineer at the electric drive company EVDrive that did contract work for Nikola, testified he learned that the truck was towed to the top of a shallow hill and allowed to coast down. The engineer, Paul Lackey, said it was filmed with a camera angle that made it appear as if it was moving fast.

Lackey told the jury he wanted to positively identify the spot where the video was shot and was able to do so by studying it for landmarks and looking at maps.

Lackey also testified that Milton once dismissed the idea of making the truck zero-emissions and all-electric.

“‘I don’t give a s--- about the environment. I want to make money,’” Milton said, according to Lackey.

Lackey told the jurors that a group of people who had prepared a whistle-blower complaint about Nikola that they planned to send to the US Securities and Exchange Commission contacted him in late July 2020 and asked him to join their group.

Troubled EV startup Nikola is back in the news this week. Not because it has finally begun shipping electric trucks in meaningful quantities, oh no. Instead, it’s because the fraud trial of its founder, Trevor Milton, is about to begin.

Milton founded Nikola back in 2015 and went on to present several EV concepts for the startup. But, an investigation in 2019 claims that he tried to defraud investors and lied about the company’s progress. Reuters reports:

Milton, 40, has pleaded not guilty to two counts of securities fraud and two counts of wire fraud. His lawyers have indicated they will argue that Milton had no intent to defraud investors and that other top executives at Nikola, including its general counsel, approved of Milton’s statements.

Milton was indicted last year. Prosecutors said he made false statements about Nikola’s progress on developing its technology as the company joined the mounting number of tech and electric vehicle companies going public through special purpose acquisition vehicles, or SPACs.

The trial of Milton comes after Nikola agreed a settlement deal with the U.S. Securities and Exchange Commission. Last December, it was accused of defrauding investors and agreed to pay $125 million to settle the case.

Milton’s fraud trial begins today with jury selection in Manhattan federal court.

Nikola’s Chief Executive Officer Mark Russell is stepping down next year, the zero-emission truck company said.

The stock was rising 6% in premarket trading on Wednesday.

Russell plans to retire on Jan. 1, 2023, Nikola (ticker: NKLA ) said in a statement. Current Nikola Motor President Michael Lohscheller is slated to assume Russell’s role at that time.

“Michael Lohscheller’s selection represents the completion of a thoughtful succession planning process by the Board of Directors,” said Steve Girsky, Nikola’s chairman, in a statement.

Lohscheller joined Nikola Motor in February, the company said. Prior to that, he was CEO of Opel and previously held executive roles at Mitsubishi Motors Europe and Volkswagen.

Eine Milliarde wäre vorhanden mit der Erhöhung der Anteile von 600 auf 800 Millionen Shares.
400 sind auf dem Markt .
Davon eigentlich nur ca 175 Millionen handelbar ,da Große Investoren wie Black Rock etc. halten.

Ich stimme dafür .
Trevor hat nur Angst das seine Shares verwässert werden,aber Nikola hat dann die Möglichkeit bis 2027 diese 200 Millionen Shares an einen Großinvestor zu verticken,der diese dann zu höheren Preisen Kursschonend irgendwann über den Markt verkauft.

Es ist u.a.Nötig um die weiteren Raten an die SEC zu bezahlen,alle 3 Monate 25 Millionen die wir Trevor zu verdanken haben.
Der sollte mal langsam darüber nachdenken wann er diese 125 Millionen an Nikola zurückgezahlt.
Das wäre mal ein Zeichen.
Er hat genug Schotter gemacht mit seinen ständigen Aktien Verkäufen zu weit höheren Preisen.

Trevor Milton macht das aus meiner Sicht richtig,

zu viel Verwässerung bei zu niedrigem Kurs kann man ablehnen.

Es ist satt Vermögen vorhanden, ca. 1 Milliarde US Dollar an Liquidität.

Nikola Corp.’s founder and former chair Trevor Milton voted against a proposal by the clean-energy trucking startup that would have authorized new shares to potentially raise capital, throwing the outcome into doubt, according to people familiar with the matter.

Milton’s vote led to the decision announced late Wednesday to immediately adjourn Nikola’s annual shareholder meeting to June 30 so the company could work on soliciting more proxies in favor of the proposal, the people said, asking not to be identified discussing private information.

An attorney who represents Milton didn’t return calls seeking comment.

Approval requires a majority of outstanding shares. While 64% of votes cast so far were in favor of the share issuance, that represented only 42% of shares outstanding, not enough to pass the measure without Milton’s approval or additional support from retail stock owners.

Milton is Nikola’s single largest shareholder with more than 11% of the stock. He effectively controls about 20%, or almost 90 million shares, through common stock he holds directly and an investment vehicle he co-owns, giving him the power to stop measures if a large chunk of Nikola’s largely retail stockholder base doesn’t vote in favor. About 95 million shares voted against the new-share issue.

The company’s proposal would increase the number of shares outstanding by 200 million to 800 million, which would give Nikola the green light to sell equity and raise cash at any time going forward.

It’s not clear what Milton stands to gain by thwarting the company’s efforts to raise money. He would prevent his own stake from being diluted, but he could also impair its growth prospects by limiting the company’s ability to raise capital at a time when debt markets are getting frosty for startups. Nikola has agreed to pay his legal fees as part of his severance.


Facing Charges

Milton will go on trial next month to face charges of misleading investors by overstating the company’s technological capability and business prospects when he was running the company. He resigned from Nikola in 2020 and was subpoenaed as part of an investigation by the Department of Justice.

Nikola raised $200 million in convertible notes in early May and wanted to maintain options as the company works to get its electric and hydrogen fuel cell trucks into mass production. With $385 million in cash and $409 million in equity lines with Tumim Stone Capital, the company had access to about $1 billion in liquidity at the end of the first quarter.

If Nikola needs more cash, it could sell more equity but needs majority shareholder approval. With Milton opposed, the company will need to go out and find support from retail shareholders and other owners who didn’t vote. The company is planning to do that if Milton won’t get on board with the plan, said one of the people, who asked not to be identified because the plans haven’t been disclosed.

The company said in February that it started a pilot program with Anheuser-Busch InBev SA to start work with hydrogen fuel cell trucks and expected to build as many as 500 electric semi trucks.
