TORONTO, Aug 29 (Reuters) - BCE Emergis` (Toronto:IFM.TO - news) purchase of the Internet payment company,
InvoiceLink, on Tuesday will place pressure on margins for this year and next, but will enhance revenue opportunities for the
electronic commerce enabler.
BCE Emergis said on Tuesday it would pay $88.3 million for InvoiceLink Corp. to enhance its Internet-based payment and
invoicing systems for the financial services industry.
InvoiceLink has developed a system that allows for invoices to be presented to businesses and for payments to funnel back through the Internet.
``This is a major move for us. Invoicelink has developed and patented what we believe to be the world`s best in payment and presentment,`` said BCE Emergis Chief
Executive Brian Edwards.
And although the acquisition will pressure profit margins, enhanced revenue opportunities will emerge from the transaction for BCE Emergis` other lines of business.
``This adds about $1 million per month in operating expenses which puts some pressure on EBITDA (earnings before interest, taxes, depreciation and amortization)
margins for this year and next,`` said Edwards in a conference call with analysts.
``But we think we can maintain current EBITDA targets of 15 to 20 percent...we think we can add this product to some of our existing Emergis products and
leverage some revenue from that,`` added Edwards.
Furthermore, BCE Emergis will account for $97.7 million of goodwill resulting from the purchase, which will be amortized over 36 months on its balance sheet.
BCE Emergis, 65 percent owned by BCE Inc. (Toronto:BCE.TO - news), said the purchase of privately held InvoiceLink of Greensboro, North Carolina, should
close next month.
InvoiceLink will receive shares and options in BCE Emergis amounting to $88.3 million with 50 percent paid upon closing, and the balance paid in three instalments
on the anniversary dates of the closing.
Up to 20 percent of the purchase amount could be paid in cash, and the three stock instalments will be based on BCE Emergis` average stock price for the 10 days
prior to the payment dates.
BCE Emergis also said it will pay down InvoiceLink`s $5.3 million in debt, and has already advanced $4.5 million to InvoiceLink as working capital.
BCE Emergis said InvoiceLink has operating expenses of $1 million per month and has yet to record ``significant`` revenues. In 2001, InvoiceLink expects to have
$5 million in revenue and a loss of $12 million before interest, taxes, depreciation and amortization.
``We think we can do things to significantly enhance their revenues next year,`` said Edwards.
Shares in BCE Emergis rose C$1.50 to C$89.70 on the Toronto Stock Exchange at midday on Tuesday.

Termed `major move`: Expanding electronic invoice, payment services
BCE Emergis Inc., the electronic commerce arm of BCE Inc., announced a US$88.3-million deal yesterday, including US$5.3-million in acquired debt, to buy InvoiceLink Corp., a developer of online payment and invoicing systems.
The plan, according to BCE, is to use InvoiceLink`s technology to expand BCE Emergis` electronic invoice presentment and payment (EIPP) services in Canada, while focusing on becoming the leading provider of B2B EIPP services to the electronic health and financial services sectors in the United States.
Calling the acquisition a "major move," Brian Edwards, president and chief executive of BCE Emergis, said his company had looked at "almost all companies working in this space" and settled on InvoiceLink because it has "developed and patented what we believe is the world`s best technology in electronic invoice and presentment ... one that has potential to shape industry standards."
In addition to providing billers with a back office support system, InvoiceLink`s technology allows a company`s trading partners to use the Web to receive and pay invoices, dispute invoice totals or individual line items, pay selected invoices and view their payment history.
Industry watchers applauded the deal, calling it a jumpstart to BCE Emergis` EIPP initiatives, which seem to have "bogged down" in the B2C arena since the company announced a partnership to launch E-Route Inc. with Canadian financial institutions about 18 months ago. E-Route, an electronic bill presentment service targeting consumers, is still in the trial stage.
"They`ve bought some excellent technology ... and the beauty of it is that it`s proprietary, it`s patented, so Emergis is going to be able to integrate this technology into all their applications," said Ralph Garcea, a Toronto-based financial analyst with Credit Suisse First Boston, adding that BCE Emergis is doing a good job of making itself a one-stop EIPP shop.
"Businesses will now be able to go to Emergis and get all their online procurement, invoicing and bill payment services."
The B2B market in the United States is a good and "potentially profitable" place to focus, Mr. Garcia said, because "it`s wide open" while the B2C market is dominated by players such as Atlanta-based CheckFree Corp., which has been in the electronic billing game since 1981.
BCE Emergis is developing a transaction-based business model that could charge 50¢ to $1 per invoice. And in the United States alone, over 10 billion paper invoices float around every year, the analyst added.
Worldwide, payment processing is currently a US$285-billion annual business for banks, technology vendors and third-party service providers, according to the TowerGroup, a Boston research and consulting firm that serves the financial services industry.
InvoiceLink, a privately held startup launched in 1997, will receive 50% of its sale price in BCE Emergis shares and options when the deal closes next month. The balance will be paid in three installments on the anniversary dates of the closing.
To date, InvoiceLink, which has monthly operating expenses of about US$1-million, has yet to generate significant revenues. In 2001, the company expects to bring in about US$5-million in revenue and record a US$12-million EBITDA loss.
While BCE Emergis admits the acquisition puts "some pressure" on its ability to meet analysts` expectations this year, Mr. Edwards said the company does not anticipate any problems.
Credit Suisse First Boston still recommends BCE Emergis as "a strong buy," Mr. Garcia said, adding he expects the company to generate about $460-million in revenue this year.

Ja, was soll man dazu sagen. Gestern wie ein Stein nach unten und heute stellt man die Ausgangslage wieder her. Alarm beendet ? Was soll man da denken, wenn das hier überhaupt angebracht ist ?

ich bin bullish was das Unternhemen angeht, aber ein wenig skeptischer was die Aktie betrifft. Man darfnicht vergessen dass die Bewertung leider (bin auch hoeher engestiegen ) immer noch nicht gerade gering ist.
Gibts Interesse, dasganze ein wneig zu diskutieren???

Ich würde schon gern wieder etwas Bewegung im Thread sehen. Bei Canada.com kriegt man ja ein paar Infos mit dem "Hexler" auf deutsch rüber, aber in diversen enlischspr. Threads gehe ich erst gar nicht.
Der blanke Wahnsinn ist , daß die Aktie ja ab und zu in Deutschland gehandelt wird.
Hoffe, das wird sich mit dem Nasdaq-Listing bis Ende des Jahres verbessern.

habe den Kurs leider (mit Schrecken ) verfolgt. Bin nicht sehr optimistisch, was den Kurs Kurzfristig betrifft, aber was das Unternehmen betrifft.
NASDAQ sehe ich auch noch nicht, das kann noch dauern, nach den Staements bei den letzten Zahlen zu urteilen...
Werdemich Ende der Woche mal ausführlicher melden,

MONTREAL - BCE Emergis Inc. is on a solid growth path and will relaunch its U.S. equity issue as soon as high-tech markets fully stabilize, Brian Edwards, its chief executive, said yesterday.
Last February, the shares of the 65%-owned e-commerce unit of BCE Inc. soared to almost $190 before crashing with the rest of the high-tech market to the low sixties. It had to shelve plans for a public offering in the United States and a Nasdaq listing. Yesterday, the shares traded at $70, down $1.25 on the day.
"We`re still not sure when conditions will be right in this fluid market," said Mr. Edwards. "The drop in our share price raised acquisition prices for us, of course, but there`s no real urgency about the U.S. equity issue. However, it`s important in building a strong presence in the burgeoning U.S. e-commerce market."
