Efficient Networks expandiert in Asien

Hab an möglichen Kritikpunkten gefunden:

See you, R.R.

"They have a successful history of field-proven DSL CPE and a product roadmap that will allow us to offer our customers integrated voice and data services over the DSL connection."
"Efficient is pleased to establish this business relationship with Vectris," says James Hamilton, executive vice president of sales and marketing for Efficient Networks. Acquisition Extends Next Generation Network Management to Broadband Solutions
DALLAS, Sep 28, 2000 /PRNewswire via COMTEX/ -- Efficient Networks, Inc. (Nasdaq: EFNT chart, msgs), a leader in broadband digital subscriber line (DSL) solutions, today announced that it has acquired privately-held MultiMedia Development Corporation (MMD), a leading software vendor providing network management systems and solutions for the broadband networking industry. MMD brings to Efficient a strong foundation of management technology and expertise, underscoring Efficient`s strategy to offer complete broadband solutions to its customers.
MMD`s management systems address a growing need among network service providers. As the speed and scale of broadband networks continue to increase, network operators face significant challenges integrating new equipment, and adding new customers and services to their networks. With broadband services being offered to millions of new customers, the software systems that enable management of diverse equipment and services have become strategic components of the network. By combining their efforts, Efficient and MMD expect to enable their customers to create profitable service offerings for a large new set of customers, utilizing diverse networking technologies such as ATM, Frame Relay, IP and DSL.
Management systems developed by MMD are deployed in large service provider networks, enabling remote management of individual network elements, complete network topologies and network services. MMD is a technology leader for automated provisioning of multi-service, multi-vendor networks, as well as fault isolation and capacity management. MMD also provides sophisticated software tools for automated testing and gateway signaling. When combined with Efficient`s broadband products, these capabilities will enable carriers to rapidly pursue new opportunities such as automatically-provisioned or customer-provisioned services, Virtual Private Networks (VPNs), integrated voice and data services, and other capabilities that target enterprise customers.
Efficient and MMD have each developed alliances with a number of common telecommunications industry equipment providers, and the companies will pursue the natural opportunities that result from an expanded set of products and customers. MMD is based in Richardson, Texas, near Efficient`s corporate headquarters. After the acquisition MMD will operate as the Service Management Business Unit of Efficient Networks. Barry McConachie, president of MMD, will join Efficient as a member of the senior management team.
Under terms of the agreement, Efficient Networks issued approximately 2.4 million shares of Efficient common stock in exchange for all of the outstanding stock of MMD. The transaction will be accounted for as a pooling of interests. No further details were disclosed.

Ciao Salamanca
meine Lieblingswerte z.Z.(morgen wahrscheinlich wieder andere):
CMRC
INSP
VIGN

Deutschen Telekom an der New Yorker Börse gnadenlos niedergeprügelt.Mittlerweile

@Flatine&buck,
Worst-case 2650 Punkte.(Nemax all share).
Was meint Ihr dazu?
Ab wann wiürdet Ihr wieder einsteigen?
DANKE

Lucky me!

DALLAS, Aug. 31 /PRNewswire/ -- Efficient Networks, Inc. According to the Dell`Oro Group, a market research firm that specializes in providing data on the networking industry, Efficient has over 26% worldwide market share for DSL customer premises products, while Cahners In-Stat Group, a research firm specializing in digital communications, reported Efficient at over 33% domestic market share for ADSL customer premises products in the second quarter of 2000.

meint Ihr?

Copper Mountain, Covad send DSL stocks reeling
By Larry Dignan ZDII
Copper Mountain and Covad Communications imploded in early trading Wednesday on disappointing financials, leading to a sharp sell-off of stocks related to digital subscriber line technology.
DSL shares were rocked across the board. DSL equipment company Copper Mountain (Nasdaq: CMTN) was the biggest decliner, falling 63 percent, or 16.90, to 9.90. Covad (Nasdaq: COVD), a DSL service provider, was off 56 percent, or 4.80, to 3.78. Northpoint (Nasdaq: NPNT), a Copper Mountain customer and DSL provider, was down 23 percent to 4.68. Service provider Rhythms Netconnections (Nasdaq: RTHM) was off 24 percent to 2.88. Efficient Networks (Nasdaq: EFNT), which makes DSL access equipment, was down 39 percent, or 18, to 27.
Analysts were busy handing out the downgrades. Copper Mountain was cut to a "neutral" from "strong buy" at W.R. Hambrecht. CS First Boston cut its ratings on Northpoint and Rhythms Netconnections to "hold" from "buy."
Here`s what got the sell-off rolling. Copper Mountain topped estimates with third quarter earnings of 27 cents on sales of $93.5 million. But Copper Mountain dropped a bombshell on investors with its outlook.
Citing a slowdown in spending from competitive local exchange carriers (CLECs), Copper Mountain projected sales of about $60 million in the fourth quarter, roughly a 35 percent drop from the third quarter. Earnings will be between 4 cents and 6 cents a share, way short of the current First Call Corp. estimate of 28 cents a share. Copper Mountain projected sales between $300 million and $330 million in fiscal 2001 and earnings of between 16 cents to 25 cents a share. Analysts were expecting a profit of $1.37 a share in fiscal 2001.
Copper Mountain`s 2001 sales projections were more than $200 million lower than analysts` estimates.
W.R. Hambrecht analyst Tim Savageaux cut his revenue and earnings estimates substantially. "These decreases are a direct result of the company`s considerable reliance on CLEC customers whose financial and operational outlook has been uncertain," he said in a note.
Not to be outdone, Covad dropped almost as big of a bombshell on investors. Covad reported a wider-than-expected third quarter loss, and said tight financial markets are causing some clients to have trouble paying bills, leading Covad to reduce its own sales by about $11.4 million.
The DSL service provider reported a third-quarter net loss of $189.9 million or $1.22 per share on revenues of $66.7 million. Covad`s earnings compared to a net loss of 47 cents a share on sales of $19.1 million in the same quarter last year.
Analysts polled by First Call expected a loss of $1.18 per share.

DALLAS, Oct. 18 /PRNewswire/ -- Efficient Networks, Inc. (Nasdaq: EFNT), a

quarter of operating profit and its fifth consecutive quarter of record
revenues as a publicly held company.
Revenues for the quarter ending September 30, 2000 were $127.2 million, an
increase of 24% over revenues of $102.4 million for the quarter ended June 30,
2000 and an increase of 864% over revenues of $13.2 million achieved in the
comparable quarter a year ago. The company`s sequential revenue growth rate
over the past 12 months is more than 76% per quarter.
Operating profit for the quarter ended September 30, 2000, excluding
merger costs, amortization of deferred stock option compensation and goodwill,
was approximately $6.1 million, or $0.10 per share based on 58.5 million
weighted average shares outstanding. This compares to an operating loss,
excluding amortization of deferred stock option compensation and goodwill, of
$1.8 million or $0.03 per share for the quarter ended June 30, 2000 based on
57.0 million weighted average shares outstanding. Weighted average shares
outstanding for both quarters include 2.4 million shares issued in connection
with the merger of MultiMedia Development Corporation (MMD).
Reviewing the first quarter, Efficient Networks Chairman, President and
Chief Executive Officer Mark Floyd said: "Our company achieved all of its
goals during the quarter. We once again posted record revenue as demand
remains very strong for our products. More importantly, we turned an
operating profit for the first time in our history. We set a goal of
operating profitability for our fifth quarter as a publicly held company at
the time of our initial public offering in July of 1999. We not only met
this timetable, we delivered operating profitability well beyond analyst
estimates."
Shipments into the networks of SBC Communications and Covad
Communications Group, Inc. in the United States and of Hanaro Telecom in Korea
each represented more than 10% of the company`s net revenues for the quarter
ending September 30, 2000. The company`s top ten customers represented 88% of
net revenues for the quarter ended September 30, 2000, compared to 92% in the
quarter ended June 30, 2000. Network service providers including BellSouth,
WorldCom, Sprint, America Online, Telefonica, Belgacom and British Telecom
placed new orders with Efficient Networks during the quarter.
During the September quarter, Efficient Networks shipped products for a
significant new enterprise application. In conjunction with Covad and Big
Net, Efficient is supplying DSL access products for the Ford Motor Company`s
Model E employee Internet access program.
Also during the quarter, the company completed the acquisition of
MultiMedia Development Corporation (MMD), developers of management systems and
solutions for the broadband networking industry. The management software
developed by MMD is deployed in large service provider networks, enabling
remote management of individual network elements, complete network topologies
and network services. Efficient plans to leverage MMD`s capabilities,
enabling carriers to rapidly pursue new opportunities such as automatically
provisioned or customer-provisioned services, Virtual Private Networks (VPNs),
integrated voice and data services, and other services that target enterprise
customers. The acquisition of MMD closed on September 27, 2000 and was
accounted for as a pooling of interests. All numbers discussed in this
release have been adjusted to give effect to the pooling.
To date, Efficient Networks has acquired three companies: FlowPoint
Corporation, Network TeleSystems, Inc. and MultiMedia Development Corporation.
For the quarter ended September 30, 2000, sales to customers outside of
North America represented $28.1 million, or 22% of net revenues, compared to
$24.3 million, or 24% of net revenues for the quarter ended June 30, 2000.
The company expects that a substantial portion of its revenues will continue
to be derived from customers outside of North America.
Gross margins in the first quarter increased six percentage points to 33%,
compared to 27% for the quarter ended June 30, 2000 and 11% in the comparable
quarter one year ago.
Operating expenses, excluding acquisition related charges and deferred
stock option compensation, were $36.7 million or 29% of net revenues for the
quarter ended September 30, 2000, compared to $31.6 million or 31% of net
revenues for the quarter ended June 30, 2000. The increase in operating
expenses in absolute amount resulted primarily from an increase in personnel
in the company`s research and development and sales organizations. The number
of employees increased 20% from 430 at June 30, 2000 to 515 at September 30,
2000.
The net loss for the September quarter was $45.2 million, or $0.77 per
share. Net loss for the September quarter included amortization of deferred
stock option compensation of $1.2 million, amortization of $47.2 million of
intangible assets relating to the December 1999 acquisition of FlowPoint
Corporation, the May 2000 acquisition of Network TeleSystems, Inc. and
$3.0 million of merger costs for MMD. This compared with a net loss of
$49.6 million, or $0.87 per share (including amortization of deferred stock
option compensation of $1.1 million and amortization of intangible assets of
$46.7 million) for the quarter ended June 30, 2000 and a loss of $8.3 million
(including amortization of deferred stock option compensation of $1.4 million)
for the corresponding quarter one year ago.

While Copper Mountain actually came in a penny ahead of Wall Street expectations for the quarter, it lowered earnings estimates for the fourth quarter on the expectation that competitive local exchange carriers (CLECs) would cut funding.
Copper Mountain`s exposure to CLECs is almost 100 percent, while Efficient`s is only about 20 to 25 percent, said Syed Haider, an industry analyst at Frost Securities.
"The difference between us and Copper Mountain is that they`re a DSLAM and we are a provider of CPE," Jill Manning, Efficient`s CFO told CBS.MarketWatch.com. "So there`s not a lot of overlap between our customer base and their business.
"We interoperate with their DSLAM and almost every other DSLAM on the market today, but we feel we have a broader product offering and a broader customer base," Manning said.

Efficient Networks reported a very solid FQ1:01 October 18, 2000, which we believe will dispel the concerns that drove the stock down more than 35% yesterday. After yesterday`s selloff we view the shares as a bargain. We reiterate our Strong Buy rating.

Efficient Networks, Inc. to Be Acquired by Siemens for $1.5 Billion
Merger Will Empower the Combined Company to Drive the Broadband Marketplace Globally
DALLAS, Feb. 22 /PRNewswire/ -- Efficient Networks, Inc. (Nasdaq: EFNT - news), a leading provider of broadband digital subscriber line (DSL) solutions, and Siemens, a leading provider of integrated voice and data networks for enterprises, carriers, and service providers, today announced that they have entered into a definitive merger agreement under which Siemens will make a cash tender offer, subject to the approval of regulatory authorities, for all of Efficient Networks` outstanding shares. Siemens will offer $23.50 per share, which values Efficient Networks at approximately $1.5 billion. The transaction will enable Siemens Information and Communications Networks Group (ICN) to strengthen its global leadership position in the DSL broadband access market.
``With the strong presence of Siemens ICN in over 160 countries, this acquisition will empower us to further accelerate the growth of our business, and enhance our ability to drive the global adoption of broadband networks and services,`` said Mark Floyd, Efficient Networks` founder and chairman of the board. Under terms of the transaction Mr. Floyd will become president of ICN`s Access Solutions division and will have worldwide responsibility for this business. Efficient Networks` management team will continue to manage all of Efficient Networks` activities within the Access Solutions division at Siemens ICN.
With the acquisition of Efficient Networks, Siemens, already a leading provider of DSLAM (digital access subscriber line multiplexer) technology for service providers, extends its broadband access portfolio to encompass customer premises equipment for businesses and consumers. ``This acquisition is a key element in our strategy to strengthen our product portfolio, optimize processes, energize staff and increase our profitability,`` said Roland Koch, president of Siemens` ICN Group and member of the management board of Siemens. ``With our focus on broadband access solutions, we can now offer our customers comprehensive end-to-end solutions, dramatically increasing our presence in this rapidly growing market segment, and enabling us to become one of the top three global suppliers of broadband solutions within the next three years.``
Efficient Networks also announced today that it has been selected by SBC Communications, Inc., as its provider of external Ethernet attached DSL modems. The agreement between Efficient Networks and SBC covers a one-year period with two discretionary one-year extensions. Efficient Networks has been supplying DSL modems to SBC since an initial agreement in October 1999.
Under the terms of the definitive merger agreement, Siemens will make a two-step acquisition. Siemens will first make a cash tender offer for all of Efficient Networks` outstanding common stock. Siemens` obligation to consummate the tender offer is subject to conditions customary to a transaction of this size and nature, including the tender of a minimum of 51% of the shares of Efficient common stock in the tender offer and the receipt of certain U.S. and German regulatory approvals. Following consummation of the tender offer, and subject to the conditions set forth in the merger agreement, Siemens will acquire the remaining shares of Efficient Networks` outstanding common stock through a merger of a wholly owned subsidiary of Siemens with and into Efficient Networks. The merger is expected to close in April 2001.
This release is neither an offer to purchase nor a solicitation of an offer to sell securities of Efficient Networks. The tender offer will be made solely by an offer to purchase and related letter of transmittal to be disseminated upon the commencement of the tender offer. Shareholders of Efficient Networks should read the tender offer documents, including the Efficient Networks solicitation/recommendation statement when it is available because they contain important information.
Efficient Networks will provide additional information during a scheduled conference call on February 22, 2001 at 1:00 p.m. EST. Domestic: +1(800) 619-7379; International: +1(712) 257-2778; Password: Efficient Networks; Leader: Mark Floyd.

Was würdet ihr an meiner Stelle machen?
