      Commerce One to Extend E-Marketplace Leadership Through Acquisition of Exterprise
      Exterprise to Enhance MarketSite(TM) Operating Environment to Enable Development and Deployment of E-Marketplace-Based Applications
      PLEASANTON, Calif.--(BUSINESS WIRE)--March 20, 2001-- Commerce One, Inc. (Nasdaq:CMRC - news), the e-marketplace company, today announced it has reached a definitive agreement to acquire Exterprise, a leading provider of software solutions for building and managing collaborative business networks. It is expected that the merger will enable Commerce One, its customers and other software vendors to develop and deploy a broad range of e-marketplace-based applications for both public and private e-marketplaces.

      Exterprise provides key capabilities critical to e-marketplace development: an e-marketplace user interface that brings together disparate applications within a common look and feel; a business process engine to power complex, collaborative workflows at the e-marketplace; application components for supplier management, collaboration and business intelligence; and a development environment that makes it possible for e-marketplace operators, systems integrators and software vendors to quickly develop tailored applications that link critical business processes between multiple trading partners.

      ``Exterprise enables a whole new type of application, based at the e-marketplace, that powers inter-company processes and offers new levels of collaboration between multiple trading partners,`` said Mark Hoffman, chairman and CEO, Commerce One. ``Our customers tell us that collaborative e-marketplace applications designed for specific companies, industries or regions will drive the next wave of e-marketplace adoption. We believe this acquisition will give us the ability to extend our leadership of the e-marketplace category.``

      Commerce One plans to incorporate Exterprise`s capabilities into the next generation of MarketSite(TM) Operating Environment, enabling the development and deployment of e-marketplace-based applications, while complementing and further enabling applications from key Commerce One partners, including SAPMarkets.

      The acquisition is structured as a stock-for-stock exchange and will be accounted for as a purchase transaction. Commerce One expects to exchange no more than 7.5 million shares of its common stock for all outstanding shares of Exterprise. The acquisition is subject to Exterprise stockholder approval and customary regulatory approvals. Based upon the closing price of Commerce One common stock on March 19, 2001, the exchange value would be no more than $78 million. Commerce One expects to complete the acquisition of Exterprise in the second quarter of 2001.

      Pending the closing of the transaction, Commerce One expects to offer Exterprise e-marketplace capabilities in the second half of 2001. Complete integration of the Exterprise development platform into MarketSite Operating Environment is currently scheduled for the first quarter of 2002.

      ich glaube kaum, daß das hier noch jemanden interessieren wird. zuviele haben sich an diesem unternehmen die finger verbrannt und absolut die schnauze voll von commerce one.
      leider nur noch eine aktie für zocker oder leute die ihrem sauer verdientem geld böse sind.
      man kann in einem aktienkurs einfach nicht schon 5 bis 10 jahre im voraus einpreisen, das geht auf dauer schief - punkt aus.

      Die Firma war mir bislang völlig unbekannt. Es ist aber zunächst mal positiv, daß C1 reine Technik und nicht Umsatz hinzukäuft. Wenn man nur die Technik braucht, macht es wenig Sinn, erwachsene, umsatzstarke Firmen wie Agile zu kaufen. Die Produkte sehen auch danach aus, als wenn sie die C1/SAP-Lösungen ergänzen könnten.

      ``Exchanges of today are purely transaction-based and do not offer the branding and marketing capabilities necessary to maintain customer relationships.``
      So says AGRIS President Tom Taylor. AGRIS, which is part of the John Deere Special Technologies Group, plans to roll out a B2B e-commerce marketplace for the agriculture industry in March. The marketplace will be geared toward transactions, but also toward but functionality for all participants (including farmers, shippers, and logistics service providers) to enhance their business relationships.

      To this end, AGRIS is working with e-commerce platform provider Exterprise, whose focus is on going beyond auctions and spot transactions to provide collaborative features like cross-enterprise RFP negotiation, contract and order management, and personalized showrooms. Taylor and the AGRIS team chose Exterprise from a group that included 87 vendors.

      Exterprise Co-founder Dr. S.P. Rana, who is also CTO, said that AGRIS and Exterprise shared a similar philosophy when it came to the structure of the proposed marketplace. ``Marketplaces should be collaboration infrastructure providers ... complex relationships between partners require an infrastructure like the one we provide, in which all partners benefit. The problem is that in traditional marketplaces, the value wasn`t created for all parties. It was either for the buyer or the seller.`` That kind of proposition can`t be sustained in the long-term, argues Rana.

      Analyst David S. Marshak of The Patricia Seybold Group says ``In value-based markets, purchasing decisions are based on multiple criteria [including] product specs, service levels, credit/payment, delivery capability, and brand. These are the things that customers care about when they shop for mission-critical goods and services. In addition, the purchase processes are not one-stop events. They often taken place over an extended period of time and frequently involve multiple parties supplying and fulfilling the transactions.`` In this environment, Marshak says he believes Exterprise provides key tools for discovery, negotiation, and support.

      AGRIS, founded in 1978, provides IT products and services to agribusiness. The company makes software for managing crop protection, farm supply, food processing, and other processes.

      Exterprise bietet m.E. eine Exchange wie sie derzeit Broadvision verkauft (E-Showrooms, E-Marketing/Analysis, null Überschneidung mit SAP). Damit ändert sich an der Wettbewerbsfähigkeit von C1 nur wenig, ist aber zu diesem Preis auch nicht das übelste.
