Genesis Signs Contract With Steel Products Company With Revenues of $45 Million and Net Assets of $22 Million

BEIJING, April 3, 2007 (PRIME NEWSWIRE) -- Genesis Technology Group, Inc. (OTCBB:GTEC) announced the signing of a contract with a major Chinese steel products company, as the fifth partner company in its private-to-public program. As reported by the Chinese company, fiscal year 2006 showed revenues of approximately $45 million, net income of $6 million, and net assets of $22 million. The Company reported annual revenue growth in excess of 20% for the past three years.

As part of its suite of services for its steel products partner, Genesis has engaged a Certified Public Accounting firm in Beijing to perform the pre-audit and a Shanghai-based law firm to complete the requisite legal work. Upon completion of this stage of the process, the Company will engage a U.S. auditing firm to conduct a U.S. GAAP audit. The entire private-to-public program, under the "umbrella" subsidiary Genesis Equity Partners (GEP), is estimated to require 6 to 9 months, after which Genesis should earn a significant equity stake in the newly established public company, as it did with Lotus Pharmaceuticals, Inc. (OTCBB:LTUS) last year.

Dr. Shaohua Tan, who negotiated the contract with the steel products company, serves as the Genesis Director at its Beijing executive offices. Dr. Tan commented: "The GEP private-to-public program is a challenging process, requiring committed Chinese partners and experienced U.S. guidance. Es hat nichts mit 1000% zutun... aber wenn der Kurs von 0,11 auf 0,135 geht und dann auf 0,10 runter geht. Dann sind entweder die NEWS nicht korrekt oder nur müll.

Ok... ich habe nie gesagt das ich VIEL Ahnung habe... aber das was ich sehe, macht mich einfach stützig.

Bitte erkläre mir, das was ich nicht verstehe bzw. nicht verstanden habe. Weil der Kurs in USA gemacht wird, heist es das man auf den Kurs hier nicht gucken muss? Also ist demnach FFM 0,103 Euro nicht richtig, sondern 0,1539 USD = 0,1153 Euro richtig.

genau so sieht es aus.die aktie wird im moment in germany unter pari gehandelt. hoffentlich steigt die aktie in usa heute, dann wird germany kräftig nachziehen. die news sind aufjedenfall o.k. und die aktie könnte tatsächlich 100 % machen.

Umgerechnet pro Aktie wären das ja 0,26 Dollar. Dann würde ja allein aus dem Grund der jetzige Kurs ein Witz sein.

Es hapert nur noch an der Bekanntheit der Aktie. Aber das wird sich mit der nächsten News sehr wahrscheinlich ändern, wenn absehbar wird, wie profitabel Genesis ist.

Wir steigen nur nicht weil die Aktie kein Volumen hat. Warte mal ab bis die nächste News kommt. Dann kannst du sie bestimmt für 30% mehr verkaufen.

Die Aktie fristet mopmentan wohl ein "Schattendasein".
Sie ist wohl für die Allgemeinheit (noch) nicht so "sexy" wie z. B. eine reine Gold- oder Uranaktie.

Aber spätestens wenn sich die neusten Beteiligungen in den Bilanzen von Genesis niederschlagen, dann wird auch wieder die breitere Öffentlichkeit Notiz von dieser Aktie nehmen.

Ich würde diese Aktie aber nach einem 30% Anstieg noch nicht verkaufen. Ich sehe hier längefristig größeres Potential.
Die neuen Beteiligungen werden erst so langsam (auf sich von mehreren Jahren) ihr ganzes Plus für Genesis ausspielen....
Meine Meinung.
Also Geduld. Wer derzeitig den schnellen Euro sucht, ist wohl eher fehl am Platz.

seh ich mittlerweile ähnlich..hier braucht man seh rviel geduld.
wie ich immer wieder sage..wartet diew olympiade in china ab.
dort könnte genesis sehr gute geschäfte machen und dann denke ich wird sie richtig steigen.
haltet mich für verrückt, aber ich denke dann ist die Fa. (so bis 2009) auch ein kandidat auch über die 1.- € marke zu klettern.
ist zwar zur zeit kaum vorstellbar aber die 0,50 sollten allemal drin sein.
ich verkauf jedenfalls auch dann noch nicht.

1. Lotus has shown good progress since becoming a GEP partner company
last March. GTEC owns 6.7 million LTUS common shares of the 50

Hab schon vor nem halben Jahr hier geschrieben, dass erkennbar ist, dass die Kohle nicht ohne eine Kapitalmaßnahme reichen kann!
Solange das nicht geklärt ist, wird der Kurs nicht groß steigen. Bis Gtec aus den nunmehr 6 Beteiligungen cash-flow generieren kann, wird noch einige Zeit vergehen und die Kosten für die neuen Beteiligungen laufen weiter. Die bezahlen jetzt schon viele Kosten mit eigenen Aktien.
Aber wenn Gtec in der Lage ist, finanziell durchzuhalten, denk ich dass die Beteiligungen irgendwann dieselbe Auswirkung auf den Kurs haben, wie vor über einem Jahr die Beteiligung an Sunwin. Und Sunwin war damals die einzige Beteiligung.

Aber die nachstehende Meldung von letzter Woche ist doch entweder ein Armutszeugnis bzw. man könnte auf den Gedanken kommen, die Gesellschafter betrachten die Fa. jetzt als Selbstbedienungsladen.
Wenn ich den englischen Text richtig verstanden habe, hat Clinton der Gesellschaft für 6 Monate(!)ca. 300.000$ geliehen, damit Genesis den Gold Horse-Deal zu Ende bringen kann. Dafür erhält er 20% des 33%-Anteils von Genesis an Gold Horse (Wahnsinns-Zinsatz!!!). Clinton verfügt lt. Meldung von Speh.ob (Gold Horse)tatsächlich mittlerweile über ca. 3,3 Mio Gold Horse-Aktien.
Das Darlehn selbst ist mit ca. 3,3 Mio Lotus-Aktien abgesichert!!!!!. Wenn Clinton von Genesis überzeugt wär, warum leiht er denen das Geld nicht zu angemessenen Zinsen bzw. gegen Genesis-Aktien.

("Jin Ma"), a real estate development company in Western China, to globalize its operations in the areas of real estate construction and hospitality. Having successfully completed a reverse acquisition with Speedhaul Holdings, Inc., Jin Ma began operating in the U.S. as Gold Horse International, Inc. (OTCBB:SPEH.OB - News). Genesis Equity Partners received a 33% equity position in the new Gold Horse public company and will also receive ongoing consulting fees for coordination and oversight of its U.S. business activities. Sollte sich an den outstanding shares nichts ändern wäre bei einem KGV von nur 5 (Gewinn Laiyang 2006 17Mio.$ - Kurs dann 0,85$) die MK bei ca. 75Mio.$ - und das wäre dann sicher keine Übertreibung, das ja die bisherigen Asstes von Genesis Techn. weiterhin in der Fa. verbleiben

Allerdings muß man dazu schon noch die Merger Konditionen (werden lt. PR noch gefiled) abwarten - aber eine Neubewertung dürfte nun grundsätzlich anstehen

Entry into a Material Definitive Agreement, Completion of Acquisitio



Item 1.01 Entry into a Material Definitive Agreement
On October 1, 2007, Genesis Technology Group, Inc., a Florida corporation ("Genesis"), executed a Share Acquisition and Exchange Agreement ("Exchange Agreement") by and among Genesis, Karmoya International Ltd., a British Virgin Islands company ("Karmoya"), and the shareholders of 100% of Karmoya's capital stock (the "Karmoya Shareholders"). The following is a brief description of the terms and conditions of the Exchange Agreement and the transactions contemplated thereunder that are material to Genesis.

Issuance of Preferred Stock. At Closing, Genesis issued 5,995,780 shares of its Series B Voting Convertible Preferred Stock (the "Series B Preferred Stock") and 597 shares of its common stock to the Karmoya Shareholders in exchange for 100% of the capital stock of Karmoya. The shares of Series B Preferred Stock issued are convertible, in the aggregate, into 299,789,000 shares of Genesis's common stock that, when combined with the 597 common shares issued to the Karmoya Shareholders, would equal 75% of the issued and outstanding shares of Genesis's common stock on a fully-diluted basis if the preferred shares were to be converted on the Closing Date.

Consulting Agreement with Karmoya Shareholder. Under the Exchange Agreement, Genesis agreed to engage Cawston Enterprises, Ltd., a Beijing-based consulting company and a Karmoya Shareholder, immediately following the Closing, to assist Karmoya and Genesis in the business transition pursuant to the Exchange Agreement, both in China and the U.S. For a period of six (6) months, Genesis shall pay to the consultant $25,000 per month or a single payment, to cover the same period, of $100,000 to be paid within three (3) days of Closing.

Conversion of Options into Common Stock. Under the Exchange Agreement, Genesis also agreed to cause 8,806,250 of its outstanding options to be converted into 1,761,250 shares of common stock, such that there were 7,777,343 options outstanding at Closing.

Call of Special Shareholders' Meeting. Under the Exchange Agreement, Genesis agreed to cause its board of directors to call a special shareholders' meeting to be held within 60 days of the Closing to vote upon (i) an increase in the authorized number of shares of Genesis common stock to at least 600,000,000; or alternatively, a reverse stock split in which at least every seven (7) shares of common stock shall be combined into one (1) share, or a combination of the two and (ii) an increase of the authorized number of directors.

Change in Management. In connection with the Closing of this transaction, and as more fully described in Item 5.02 below, certain of Genesis's directors and all of Genesis's officers resigned (and their respective employment agreements were terminated) and designees of Karmoya were appointed as new directors and officers of Genesis effective at Closing.

The closing of this transaction (the "Closing") occurred on October 1, 2007 (the "Closing Date"). A copy of the Exchange Agreement is included as Exhibit 2.1 to this Current Report on Form 8-K.

Item 2.01 Completion of Acquisition or Disposition of Assets
As more fully described in Item 1.01 above, on October 1, 2007, Genesis Technology Group, Inc., a Florida corporation ("Genesis") executed a Share Acquisition and Exchange Agreement ("Exchange Agreement") by and among Genesis, Karmoya International Ltd., a British Virgin Islands company ("Karmoya"), and the following shareholders of 100% of Karmoya's capital stock (the "Karmoya Shareholders"): Wang Shuo, Ai Yunian, Zhao Qun, Chang Zhaozhen, Cawston Enterprises Ltd., Greenview Capital Advisors LLC, Cao Wubo, Xun Guihong, and Zhang Yihua. Separately, Karmoya owns 100% of the capital stock of Union Well International Limited, a Cayman Islands company ("Union Well"), which has established and owns 100% of the equity in Genesis Jiangbo (Laiyang) Biotech Technologies Co., Ltd., a wholly foreign owned enterprise in the People's Republic of China ("GJBT"). GJBT has entered into consulting service agreements and equity-related agreements with Laiyang Jiangbo Pharmaceutical Co., Ltd. ("Laiyang Jiangbo"), a limited liability company headquartered in, and organized under the laws of, China. Throughout this Form 8-K, Karmoya, Union Well, GJBT and Laiyang Jiangbo are sometimes collectively referred to as the "LJ Group."

Under the Exchange Agreement, on the Closing Date, we issued 5,995,780 shares of our Series B Voting Convertible Preferred Stock (the "Series B Preferred Stock") to the Karmoya Shareholders and 597 shares of our common stock in exchange for 100% of the capital stock of Karmoya. The shares of Series B Preferred Stock issued are convertible, in the aggregate, into a number of shares of our common stock that, when combined with the common stock issued to the Karmoya Shareholders, would equal 75% of the issued and outstanding shares of our common stock, if the shares were to be converted on the Closing Date. The Closing of the Exchange Agreement and the transactions contemplated thereunder (the "Exchange Transaction") occurred on October 1, 2007.

As a result of the Exchange Transaction, the Karmoya Shareholders became our controlling shareholders and Karmoya became our wholly-owned subsidiary. In connection with Karmoya becoming our wholly owned subsidiary, we acquired the business and operations of the LJ Group. Through various consulting service agreements and equity-related agreements between certain LJ Group entities (the "LJ Agreements"), our principal business activities shall continue to be conducted through the LJ Group's operating company in China, Laiyang Jiangbo.

In connection with the Exchange Agreement, we agreed to form and issue voting only preferred stock to a major Karmoya shareholder, so that such shareholder would hold a majority of the outstanding Genesis voting securities after the Closing. This was a material inducement into causing Karmoya and their shareholders to enter into the Exchange Transaction.

The Karmoya Shareholders have acknowledged that the current assets of Genesis will be distributed to the Genesis shareholders other than the former Karmoya Shareholders and their assignees or transferees.

In this Form 8-K, references to the "combined entity" refer to Genesis and the LJ Group entities as a combined entity. Copies of the LJ Agreements are included as Exhibits 99.1 to 99.5 to this Current Report on Form 8-K





Item 3.02 Unregistered Sales of Equity Securities
As more fully described in Items 1.01 and 2.01 above, in connection with the Exchange Agreement, on the Closing Date, we issued 5,995,780 shares of our Series B Preferred Stock and 597 shares of our common stock to the Karmoya Shareholders in exchange for 100% of the capital stock of Karmoya. Reference is made to the disclosures set forth under Items 1.01 and 2.01 of this Current Report on Form 8-K, which disclosures are incorporated herein by reference. The shares of Series B Preferred Stock issued are convertible, in the aggregate, into a number of shares of our common stock that, when combined with the 597 shares of our common stock, would equal 75% of the outstanding shares of our common stock (on a fully-diluted basis) if the shares were to be converted on the Closing Date. Under the terms of conversion, each share of Series B Preferred Stock will not be convertible into common stock unless and until we amend our Articles of Incorporation to increase the authorized number of shares of common stock available for issuance in an amount sufficient to permit the conversion of all the shares of Series B Preferred Stock, and all of our other convertible securities and instruments into common stock. As of the Closing Date, we had not amended our Articles of Incorporation to effectuate such an increase in authorized common stock. However, at such time as we effectuate such an increase in our authorized common stock, each share of Series B Preferred Stock will automatically convert into fifty (50) fully paid and nonassessable shares of our common stock. The issuance of the Series B Preferred Stock to the Karmoya Shareholders pursuant to the Exchange Agreement was exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"), pursuant to Section 4(2) and/or Regulation D thereof. We made this determination based on the representations of the Karmoya Shareholders which included, in pertinent part, that such shareholders were (a) "accredited investors" within the meaning of Rule 501 of Regulation D promulgated under the Securities Act., and that such shareholders were acquiring our common stock, for investment purposes for their own respective accounts and not as nominees or agents, and not with a view to the resale or distribution thereof, and that each member understood that the shares of our common stock may not be sold or otherwise disposed of without registration under the Securities Act or an applicable exemption therefrom.

Under the Exchange Agreement, on the Closing Date, we issued 5,995,780 shares of our Series B Voting Convertible Preferred Stock (the "Series B Preferred Stock") and 597 shares of our common stock to the Karmoya Shareholders in exchange for 100% of the capital stock of Karmoya. As a result of this transaction, the Karmoya Shareholders acquired control of our company because the shares of Series B Preferred Stock entitle the Karmoya Shareholders to voting rights with respect to any and all matters presented to our shareholders for their action or consideration that is equal to the number of shares of our outstanding shares of common stock in which such shares are convertible. The shares of Series B Preferred Stock acquired by the Karmoya Shareholders are convertible, in the aggregate, into a number of shares of our common stock that, when combined with the 597 shares of our common stock, would equal 75% of the outstanding shares of our common stock (on a fully-diluted basis) if the shares were to be converted on the Closing Date. Each share of our outstanding common stock entitles the holders of common stock to one vote. Thus, the Karmoya Shareholders hold 75% or the majority number of voting shares of our company on a fully diluted basis.

In connection with this change in control, and as explained more fully in Item 5.02 below, effective October 1, 2007, Gary Wolfson, Adam Wasserman and Kenneth Clinton each resigned as our Chief Executive Officer, Chief Financial Officer, and President, respectively. In addition, effective October 1, 2007, Gary Wolfson, Kenneth Clinton, and Dr. Shaohua Tan each resigned as members of our board of directors. Further, effective October 1, 2007, we appointed the following new directors and officers:

(a) Resignation of Directors

Effective October 1, 2007, Gary Wolfson, Kenneth Clinton, and Dr. Shaohua Tan (individually, a "Resigning Director" and collectively, the "Resigning Directors") resigned as members of our board of directors. There were no disagreements between any Resigning Director and any of our officers or directors. We provided a copy of the disclosures we are making in response to this Item 5.02 to the Resigning Directors and informed each Resigning Director that he may furnish the company as promptly as possible with a letter stating whether he agrees or disagrees with the disclosures made in response to this Item 5.02, and that if he disagrees, then the company requests that he provide the respects in which he does not agree with the disclosures. We will undertake to file any letter received from a Resigning Director, if any, as an exhibit to an amendment to this current report on Form 8-K within two business days after receipt.

Other than the Exchange Transaction, there are no transactions, since the beginning of our last fiscal year, or any currently proposed transaction, in which Genesis was or is to be a participant and the amount involved exceeds the lesser of $120,000 or one percent of the average of Genesis's total assets at year-end for the last three completed fiscal years, and in which any of the New Officers had or will have a direct or indirect material interest. Other than the Exchange Transaction, there is no material plan, contract or arrangement (whether or not written) to which any of the New Officers is a party or in which any New Officer participates that is entered into or material amendment in connection with our appointment of the New Officers, or any grant or award to any New Officer or modification thereto, under any such plan, contract or arrangement in connection with our appointment of the New Officers.

The following is a brief description of the business experience of each New Officer:

Cao Wubo, age 42, has served as the chairman and general manager of Laiyang Jiangbo since 2003, and shall serve as Chairman and CEO of the combined entity. Mr. Cao was born in September 1965 and is of Chinese nationality. He graduated from Tsinghua University with a masters degree. From 1981 to 1988, Mr. Cao completed his military service in the Chinese Army, during which he was sales section director in Laiyang Yongkang Pharmaceutical Factory. From 1988 to 1998, he continued working in Laiyang Yongkang Pharmaceutical Factory as Marketing Manager. From 1998 until 2003, he was general manager of Laiyang Jiangbo Pharmacy Co. Ltd. and Laiyang Jiangbo Chinese and Western Pharmacy Co. Ltd. Since 2003, he has been chairman and general manager of Laiyang Jiangbo Pharmaceutical Co. Ltd. He is the founder of Laiyang Jiangbo Pharmacy Co. Ltd., Laiyang Jiangbo Chinese and Western Pharmacy Co. Ltd., and Laiyang Jiangbo Pharmaceutical Co. Ltd.

Elsa Sung, age 33, is currently Vice President of CFO Oncall, Inc. and shall serve as Chief Financial Officer of the combined entity. Prior to joining CFO Oncall, Inc., Ms. Sung was an Audit Manager at Sherb & Co., Boca Raton, Florida. She was responsible for managing, monitoring, as well as performing audits for domestic and international clients. Ms. Sung was primarily responsible for providing assurance services to public companies located in China. Before joining Sherb & Co., Ms. Sung was a Senior Internal Auditor at Applica Consumer Products, Inc., a U.S. public traded company. Prior to this, Ms. Sung was with Ernst & Young, LLP in West Palm Beach, Florida as a Senior Auditor in the Assurance and Advisory Business Service Group. Ms. Sung is a licensed CPA in the State of Georgia and a member of the American Institute of Certified Public Accountants. Mr. Lining was born in born in January 1960 and is of Chinese nationality. He graduated from Shandong Pharmacy University in 1995. From July 1986 to July 2003, he worked in Laiyang Biochemistry Pharmaceutical Factory, where he was a checker, technologist, workshop director, product technology section chief, technology deputy factory director, and factory director. Here's what I think it means:

This evening at 6:28 PM GTEC announced an amazing reverse
merger with a chinese pharmaceutical company, Laiyang Jiangbo
Pharmeceuticals. , This company is a monster....Audited June 07
financials show revenues of $77,000,000 with Net of $22,000,000.
I've run the numbers and with issuing of 255 million shares...to make
the proportions work out... 75%/25% (which will no doubt be reversed
split to something more managable) there is still profit of .05 per
share.

According to the PR The company is growing at an insanely rate....
198% revenue over the last two years..... and 748% growth on the net
profit side during the same time period.

Running a trailing PE ratio of 20-30 that makes each of these shares
fairly valued...at least from my perspective. ..worth $1.00-1.50.. .
without any future growth.

The company has a bright future from here. Heck...if this company's
revenue and earnings grow at only 50% (almost half of the last two
years) earnings would double to almost 10 cents per share. If you
project a PE ratio 20-30 on those earnings you're looking at a easy
$2-3.00 stock in the next year.

PLUS GTEC has a bunch of shares from the profitable companies it has
already brought through its public to private process.

Ja, Deine Berechnung sieht schon ziemlich realistisch aus. Allerdings nur noch das Kleingedruckte miteinbeziehen, 25% des Mergers kommen den Aktionären von GTEC zu Gute.

Also: 0,88 = 0,22
1,145 = 0,29
2,86 = 0,72

Also eine mögliche Aufwertung des Kurses vor den News von 0,10 USD um die jeweiligen o.g. Beträge, also eine Kursspanne von 0,32-0,82 USD.

Mehr ist nicht drin !!!! Zumal in den Total Assets meiner Meinung nach auch die 17 Mio USD Cash beinhaltet sein müßten.

Also maximal 0,60 USD aufgrund der News.

Nichts über 1 USD !!!!

Assets gesamt: 62,5 Mio $
Cash gesamt: 17,5 Mio $ = 80 Mio.$ ~ 0,20$

also bei einem KGV von 12 wäre ein Kurs von 0,90 $ nicht zu hoch - und bei dem Wachstum von Laiyang wäre ein KGV von 25 auch noch vertretbar - und dann sieht alles wieder ganz anders aus

The new Board of Directors is comprised of eight directors, with six directors selected by the Chinese company and two directors selected by Genesis.
The auditor of record of Genesis Pharmaceuticals shall be Moore Stephens, and the Company plans to relocate its U.S. headquarters to northern California.

Du solltest mal die Filings genau lesen, bis dato gibt es 85 Mio. Aktien, und nach dem Merger halt 380 Mio. Aktien - also werden insg. knapp 300 Mio. Aktien neu ausgegeben an Laiyang Pharma - und damit ergeben sich innerhalb des Mergers neue Besitzverhältnisse.

Das mit deinem 25% Anteil an meiner Berechnung kannst du also nun endgültig vergessen - ich habe schon die neuen Aktien mit einbezogen

Dear Fellow Shareholders:

This will be the final letter that I, as your CEO, write to our Shareholders. After five years of serving in that role, I am honored to turn over this position to Mr. Wubo Cao, founder of Laiyang Jiangbo Pharmaceuticals Co., Ltd. ("LJPC"), one of China's most dynamic and fastest growing pharmaceutical enterprises.

As the "crowning achievement" of Genesis management, your company has officially merged with LJPC, and effectively the Chinese company will guide the merged Company's future. This action was taken after years of seeking a suitable partner and numerous failed attempts. But such delays proved propitious for our Shareholders, as no former candidate came close to the power and potential of LJPC.

Before listing the accolades of LJPC and what the future might hold, I want to explain the structure, the history of the merger, and what present and future Shareholders might expect.

Structure of the Merger

Upon final completion of the merger, signified by the upcoming filing of the commonly called "Super 8K", present GTEC shareholders will own 25% and LJPC will own 75% of the merged entity to be known as Genesis Pharmaceutical Enterprises, Inc. For the time being, the stock symbol (GTEC) shall remain the same.

Past GTEC officers-CEO Gary L. Wolfson, CFO Adam Wasserman, and President Kenneth Clinton-have resigned, being replaced by LJPC management, led by Chairman/CEO Wubo Cao and Chief Financial Officer Elsa Sung. Board Directors Dr. Shaohua Tan and Messrs. Wolfson and Clinton have also been replaced by LJPC appointees, although Independent Directors Robert D. Cain and Rodrigo Arboleda remain on the new Board of Directors.

The Genesis Equity Partners, LLC, stock portfolio, the assets earned through GTEC's private-to-public business model, shall exist as a subsidiary of the merged Company, under the direction of an appointee of the previous GTEC Board. This portfolio will be methodically liquidated to cover all remaining expenses incurred by GTEC and GEP, with any dividends to be paid out to only U.S. shareholders in GTEC. More details about this subsidiary will be forthcoming.

History of the Merger

In May 2007, GTEC announced the signing of an agreement with LJPC, but the actual final decision to pursue the merger strategy did not occur until site visits by Dr. Shaohua Tan and Mr. Wolfson in June. LJPC had been sourced, screened and cultivated by Dr. Tan, who has headed the China operations since October 2005, with pronounced success. Completing a rigorous and extensive due diligence process, GTEC concluded that LJPC was an ideal merger partner. The strength and potential of LJPC, augmented by superior leadership and history, were the deciding factors. On the advice of counsel and because the merger contract could be cancelled at any time during the process, Genesis management and directors were committed to total confidentiality and secrecy until the merger was officially completed on Monday, October 1, 2007.

Because of the size and scope of LJPC, Genesis engaged Moore Stephens Wurth Frazer and Torbet, LLP ("MSWFT") of Los Angeles, California, as the auditor. AllBright Law Firm of Shanghai and Richardson Patel Law Firm of L.A. served as LJPC's counsel; while Schneider Weinberger Beilly, corporate counsel for Genesis since its inception, served GTEC.

On July 1, 2007, the CSRS, China's equivalent to the U.S. Securities & Exchange Commission, imposed Regulation No. 106, which ostensibly required new and complicated government approvals on any mergers with U.S. public companies. This regulation apparently has been viewed, by U.S. financial experts, as a serious obstacle in completing such mergers, as the Chinese government has a history of acting unevenly and slowly in granting such approvals. Yet, when confronted with the challenge and with Mr. Cao's leadership, LJPC became only the second company in the entire country to obtain "Regulation No. 106 approval", and thus joined an elite group to complete a merger in the U.S.

In early September 2007, Dr. Tan, Mr. Wolfson and a U.S. financial advisor returned to LJPC, located in the coastal city of Laiyang, Shandong Province. Over a period of days, the final steps to completing the merger were devised. Upon returning to the U.S., Mr. Wolfson called for a Board of Directors meeting, which resulted in unanimous approval of the final merger transaction.

The merger between Laiyang Jiangbo Pharmaceuticals Co., Ltd and Genesis Technology Group, Inc. occurred officially on Monday, October 1, 2007, creating Genesis Pharmaceuticals Enterprises, Inc. (OTCBB: GTEC).

Profile of LJPC

For its fiscal year ended June 30, 2007, LJPC reported total revenue of $76,000,000; net income of $22,000,000; total assets of $55,000,000; and cash on hand of $17,000,000. Revenues have grown by an average of 187% over the previous two years, and net income has risen by an average of 748% over the same period, based on research by a U.S. consulting firm and merchant bank, which inspected the LJPC facilities in Laiyang City in September.

LJPC's fiscal years, as audited by MSWFT, run from July 1st to June 30th of each calendar year. Moore Stephens will serve as GTEC's auditor going forward.

An independent U.S. financial advisor accompanied Dr. Tan and Mr. Wolfson to LJPC last month and provided the following information:

Laiyang Jiangbo Pharmaceuticals was established in July 2003 and is a medium-sized pharmaceutical company that is currently producing and selling five (5) Government approved drugs with several in the pipeline awaiting final approval. The company is located in Northeast China in an Economic Development Zone, Laiyang City, Shandong Province.

The company has 440 full time sales representatives and 620 part time representatives located in all major commerce areas across China

The company has numerous GMP (Chinese State Drug Administration - SDA) approved manufacturing facilities and production lines and is approved to produce tablets, capsules and granules. In 2007, LJPC produced 300 million tablets, 50 million bags of granule and 50 million capsules. Company's top four products include Clarithromycin sustained-release tablets, Itopride Hydrochloride granules, Ciprofloxacin Hydrochloride tablets, and Paracetamol tablets.

The Future of GTEC

GTEC has become a pharmaceutical company, with a subsidiary that holds the stock earned during its previous private-to-public business model. That stock will be liquidated, over a period of time, and the resulting cash will be utilized to cover existing and ongoing expenses related to the program, with the remaining cash, if any, to be distributed as a dividend to its U.S. shareholders. Upon liquidation, the subsidiary will be dissolved no later than 12 months hence.

The future of Genesis Pharmaceutical Enterprises, Inc. (OTCBB: GTEC) shall be determined by Mr. Wubo Cao, his experienced staff and Board of Directors. In the near future, Mr. Cao will reveal the plans for the Company's future. A new website is under construction and should debut soon.

Gestern wollte bis 13:00 Uhr keiner mehr als 0,085 eur bezahlen wo wir geschlossen haben hat jeder gesehen...

Heute wird auch nur zögerlich gekauft und wenn die Ami´s loslegen rennen alle den Aktien hinterher...

Die Aktie wird kurzfristig die 1,- USD sehen und abgesehen davon winkt eine ca. 0,08 USD Dividende...

Die Ami´s sind total bullisch und die zugriffszahlen bei Ihub ist wie hier auf WO sehr hoch. Dazu die vielen Börsenbriefe die gestern auf den Hammer-Merger bei GTEC aufmerksam gemacht haben...

Wie gesagt meine Shares bekommt keiner unter 1,-EUR!

What is the Valuation of Genesis Pharmaceutica Enterprises, Inc?

GTEC has just announced a reverse merger of a profitable Chinese company that earned $22 Million in the last 12 months...and has $17 million cash in the bank. I don't know exactly what numbers you multiply to calculate a companies value...but surely any company must be worth 15-20 times its annual net income. If we do that, we get the following totals:

$22 million times 15 ='s a valuation of $330,000,000
$22 million times 20 ='s a valuation of $440,000,000
$22 Million times 30 ='s a valuation of $660,000,000

On a per share basis that would give us between .83, $1.10 and $1.65 per share.

That's waaaay higher than current share price.....

PLUS GTEC's prior assets will be distributed to GTEC shareholders. Their book value was $7.6 million in last 10Q. With 100,000,000 shares to distribute the assets to, that comes out to 7,6 cents per share. NOTICE, the valuations they used were minimal not even current market prices. Current market price would put the value of this distribution at buck or two. Scary good.

I think GTEC will see $3-5.00 probably much more before all is done.

PLUS we have a growing profitable pharmeceutical company.

I just can't see selling too many of my shares until this distribution is made.

hallo zusammen! hier mal eine info von was wir hier überhaupt sprechen.bin selbst vor langer zeit zu 0,18euro/cent dabei.


Unter einem Reverse Merger versteht man eine Unternehmenstransaktion, bei der ein größeres Unternehmen auf ein kleineres Unternehmen verschmolzen wird. In der Praxis handelt es sich bei dem kleineren Unternehmen zumeist um ein börsennotiertes Unternehmen, sodass das Motiv für diese Transaktion i.d.R. der schnelle und kostengünstige Börsenzugang für das größere Unternehmen ist. Im allgemeinen Sprachgebrauch bezeichnet der Reverse Merger deshalb eine Transaktion, bei der sich ein größeres nicht-börsennotiertes Unternehmen mit einer kleineren börsennotierten Aktiengesellschaft zusammenschließt, um auf diese Weise den Börsengang zu erreichen. Der Reverse Merger wird synonym auch als Reverse IPO, indirekter Börsengang oder "Börsengang durch die Hintertür" bezeichnet. Nach der Fusion geht die Kontrolle auf die vormaligen Eigentümer der nicht-börsennotierten Gesellschaft über, die dann i.d.R. auch die Firmierung des fusionierten Unternehmens in ihrem Sinne ändern.

In den USA ist diese Form des "Going Public" schon sehr etabliert. Es gibt keine offiziellen Statistiken, aber es wird geschätzt, dass ca. 30% aller Börsengänge an die NASDAQ im Jahr 2000 mit Hilfe des indirekten Börsengangs betrieben wurden. Auch deutsche Unternehmen (z.B. Hölter Technologies) haben schon mit Hilfe eines Reverse Mergers den Börsenzugang in New York geschafft. In Deutschland hat bisher nur das britische Unternehmen Integralis mit Hilfe einer Verschmelzung auf die wesentlich kleinere Articon ein Listing am Neuen Markt erreicht. Im Zuge der deutlich eingetrübten Stimmung an den Börsen sollte der Reverse Merger auch für den Börsengang in Deutschland an Bedeutung gewinnen.

Aufgrund mangelnder Aufnahmebereitschaft der Kapitalmärkte mussten viele Unternehmen von einem traditionellen IPO Abstand nehmen bzw. haben dies aufgeschoben. Mit Hilfe eines Reverse Mergers bekommen diese Unternehmen jedoch auch in schwierigen Börsenphasen die Chance, schnell und kostengünstig alle Vorteile einer Börsennotierung zu nutzen. Auch den Investoren dieser Unternehmen, insbesondere den zuletzt gebeutelten Venture Capital-Unternehmen, eröffnen sich durch einen indirekten Börsengang willkommene Exit-Möglichkeiten. Auf der anderen Seite gibt es viele Unternehmen, die bereits an der Börse notiert sind, aber kaum mehr Überlebenschancen haben oder auf ihre Notierung keinen Wert mehr legen. Mit Hilfe eines größeren und erfolgreichen Partners können dem börsennotierten Unternehmen, seinen Mitarbeitern und nicht zuletzt seinen Aktionären neue Perspektiven geschaffen werden.

Die zahlreichen "Penny-Stocks" am Neuen Markt drängen sich für einen indirekten Börsengang in diesem Segment auf. Im Gegensatz zu "reinen" Börsenmänteln, die aufgrund anhaltender Spekulation häufig überteuert sind, können der Zugang zu einem etablierten Marktsegment geschaffen oder sogar Synergien oder Verlustvorträge genutzt werden. Aufgrund der Unterbewertung vieler Titel - zahlreiche Aktien notieren unter ihrem Substanzwert oder sogar der Cash-Position - könnte auch eine Zerschlagung das Motiv für einen Reverse Merger sein.

Dieser Aufsatz soll einen interdisziplinären Überblick über die Möglichkeiten eines Reverse Mergers am Neuen Markt geben. In Abschn. II. werden zunächst die finanzwirtschaftlichen Vor- und Nachteile der Transaktion erläutert, um sodann die möglichen Gestaltungsformen eines Reverse Mergers aufzuzeigen. Diese Formen werden in den Abschn. IV. bis VI. vor dem Hintergrund des deutschen Gesellschaftsrechts, der deutschen Steuergesetzgebung sowie der internationalen Rechnungslegung am Neuen Markt erörtert. Zur besseren Übersicht werden wir das börsennotierte Unternehmen im Folgenden als Stock Corp bzw. das nicht-börsennotierte Unternehmen als Private Corp bezeichnen. Dabei gehen wir im Regelfall davon aus, dass es sich bei der Private Corp um eine Kapitalgesellschaft handelt.

Genau, da wir gestern im TH 0,34 USD schon hatten, gehe ich davon aus, das zur Eröffnung gleich die 0,40 USD fallen werden, möglicher Weise gibt es dann auch gleich den Run über die 0,50 USD !!!

Man darf nicht vergessen, dass die NEWS erst seit gestern bekannt ist !!!!!


D.h. viele haben die Nachricht über den Merger erst abends mitbekommen, anhand des Kurses aufmerksam geworden !!!!

Daher wird es heute mit bis zu 150% weiter hoch gehen !!!!

Die Bewertung liegt zwischen 1,37 USD - 2,32 USD, einige Amis sehen sogar 3-5 USD, andere noch höher ( aber davon halte ich nix ) !

Daher bis zum Freitag werden mit Sicherheit die 1 Euro gefallen sein und in den USA ca. bei 1,37 / 1,50 USD !!!!

Das sind fundamentale Daten des Mergers, keine Zukunftsfantasien !!!!

wieso gehst du von 0,6 - 0,7 aus? Das wäre wirklich eine Hammer-Performance dann. Hälst du das wirklich für wahrscheinlich??

ich schreib ja nicht viel nur ich hab mich mal bissel umgesehn und ich sehe das noch sehr konservativ.... gehe von noch ganz anderen kursen bis wochenende aus.... good lock....

Es sind immer ein paar Weiche dabei die bei 0,080 rein und bei 0,185 raus sind, die haben eben keine Geduld.

Wer an der Börse das Kleine sehr ehrt, ist das Große nicht wert.
