      Nachdem der Aktienkurs der Unix-Firma Santa Cruz Operation (Nasdaq: SCOC) in den letzten Wochen nur eine Richtung kannte, geht es heute stark nach oben. Hintergrund ist der Verkauf von zwei Firmenbereichen an den Linux-Vertreiber Caldera Systems Inc. (Nasdaq: CALD).

      Die neue Holding Caldera Inc. umfasst dann Santa Cruz` Server-Software- und Professional-Services-Sparten. Santa Cruz erwirbt durch den Teilverkauf einen Anteil von 28 Prozent an der Holding. Zusätzlich erhält das Unternehmen sieben Mio. US-Dollar in bar sowie 17,54 Mio. Aktien von Caldera Systems. Auf der Basis des Dienstags-Schlusskurses entspricht das einer Summe von insgesamt 121,7 Mio. US-Dollar.

      Der Anteilsschein von SCOC steigt heute um 10 Prozent auf derzeit 3-9/16 US-Dollar.

      SCOC bekommt 121Mio $ (ist aber nur mit 116,4 Mio$ an der Börse bewertet.)

      Nun Caldera wollte SCO eben um jeden Preis haben.
      Besser gesagt Caldera wollte SCOs Support- und Service-Abteilung für Unternehmenskunden. Deswegen der hohe Preis und das kleine Handgeld.
      Dadurch wird Caldera Marktführer im Linuxbereich für Unternehmen mit
      Support.

      Caldera ist im Moment unterbewertet ein Kurs von 14 -15$ sind sicherlich gerecht.

      Caldera platform to accommodate both Linux and UNIX

      OREM, Utah, Aug 2 (Reuters) - Caldera Systems Inc., which develops Linux software for Internet access, said on Wednesday it would offer the industry`s first Internet platform able to accommodate both Linux and UNIX operating systems.

      Caldera <CALD.O> said it would acquire two divisions from Santa Cruz Operation Inc., a leading provider of UNIX operating systems, and use one, the Professional Services division, to set up a new company offering the unique platform.

      In exchange for its Professional Services and Server Software divisions, Santa Cruz <SCOC.O> will receive a 28 percent stake in Caldera plus $7 million in cash, the companies said. The 28 percent stake will amount to about 17.54 million Caldera shares worth nearly $300 million, they said.

      Caldera said it would form a new holding company, Caldera Inc., to acquire assets from the two Santa Cruz divisions, including related work force, and will retain exclusive distribution rights for the Santa Cruz OpenServer product line. Revenues for OpenServer were $11.1 million in the fiscal 2000 third quarter.

      Following completion of the deal, which the companies anticipate will occur in October, Ransom Love, current chief executive of Caldera, will become chief executive of Caldera Inc., and David McCrabb, current president of the Santa Cruz Server Software division, will become chief operating officer.

      Caldera is based in Orem, Utah. Santa Cruz is based in Santa Cruz, Calif.
