Ich habe diesen Thread eröffnet, weil ich es leid war, diesen
Müll und Abschaum immer zu lesen. Die meisten möchten sich vernünftig
mit Hartcourt auseinandersetzen und hier Erfahrungen austauschen.

Ich hoffe, daß Hollin, Dexter, Logo und alle anderen, die vernünftig über
Hartcourt diskutieren wollen, diesen Thread annehmen.

Dear Shareholders:

I have been so busy the last 2 months finalizing some
important transactions that I hardly had time to
communicate with you. Today, sitting on a bank of
snow, right on the shore of Lake Michigan, I was
writing this letter on a laptop. The landscape is
tranquil, pure and beautiful as Chicago is cleaning
out after the latest snowstorm. I feel like a lonely
crane in the " snow country" from a famous Japanese
novel. It spoke of an old proverb that said " a lone
swallow cannot bring forth the spring" but I am
hopeful that Hartcourt will again soar high, above the
stock market mess, and bring us our own version of
spring.

I would like to review with you the current projects
the Company is working on:
1. StreamingAsia: The IPO process is going on as
scheduled. It`s the required quiet period, so I cannot
say anything, only smile.
2. Sinobull Group: We have a choice between a merger
and an IPO. Since it is a much larger size
transaction, we are leaning toward the merger to
maximize our valuation. No matter which route we take,
we plan to complete the transaction during the third
quarter of this year.
3. Broadband Network for ISP and IP phone: We were
planning to put all the deals together by 2001 and do
an IPO or merger by 2002. We might have a good chance
to complete this objective earlier than expected.
4. Hartcourt Capital: We are prepared to enter into a
series of joint ventures with Chinese banks, insurance
and brokerage companies when China implements its WTO
agreement. I don`t expect much movement prior to
September 2001. Meanwhile, our joint effort with
Koffman Securities to create the universal online
trading platform for Hong Kong is continuing as
planned.
5. The Auditors and the 10K filing: I know it is a
concern for some of you; but we are finalizing the
engagement and we plan to file the documents on time.

Overall, I am very satisfied with the company`s
progress and achievements. The 35 participants of the
recent China due diligence trip could tell you how
proud we all are of the achievements we made during
the last 12 months. I hate to tout my own horn but no
company could do what we did in China in such a short
period. Despite the worsening conditions of the
hi-tech market for the last 9 months, our subsidiaries
continue to increase revenue and profitability. We are
now positioned to complete the 3 main objectives of
Hartcourt: the spin-off and monetization of
StreamingAsia, Sinobull Group and Broadband Network,
all before the end of the third quarter of this year.
If we succeed in this effort, we will have shortened
our initial schedule by 15 months. All I can say is
Wow!

In view of above facts, I would like to inform you of
the following personal decisions:

1. To share in the pain of shareholders who lost much
due to the decline of HRCT stock price, even if it is
only on paper, I have accepted $1 as my total salary
and bonus for the year 2000 (I was due to receive
$250,000 according to my employment contract).
2. I promised that I would step down from all
management positions only after the IPO or merger of
the 3 major assets (StreamingAsia, Sinobull, Broadband
Network). It now appears likely that I would be able
to do so some time this year. I have worked hard to
build up a second-generation management team to
replace me. I am happy to report to you that this team
is ready and in place. Of course, as Hartcourt is my
creation, I would always look after it like my own
children, even after they are already on their own.
3. As promised, all Hartcourt shares I own will be
donated to charity, even though I might retain voting
rights. I will devote the next 24 months of my life to
building this charitable organization and I will need
some of you to lend me a hand.

The Chinese Year of The Snake will begin on January
24th. Tradition dictates that on New Year Day, the
young people are expected to write greetings, normally
in form of a poem, and submit them to the older
generation, wishing them "Happiness. Long Life and
Prosperity". The older generation then rewards the
young ones with a red envelope (lai- xi) containing
money as a symbol of "good luck". I am still wondering
how many "lai-xi" Hartcourt must give out to make you
really happy? Of course, there are usually plenty of
fireworks to greet the New Year. Should we have one
big bang this year?

As happy as I am, I cannot forget that the US economy
is in a near-recession. Even though China should be
cushioned by its growing domestic market, the Nasdaq
exchange is heading toward another rough year. This in
turn may have some impact on HRCT share price. In
addition, difficulties and challenges are never far
from our daily struggle. I just hope that the shares
from StreamingAsia, Sinobull and Broadband Network
will reflect their true value.

The D-Day of Hartcourt is coming soon, despite all
obstacles. No one can keep denying us the fruits we
have long labored for. If we really believe that "luck
is what happens when preparation meets opportunity",
then we shall have plenty of good-luck this year. May

2.Der Angekündigte Rücktritt von Phan -- finde ich persönlich gefährlich, wenn der Kopf geht.

3.Er reitet auf den Ankündigungen + IPO´s herum, wenn die aber nicht schon eingepreist sind, was denn dann ?????

Natürlich kann man das zuerst nicht verhindern, dass hier die gleichen Leute
wie in den nicht registrierten threads ihren unqualifizierten Müll abladen. Aber
da sich hier jeder "voll" registrieren lassen muß, kann WO diese Leute nachhaltig
von diesem Board entfernen, wenn es Überhand nimmt.

Ich bin schon lange in Hartcourt investiert und danke hier vielen Teilnehmern, die ähnliche
Ziele mit Hartcourt verfolgen für den tollen Gedanken- u. Informationsaustausch.

Sehr gehrte Aktionäre!

Ich war in den letzten 2 Monaten so sehr damit beschäftigt einige wichtige Transaktionen
abzuschließen, so daß ich kaum Zeit hatte mit Ihnen zu kommunizieren. Heute saß ich auf einer
verschneiten Bank, direkt am Ufer des Lake Michigan, und und schrieb diesen Brief auf einem Laptop.
Die Landschaft ist ruhig, rein und wundervoll; Chicago klärt auf nach dem letzten Schneesturm. Ich
fühle mich wie ein einsamer Kranich in der "Schneelandschaft" aus einer berühmten japanischen
Novelle. Darin war von dem alten Zitat die Rede "eine Schwalbe macht noch keinen Sommer", aber ich
bin sehr hoffnungsvoll, dass Hartcourt erneut hoch fliegen wird, über dem Schlamassel des
Aktienmarktes und uns unsere eigene Version des Sommers bringen wird.

Ich möchte mit Ihnen gerne die gegenwärtigen Projekte durchgehen an denen das Unternehmen gerade
arbeitet:

1. StreamingAsia: Der IPO-Prozeß läuft wie geplant. Momentan ist die "stille Periode", deshalb kann
ich nichts sagen, nur lächeln.

2. Sinobull Group: Wir haben die Wahl zwischen einer Fusion und einem IPO. Da es sich hier um eine
viel größere Transaktion handelt, n eigen wir zu einer Fusion um unsere Bewertung zu maximiern.
Egal welchen Weg wir auch einschlagen, planen wir diese Transaktion während des 3. Quartals diesen
Jahres anzuschließen.

3. Breitband Netzwerk für ISP und IP Telefon: Wir hatten geplant alle Deals bis 2001 abzuschließen
und einen IPO oder eine Fusion 2002 zu machen. Wir haben möglicherweiese eine gute Chance dieses
Ziel früher als erwartet zu erreichen.

4. Hartcourt Capital: Wir sind bereit in eine Reihe von Joint Ventures mit chinesischen Banken,
Versicherungen und Brokeragefirmen einzutreten, wenn China das WTO-Abkommen implementiert. Ich
ewarte keinen großen Bewegungen vor September 2001. In der Zwischenzeit laufen unsere Bemühungen
mit Koffman Securities eine universelle online Tradingplattform für Hong Kong aufzubauen wie
geplant.

5. Die Prüfer und das 10K Filing: Ich weiß, daß dies einigen von Ihnen Sorgen bereitet, aber wir
schließen das Engagement gerade ab und planen das Dokument rechtzeitig einzureichen.

Alles in allem bin ich sehr mit den Leistungen und dem Fortschritt des Unternehmens zufrieden. Die
35 Teilnehmer des Due Diligence Trips nach China können Ihnen erzählen wie stolz wir auf die
Errungenschaften der letzten 12 Monate sind. Ich hasse es mich selbst zu loben, aber keine Firma
konnte das schaffen, was wir in so kurzer Zeit in China getan haben. Trotz der sich
verschlechtenden Bedingungen auf dem hi-tech Markt der letzten 9 Monate, steigern unsere Töchter
weiterhin ihre Einnahmen und Profitabilität. Wir sind jetzt in der Lage die 3 Hauptziele von
Hartcourt zu erreichen: den Spin-off und die Monetisierung von StreamingAsia, Sinobull Group und
Broadband Network, alle vor dem Ende des 3. Quartals dieses Jahres. Wenn wir bei diesen Bemühungen
erfolgreich sind, haben wir unseren ursprünglichen Zeitplan um 15 Monate unterboten. Alles was ich
sagen kann ist wow!

Im Zusammenhang mit den oben genannten Fakten würde ich Sie gerne über folgende persönliche
Entscheidungen informieren:

1. Um den Schmerz der Aktionäre zu teilen, die viel während dem Niedergang des HRCT Aktienkurses
verloren haben, auch wenn er nur auf dem Papier steht, habe ich 1 $ als Gesamtjahresgehalt und
Bonus für das Jahr 2000 akzeptiert (ich hätte $ 250 000 meinem Vertrag zu Folge bekommen sollen).

2. Ich habe versprochen, daß ich von allen Managementpositionen zurücktreten werde, nach dem IPO
oder der Fusion der 3 Hauptassets (StreamingAsia, Sinobull, Broadband Network). Es scheint nun sehr
wahrscheinlich, daß ich dies irgendwann in diesem Jahr machen kann. Ich habe hart daran gearbeitet
um ein nachfolgende Managementgeneration aufzubauen, die mich ersetzen kann. Ich bin froh Ihnen
sagen zu können, daß dieses Team bereit und an seinem Platz ist. Natürlich, da Hartcourt meine
Schöpfung ist, werde ich stets nach ihr sehen, wie nach meinen eigenen Kindern, selbst wenn sie
schon für sich alleine leben.

4. Wie versprochen werden alle HRCT-Aktien die ich besitze der Wohltätigkeit gewidmet. Ich werde
die nächsten 24 Monate meines Lebens dem Aufbau einer Wohltätigkeitsorganisation widmen und werde
ein paar von Euch brauchen um mir zur Hand zu gehen.

Das chinesische Jahr der Schlange beginnt am 24. Januar. Die Tradition schreibt vor, daß am
Neujahrstag die jungen Leute Grüsse, normalerweise in Reimform, an die ältere Generation schreiben,
in denen sie ihnen "Glück, ein langes Leben und Wohlstand" wünschen. Die ältere Generation belohnt
dann die jüngere mit einem roten Umschlag (lai-xi), welcher Geld als Symbol des Glücks enthält. Ich
frage mich wieviele "lai-xi" Hartcourt herausgeben muß um Euch wirklich glücklich zu machen.
Natürlich gibt es es für gewöhnlich ein großes Feuerwerk um das neue Jahr zu begrüssen. Sollten wir
einen Big Bang diese Jahr haben?

So glücklich ich auch bin, kann ich doch nicht vergessen, dass die US-Wirtschaft sich in einer
fast-Rezession befindet. Und auch wenn die chinesische Wirtschaft durch ihr Inlandswachsum gut
gepolstert ist, geht die NASDAQ einem weiteren harten Jahr entgegen. Dies kann dann auch einen
gewissen Einfluß auf den HRCT-Aktienkurs haben. Außerdem gehören Schwierigkeiten und
Herausforderungen zu unserem täglichen Kampf. Ich hoffe einfach, daß die Aktien von StreamingAsia,
Sinobull und Broadband Network ihren wahren Wert widerspiegeln.

Der D-Day von Hartcourt (Tag der Entscheidung) kommt bald, trotz aller Hindernisse. Niemand kann
uns die Früchte für die wir lange gearbeitet haben noch streitig machen. Wenn wir wirklich glauben,
daß "Glück das ist, was passiert wenn Vorbereitung auf Gelegenheit trifft", dann sollten wir

broadband-ipo war schon immer für frühestens 2002 geplant und soll auch nur in 2001 vertraglich abgesichert werden. sinobull-ipo war zwar früher geplant aber der Gewinn sollte Priorität haben und nicht der Kalender.

Die Zahl der Internet-Nutzer in der Volksrepublik China hat sich im vergangenen Jahr auf 22,5 Millionen erhöht und damit mehr als verdoppelt. Wie die chinesische Presse am Donnerstag unter Berufung auf Statistiken des staatlichen Internet-Informationszentrums meldete, war vor allem im ersten Halbjahr 2000 eine erhebliche Steigerung zu verzeichnen: acht Millionen neue User gegenüber "nur" 5,5 Millionen im zweiten Halbjahr. Ende 1999 betrug die Zahl der chinesischen "Internauten" dem Zentrum zufolge 8,9 Millionen.

Der jüngsten Statistik zufolge erfreut sich das World Wide Web besonders bei jungen Leuten großer Beliebtheit: 56 Prozent sind jünger als 24 Jahre alt. Die Internet-Nutzung ist ferner vor allem ein städtisches Phänomen, wobei die - zu 30 Prozent weiblichen - Nutzer überwiegend über einen hohen Bildungsstand verfügen. Am 31. Dezember 2000 verfügten 8,9 Millionen Computer über einen Internet-Anschluss - 1999 waren es lediglich 3,5 Millionen.

die Aussichten für einen weiteren Kursanstieg scheinen derzeit günstig zu sein. Laut dem Poster Dale_canadian im rb-board hat heute die national bank of canada HRCT empfohlen. Nach dem was er gehört hat, soll der Kurs Mitte Februar gen Norden fliegen. Zudem soll es ein Feuerwerk am 24. Januar geben, wenn ich Dr. Phan in seinem letzten Brief richtig verstanden habe.

Im RB-Board wird ausserdem gemunkelt, dass alte Kurshöhen nicht unwahrscheinlich sind.

Auch die Charttechnik zeigt einen steigenden Trend, da die 38-Tagelinie gehalten hat und eineige indikatoren weiterhin Kaufsignale liefern. Es scheinen also zur Abwechslung trotz des jüngsten Kursanstiegs noch spannende Wochen auf uns zuzukommen.

www.hartcourt.com, today responded to shareholder questions by offering further details regarding its recent agreement to
purchase 51 percent of Elephant Talk and its relationship with ETNS, which recently acquired permanent usage rights to an 8,307
kilometer optical fiber backbone network in China.

By acquiring Elephant Talk and participating directly in ETNS` network expansion and service offerings, Hartcourt has undertaken
to assist ETNS in accomplishing its goal of going public via IPO, merger or spin-off. This strategic relationship will position

(2) Leased Line Business: ETNS has acquired permanent usage rights to an 8,307km long optical fiber backbone network in China,
and is expanding the global coverage of its network. The network connects 15 major cities and surrounding areas in China
including: Beijing, Shanghai, Hangzhou, Fuzhou, Xiamen, Wuhan, Guangzhou, Shenzhen, Zhuhai, Dongguan, Jinan, Nanjing,
Suzhou, Changsha, as well as Hong Kong. The ETNS network will begin offering high-speed private leased circuit or frame relay
connections for high quality communication needs.
(3) Internet eXchange Center (IXC) -- ETNS has developed next generation, strategically located, fault-tolerant facilities -- IXCs for
network and facilities outsourcing. ETNS now has IXCs in Hong Kong, Shenzhen, Guangzhou, Shanghai, Beijing, Singapore and
the US. Through this IXC infrastructure, corporate customers will be able to remotely manage their Internet operations that will be
hosted at the IXCs. A broad range of co-location server hosting services will be provided.
(4) Virtual Private Network (VPN) services: IP based virtual private network (VPN) services will be offered for corporate clients.
These provide fully managed scalable private network connections among geographically distributed customer sites with
guaranteed application-level quality of services.
(5) Voice-over-IP (VoIP) Gateway Co-location services: ETNS networks will concentrate high capacity PSTN (Public Switched
Telephone Network) lines at each individual IXC for just-in-time provisioning of VoIP service expansion. They will also offer services
to exchange voice traffic through ETNS` distributed VoIP gateway to other cities.
