Keyware : Results Q1 FY 2003: Keyware moves into profit.

      Anderlecht, Belgium - 13 May 2003 - Keyware : Results Q1 FY 2003: Keyware moves into profit.
Strategy proves to be the right choice.

Brussels, Belgium — May 12, 2003 — Keyware Technologies NV (`Keyware`, NASDAQ Europe : KEYW), one of the world’s leading providers of multi-application card, physical access and time & attendance management solutions, today announced its results for Q1 FY 2003.
For the first time in its history, Keyware presents an operating profit of $0.2 million.

      Results Q1 2003

During Q1 Keyware realized a revenue of $ 2.8 million against
$ 2.7 million in Q4 2002. During Q1, Keyware finalized its last divestment, Able NV.
On a comparable basis, eliminating the impact of Able in Q4 2002, the revenue increased from $ 2.4 million to $ 2.8 million, or an increase of 16 %.

The gross margin for Q1 FY 2003 reached 60 %. The margin increase is mainly due to the realized divestments of the low value added businesses in the previous quarters and actual revenue is generated by high margin products.

For the first time in its history, Keyware has realized an operating profit of $ 0.2 million in Q1 FY 2003 against an operating loss $ 7.9 million for Q4 FY 2002.

The operating cash flow (EBITDA) amounted to $ 0.3 million.

Mr. Chris Buyse, CEO, said: “I am very proud to announce the first profits. The strategic options taken last year turn out to be the right ones. Keyware has proven its viability and will continue building a profitable business.”

Mr. Stéphane Vandervelde, President Corporate Strategy, added: “In Q1 FY 2003 Keyware rolled out at multiple customer sites its products for loyalty, physical access and time & attendance applications. Even in this difficult economical environment, Keyware succeeded to sign up important orders from new and existing customers. Keyware booked also its first revenue from the sale of its payment terminals. Furthermore in this quarter, the Keyware team was strengthened with high qualified R&D people in order to remain ahead of our competitors”

The management further confirmed its previously announced cash break-even for the FY 2003.

Cora Adopted Keyware`s Smart Loyalty Card
Cora can offer better services and improve customer relationships by combining loyalty and payment into one single smart card

Anderlecht, Belgium - 15 June 2003 - Brussels, Belgium - June 13th 2003 - Keyware (NASDAQ Europe: KEYW), a leading provider of identity-related solutions and services, today announced that Cora Belgium & Luxembourg adopted its loyalty application “Smart-Shopper”. Cora, member of the Group Louis Delhaize (Belgian group specialized in retail: supermarket, hypermarket,…), released a loyalty smart card which also serves as a payment card, in all of its Belgian and Luxembourg hypermarkets. Cora aims at offering better services, improving customer relationships and increasing revenues.

Cora’s eight Belgian and Luxembourg hypermarkets generated revenues of €815 million in 2000. Cora decided to modernize its benefits system through the use of a personal smart card on which all loyalty related information can be recorded for each transaction done by one of its customers. The Cora loyalty card allows each customer to automatically save euros in a virtual wallet, which can be redeemed to purchase further products. On demand, clients with a Cora card have the opportunity to pay for purchases made at its hypermarkets or petrol stations (debit or credit). Cora already has 200.000 smart loyalty cards in circulation and expects it will distribute an additional 40.000 cards per year.

According to Cora, it can now efficiently reward customers’ loyalty and improve the quality of service. The implementation of the smart card-based loyalty program is a new means of managing customer relationships.

Keyware supplies the loyalty software Smart-Shopper, the personalisation of the smart cards and the smart cards themselves. All loyalty and payment transactions will be processed through Keyware Transaction Services. The project generates revenue of €500.000, excluding recurrent transactions services revenue.

Smart-Shopper is innovative software for customer loyalty services. It allows loyalty managers to develop or adapt their specific schemes at any moment.
