SURFBOARD LIMITED
2001-11-27 ASX-SIGNAL-G
HOMEX - Perth
+++++++++++++++++++++++++
Over the past year the Company`s
primary focus has been on
maximizing
its return from existing mining
operations. To this end the
Company
has divested itself of all technology
investments, in large part due
to market conditions, except its interests in Surfboard Securities
Limited. Current cash held by the Co
mpany is approximately $6.7
million.
To ensure medium to long-term security and profitability the Company
has also continued to evaluate various strategic business initiatives
and opportunities, which have been the subject of prior
announcements. In this regard the Company has been cognizant of
addressing the varying expectations and requirements of its diverse
shareholder base.
In moving forward with its focus on mining operations, as described
in its annual report and pri
or announcements, the Company wishes to
advise:
* The Company will relocate its corporate and registered office to
Perth effective 1 February 2002. This is part of the Company`s effort
to continue to reduce costs and minimize overheads in the current
economic climate.
* The Company will continue to explore arrangements with suitable
companies whereby Surfboard shareholders that wish to continue to
have an investment focus on technology development may do so. This
course of
action will also allow those shareholders that wish to
continue to support the Company`s mining focus to be assured of the
Company`s course and direction, as well as assisting in establishing
clarity in the marketplace regarding the Company`s activities.
* Mr Paul Biancardi, Mr Philip Brown and Mr Don Hagans have resigned
as Directors of the Company. Consequently, Mr Biancardi and Mr Brown
will not stand for election at the Company`s AGM and their
nominations are withdrawn.
The continued Company focus on mining and
the relocation of the corporate office were important considerations
in regard to their decisions. The resignations are effective as of
today. These Directors were in full agreement with the continuation
of the Company`s announced process, and the development of a single
company focus, and indeed led the recent steps taken by the Company
in accomplishing this result along with the Company`s remaining
directors Mr Ludger Kohmascher and
Mr Hans-Rudi Moser.
The Company extends its thanks to Mr Biancardi, Mr Hagans and Mr
Brown for their significant efforts and contributions over the past 2
years.
* Mr Adam Rankine-Wilson and Mr Alex Nutter have been reappointed to
the Board. Both have substantial prior experience as Directors of the
Company. Mr Rankine-Wilson will become Managing Director, effective 1
December 2001. The current Sydney staff will continue to assist with
effecting the necessary transitions d
uring the next two months. A
suitable independent Chairman is being sought to replace Mr
Biancardi, and will be appointed in due course.
Should you have any questions please contact Ms Julie McCormack at
the Company`s Sydney office.
