was meint ihr?

realistisch an.

Was gibt es neues? Und gibt es bald mal Zahlen?
Hallo Freunde,
Also lieber NSE-Vorstand: Bitte melden !!!!!!!!!!!!!!
Die Aktionäre würden sich über pos. Infos freuen.

" EamS" vom 1.5.00
Titel: Fusionsfieber

Was war denn da los?

An boersenloser,
Also bitte etwas differenzierter muss man solche Berichte schon bewerten.

Was kotzt mich NSE mittlerweile an!

eines vorweg: habe keine nse, bin also unparteiisch
http://www.nse.de/download/q1dt2000.pdf

An Treckerfahrer!
Was wird kommen?

in guter hoffnung....

geplante kooperationen:
natürlich wurden keine namen genannt, jedoch waren große internationale partner erwähnt worden. glaube daß in nächster
zeit was kommen wird.

After a disappointing fiscal year 1999, which reached its “ highpoint” with the cancellation of an
order to the value of EUR2.3m, we expect the rapidly introduced measures (e.g. changes on the board of
management, reorganisation of project business, founding of a development centre) will bring the first
positive results this year.
We are confident that the better than expected 1Q/00 results represent a positive new start for
NSE. The main sales and earnings contributions for 2000 are however not expected until the second half
of the year due to the roll-out scheduling of FINAS Enterprise. In Q1, incoming orders were 20% above
plan. For 2000 as a whole we expect an increase in sales of 59% to EUR53m and growth rates for the
following two years of 52% and 40%, respectively. Based on a 1999 EBIT of EUR2m (which is before the
expenses related to the order cancellation), we expect an improvement in EBIT to EUR8.7m in 2000 and a
further doubling in each of the following years.
A valuation comparison shows an NSE target price of EUR32 based on static procedures (P/E,
EV/sales, EV/EBDIT), EUR28 based on dynamic ratios (PEG, EV/sales/growth and EV/EBDIT/growth),
and EUR35 based on our DCF model. The average of all 3 valuation procedures gives a target price of
EUR32 for the NSE shares.
On the product side, FINAS Enterprise offers a modern CRM total solution for financial service
institutions, which includes all sales channels (e.g. branches, outside sales representatives, self-service
kiosks, call centres, Internet, mobile communications). The software which was produced with Java and
XML is based on a modern n-tier architecture and component technology. Additionally this product is
language and currency independent and supports via interfaces links to ERP, DMS, workflow
management and groupware systems. Through FINAS Enterprise, NSE will develop from a software
implementor, with strong exposure to project business, to a licence-based product supplier.
NSE’s the recently announced strategic sales and technology partnership with Intershop should
lead to a highly efficient e-business total solution for the international financial market. With the business
models supported by Intershop, we see a possibility for the new product to be used in ASPs, financial
portals and online marketplaces. Furthermore, this could result in an integration platform made up of
FINAS Enterprise, INTERSHOP enfinity and a security system.
NSE’s motto for the year 2000 is “ Europeanisation through partnerships” . Since over 60% of the
European CRM market for financial service institutions is concentrated in Germany, Great Britain and
France, NSE’s European strategy is orientated towards these markets. In addition to acquisitions,
partnerships with system integrators and consultants represent opportunities to achieve rapid market
success and to move away from project business.

We recommend NSE shares for purchase, with a target price of EUR32. Even though the shares
could come under short-term pressure as a result of the quarterly figures, we see the company’s advances
with regard to management, products and partners as very promising and expect the sentiment for the
shares to swing when the first e-business projects are announced.ഊ27)

We have valued NSE on the basis of peer-group comparisons of our discounted cash flow model.
4VSJMPIWSJTIIVKVSYTQIQFIVW
Our peer group focuses on software companies offering solutions to financial services institutions (FSIs)
similar to those of NSE. Many of the peers are active only in a part of NSE’s businesses, however. The
following is a list of the individual members and a brief profile of each company.
`36-RWYVERGI8IGLRSPSKMIW
This Neuer Markt company develops inventory management systems (COR-LIFE) for insurance
companies, especially for life insurance companies. In addition, COR provides strategic consulting,
outsourcing, business process management, IT consulting, and support for systems development.
`497SJX[EVILSYWI
CPU develops and sells standard transactions software for FSIs. Its NT-based core product CPU-C5
facilitates standardised application and order processing. CPU Softwarehouse made massive acquisitions
last year, including important functionalities such as a coding software and a home banking application. In
2000 the company wants to expand without further acquisitions, above all on an international scale. In
1999 CPU achieved turnover of EUR14.7m and an operating loss of EUR10m, with 203 employees. The
company has been listed on the Neuer Markt since April 1999.

The Austrian-based Fabasoft develops standard CRM software for FSI, telcos, and electric utilities
(eCRM), and for the public sector (eGov) on the basis of the state-of-the-art technologies. The company is
mainly active in the German-speaking area, but recently acquired a software manufacturer in the UK. In
order to achieve fast growth, Fabasoft employs an indirect distribution model.
*MRERGMEP3FNIGXW
Financial Objects (UK) develops and implements software solutions for banks with international
operations. The modularly constructed software solution supports a large number of the usual functions in
international and private banking and is used by more than 250 customers worldwide.

FJA (formerly Feilmeier & Junker) is a consultant and software supplier for the insurance sector. It is the
market leader for inventory control systems for life insurance companies in Germany and Austria. FJA
also has an Internet-based CRM solution by the name of FJA-IPOS, which is used mainly by insurance
companies. An important reference project for FJA in the banking sector was the installation of 4,000
bank work places at UBS. In 1999, FJA, with some 500 employees, achieved total sales of EUR60m and
EBIT of EUR9.3m. In February of this year the company was launched on the Neuer Markt.

The US-based Policy Management Systems (PMSC) offers a broad range of IT solutions for insurance
companies such as enterprise and e-Commerce solutions, professional services, and the outsourcing of
business processes. PMSC’s German subsidiary PMS MICADO recently acquired CAF, a provider of
product management systems. PMSC is listed on the NYSE.

In the following we provide an overview of the most important financial statistics of the peer group
members. Given that NSE capitalises certain software development costs in conformity with IAS, whereas
the peer group companies we have chosen do not follow this practice, we have factored out this
capitalisation from NSE’s figures. Please note: NSE’s values are not included in the peer-group averages
(although NSE is listed at the end of the tables for the sake of better visual comparability).

The comparison of the static ratios (left column of the above three tables) does not account for the growth
rates of the peer group companies, which in some cases are strongly divergent. As a result, we have also
divided the static ratios by the companies‘ respective long-term growth rates (either sales or EBIT
growth).ഊ27)

In addition to the normal peer group average, we also used a modified peer group average which excludes
Fabasoft, as Fabasoft‘s extreme values significantly distort the normal averages. Furthermore, our
calculation of the target price is based on the modified peer group average, i.e. excluding Fabasoft.

NSE Software AG develops, sells and implements Customer Relationship Management (CRM) software
for the financial services industry. This software facilitates the automation of the pre-sales, sales and post-sales
processes (so-called sales force automation = SFA) at banks, building societies and insurance
companies.
In the pre-sales phase the financial services institution (FSI) registers and processes customer and product
data in order to initiate relevant marketing campaigns. Following this, specific customer situations are
analysed during the actual sales phase. For the customer service officer these analyses serve as a basis for
customer advisory sessions and when necessary, for a firm offer. If the customer accepts the offer, he
signs a contract with the institution. In the subsequent post-sales phase, administrative tasks such as
forwarding of contracts and applications as well as sales processing need to be taken care of.
The entire value chain of the FSI, from pre-sales, to sales, to post-sales, can be covered with NSE
software for all distribution channels (branch offices, outside sales representatives, call centres, Internet,
mobile telephones). NSE offers complete CRM solutions to FSIs with its standard software FINAS
Enterprise.

Friedrich Nerb has been with NSE since 1995 and is responsible for the realisation and introduction of
integrated total solutions at banks and insurance companies. He previously gathered wide-ranging
experience in top management of multi-national concerns in the IT and logistics sectors. At the beginning
of the year Friedrich Nerb took over the post of CEO from his brother Manfred Nerb, who remains a
shareholder in the company.
Peter Päselt joined NSE on 1 July 1998 as board member responsible for finance, controlling, personnel
and organisation. Before that he was an auditor and tax advisor at C&L Deutsche Revision AG.
Seppo Rantanen joined NSE on 1 July 1999 as executive manager, and on 28 January 2000 he replaced
Gerhard Maier as a member of the board. Since then he has been responsible for e-business, investor
relations, marketing and corporate development. He previously held management positions at various
banks in Europe and Asia.
Manfred Nerb was the last founding member of NSE Software-Entwicklung GbR to step down from the
company’s management. The new board lines up as an management team with international experience,
that works well together, and is capable of meeting the higher strategic challenges of a company of this
size.
The supervisory board is still made up of Konrad Nerb (Chairman and founder-member), Günther
Haberstock (Vice-Chairman and founder-member) and Kay-Thomas Pingel.

On 28 July 1998 NSE’s original shareholders signed a pooling agreement to ensure that key persons
remain bound to the company. According to this agreement the 6.4m shares (55% of total) which stayed in
the hands of the original shareholders after the IPO remain under the uniform management of a separate
private company). This pooling company is due to be dissolved on 31 December 2013. The following

NSE Software AG is a provider of complete solutions for globally operating customers in the financial
services sector. Its core areas of expertise are the following:
· Standardised software (the FINAS Enterprise family)
· Consulting and process optimisation
· Implementation and project management
· Services and Support
FINAS Enterprise (FINAS = Financial Information and Sales Support Systems) is a cross-disciplinary
consulting software package with more than 60 standard applications for banks (commercial banks,
savings banks, thrifts) and insurance companies. FINAS combines middle office (pre-sales), front office
(sales) and back office (post-sales) functionalities, i.e., all processes along the value chain. FINAS thus
enables the advisors of financial services companies to use one single software package for all phases of
their activities, customer acquisition, product sales, and contract completions and all related paperwork.
There is little difference whether the FSI contacts its customer through advisors, the self-service kiosk, the
call centre, the Internet or a mobile telephone. Information regarding products and service can be adjusted
to the relevant distribution channel. By thus encompassing all distribution channels (multi-channel
solutions), FINAS provides the management of the FSI with an immediate and complete view of the
customer base and guarantees that the FSI presents itself to and addresses customers in a uniform way.
*-2%7)RXIVTVMWI
FINAS Enterprise is an Internet-based solution developed in 1999 which is earmarked to supersede
FINAS Classic. FINAS Enterprise consists of component modules, which take into consideration both the
peculiarities of the respective distribution channel and the specific requirements of the relevant link in theഊ27)
12
value chain. The standard component configuration can be extended by NSE and its partners with
additional components to make individually tailored and complete solutions for its customers.

The Product Management System is the centrepiece of the company’s Enterprise solution. This system
assumes full control of all of the CRM processes. In addition to a buildtime component, in which the
financial products and accompanying modules and accompanying rules are defined, there is also a runtime
component which uses the descriptions of the buildtime component via a “ control container” and makes
them available for the FINAS components to use. Once the product developer has defined the modules at
the product design stage, he can combine these components with each other anew and modify them as he
pleases, and in this manner either create individual products or individually tailored complete packages
(build once - run many). The product pre-costing function calculates margins and profits. Later, it is
possible to run a sales simulation and estimate sales during the product launch period, and changes in
customer behaviour. If the simulated results are not satisfactory, it is possible to undertake as many
product modifications until the desired success is achieved (in simulations). Afterwards it is also possible
to evaluate the success of the product on the basis of actual and target figures. With its wide range of
features, the Product Manager System allows the customer to rapidly introduce new products to the
market in all distribution channels in a matter of a few weeks. No programming knowledge is required to
use this product.
NSE’s Business Activity Management (BA Management) product supports the FSI’s staff with efficient
work scheduling, the creation of creation of “ to-do” lists and schedules of appointments and dates. An
automatic, centrally controlled signal highlights activities which have arisen in the various sales channels.
In the pre-sales phase the two packages “ Partners/Object” and “ Marketing/DBM” (Database Marketing)
are used. Partners/Object is an integrated partner data base, which handles the administration and supply
of information about clients, prospective clients, and cooperation partners which is necessary for business
relationships in the pre-sales phase. This product gives the FSI a uniform view of his customer base across
various distribution channels, even of those accessed through several distribution partners.
The Marketing/DBM package enables the FSI to make targeted customer selections and contacts in the
pre-sales phase by means of evaluating multidimensional data supplied from FINAS Enterprise or an
external data warehouse. Once the target client groups have been defined for the product to be advertised,
Marketing/DBM defines and outlines the marketing effort (e.g. mailings, telephone calling, etc.), and
assigns these various methods to the respective client target groups. With the aid of target-group-specific
product features, it is possible to tailor product portfolios to different client groups and select the
appropriate distribution channels. The Marketing Controlling function orchestrates the entire marketing
campaign, and measures the success of the campaign, channel by channel.. This product thus allows the
user to make timely adjustments to his product structure or the distribution channel through which he sells
that product.
The features of FINAS Enterprise Pre Sales (Middle Office) include:ഊ27)
13
· Customer analysis , and planning
· Clients /contracts
· Customer relationship management
· Soft facts
· Requirements scoring
· To-do lists
· Appointment calendar
· Selection
· Marketing/advertising campaigns
· Sales controlling
For the sales phase, the two modules “ Analysis/Advice” and Sales are deployed. With the
Analysis/Advice package the financial services advisor can make a comparison between actual and target
figures by using a small input of data and client characteristics in order to establish the client’s individual
financial needs. In this process, the client himself receives all his essential information as well as an
overview of his legal and tax situation. Evaluation of this information can be presented either graphically,
as a spoken presentation, or as a video presentation – all of which are easily understandable for the client.
The flexibility of FINAS Enterprise enables the user to adapt the contents, level of detail, and order of the
consulting process to the specific requirements of the product, the target group, and the distribution
channel. In addition, the system also points out cross-selling and up-selling opportunities, which makes it
easier for financial advisors to tap the full potential of “ bankassurance” products and services.

14
The Sales package per se enables the advisor to put together product offers and conduct alternative model
calculations. FINAS Enterprise covers active (credit) and liability aspects, home savings (Bauspar)
insurance products, and can also add the products of cooperation partners to the offer and thereby create
product packages from many different financial service areas, including bank and insurance products, and
the various segments of these businesses. This of course greatly facilitates the implementation of the
bankassurance approach. In addition to drawing up product offers, the Sales package can also be used to
print out the contracts and forms directly at the point of sales and then forward them for further
processing.
The following is a selection of the very broad range of features provide by FINAS Enterprise Sales (Front
Office):
· Acquisitions system
· Loans with special features
· Automobile purchase financing
· Construction financing
· Home savings advice
· Corporate pension plans
· Liability insurance
· Mutual funds
· Automobile insurance offers
· Credit and leasing consulting
· Life insurance offers
· Interest rate optimisationഊ27)

The post-sales phase is covered by four packages: Administrative, Service, Sales Controlling and Stock
Taking Insurance . Integrating the front and back offices can improve overall processing speed (reducing
the time spent at each processing stage), and save costs. The programme’s computer-aided administrative
functions enable nearly all sales (90% of all transactions) to be nearly fully processed at the point of sale,
since things like credit checks, determination of lending value and can be made directly by the advisor at
his place of work. With an aim to enhance customer satisfaction and loyalty, the programme offers a
broad range of additional services in addition to the so-called post-sales functionalities.
FINAS Enterprise is not an administration tool, however, but includes a broad range of sales controlling
functions. The programme keeps track of client-specific information such as contact reports and
presentations to customers) and enables the financial service provider to efficiently process, review and
evaluate contacts with customers and present their impact on the bottom line. As part of the process of
controlling sales activities, the number of client contacts and “ to-do” items are planned and monitored,
while the earnings controlling function registers and evaluates product-related information (e.g. number of
contracts, volumes, type of products sold). The statistical evaluation tools described above give FINAS
Enterprise the ability to provide comprehensive evaluations of customers (customer quality) and the
effectiveness of existing customer care.
With its recently developed package Stocktaking Insurance, NSE has penetrated more deeply into back
office domain. In cooperation with the Cologne-based insurance software company, NSE began
developing a complete stocktaking programme for different industries. A part of this project (product
management and partners/object) has already been implemented). This product not only can be used for
various insurance lines, but for various industries as well ; this is indicated by the large order for the
Munich-based GEMA (Company for music performance and mechanical recording rights), which will use
FINAS Enterprise for all aspects of its sales operations including contract management.
The most important features of FINAS Enterprise Post Sales (Back Office) include:ഊ27)
16
· credit scoring, credit checks
· Determination of loan value
· Forms/paperwork management (applications, contracts, forms, lists)
· Administration, lending, liabilities, distribution partners
· User administration
· Product database
Customers who have already installed FINAS Classic can easily switch to FINAS Enterprise by using
migrations tools, which enable the customer to use both the new system and the old system together.

NSE also provides additional services to meet customers’ demand for complete, integrated solutions that
can be deployed group wide. The company’s know-how in the design and implementation of complex
solutions, acquired through numerous IT projects, is still very important, despite the growing use of
standard software solutions. Software tailored to customers’ needs is an especially key differentiation
feature for financial services companies, where the world consists of products and services that are
becoming increasingly uniform. NSE supports their customers with product- and projected-related
consulting (Consulting package), implementation and Service & Support.
NSE’s normal starting point for all contacts with its clients and prospects is consulting. Consulting
includes the analysis of business processes and the development of a plan of action called the project
framework, which maps out step by step the optimisation of those processes. The project framework also
incorporates IT technical support and industry-specific aspects.
Proceeding from the project framework, NSE performs all implementation services needed for the design,
management, coordination, implementation, and controlling of the entire project. This year, the company
had its ISO 9001 and ISO 9000 certification renewed for the next three years, among other things for
project management.
Following the successful implementation of a project, NSE provides support to ensure the reliability of the
on-going operations. The company also provides training of personnel and introductory courses as well as
maintenance, hotlines, workshops and seminars.ഊ27)

NSE has successfully penetrated the German and Austrian markets for CRM solutions for FSIs. In
Switzerland, it won an important reference customer, Züricher Kantonalbank, which raises its hopes of
further projects. Orders have come from German and Austrian customers for current projects in Hungary,
the Czech Republic, Slovakia and Poland. NSE has installed a total of 110,000 workplaces at over 100
FSIs. A glance at its extensive customer list shows that NSE has not only tier 1 customers, but also
numerous tier 2 customers.

At the beginning of 1999 NSE agreed a strategic sales and development cooperation with the systems
supplier Subito Software GmbH. Subito’s computer-aided loan processing system known as KREBIS and
its risk appraisal/management module RATING ideally complement NSE’s back office products. This
facilitates comprehensive support of all business processes from customer acquisition to loan approval and
payout. Numerous mutual customers had already joined Subito and NSE products by means of an
interface. In the meantime, the Subito interface has become standard at NSE. This alliance should step up
NSE‘s international expansion.

In July 1999 NSE and IBM began a strategic partnership in order to be able to offer an extensive software
solution for marketing, sales and customer relations management for the financial industry, covering all
sales channels. In addition they also closed a marketing agreement for the European market. For no
apparent reason, this cooperation has not yet brought the success that was hoped for. This does not apply
to the cooperation between NSE and IBM Austria, however, which has been running successfully since
1995.

In mid-1999, NSE began a cooperation with the Cologne-based AVSG for the development of a complete
inventory management system. AVSG (Allgemeine +++Versicherungssoftware GmbH) belongs to the
Parion Group (51.9% stake), which includes amongst others Gothaer Versicherungen, Berlin-Kölnische
Versicherungen and ASSTEL-Versicherungen. AVSG develops applications for the insurance sector. In
particular, the company has developed a concept for a product management system which is already
available as the back office inventory management package “ Stocktaking Insurance“ of FINAS
Enterprise. The remaining inventory management framework is still under development.ഊ27)

In March of this year Intershop Communications and NSE agreed on a strategic sales and technology
partnership, the aim of which is to integrate Intershop’s e-commerce solution known as enfinity and
FINAS Enterprise into a mutual CRM solution for FSIs. This should result in an entirely new, highly
efficient e-business total solution for the international financial market.
Enfinity’s and FINAS Enterprise’s open architecture, based on Java and XML technologies, allow FSIs to
coverall their business processes with a single solution, both the classic sales channels (branch offices,
outside sales representatives, self-service kiosks , call centres) and e-channels (Internet and mobile
communications). The planned further expansion of the cooperation could include completely new
business models. We explain this in more detail in the following section.
7XVEXIK]
NSE‘s product strategy is fully orientated to the needs of financial services institutions (FSIs) and aims
towards the evolutionary further development of Software with regard to
· One-to-one marketing by means of individual portrayal of customers’ needs, in order to win and hold
on to specific customer target groups
· Time to market, to support a market launch of newly developed products which matches the market‘s
requirements
· Cost cutting as a means to improving efficiency
The steps taken by NSE in order to support these market trends are:
· Broadening of the product range
· Further development of FINAS technology
· Europeanisation through partnerships
· Support of new business models
&VSEHIRMRKSJXLITVSHYGXVERKI
For the coming year NSE is planning to broaden its product range in line with its customers‘ business
processes, both through its own developments and by means of acquisitions and partnerships with
software enterprises. This should lead to a closer link between sales and sales processing. Although the
new development of an inventory management system, begun in mid 1999, does not exactly fit in with this
strategy, it is nevertheless an important milestone on NSE‘s way to becoming a complete supplier for
FSIs.
*YVXLIVHIZIPSTQIRXSJ*-2%7XIGLRSPSK]
In 1999, with the launch of FINAS Enterprise NSE already brought Internet-age software onto the market
(see section on FINAS Enterprise technology). NSE provides its customers with suitable migration tools
to allow an easy switchover from FINAS Classic to the new technology of FINAS Enterprise. Thanks to
state-of-the-art software we should reckon that FINAS Enterprise technology will be improved in a
gradual evolutionary way in the foreseeable future. This could, for example, move in the direction of the
integration of voice over IP (speech link via Internet) and videoconferences for advisory sessions as well
as voice recognition.
)YVSTIERMWEXMSRXLVSYKLTEVXRIVWLMTW
Since over 60% of the European CRM market for FSIs is concentrated in Germany, Great Britain and
France, NSE‘s European strategy is orientated towards these markets. The company has 3 main focus
points for tapping into these markets: acquisitions, cross shareholdings and business partnerships. Theഊ27)
20
decisive factors for entering these three are local market knowledge and customer relationships. This is
also the reason why NSE does not want to enter these markets via its own subsidiaries.
As far as partnerships are concerned, NSE targets companies which can either act as solutions partners,
covering all core areas, sales, consultation, implementation and service, or which are specialists in specific
areas of expertise. The latter includes, amongst others, consultants. They play a very important role for
NSE as they can influence the FSIs‘ choice of product range by means of consultation with IT board
members. With regard to partnerships in the products area, NSE approaches companies in the following
fields of competence: data management, central data acceptance, data warehousing, database marketing,
computer based administrative processing, workflow management, e-commerce as well as single
component suppliers for SFA/POS applications.
7YTTSVXSJRI[FYWMRIWWQSHIPW
The possible expansion of the INTERSHOP partnership would bring with it considerable additional
potential both for NSE and for INTERSHOP. NSE would be able to offer its customers, with a single
stroke, not only complete CRM solutions, but fully integrated CRM and e-business solutions. For
INTERSHOP this would mean improved access to the financial services sector – a clear win-win
situation. Furthermore, with the support of new business models (e.g. online marketplaces) NSE would be
able to raise its targeted sales multipliers even further. With the support of INTERSHOP‘s business
models we could imagine that it may be possible to realise the following development scenarios for
FINAS Enterprise.
· ASP (Application Service Provider)
In line with the rapid growth of the Internet, more and more FSIs are expanding their sales channels
through this medium. In addition, the Internet allows small and medium-sized banks and insurance
companies, e.g. the financing units of the automakers and pure online banks/brokers, to address a large
number of potential customers via Internet, despite their limited physical presence. However, these small
and medium-sized online FSIs are often hardly in a position to purchase and run a competitive CRM and
e-business solution due to their limited financial and personnel resources.
This is the target group for application service providers (ASPs), which run software, hardware and offer
additional services for their customers. FINAS Enterprise’s architecture allows for the software to be run
by an ASP, which is thereby in a position to offer e-business and CRM functionality outsourcing for the
financial industry. This means that NSE would no longer sell single licences directly to these smaller FSIs,
but would sell them as a package to the ASPs. Thus, the emergence of ASPs as the link to the smaller FSIs
would give NSE the possibility of additional multiplier effects in licence sales.
· Financial portals and marketplaces
In particular regionally based savings banks, cooperative banks and (in Switzerland) canton banks are
busy constructing regional online marketplaces. NSE‘s partnership with Intershop actively supports such
activities. The numerous NSE modules in the form of plug-ins (e.g. leasing/loans, life insurance, Bauspar
advising etc.) gain additional functionality and integration possibilities based on Intershop enfinity and its
partners. This results in a complete e-business solution which facilitates and efficient and uniform one-to-one
marketing using Intershop‘s tools for customer profile management together with NSE‘s CRM
features. The linking of portals, communities and online marketplaces (e-brokers, e-agents) to the new
sales channels could produce the following set-up:ഊ27)

Depending on the FSI’s e-commerce platform and the extended functionality of future enfinity releases,
Intershop enfinity, it will be possible to use enfinity as an integration platform for the POS components of
the FINAS Enterprise product range. As opposed to the online marketplace model, which allows only the
electronic sales route via marketplaces to be incorporated into the solution, this model allows all sales
routes available in FINAS Enterprise to be integrated into the CRM/e-business solution. In our view, a
solution extended to include a content management system (CMS), e-commerce and a security system
could take on the following form.

The term Customer Relationship Management (CRM) is nowadays used (and often misused) increasingly
often to describe everything that has anything remotely to do with a company’s relationship to its
customers. In an attempt to make CMR more tangible, we have come up with the following definition:
CMR is about dealing with a company’s relationship to its customers in its entirety. Communication, sales
and supply policies are no longer considered separately, but rather integrally aligned to meet the
customers’ requirements. Customer satisfaction as an indicator for customer retention and therefore a
company’s long-term value, is the central measure of CMR success. The task of increasing customer
satisfaction should no longer be left to sales and marketing departments, but should rather be a process
involving the whole company, including production. By measuring customer satisfaction in terms of direct
enquiries, feedback from customers, numbers of complaints and changes in turnover, the FSI should be
able to improve customer satisfaction in a more targeted manner and thereby enhance corporate value.
CRM and CAS (Computer Aided Selling) systems are instruments and methods which are often
introduced into marketing and sales, supported by EDP, to promote efficiency and effectiveness in dealing
with customers. With the help of IT, it is possible to gather and process detailed customer information,
allowing the FSI to address different markets in different ways, and leading finally to one-to-one
marketing. One-to-one marketing describes a marketing which, in its ideal form, is orientated to the
specific needs of each single customer. Therefore, the key in CRM and CAS systems is not merely a
quantitative increase in customer contacts, but rather more a qualitative improvement in dealing with
customers.

The CRM expenditure of European retail banks and insurance companies, which is relevant to NSE’s
Europeanisation, is forecast to show a significant growth in double figures in the coming years. The
market researchers from Datamonitor expect European retail banks to spend $2.4bn on CRM technologies
in 2003 (this represents 11.1% of their entire IT expenditure). $1bn of this will be invested in CRM
software and services (CAGR 98-03: 20%). Europe’s largest CRM markets are Great Britain, Germany

According to Datamonitor, the European insurance companies’ CRM expenditure will grow more slowly
than that of the banks. Accordingly, they are expected to spend $1.3bn on CRM solutions in 2004. A
decisive 25% share of this will go into CRM standard software, which will show an average growth rate of

The German CRM software licences market, which is NSE’s most important market, has expanded
rapidly over the past five years from EUR130m in 1994 to EUR500m last year (CAGR 94-99: 31%).
Nevertheless, only about 25% of an estimated 450,000 potential CRM users in Germany are running a
CRM system. The consultant Wolfgang Schwetz, for example, estimates the German market potential to
be around EUR1bn in 2002, which would correspond to an average growth of 26% p.a. from 1999-2002.
In this process, against the background of technological changes, we also expect the share of in-house
software to decline from 50% currently to 10%.
Despite the market’s strong growth, competition is becoming increasingly intense, resulting in takeovers,
mergers and the first bankruptcies. Strategic alliances are a proven means of meeting the demand for
suppliers to be able to offer as complete a range as possible. The industry leader Siebel, for example,
agreed a strategic alliance in November 1999 with Broadbase in order to integrate Broadbase’s e-business
applications into Siebel‘s web-based front office solution. European examples are Update.com, which
cooperates with Ericsson in the mobile telephones segment and Applix, which wants to integrate
Micrologica‘s CTI solution into its CRM package.
The main priority in the battle for market share is to be in the position to offer as comprehensive a CRM
system as possible. Many suppliers are however lacking some component or another, whether it be call
centre tools, software marketing orientation, or service components etc. But not only new CRM software
suppliers are making every effort to enter the market. Large ERP suppliers are also very interested in this
market, and are using all kinds of strategies to muscle their way in. Peoplesoft for example has bought
Vantive, whereas Baan has bought Aurum. SAP and JD Edwards on the other hand have formed
partnerships: SAP with Clarify (acquired by Nortel), and JD Edwards with Siebel (the world’s No. 1 in
CRM). Oracle, in turn, has chosen to go with its own CRM solution.
About 150 system integrators and consultants (e.g. SBS, debis, IBM, PWC) realise ready-to-use CRM
solutions, mostly for large corporations, including marketing strategy, implementaiton and user training.ഊ27)
24
Prices for these services are often more than double the actual licence fees. As consultants and system
integrators have very good access to company board members, it is immensely important for CRM
software suppliers to recruit and certify these specialists as business partners.

NSE operates in a very lucrative, fast growing niche as one of the largest all-round suppliers of CRM
software for FSIs. In this niche, the necessary segment know-how (legal, tax and product-specific aspects)
is a barrier to entry for many CRM suppliers with a wider stance in the market. Often, companies which
already offer solutions for FSIs are only active in certain niches (e.g. only building societies or only
insurance companies), and do not incorporate a bankassurance approach into their products. As a result,
there are basically only three competitors with CRM solutions for FSIs in Germany:
*.%
FJA (formerly Feilmeier & Junker) is a consultant and software supplier for the insurance sector. It is the
market leader for inventory control systems for life insurance companies in Germany and Austria. FJA
also has an Internet-based CRM solution by the name of FJA-IPOS, which is used mainly by insurance
companies. An important reference project for FJA in the banking sector was the installation of 4,000
bank work places at UBS. In 1999, FJA, with some 500 employees, achieved total sales of EUR60m and
EBIT of EUR9.3m. In February of this year the company was launched on the Neuer Markt.ഊ27)

The Austrian based company Genesis offers integrated CRM total solutions for national and international
FSIs. Their core competence is in the realisation of large software projects for front-office and POS
applications. The central focus of the company’s product range is the GENESIS Marketing-Center
(GMC), a CRM system encompassing multiple business sectors, workforces and sales channels for banks
and insurance companies.

The key events for 1999 were the introduction of FINAS Enterprise and the IPO. The FINAS Enterprise
launch led to some direct and indirect problems, which, along with other factors, caused the company to
miss its targets last year.

In our view, the company’s failure to meet its targets was due to the following reasons:
· One-sided focus on marketing FINAS Enterprise at the expense of existing components (e.g. Call
Centre)
· Delays and higher expenses for the launch of FINAS Enterprise, reducing resources available for the
project management business
· Y2K-related order postponements
· Expenses of EUR2.3m resulting from order cancellations, caused by errors in order management
· Non-realisation of synergies with partners
· Greater free services rendered to customers related to the FINAS Classic product generation, which
will be superseded by FINAS Enterprise.
· Adjusts to business processes for increased order complexity and volume
· Deficient recruitment of new staff, necessitating the use of expensive, external IT personnel
DQഊ27)
27
At the end of the year, the company quickly introduced the following countermeasures:
· Project management and distribution will be formed into a separate profit centres with separate
earnings accountability, in order to secure maximum cost control and high quality of product
development and service
· Project heads were given greater responsibility and independence
· The company’s management structure was thinned (e.g., the board of management was reduced from
5 to 3)
· An extra employee motivation programme was launched, in which the company’s pre-IPO
shareholders have made 350,000 shares available for employees. Each employee will receive an
average of 1000 shares after two years.
· Establishment of a development centre in Prague, where IT experts cost two-thirds less than in
Germany
· Marketing and communications were reinforced organisationally and in terms of personnel
5YEVXIVP]TIVJSVQERGIW
The quarterly performance figures show that Q4, usually the strongest quarter of the year, was the main
contributor to the weak performance in 1999 due to weak sales and order intake, and an operating loss
(EBIT).

In 1999 NSE was forced to cancel a EUR2.3m order; this order had represented the company’s entry in to
the commercial bank segment in 1998. The reasons for the cancellation were mistakes in order
management, which ultimately caused heads to roll in the management board. The expenses related to this
order cancellation included the recognition of production expenses which had been capitalised as of 31
December 1998, and the write off receivables as well as expenses in 1999. The botched order not only
damaged the company financially, but hurt its image as well, which could prove detrimental to its entry
into the commercial banking sector.

As a general footnote to Q1/00, we should point out that although NSE delivered the framework and call
centre for FINAS Enterprise as planned, the business objects are not scheduled to be delivered until Q3
and Q4. This is also why the main portion of the year’s sales will be generated in the second half of the
year.
After the management‘s errors last year, Q1/00 order intake was 20.8% above plan. In view of this, we are
confident that a) EBIT will turn positive from H2 onwards and b) the company will return to EBIT growth
from Q2/00 onwards.

-RGSQIWXEXIQIRX
Our sales forecast assumes that for the years 2000 and 2001 the main growth driver will be the Internet
and related multi-channel CRM solutions – especially for insurance companies. The banks seem to have
moved towards such solutions earlier than the insurance companies, so that NSE’s growth in this customer
group (table) is likely to be slower in the forecast period; the slower growth in this customer segment will
also be due in part to higher base level of sales going into the period. Bank sales growth should be driven
by the increased attractiveness of NSE’s products as a result of the INTERSHOP partnership. We do not
expect exceptional sales growth from building societies (thrifts). The strong increase in Others in 2000 is
due to an order for a stocktaking system for GEMA for a total of EUR4.2m spread over 2000 and 2001. In
both 2000 and 2001 we expect sales growth to exceed 50% p.a., with a CAGR just under 40% p.a. for the
four-year period 1998–2002.

Based on the company’s geographic expansion in Europe with the help of distribution and implementation
partners and shorter faster project completion times thanks to FINAS Enterprise (6–9 months from the
date of order receipt), we anticipate an increase in licence sales of 150% in 2000. This would put licence
sales at roughly the same level as project management revenues in 2000. With licence sales growing at a
higher rate than Project Management sales (CAGR of licence sales for 1998-2002: 58%), we expect
licence sales to rise to 50% of total in 2002. The Project Management business is expected to grow at a
CAGR of just under 20% for the same period, attributable to the aforementioned strategy of passing on the
lower-margin Project Management business to partners. Sales from maintenance and service, on a
smoothed basis, follow licence sales with a certain time lag. Maintenance contracts are usually for three
years (and cannot be terminated in this initial period), and then are extended automatically for 1 year if the
customer does not terminate.

-2781)286)`311)2(%8-32
We recommend NSE shares for purchase, with a target price of EUR32. Even though the shares
could come under short-term pressure as a result of the quarterly figures, we see the company’s advances
with regard to management, products and partners as very promising and expect the sentiment for the
shares to swing when the first e-business projects are announced.ഊ27)

The comparison of the static ratios (left column of the above three tables) does not account for the growth
rates of the peer group companies, which in some cases are strongly divergent. As a result, we have also
divided the static ratios by the companies‘ respective long-term growth rates (either sales or EBIT
growth).ഊ27)
8
In addition to the normal peer group average, we also used a modified peer group average which excludes
Fabasoft, as Fabasoft‘s extreme values significantly distort the normal averages. Furthermore, our
calculation of the target price is based on the modified peer group average, i.e. excluding Fabasoft.

The average of the static ratios (2002e) yield a fair share price for NSE of EUR32; using the dynamic
ratios, we arrive at a fair share price of EUR28. Our DCF model gives us a fair share price of EUR35. We
derived our target price from the average of these three values, that is EUR32.

7IVZMGIW

Europe’s largest CRM markets are Great Britain, Germany
and France, which together account for two-thirds of the total market.

According to Datamonitor, the European insurance companies’ CRM expenditure will grow more slowly
than that of the banks. Accordingly, they are expected to spend $1.3bn on CRM solutions in 2004. A
decisive 25% share of this will go into CRM standard software, which will show an average growth rate of
14% p.a. from 1999 to 2004. Great Britain, Germany and France account for more than two-thirds of the
total market for CRM for insurance companies.

Source: NSE annual reports, Cheuvreux-estimates
