ORTX hat er im Dezember 2005 gekauft, ist 2500% in einer woche gestiegen und hat 2000% gehalten!

DRMN hat er November 2006 gekauft und die ist rund 250% gestiegen und niveau gehalten...

und dort hatte er wesentlich weniger % der anteile!

Currently, eXegenics is a shell company. It was formerly known as Cytoclonal Pharmaceutics which was previously involved in researching cancer drugs. However, the co has terminated all research activities. All scientific staff and administrative positions were eliminated. Frost is the man behind Ivax Corporation, a generic drug manufacturer,m which was recently acquired by Teva. Frost's company had repeatedly gone to court to fight for the right to produce generic versions of brand-name drugs with expiring patents.

Dr. Phillip Frost was named Vice Chairman of the Board of Teva Pharmaceutical Industries, Ltd. ("Teva") in January 2006 when Teva acquired IVAX Corporation. da geb ich dir recht, charttechnik ist irrelevant momentan, weil diese shell ja erst mit inhalt gefüllt werden muss...

je nachdem was frost mit der shell vorhat wird sich der kurs entwickeln, jetzt irgendwelche kursziele zu nennen sind reine schüsse ins blaue denk ich mal.

Acuity Pharmaceuticals and Froptix Corporation Agree to Mergers with Public Shell; New Company to Develop and Market Drugs for Disorders of the Eye - Combined Company to be Re-Named Opko Corporation

MIAMI, March 27 /PRNewswire-FirstCall/ -- Acuity Pharmaceuticals and Froptix Corporation, privately owned pharmaceutical companies developing novel drugs to treat serious diseases of the eye, and eXegenics, Inc. (OTC Bulletin Board: EXEG), a publicly-traded company with no active operations, have executed a merger agreement that will bring the three companies under one corporate umbrella. The combined company will be re-named Opko Corporation. It will be headquartered in Miami, Florida and intends to apply to have its shares listed on the American Stock Exchange (AMEX).

Acuity's product portfolio includes the pioneering gene silencing agent bevasiranib, which has successfully completed Phase II clinical trials for wet age-related macular degeneration (wet AMD) and diabetic macular edema (DME); a novel product for conjunctivitis in Phase I clinical development; and a pipeline of preclinical candidates to treat serious ophthalmic disorders. Froptix has a number of molecules in preclinical development to treat dry age- related macular degeneration (dry AMD) and other ophthalmic diseases. The new company also intends to develop selected diagnostic products that are complementary to its ophthalmic therapies.

Dr. Phillip Frost, former chief executive officer and chairman of IVAX Corporation, will become chairman and chief executive officer of Opko. Dr. Jane Hsiao, former vice chairman and chief technical officer of IVAX Corporation and Steven D. Rubin, former senior vice president and general counsel of IVAX Corporation, will serve on Opko's Board of Directors. Dr. Dale R. Pfost, currently chairman, president and chief executive officer of Acuity Pharmaceuticals, will become president of Opko.

As part of the transaction, The Frost Group, a private equity group headed by Dr. Frost, has agreed to provide Opko with a $12 million line of credit. A portion of this line of credit has already been committed to help fund the transition to the new organization. Proceeds from this line of credit, along with the approximately $16 million of cash held by eXegenics, are expected to be sufficient to fund the company's upcoming Phase III trial of bevasiranib as maintenance therapy for wet AMD in combination with Lucentis(R) and to support continued progress in other programs.

'We believe ophthalmologic disorders offer major opportunities for improved therapies, and we are optimistic that our new company will develop significant products for the maintenance and restoration of vision,' said Dr. Frost. 'To date, bevasiranib has demonstrated the potential to treat wet AMD along with an excellent clinical safety profile, and we intend to pursue advanced clinical trials for its use as part of a treatment regimen in combination with the VEGF antagonist drugs currently prescribed for this condition. The transaction between the three parties is expected to close today.

After a half-dozen deals in which he has become a major investor but not an active manager, Miami physician-entrepreneur Phillip Frost is creating a company in which he will be chief executive officer for the first time since selling IVAX for $7.4 billion last year.

The new firm combines two existing drug developing firms, which Frost intends to make into ''a first-class pharmaceutical company focusing on the eye.'' The firm will be headquartered in Miami at the former IVAX headquarters on Biscayne Boulevard, which Frost now owns.

BIG PLANS

When asked whether the new firm could one day be as big as IVAX or Key Pharmaceuticals, which he also developed and then sold, Frost, 70, said, ``Well, why not?''

The deal brings together Acuity Pharmaceuticals and Froptix, privately held firms developing drugs to treat serious eye diseases, and merging them with a shell company, eXegenics, so that the new firm can easily move to public trading.

The combined company will be renamed Opko, and Frost plans to apply for the new firm to start trading on the American Stock Exchange.

As part of the transaction, a Frost-controlled private equity group agreed to provide Opko with a $12 million line of credit.

The new company will also have available $16 million in cash held by eXegenics, which has no active operations at present.

The two companies have about two dozen employees now, many of whom are expected to move to Miami.

Acuity, based in Philadelphia, has a pipeline that includes a gene silencing agent that's now in clinical trials for macular degeneration and diabetic macular edema.

Froptix, a Gainesville company, has exclusive licenses to small molecule therapeutics for retinal and macular degeneration developed by scientists at the University of Florida.

FROST'S INTERESTS

Since the IVAX sale was completed in January 2006, Frost has become chairman and a major investor in Ladenburg Thalmann investment bank and has sunk considerable sums into Dreams Inc., a Broward sports memorabilia company, and Protalix BioTherapeutics, an Israeli firm.

On Monday, Frost and a group of investors announced the purchase of another shell, Getting Ready, which they plan to use eventually for another acquisition.

On Tuesday, eXegenics closed at $3.28, up 76 cents, or 30 percent, for the day.

Miami-based eXegenics doesn't have active operations. The company

The combined company will be re-named Opko Corp. Johnson & Johnson reported its stake on a Schedule 13G, an SEC document for passive investors - those not seeking to change or influence a company's operations. Such filers aren't required to provide a reason for any changes in stake and don't have to disclose any transactions to the SEC.
Johnson & Johnson beneficially owns about 16 million eXegenics

On April 13, 2007, eXegenics Inc., a Delaware corporation ("eXegenics"), invested $5 million in Ophthalmic Technologies, Inc., an Ontario corporation ("OTI") and entered into a definitive Share Purchase Agreement (the "Purchase Agreement") with OTI and its shareholders. In exchange for the $5 million investment, OTI agreed to issue common shares of OTI to eXegenics to cause eXegenics to hold one-third of the equity in OTI on a fully diluted basis. The $5 million will be used by OTI for working capital.
Under the Purchase Agreement, eXegenics received an exclusive option to purchase the remaining shares of OTI in exchange for the issuance of between 3.13 million and 2.82 million shares of common stock of eXegenics, depending upon the average per share closing price of eXegenics common stock for the ten
(10) trading dates ended on the second business day prior to the exercise of the option. The aforesaid option shall extend for the greater of a period of (i) six
(6) months from the date of the agreement and (ii) three (3) months from completion of OTI's fiscal years ended April 30, 2006 and April 30, 2007 financial statement audits.

eXegenics Inc.: New Company; New Technology
Wednesday April 18, 6:12 am ET

Anthony Payne submits: In this article we feature a small company which is being formed as a reverse stock merger; the shell company is publicly traded eXegenics Inc. . Acuity Pharmaceuticals and Froptix, both privately owned pharmaceutical companies developing treatments for eye diseases, will merge into the shell company. The combined company will be renamed Opko Corp. and will be based in Miami. Opko intends to apply to have its shares listed on the American Stock Exchange.

Acuity is developing an RNAi agent called Bevasiranib, which is in Phase II clinical trials as a potential treatment for wet age-related macular degeneration [AMD] and diabetic macular edema [DME] both of which can lead to blindness.

In September 2006 Acuity Pharmaceuticals announced positive results from its Phase II trial for Bevasiranib sodium. The study was a randomized, double-blinded trial that included three dose levels of Bevasiranib tested in 129 patients with wet AMD at 28 sites nationwide. The study focused on patients with serious disease, classic or active minimally classic AMD, including those patients who had failed previous treatments. There was no placebo arm. The drug is injected locally into the eye, which reduces the possibility of systemic toxicities from the drug. Local injection was shown to be very safe in the study, with all doses well tolerated and most adverse events mild and related to the administration procedure. There were no systemic adverse events observed, an important consideration in an agent targeting vascular endothelial growth factor [VEGF].

AMD is formed in the eye when blood vessels form at the back of the eye sometimes resulting in blindness. VEGF is the growth factor which produces the blood vessels. By inhibiting the growth of these vessels it has been found that diseases which require blood vessel formation such as cancer and abnormally produce these vessels locally like AMD can be treated effectively by inhibiting this factor. Avastin (NYSE: DNA - News) works by this mechanism (see below).

Unlike antibody VEGF antagonists (Avastin), which neutralize VEGF that has already been produced in the eye, Bevasiranib works by shutting down the genes that produce future VEGF. As a result, there is residual VEGF remaining in the eye during the first weeks of administration of Bevasiranib, which stops production of new VEGF but does not neutralize the residual VEGF that naturally dissipates over time. Accordingly, the impact of the drug's anti-VEGF activity becomes evident only after several weeks of therapy, after the existing VEGF dissipates. This results in a lag between starting Bevasiranib therapy and observing a therapeutic effect. This would indicate that the RNAi mechanism of Bevasiranib may also be effective in combination with Lucentis from DNA, the current monoclonal inhibitor of VEGF (see below) on the market.

Bevasiranib uses RNA interference (RNAi) to silence genes that promote the overgrowth of blood vessels that lead to vision loss in wet AMD. This shuts down the production of VEGF, which has been shown to be the central stimulus in the development of wet AMD. Bevasiranib is administered directly into the eye and does not affect the patient systemically, an important safety consideration. A Phase III clinical trial which will further examine efficacy parameters, as well as dosing and dose scheduling regimens is being planned.

The former CEO and chairman of Ivax, Dr. Phillip Frost, will become chairman and CEO of Opko. The Frost Group will provide Opko with a $12 million line of credit. Proceeds from it, along with the about $16 million of cash held by eXegenics, will fund the company's upcoming Phase-III study of Bevasiranib.

Investment Analysis:

The AMD as a therapeutic market is growing in interest, especially with the approval of the VEGF antagonist from Genentech (NYSE: DNA - News), Lucentis in mid 2006. Sales in 2006 were $380 million. The company mentioned in its recent 10K that Avastin, a VEGF inhibitor used for cancer, is also effective for this indication and is being prescribed off-label. Another marketed therapeutic is Macugen, which is a pegylated aptamer (tight binding oligonucleotide) and was developed by Eyetech and licensed to Pfizer; Eyetech was subsequently purchased by OSI Pharmaceuticals. One of the scientists at Eyetech has joined eXegenics (Opko). Sales in 2006 were $103 million.

OSI have announced that it is divesting the eye business including Macugen as it believes sales of Macugen will be severely affected by the launch of Lucentis and they will concentrate on cancer and other diseases. They are attempting to obtain full rights to Macugen from Pfizer to assist in the divestiture.

Management of the new company appears experienced with a number of past successes; they are confident that there are sufficient funds to develop the molecule through Phase III. Local eye administration of oligonucleotide therapeutics has been the only route of administration for these types of compounds which have been successful so far; Macugen mentioned above, an aptamer, and Vitravene from ISIS, an antisense oligonucleotide against CMV retinitis. Finally, valuation is reasonable at present for a company with a compound going into Phase III. Although the stock has moved significantly since November we still believe it is a good investment for investors willing to take inherent biotech investment risk. It is a Company worth watching in 2007.

Dr. Philip Frost is the former Chairman and CEO of IVAX Corp., having served from 1987 until IVAX's sale to Teva Pharmaceuticals in 2006 for $7.4 billion. Dr. Jane Hsiao served as the Vice Chairman-Technical Affairs of IVAX from 1995 to January 2006. Modigene's technology was discovered by researchers at Washington University in St. Louis, Missouri, and is based on a short amino acid sequence, the Carboxyl Terminal Peptide (CTP). CTP occurs naturally in the human body, and when attached to a therapeutic protein, extends the time that such protein can last effectively in the body. This has been demonstrated and validated by Organon - which, on March 12 2007, announced a deal to be acquired by Schering-Plough for $14.4 billion. Organon also licenses the CTP technology from Washington University, and has attached the CTP to a Follicle- Stimulating Hormone (FSH)-a hormone with approximately $1 billion in annual sales that is prescribed for females undergoing fertility treatments. Organon is currently in Phase III clinical trials with its FSH-CTP product, which could complete during 2007. Phase II trials demonstrated that a single injection of FSH-CTP was able to provide the same clinical effect as 7 consecutive daily injections of commercial FSH. These trials demonstrated that attaching the CTP did not affect the therapeutic activity of FSH or cause a negative immune system response in patients. Modigene has an exclusive license with Washington University for use of the CTP with all proteins except four endocrine proteins, which are licensed to Organon.

Modigene conducted preclinical animal model studies in CTP-modified human growth hormone ("hGH"), which is used to treat growth failure in children and adults, and has an existing estimated market size of $2.2 billion; and in CTP- modified erythropoietin ("EPO"), used to treat anemia, with an existing estimated market size of $11.7 billion. A single injection of hGH-CTP has shown the potential to replace 7 to 10 daily injections of commercial hGH, and EPO-CTP has demonstrated increased durability and biological effect over Amgen Inc.'s (AMGN-NASDAQ) Aranesp(R), a long-acting EPO with sales of $4.1 billion in 2006. In addition, Modigene conducted experiments demonstrating that interferon-beta-CTP has similar bioactivity as interferon-beta, for the treatment of multiple sclerosis, with an existing estimated market size of $3.8 billion.

Item 1.01. Entry into a Material Definitive Agreement
On April 13, 2007, eXegenics Inc., a Delaware corporation ("eXegenics"), invested $5 million in Ophthalmic Technologies, Inc., an Ontario corporation ("OTI") and entered into a definitive Share Purchase Agreement (the "Purchase Agreement") with OTI and its shareholders. In exchange for the $5 million investment, OTI agreed to issue common shares of OTI to eXegenics to cause eXegenics to hold one-third of the equity in OTI on a fully diluted basis. The $5 million will be used by OTI for working capital.
Under the Purchase Agreement, eXegenics received an exclusive option to purchase the remaining shares of OTI in exchange for the issuance of between 3.13 million and 2.82 million shares of common stock of eXegenics, depending upon the average per share closing price of eXegenics common stock for the ten
(10) trading dates ended on the second business day prior to the exercise of the option. The aforesaid option shall extend for the greater of a period of (i) six
(6) months from the date of the agreement and (ii) three (3) months from completion of OTI's fiscal years ended April 30, 2006 and April 30, 2007 financial statement audits.

Miami-based Opko Health (formerly known as eXegenics) (EXEG.OB) today announced plans to acquire a diagnostic imaging firm that would compliment its portfolio of ophthalmic therapeutics.

The acquisition target, Ophthalmic Technologies (OTI), is a private Canadian company that markets a full line of ophthalmic ultrasound and imaging products used in routine and specialized eye procedures. It has offices in Canada, the U.S. and the U.K., and a distributor network that covers more than 40 countries. Details of the offer price were not disclosed, but Opko said in a press release that it has purchased one-third of OTI’s outstanding common shares and has received an exclusive option to purchase the remaining shares over six months.

Adding a line of diagnostics would help round out Opko’s drug-focused product portfolio, which includes the following: a gene silencing agent, bevasiranib, which
has successfully completed Phase II clinical trials for wet age-related macular degeneration and diabetic macular edema; a novel clinical-stage product for conjunctivitis; and a pipeline of pre-clinical candidates that include novel agents to treat dry age-related macular degeneration and other ophthalmic diseases.

Opko Health got into the eye space in March 2007, when it entered a three-way merger with Acuity Pharmaceuticals and Froptix, two private companies focused on eye-related disorders. The merger brought the three firms under one umbrella and brought back to life what was then known as eXegenics, a public company with no active operations. In its former life, eXegenics developed drugs for treating cancer and infectious diseases.

An Over the Counter Bulletin Board company in Miami said it will shift its shares to the American Stock Exchange on Monday.

With the market change, eXegenics (OTCBB: EXEG - News) said it will change its name to Opko Health.

The health care company said its new ticker will be "OPK."

"Now that we are officially Opko Health, it is fitting that our shares have been approved for listing on the American Stock Exchange," said Dr. Philip Frost, Opko chairman and chief executive officer. "The improved visibility and liquidity available to us as an AMEX-listed company should contribute to our efforts to advance our ophthalmic businesses and build shareholder value."

This approval is contingent upon Opko being in compliance with all applicable listing standards on the date it begins trading on the exchange.

The company was created via a three-way merger of eXegenics with private companies Acuity Pharmaceuticals and Froptix.

Its product portfolio includes a gene silencing agent, bevasiranib, which the company said has successfully completed Phase II clinical trials for wet age-related macular degeneration and diabetic macular edema.
