das Thema Marchfirst reizt mich auch sehr ! Ich habe die 1 Position bei 1,25 Euro gekauft 3000 Stck! Und jetzt habe ich nochmal zusätzlich 4500 Stck zu 0,30 Euro gekauft! Warum?
Es gibt für Marchfirst nur 2 Szenarien:
1. Totalverlust wie z.B. etoys oder bald PSinet.
oder

1. phase
alle denken ans schnelle geld und es wird gekauft blindlings in firmen die noch garnicht sich bewähren konnten.
2. phase
die ernüchterung kommt, daß es doch keine wunder gibt, die nachfrage fällt und damit die kurse.
3.phase
nach etwa 10 jahren einführungsphase und bewehrungsproben haben die gut geführten firmen wieder top-kurse
und der rest ist hinüber.
nur welche firmen es schaffen werden, das ist eben nun unbekannt. so ist halt das börsenspiel.

not to commit more money to the Chicago-based e-consultancy but instead is
trying to salvage its investment by selling assets, according to sources here
and in California.
In a strange twist, potential buyers for pieces of MarchFirst include
Chicago-based Divine Inc., the ailing former incubator turned software company,
the sources said.
Such a deal would merge remnants of two of Chicago`s poster companies for
Internet mania and Wall Street`s tech stock collapse. While Divine still is
flush with cash--it had about $250 million at year-end--its stock, like
MarchFirst`s, is trading at a fraction of its high.
The recent decision by MarchFirst`s rescuer and controlling shareholder,
Francisco Partners, not to add to the $150 million it invested in December
leaves MarchFirst with dwindling options, the sources said.
Francisco Partners, MarchFirst and Divine separately declined comment Monday on
the reported negotiations.
Several software, telecommunications and hosting companies are eyeing portions
of MarchFirst, according to a San Francisco source who is familiar with
MarchFirst`s efforts to raise cash.
Time is running short. A $53 million debt due March 15 to Banc One Corp.`s
American National Bank subsidiary was extended until April 16. MarchFirst said
it had $140 million in cash at the end of January, the most recent financial
update available.
MarchFirst is negotiating to sell business segments including its European
operations, Virginia-based Web-hosting operation HostOne and MarchFirst`s
"central group," the sources said.
The latter, which is the Chicago-based operations of the former Whittman-Hart
Inc., has attracted Divine`s interest, the sources said. The group includes
operations in Milwaukee, Cincinnatti and Indianapolis as well as Chicago.
Whittman-Hart was a profitable systems-integration consultant until it merged in
late 1999 with San Francisco-based USWebCKS Inc., a then-high-flying Web design
and strategy consultancy.
The ambitious merger was led by former Whittman-Hart CEO Robert Bernard, who
resigned two weeks ago as MarchFirst`s chairman and CEO.
Sources said Bernard talked late last year with Divine CEO Andrew "Flip"
Filipowski about Divine investing in MarchFirst, before Francisco Partners
stepped up with cash to buy a 32 percent stake.
Filipowski could not be reached Monday, and a Divine spokeswoman said the
company does not comment on rumors.
Bernard also declined to comment Monday on whether Divine is negotiating to buy
the former Whittman-Hart.
"I have no knowledge of what`s going on," Bernard said.
The company also is looking at further job cuts, the sources said. The company
earlier laid off 2,100 workers, leaving it with 7,000 employees.
Shares of MarchFirst have continued to plummet as speculation persists about
whether the company will emerge from its current financial problems. In the past
two weeks, the company`s stock has fallen from $1 to Monday`s close of 27 cents.
This recent decline comes after the stock`s dramatic drop from more than $80 a
share since the USWeb/CKS deal was announced in December 1999.
Bernard resigned as MarchFirst`s chief executive earlier this month as it became
apparent the company was facing a second cash shortfall. Although he still owns
8 percent of the company, Bernard no longer serves on MarchFirst`s board.
MarchFirst`s President and Chief Operating Officer Thomas Metz and Executive
Vice President Joseph Bong also left the company with Bernard. Steve Pollema was
named MarchFirst`s president and a trio of directors--David Stanton and Neil
Garfinkel, both from Francisco Partners, and Barry Moore, of consulting firm
Kurt Salmon & Associates--are helping to manage the company.

Nach Auffassung der Analysten von Global Net Investing gehöre Marchfirst (WKN 900523) mit einem geschätzten Umsatz von 800 Mio. US-Dollar in diesem Jahr zu den Global Playern der Internet-Services Gesellschaften.
Zum Kundenkreis des Unternehmens würden beispielsweise IBM, 3Com, Novell und Microsoft gehören. Beim derzeitigen Aktienkurs von 0,28 US-Dollar habe Marchfirst eine Marktkapitalisierung von nicht mal 50 Mio. US-Dollar. Das Kurs-Umsatz-Verhältnis liege somit bei 0,07. Nachdem die Führungsriege des Unternehmens gegangen sei, sei auch der Kurs extrem gefallen. Neben dem CEO Robert Bernhard hätten auch sein Vize und ebenfalls der President Thomas Merz den Hut genommen.
Am 16. April sei ein 55 Mio. US-Dollar Kredit fällig, was von den Analysten als Bewährungsprobe gesehen werde. Gelinge es dem Unternehmen die Anschlussfinanzierung zu sichern, würde das Schlimmste überstanden sein. Dieser Termin müsse von vorsichtigen Anlegern deshalb unbedingt abgewartet werden. Allerdings dürfte alleine die Nachricht über eine gelungene Anschlussfinanzierung für einen Kurssprung sorgen. Trotzdem bleibe ein niedriges Restrisiko, dass dies nicht funktioniere. Erinnert mich alles an ICGX. Aber gut, wer nix wagt der nix gewinnt. Werde morgen versuchen, zu 18 Eurocent rein zu kommen aber nur 5000 Stück, damit der Totalverlust nicht so weh tut.

Chicago, March 27 (Bloomberg) -- MarchFirst Inc. will disclose by the end of the week that it`s trimming as many as 3,500 jobs, or half its workforce, the New York Times reported, citing executives close to the technology-consulting company.
MarchFirst already has eliminated more than 2,000 jobs in the past six months as it tries to cut costs and direct its business toward more established customers, rather than Internet companies, the paper said.
The Chicago-based company also is considering breaking the company into three regional units. Each would be financed by outside investors, the paper said, citing the executives.
MarchFirst spokeswoman Kelly Miller declined to comment.

Ich glaube, in Amerika läuft ein ganz abgekartertes Spiel, wahrscheinlich wird die finanzielle Klärung so lange rausgezögert, bis der Kurs nahe Null ist. Interessant ist auch der Umsatz an der Nasdaq,26.3. über 12 Millionen Stück und gestern über 17 Millionen Stück. Wert kauft hier eigentlich??? Wahrscheinlich ein Großinvestor, der alles billigst einsammelt und dann irgendwann die Rettung bekanntgegeben wird, wenn dieser genug eingesammelt hat.

pleite? der kursverlauf spricht eigentlich eindeutig dafür. angeblich wird diese ja heute bekanntgegeben. also mal sehen, wie zuverlässig die gerüchteküche gekocht hat. abgekartetes spiel? eine gewisse möglichkeit dafür besteht. halte zwar nicht viel von verschwörungstheorien, aber nach wie vor ist mir francisco partners ein komplettes rätsel. vor drei monaten investierten sie 150mio$ und wollen nun angeblich nichts mehr nachschieben. 150mio$, das ist für diesen investor ein großprojekt und kein kleiner zock, der einfach mal so danebengehen darf. wenn die angaben auf ihrer seite stimmen liegt die durchschnittliche größe ihrer investments bei 50mio$. außerdem geben sie an grundsätzlich MEHRHEITSbeteiligungen einzugehen, haben aber erst 30%. personelle entscheidungen auf führungsebene wurden ja schon in die wege geleitet. das ganze ist schon sehr spannend (wenn man nicht zu groß investiert war)

CHICAGO (AP) - Shares in MarchFirst Inc. stabilized Wednesday after falling 60 percent a day earlier on reports it plans to lay off as much as half its work force of 7,000.
The technology consulting and Web-design company`s stock was up 1 cent to 17 cents a share Wednesday morning on the Nasdaq Stock Market. It had traded above $80 a share shortly after its birth in a December 1999 merger, before the tech crash began.
Officials of the Chicago-based company have remained mum about the published reports. Spokeswoman Kelly Miller did not return phone calls seeking comment Wednesday.
Shares plummeted after The New York Times, citing unidentified executives close to the company, reported Tuesday that MarchFirst would lay off about 3,500 employees by the end of this week. The Wall Street Journal, also citing an unidentified source, said the company would announce the layoffs of 2,000 workers as early as Wednesday.
Adam Frisch, an analyst at UBS Warburg in New York, said the stock`s latest gyrations were being driven by rumors of everything from staff cuts to a restructuring to a sale of assets or other steps, but ``nothing is substantiated.``
``I think it`ll go beyond layoffs,`` said Frisch. ``If Francisco Partners decides to not invest more money, the company is going to have to take some drastic measures.``
Francisco Partners, a San Francisco investment firm, bought a controlling 32 percent stake for $150 million in December, one year after the company was created when the former Whittman-Hart Inc. bought San Francisco-based USWeb/CKS Inc. for $5.7 billion in stock.
Frisch said Chicago software company Divine Inc., whose own fortunes have fallen badly since going public last July, is considered a likely candidate to buy all or part of MarchFirst`s assets if they are sold. Divine officials have declined comment.

sich zu einer GROßEN Firma zusammenschmelzen wollen.

Ich habe den starken verdacht das San Fransisco Partners den Bankrot von Marchfirst direkt gewollt hat! Damit sie das Unternehmen zerschlagen können!!! Vielleicht werden sie dadurch viel mehr einkassieren !

(NasdaqNM:MRCH - news) shares was halted as the Nasdaq Stock
Market requested additional information on Wednesday, just one day
after unconfirmed reports of additional job cuts sent the Internet
consulting company`s price to record lows.
A company spokeswoman told Reuters shortly after the stock was
halted at 11:25 a.m. EST that marchFIRST had no comment and
declined a request for an interview with its chief financial officer. ``He
doesn`t have anything to say either,`` she said.
On Tuesday, the New York Times reported that the troubled firm was planning further reductions of its
work force, this time by 3,500 jobs, or half its remaining staff. The news sent marchFIRST shares
reeling to a new life low of 1/8. The stock was halted at 5/32.
Shares of most Internet consulting firms have been pummeled recently amid a global meltdown of the
dot-com business. MarchFIRST`s rivals, such as Viant Corp. (NasdaqNM:VIAN - news) and
Razorfish Inc. (NasdaqNM:RAZF - news), have also recently announced staff reductions as a
cost-cutting measure.

Trading in Chicago-Based Internet Consultant`s Stock Is Stopped

Trading in the stock of beleaguered Internet consultant MarchFirst Inc. was halted Wednesday as the
Internet consultant`s remaining 7,000 employees braced themselves for impending layoffs.
The Nasdaq Stock Market said in a press release that trading was stopped due to a "request for
additional information" from the cash-strapped company. Spokespeople from Nasdaq and MarchFirst
declined further comment.
MarchFirst has been negotiating with several parties, including Chicago-based Divine Inc., to sell its
assets and an announcement on whether any deals were reached is expected Thursday or Friday,
according to sources in Chicago and California.
Shares of MarchFirst last traded Wednesday at 16 cents.
The company`s stock has plummeted from a high of more than $80 before a deal was announced in
December 1999 that brought together back-end integrator Whittman-Hart and USWeb/CSK, a San
Francisco-based Web design and strategy consultancy. As recently as early February, the shares were
trading for more than $3.
Francisco Partners, which late last year poured $150 million into MarchFirst, decided not to invest
further in the struggling company, prompting the Internet consultant to put its units up for sale, the
sources said.
Potential buyers have expressed interest in various segments of MarchFirst, including the company`s
Web-hosting operation HostOne in Virginia, its European operations and its "central group," which
includes the remnants of Chicago-based Whittman-Hart and other Midwestern operations.
Divine, the troubled Internet incubator turned software company, is interested in buying the "central
group," the sources said.
Officials from Divine have declined to comment.
MarchFirst needs to generate cash to stay afloat financially, the sources said. A $53 million debt due
March 15 to Bank One Corp.`s American National Bank subsidiary was extended until April 16.
The company`s former chief executive, Bob Bernard, resigned two weeks ago and also stepped down
from MarchFirst`s board, although he still owns 8 percent of the firm.
President and Chief Operating Officer Thomas Metz and Executive Vice President Joseph Bong also
left the company with Bernard.
Steve Pollema was named MarchFirst`s president. Three directors--David Stanton and Neil Garfinkel,
both from Francisco Partners, and Barry Moore, of consulting firm Kurt Salmon & Associates--are
helping to manage the company.

Potential buyers have expressed interest in various segments of MarchFirst, including the company`s
Web-hosting operation HostOne in Virginia, its European operations and its "central group," which
includes the remnants of Chicago-based Whittman-Hart and other Midwestern operations.
Divine, the troubled Internet incubator turned software company, is interested in buying the "central
group," the sources said.
Officials from Divine have declined to comment.
MarchFirst needs to generate cash to stay afloat financially, the sources said. A $53 million debt due
March 15 to Bank One Corp.`s American National Bank subsidiary was extended until April 16.
The company`s former chief executive, Bob Bernard, resigned two weeks ago and also stepped down
from MarchFirst`s board, although he still owns 8 percent of the firm.
President and Chief Operating Officer Thomas Metz and Executive Vice President Joseph Bong also
left the company with Bernard.
Steve Pollema was named MarchFirst`s president. Three directors--David Stanton and Neil Garfinkel,
both from Francisco Partners, and Barry Moore, of consulting firm Kurt Salmon & Associates--are
helping to manage the company.

Ich war mal in USWeb/CKS investiert vor dem Merger und hab immer mal einen Blick darauf behalten,aber das zeigt wieder einmal mehr das solche Fusionen in den seltensten Fällen gut gehen.Ein Konglomerat aus fast 40 zusammengekauften Firmen unterschiedlichster Kultur mit fast 10.000 Mitarbeitern zu einem profitablen ganzen zusammenzufügen dazu braucht es Spitzenmanagement.(wie J.Welch und wenige andere).

ich glaube da läuft mit/seit dem Einstieg von Francisco ein abgekartetes Spiel, bei dem wir Aktionäre abgezockt werden.
Dies ist seit langem alles geplant.

ich kann den argumenten nicht ganz folgen, warum das ganze ein abgekartertes spiel sein soll. hat sf nicht auch jede menge geld mit dem deal verbrannt? und was soll die aussage, dass die ihre (vorzugs)aktien jederzeit für 2$ verkaufen können? an wen denn?
kennt sich jemand mit dem weiteren vorgehen und den konsequenzen aus, wenn das unternehmen aufgeteilt wird (wonach es ja wohl aussieht)?

mittlerweile ist die "interne e-mail" von mehreren internet wires aufgegriffen worden und es besteht kaum noch Zweifel an der Echtheit.
Damit steht wohl fest das M1 mehrere Teile an "Divine-internetventures" verkauft für einen noch unbekannten Preis und diese Firmenteile zu einer neuen Gesellschaft zusammengefasst werden.
erwartet keine großen Summen bei dem Geschäft, aber es wird wahrscheinlich reichen um die fälligen Bankschulden zu tilgen und einem Bankrott zumindestens vorerst abzuwenden.
Divine hatte am 31.12.00, 250 Mio USD an Cash und equivalents vorzuweisen und wollte bis zu 100 Mio.USD in neue Projekte investieren im Jahr 2001.

FP ist sowohl Aktionär(die Klasse A und B Vorzugsaktien können nur in Aktien umgetauscht werden)als auch Gläubiger da für die Vorzüge Dividende fällig wird.
Tauscht FP seine Vorzüge zu einem vorher festgelegten Umtauschverhältnis in normale "common stocks" steigt natürlich die Anzahl der ausstehenden Aktien enorm an(dilution) und die Kleinanleger erhalten noch weniger.
IMHOich würde lieber einen Steuerverlust realisieren solange ich die Möglichkeit habe.

Ich möchte an dieser Stelle Web2000 zustimmen und mich ein wenig outen: Habe heute auf der MA-Versammlung in HH gesessen und kann (darf) Euch nur folgendes sagen: Freut Euch, wenn doch noch etwas herauskommt. Rechnet aber nicht damit!

Ich bin etwas unsicher, welche Auskünfte ich geben darf und welche nicht.
Meine obige Aussage basierte auf der Einschätzung von Personen, denen man diesbezüglich Glauben schenken darf. (Alles klar? )

Divine Gorges on MarchFirst

Incubator Divine InterVentures will buy much of Internet consultancy MarchFirst`soperating assets,
including several units of the struggling company, in a $70 million deal that brings the beginning of
an end to one of the most dramatic crashes in the sector.
Divine InterVentures, which also will inherit 2,100 employees in the deal, made the announcement in
a conference call late Friday afternoon. An agreement has been signed, but the deal has not yet
been finalized, said Andrew Filipowski, CEO and chairman of Divine InterVentures.
The deal gives Divine most of what was originally software integrator Whittman-Hart, which
purchased USWeb/CKS in March 2000 and was later renamed MarchFirst. Divine has also agreed
to purchase as many as 19 MarchFirst`s offices, mostly in the Midwest.
Filipowski said he expected the company to have operating assets of about $250 million annually
and to achieve profitability immediately – a goal that has eluded MarchFirst in its current form.
"Divine did this primarily because we are constructing a managed software services company,"
Filipowski said during the call. "We feel confident we will emerge as a very profitable company."
Divine will also buy a $44 million MarchFirst business that implements German software maker
SAP`s products. That business has offices in Denver, Frankfurt and London. Divine also gets
MarchFirst`s holdings in a number of Hong Kong joint ventures. It also picks up the assets of
MarchFirst venture capital unit BlueVector and application service provider HostOne.
Divine takes on none of MarchFirst`s debt or payment obligation, but does get $130 million in
accounts receivable in the deal. Filipowski said he expects to collect on all of the receivables and
use the proceeds to fund the acquired businesses. His company paid MarchFirst $10 million in
cash and $60 million in a note. Both Divine`s and MarchFirst`s boards have approved the deal.
"We certainly have been very empathetic to the hell that MarchFirst has gone through in the past
few months and perhaps even past year," Filipowski said. "I believe they`re going to try to manage
their assets, to sell their assets to the benefits of their creditors. We certainly don`t believe there`s
an imminent bankruptcy in the works there."
The agreement with Divine InterVentures is likely the first in a series of many that will strip MarchFirst of any remaining valuable
assets. MarchFirst was the brainchild of Whittman-Hart founder Bob Bernard. It was intended to be one of the top Internet services
firms when it was planned at the crest of the Internet boom, but investors never shared Bernard`s vision. When the market for
Internet business collapsed, the consulting business quickly headed south.
MarchFirst`s share price tells the whole story. A year ago the company`s shares traded at more than $35. On Friday, it closed at 14
cents.
On Wednesday, trading on MarchFirst shares was halted by the Nasdaq stock exchange after the New York Times reported the
company would lay off 3,000 of its 7,200-person staff and was considering splitting into three regional units, each funded by
different outside investors.
With a market cap now of $21.8 million, and with many observers and analysts already writing the company off as virtually
worthless, MarchFirst finds itself with a $53 million outstanding loan obligation, the repayment deadline for which already has been
extended one month, to April 16. The company is likely to continue to pursue sales of profitable units and alternative financing
agreements or maybe even bankruptcy.

The agreement with Divine InterVentures is likely the first in a series of many that will strip MarchFirst of any remaining valuable
assets. MarchFirst was the brainchild of Whittman-Hart founder Bob Bernard. It was intended to be one of the top Internet services
firms when it was planned at the crest of the Internet boom, but investors never shared Bernard`s vision. When the market for
Internet business collapsed, the consulting business quickly headed south.
MarchFirst`s share price tells the whole story. A year ago the company`s shares traded at more than $35. On Friday, it closed at 14
cents.
On Wednesday, trading on MarchFirst shares was halted by the Nasdaq stock exchange after the New York Times reported the
company would lay off 3,000 of its 7,200-person staff and was considering splitting into three regional units, each funded by
different outside investors.
With a market cap now of $21.8 million, and with many observers and analysts already writing the company off as virtually
worthless, MarchFirst finds itself with a $53 million outstanding loan obligation, the repayment deadline for which already has been
extended one month, to April 16. The company is likely to continue to pursue sales of profitable units and alternative financing
agreements or maybe even bankruptcy.
