Point Therapeutics, Inc. (NASDAQ:POTP) today announced that to save costs it has reduced its workforce by approximately 60 percent. The Company estimates that the total charges for the workforce reduction will be approximately $130,000. This action follows the recent interim clinical results in which the Company's Independent Monitoring Committee recommended stopping the Company's two Phase 3 talabostat studies as a potential treatment for patients in advanced non-small cell lung cancer. As a result of the Company informing the U.S. Food and Drug Administration (FDA) of the interim results, the FDA has put the talabostat clinical program on hold.



The Company continues to assess its options given this recent data and will report on next steps once they have been decided.

verstehe ich die Meldung richtig ?

"Das unabhaengige Aufsichtskomitee der Firma empfiehlt zwei Phase-3 Studien Lungenkrebs abzubrechen.
Weil die Studien abgebrochen werden "spart" die Firma 130.000 USD ein."

nun steigt der Aktienkurs - aber ist ein Abbruch von Teststudien eigentlich kein negatives Zeichen ?

oder gibt es andere Fakten oder neue Moeglichkeiten, die einen Kursansteig rechtfertigen ?

Die Firma Steht kurz vor dem Faktischen aus!

Nach Einstellung des Talabostat, in den Zweiphasen3 versuches und Prüfung der weiteren Klinischen Teststudien Phasen II Pipeline und einem drohenden Nasdaq Delisting unter anderem laut letzten Report ist auch weit gehend alles Casch verbrannt ist !

Point Therapeutics muss der FDA nachweisen das von Talabostat ein Medizinischer Nutzen hervor geht!???

Man kann davon aus gehen das der letzte Sargnargel kurz davor steht rein gehauen zu werden!

Talabostat Wirkstoff ist in allen Testreihen Point Therapeutics vorhanden und die drohende Insolvent ist eigentlich nicht mehr abwendbar!

Derzeitige Kurs Auschläge werden nur noch von Traidern in die eine Tages oder in die andere Richtung gedrückt.

Es droht hier kompletter Verlust des eingesetzten Geldes!

To conserve its remaining cash balance, the Company in June and July reduced its work force from 33 employees to 8 employees. The Company estimates that the total charge for this work force reduction is approximately $260,000. In the near future, the Company also intends to further reduce its current workforce, which consists primarily of executive, financial and legal personnel, by eliminating most of the employment positions. The Company plans to replace its employees with a more variable cost-effective consulting team to help the company as it seeks a buyer or partner for its technology and related intellectual property and other assets, in bankruptcy or otherwise. In addition, the Company intends to move this month out of its current company headquarters at 155 Federal Street, Boston, MA to substantially smaller, temporary suburban space.

ONCOLOGY: ADVANCED CHRONIC LYMPHOCYTIC LEUKEMIA
Point’s Phase 2 talabostat trial in advanced chronic lymphocytic leukemia in combination with rituximab was a single-arm, open-label, two-stage trial in which the majority of patients have failed prior treatment with rituximab and/or fludarabine. These patients are considered salvage patients--the vast majority (81.3%) have been previously treated with a rituximab regimen and 41.6% also received alemtuzumab. More than 60% of the patients enrolled in the study are Rai Stage IV--the most advanced stage of disease in CLL.

Phase 2 talabostat/rituximab results
Clinical responses have been seen in eight of 48 evaluable patients for an overall response rate of 17%. Six of the eight responses were observed in patients who had previously not responded to or had relapsed following prior treatment with rituximab. Of note, three of these six patients had not only failed fludarabine and rituximab, but had also failed prior alemtuzumab treatment—the only approved agent in fludarabine failures.

Median progression-free survival in all patients is 3.6 months. In June of 2006, Point presented results in a poster at the 2006 American Society of Clinical Oncology Annual Meeting.

This trial was partially funded through a $600,000 Orphan Products Grant from the Food and Drug Administration, Office of Orphan Products Development. Orphan Products Development grants are awarded by the Food and Drug Administration to encourage clinical development of products for use in rare diseases or conditions, usually defined as affecting less than 200,000 people in the United States.

Talabostat Dual Mechanism of Action
Point believes that talabostat inhibits the dipeptidyl peptidase (DPP) family of serine proteases. Located throughout the body, DPPs are enzymes that digest naturally occurring proteins that appear to be involved in regulating tumor growth and immune responses. Inhibition of DPPs by talabostat causes a potent anti-tumor effect that has been demonstrated against more than 25 different tumors in preclinical mouse models. Point believes the anti-tumor activity of talabostat can occur by two different pathways, each initiated by a different DPP. DPP 8 and DPP 9 and fibroblast activation protein (FAP) appear to be molecular targets involved in talabostat’s mechanism of action.



Tumor-targeted FAP Inhibition
Fibroblast activation protein (FAP) is a member of the DPP family which Point has shown to be inhibited by talabostat in preclinical studies. FAP represents a tumor-associated target for talabostat because its expression is selectively induced on the cell surface of fibroblasts in the stroma—the connective tissue supporting the tumor—of solid malignant tumors. Expression of FAP protein in the tumor has been reported in the scientific literature to promote tumor growth in mouse models of human breast cancer, myeloma and an epithelial cancer. The enzymatic activity of FAP appears to be required for epithelial tumor growth; therefore, Point believes that, by directly targeting tumor-associated FAP, talabostat could suppress tumor growth. Point believes FAP represents a clinically relevant tumor-associated target in a number of tumor types, including NSCLC, melanoma, pancreatic cancer, colorectal cancer and sarcoma.



Immunostimulatory Activity
DPP 8 and DPP 9 reside within the cell, and Point's preclinical research has indicated that these DPPs are likely to be involved in the induction of IL-1β by talabostat in monocytes and macrophages, which are naturally occurring immune effector cell types involved in the body’s anti-tumor attack. IL-1β, in turn, stimulates production of cytokines and chemokines that play key roles in immunity.

The cytokines and chemokines demonstrated, preclinically, to be involved in the response to talabostat are known to promote the body’s own anti-tumor defenses, including the activity of T-cells, neutrophils, monocytes/macrophages and natural killer cells. Advanced cancer patients often have decreased T-cell function; therefore, the potential ability of talabostat to promote tumor killing by other cell types is an important feature of its mechanism of action. In preclinical models, we have observed highly significant anti-tumor activity of talabostat in both the presence and absence of T-cell immunity. Preclinical models include B-cell lymphoma, sarcoma (osteosarcoma and fibrosarcoma), melanoma, NSCLC, colorectal cancer, head and neck cancer, and pancreatic cancer. Because talabostat appears to stimulate the immune system to mount an attack against the tumor, talabostat is different from conventional agents that kill tumors directly.

Talabostat has been studied with promising results as a single-agent against xenografts—human tumors growing in immunodeficient mice—of relevant human tumor types, including NSCLC, melanoma, B-cell lymphoma, and pancreatic cancer. While talabostat exhibited proof-of-concept as a single-agent, talabostat has also been shown, preclinically, to interact additively or synergistically with numerous other anti-cancer agents as follows: the chemotherapeutic agents docetaxel, pemetrexed, dacarbazine, cisplatin, gemcitabine, paclitaxel and 5-FU; the human epidermal growth factor receptor-targeted inhibitor erlotinib; and the monoclonal antibodies (mAbs), rituximab, trastuzumab and bevacizumab.

In addition, Point believes that talabostat can enhance the therapeutic effects of mAbs against a tumor through the mechanism known as antibody-dependent cell-mediated cytotoxicity (ADCC). By causing an increase in both the innate and acquired immune system effector cells and by promoting, through enhanced chemokine activity, the migration of effector cells to the tumor sites, our preclinical observations suggest talabostat has the potential to improve the efficacy of a number of different mAbs, including, among others, rituximab in certain hematological malignancies and trastuzumab in certain breast cancers.



Rituximab is a chimeric mouse/human mAb specific for the CD20 antigen found on the surface of malignant B lymphocytes in CLL and non-Hodgkin’s lymphoma. Rituximab targets cell-surface CD20 and acts as a bridge connecting the malignant B-cells to naturally occurring immune effector cells (natural killer cells, macrophages or neutrophils). When engaged by rituximab, the immune effector cells can kill the leukemia cells. This mechanism is called ADCC because, unless bridged to the tumor by rituximab, the immune effector cells are much less able to kill the tumor cells.

Point believes that talabostat can affect both the quality and the frequency of the immune effector cells that interact with rituximab by stimulating the production of cytokines and chemokines by bone marrow stromal cells and the spleen and lymph nodes. The cytokines and chemokines upregulated by talabostat are known to activate the immune effector cells that can kill tumors with rituximab. Of equal importance, the chemokines produced can act as molecular sign-posts that direct immune effector cells to infiltrate the tissues harboring malignant B lymphocytes.

Talabostat appears, therefore, to have the ability to increase both the frequency and activity of immune effector cells involved in the ADCC mechanism of rituximab. In a preclinical model of human B-cell lymphoma, talabostat enhanced the tumor response to rituximab, thereby supporting the rationale for our Phase 2 study of talabostat and rituximab in CLL.

ONCOLOGY: METASTATIC MELANOMA
Point’s Phase 2 metastatic melanoma program consisted of two single-arm, open-label, two-stage trials in patients with Stage IV melanoma. In the first trial, talabostat was administered as a single-agent. In the second trial, talabostat was combined with cisplatin.

Phase 2 single-agent talabostat results
In November of 2005, Point presented results from this single-agent trial at the International Society for Biological Therapy of Cancer meeting. In the trial, two patients out of 42 demonstrated a clinical response to treatment—a 30% or greater reduction in the size of their tumor(s). Most importantly, one patient experienced a complete response to treatment—indicated by the complete disappearance of their tumor(s).

Median survival was 7.1 months and median progression-free survival (the time from the date patients enter the study to disease progression) was 1.5 months. Additionally in this trial, 71% of all patients had visceral, brain, or bone metastases, indicating that they were in the most advanced stage of the disease. Left untreated, their median survival would be expected to be approximately 4.4 months. Phase 2 talabostat/cisplatin trial results:
The majority of the patients in this study had extensive disease, including metastases to the liver and lungs. Most (70.3%) had received prior treatment for Stage IV disease. 43% were treated with prior cytokines (IL-2, interferon or GM-CSF). Of the 40 patients who met criteria for evaluability (completion of 2 cycles), investigators reported clinical responses—a 30% or greater reduction in tumor(s) size—in five patients. The overall response rate for evaluable patients in the trial was 12.5%. The estimates of median PFS and survival in the intent-to-treat population are 3.0 months and 7.6 months, respectively.

DARA BioSciences(TM), a privately held development-stage pharmaceutical company, and Point Therapeutics, Inc. (NASDAQ:POTP), a biopharmaceutical company, today announced that they have entered into a definitive agreement to merge.



Pursuant to the merger agreement, DARA will merge with a subsidiary of Point, with DARA surviving as a wholly-owned subsidiary of Point. After giving effect to the merger, DARA stockholders will hold 96.4% of Point's outstanding shares of common stock on a fully-diluted basis, and Point will change its name to DARA BioSciences, Inc. and be based in Raleigh. The acquisition is intended to be a tax-free reorganization under Section 368(a) of the Internal Revenue Code and is expected to close in the first quarter of 2008.

The combined company plans to evaluate and prioritize its potential research and development programs. DARA and Point's combined R&D assets for the development of therapeutics are focused in the areas of metabolic diseases, including Type 2 diabetes, neuropathic pain, dermatologic disorders, and oncology. A recently signed license agreement with Bayer Pharmaceuticals grants DARA exclusive worldwide rights to a series of patents and compounds for the treatment of metabolic diseases, including Type 2 diabetes and dyslipidemia, expanding DARA's current product candidate pipeline for metabolic diseases. DARA is also developing a novel therapeutic candidate for the treatment of chronic neuropathic pain in cancer patients, a program that is currently in a Phase 2 clinical trial.

Commenting on the announced merger plans, Richard A. Franco, Sr., DARA's President and Chief Executive Officer, stated, "All parties involved believe this to be a logical and productive course of action given the potential synergies of combining Point and DARA. We believe this transaction provides an exciting opportunity for the stockholders of both companies to realize value and liquidity from this combination."

Also, ich habe grade IHUB studiert. Bin noch nicht investiert hier. Wenn ich dort alles richtig verstehe, dann müssen die den Kurs von POTP über den 1 USD bewegen, damit kein Delisting erfolgt an der NASDAQ. Sofern man dies nicht durch den augenblicklichen Kursanstieg hinbekommt, wird man einen Reverse-Split durchführen.

Ziel scheint daher erstmal für DARA zu sein hier über 1 USD zu liegen, damit das Shell-IPO auch an den gewünschten NASDAQ führt und nicht an die OTC-BB.

Also, das ist bisher alles, was ich ablesen kann.

Man könnte es wagen, eine Position heute nachmittag aufzubauen, sofern Level 2 uns nicht ( MM Manipulation ) wieder ein Down-Gap prophezeit.

Ansonsten viel Glück !!!

Entry into a Material Definitive Agreement, Creation of a Direct Financial



Item 1.01 Entry into a Material Definitive Agreement.
On October 9, 2007, Point Therapeutics, Inc. ("Point") entered into an Agreement and Plan of Merger (the "Merger Agreement") with a privately held development-stage pharmaceutical company, Dara BioSciences, Inc. ("DARA").

Pursuant to the Merger Agreement, DARA will merge with DP Acquisition Corporation, a subsidiary of Point, with DARA surviving as a wholly-owned subsidiary of Point (the "Merger"). DARA stockholders will receive shares of common stock of Point representing 96.4% of the combined company, which will change its name to DARA BioSciences, Inc. and be based in Raleigh, North Carolina. The acquisition is intended to be a tax-free reorganization under
Section 368(a) of the Internal Revenue Code and is expected to close in the first quarter of 2008.

The description of the Merger and related transactions in this report and in the press release are qualified in their entirety by reference to the copies of the Merger Agreement and the Loan and Security Agreement, which are filed as exhibits to this report.

The Merger is subject to the approval of DARA's stockholders and the issuance of Point common stock to DARA stockholders is subject to the approval of Point's stockholders.

The executive officers and directors of DARA and the directors and former executive officers of Point have executed agreements pursuant to which they have agreed to vote the shares beneficially owned by them in favor of the Merger and the related transactions.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.
On October 9, 2007, Point entered into a Loan and Security Agreement (the "Loan Agreement") with DARA. The Loan Agreement provides for a credit facility under which Point may request cash advances from DARA, in a total aggregate amount of up to $400,000, to be used for professional and other fees and expenses and other transaction costs incurred by Point in connection with the proposed Merger referred to in Item 1.01.

The Loan Agreement provides that Point's debt obligation under the Loan Agreement will be forgiven in its entirety upon the consummation of the Merger. If the Merger is not consummated, the Loan Agreement requires Point to repay the full amounts actually borrowed under the credit facility on the earlier of (i) the commencement of bankruptcy proceedings against Point, (ii) termination of the Merger Agreement pursuant to Sections 9.1(a)-(b), (d)-(f), (h) or (j)-(l) thereof, other than as a result of DARA's failure to fulfill its obligations thereunder, or (iii) March 31, 2008. Borrowings under the credit facility bear interest at 5%. All of Point's assets are pledged as collateral for any borrowings under the Loan Agreement. The Loan Agreement contains various affirmative and negative covenants, including prohibitions on sales of assets and certain other corporate transactions.

Ich denke, heute wird es weiter steigen, denn DARA muß den Kurs auf über 1,- USD bringen sonst wird Potp von der Nasdaq an die OtcBB runtergestuft.

Gestern war das Plus 15% trotzdem der NASDAQ ingesamt ziemlich ins Minus rutschte ( ca. 1,5% )

Also verhielt sich der Wert trotz des Kursanstieges des Vortages gegen den Trend !!!

Das ist ein gutes Zeichen !!!!

Wenn der Kurs vorher bereits 1,-USD erreicht und darüber bleibt, ist der Reverse Splitt aus diesem Grund nicht erforderlich.


DARA kann die Aktien von POTP aus dem Cash kaufen. Die MK ist sehr gering und dann Kurspflege betreiben, bis der Merger vollzogen ist.

DARA will an die NASDAQ !!!

DARA wird den Kurs also hochpflegen....

Ab 5,- USD beschäftigen sich die Bankanalysten mit dem Wert.

Daher wird der Reverse Split erst vorgenommen werden, wenn wir über einem USD stehen !

Ich glaube auch nicht, das man durch einen Reverse Split, grundlos die Regeln der NASDAQ umgehen kann. D.H. würde man bei diesem Kurs einen machen, dürfte dies der NASDAQ nicht ausreichen, damit die Regeln eingehalten werden.

Point Therapeutics Announces Receipt of Determination Letter From Nasdaq
Point Therapeutics, Inc. (NASDAQ: POTP) announced today that the Company received a staff determination letter on September 12, 2007 from the Listing Qualifications Department of the Nasdaq Stock Market notifying the Company that trading of Point’s common stock on the Nasdaq Capital market will be suspended at the opening of business on September 21, 2007 unless the Company requests an appeal of the determination.

The Company intends to appeal Nasdaq’s determination, which request must be made no later than 4:00 p.m. Eastern Time on September 19, 2007. Upon receipt of the Company’s hearing request, the suspension of Point’s common stock will be stayed, pending Nasdaq’s final decision. There can be no assurance that the Nasdaq will grant the Company’s request for continued listing or that the Company will be able to regain compliance with Nasdaq. If the Company does not file a timely request to appeal, its common stock will be de-listed on September 21, 2007.

As previously reported, Point received a letter from Nasdaq on March 8, 2007 indicating that the Company did not meet the $1 minimum share price requirement for continued listing set forth in Marketplace Rule 4310(c)(4). In the September 12, 2007 letter, the Nasdaq also cited as a basis for de-listing the Company’s recent cessation of its clinical and research operations, which the Nasdaq believes renders the Company a “public shell”, or non-operating company, under Marketplace Rule 4300. The Company disagrees with the Nasdaq’s characterization of Point as a “public shell.”

DARA`s Kaufbewertung für POINT lang am 10.10.07 bei 0,07-0.09 Cents ///
Es wird kein Bargeld gezahlt nur ein Darlehen.

Die derzeitige Bewertung liegt bei 0,30 Cents pro Aktie das währen ungefähr $37 Millionen derzeitig!

Achtung: Tausch & Vermischung im umgedrehten Verhältnis.....wenn ich es richtig lese....
Ein Aktien Tausch von Point Aktien in eine DARA Bewertung von einer Aktie von 7 $ pro Aktie...da währen wir bei einer Bewertung von über einer Milliarde Dollar pro Aktie.....

Das kann nicht sein...wenn der derzeitige Kurs zu hoch geht klappt der Deal nicht!!

Ganz im Gegenteil die müssen das Ding Drücken damit die Vereinbarung klappt.
Die NASDAQ Kriterien 1 $ sind mit Tausch der Aktien (in was für ein Verhältnis auch immer) in das neu entstehende Unternehmen erfüllt!

POTP the level 2s just jumped the ask from .30 this morning to an ask of .48. This seems to not be changing either. The new laws on shorts go into effect monday and this could be one heck of a squeeze play. Also r/m partner has applied to have the stock uplifted to a higher exchange in the r/m. This is speculated to be looking at a beneficial r/m of 3, 4, or 5, to 1 ratio. May want to watch the level2's this morning.

Stamm/ Aktien Point gehen zu

DARA Aktionäre 96,4% des fusionierten Unternehmen.

DARA wird mit einem Börsenwert gelistet ..nach einer Bewertung den ich gelesen habe darf man mit einer Bewertung pro Aktie zwischen 7-9 USD aus gehen für DARA bei einem Börsennotierung...!

Um auf den Börsenwert von DARA zu kommen müssen Akten Point (verdünnt ) gesplittet werden ..
machen wir mal ein Beispiel 1 :100.....

Je höher der Börsenwert Point´s desto schlechter das Tausch Ergebnis für die neue Aktionäre DARA`s...und das Geschäft droht dadurch zu platzen ...

Bei dem Tauschgeschäft müssen Beide Aktionärs Seiten zu stimmen!

Je niedriger der Börsenwert Point`s gehalten wird um so attraktiver das Tausch Verhältnis wieder für DARA.

Oh ich glaube das hat kein Mensch verstanden was ich hier versucht habe zu erklären .....

Egal...

Es wäre ganz interessant zu beobachten ob bei einem Widerstand nach oben dann massiv verkauft wird um das ganze wieder nach unten zu drücken. oder nicht.....??

Also POINT hat 39 Mio Aktien, die MK liegt bei 9,5 MIO USD.

Wenn Dara nach der Fusion gemessen auf die Anzahl der O/S von Point mit 7 USD bei 96,4 % der Aktien von POINT wert sein darf, dann:

39 Mio x96,4 % = 37,6 MIO x 7 = 263 MIO USD MK !

Wenn Point auf 1 USD steigt = 39 MIO USD MK davon 37,6 MIO x 6,28 = 263 MIO USD MK

Also, wo ist da ein Problem ??? Ob der Merger nachher bei 7,- USD oder 6,28 USD notiert wird, an der MK ändert dies nichts !

Warum sollte also ein Kurs der POINT von 1,- USD irgenwas bewirken ???

Hi ! Ich habe nochmal über WE alles nachgelesen.

Es sieht anscheinend so aus :

Potp hat 75 Mio Aktien genehmigt. Aus dem 8 K Filing geht hervor, das Dara 96,4% davon übernehmen will. Das sin 72,3 Mio Aktien.

Ausgegeben wurden von Potp: 39,3 Mio. Davon sind 28 Mio bei Institutionellen. Somit braucht Potp nur 38,7 Mio an Dara direkt zu übergeben, dann muß Dara die 28 Mio der Institutionellen kaufen und zusätzlich 5,6 Mio aus dem Markt kaufen.

Dara braucht also nur 33,6 Mio Aktien kaufen, bei derzeitigen Kurs von 0,26 USD nur ein Aufwand von: 8,736 Mio USD.

Dara hat 4 Assets, wovon ein Asset börsennotiert ist mit einer MK von 55 Mio USD.

Schon alleine dieses Asset würde bei 75 Mio O/S einen Kurs von 0,73 USD rechtfertigen. Dara muß über 1 USD kommen um an der NASDAQ zu bleiben.

Der Kurs wird also zur Zeit durch Dara gedrückt, um billig an die Stücke zu kommen. Irgendwo habe ich gelesen, dass Dara bis zu 11,8 Mio USD Cash haben soll.

Also, billiger kommt man nicht an die NASDAQ.

DARA VALUATION
The stock they own in Mediviation is worth $ 55,000,000 (2.3million * 24.00-closing price 10/10/07) alone and based on the closing price of POTP with the shares outstanding of 39,000,000 they are only valued at $ 11,400,000 assuming the merger closes. Can you say undervalued big time. The company appears to be way bigger than anyone could imagine. They just happened to find the perfect opportunity to go public into a Nasdaq listed stock for a small sum of money. Based on this info alone who cares if they do a R/S. Probably the closing is not until March of 2008 because that gives them time to get the Nasdaq approval required and with the RM taking place POTP will not be delisted.

Das war heute nur eine schöne Intradaykorrektur. Wir waren 2 mal heute schon über 0,50 USD !!! Einmal vorbörslich, mit einem Handelsvolumen von ca. 500.000 Stück und dann kurz nach Eröffnung nochmals ca. Volumen 2 MIO !!!!

100% Plus haben einigen gereicht an einem Tag, um Gewinne zu machen.

Die Masse der Käufer ( insgesamt über 18 Mio gehandelt ) dürfte die Sache etwas langfristiger sehen und bis Freitag oder sogar bis nächste Woche oder 30.10. warten.

SK am 30.10.2006 war : 1,72 USD !!!!

Nach diesen News heute ist der Wert in diesem Bereich erst fair bewertet, denn was vor einem Jahr für diesen Kurs gereicht hat, dürfte heute dazu allemal reichen !!!!



Auf zur SK-Ralley und nachbörslich sehen wir wieder das echte ASK über 0,50 USD !!!

ich bin noch nicht gestorben Doch dieser Chart gestern war ja Nervenzerreißend, Marke gehts jetzt gleich runter oder doch hoch oder was.... Bin sehr gespannt was heute geht, denn gestern hat uns nach / vorbörslich auch nicht viel beschert ( ). Wenn man dann allerdings als Quelle ein kostenpflichtiges Angebot bewirbt und hier mitteilt, dass derjenige der um die Quelle bittet, sich dort anmelden soll, ist dies unerlaubte Werbung.

Oct 10 (Reuters) - Biopharmaceutical company Point Therapeutics Inc (POTP.O: Quote, Profile, Research) said it agreed to be acquired by Dara BioSciences, a privately held development-stage pharmaceutical company.

The financial terms of the deal were not disclosed.

Point's shares nearly tripled in early electronic trade to 12 cents, after closing at 4 cents on the Nasdaq on Tuesady.

Dara stockholders will hold 96.4 percent of Point's outstanding shares, and Point will change its name to Dara BioSciences Inc, the two companies said in a statement.

The proposed acquisition will qualify as a "reverse merger" under a Nasdaq marketplace rule, the companies said. As a result, Dara intends to file an initial listing application, although Point's common stock is currently listed on Nasdaq.

In July, Point Therapeutics had terminated the employment of most of its top management team, including its chief executive and chief financial officer.

BOSTON (AP) -- Biotechnology company Point Therapeutics Inc. said Wednesday it is being bought by privately held DARA BioSciences for an undisclosed amount.
DARA shareholders will hold 96.4 percent of Point Therapeutics stock after the buyout. Point will change its name to DARA BioSciences Inc. The deal is expected to close during the first quarter of 2008.

The acquisition is intended to be a tax-free reorganization under Internal Revenue Code rules. The companies also expect the deal to be considered a "reverse merger" by Nasdaq, and DARA will file for initial listing on the exchange.

Point Therapeutics currently faces being delisted from the Nasdaq, because it does not meet the exchange's $1 minimum share price requirement.
Shares of Point Therapeutics gained 11 cents at 15 cents in premarket trading after closing at 4 cents Tuesday.

Neubewertung von Daras bekanntem Asset !!!
DARA VALUATION
The stock they own in Mediviation is worth $ 63,446,843.57(2.8million * 22.51-closing price 10/17/07) alone and based on the closing price of POTP with the shares outstanding of 39,000,000 they are only valued at $ 11,400,000 assuming the merger closes. Can you say undervalued big time. The company appears to be way bigger than anyone could imagine. They just happened to find the perfect opportunity to go public into a Nasdaq listed stock for a small sum of money. Based on this info alone who cares if they do a R/S. Probably the closing is not until March of 2008 because that gives them time to get the Nasdaq approval required and with the RM taking place POTP will not be delisted.

POTP huge sale at .39 times 50,000 just went thru. Must be an institutional order on inet for that chunk. Good sign of possible pps increase, unless it was someone shorting. We will see.

Guten Morgen an Alle ,

mh nachbörslich ging es wohl wieder ein wenig up gestern. Irgendwie kann ich den Chart nicht so einschätzen, diese ruhigen Schwankungen mit gelegentlichen Ausbrüchen machen mich irre und schüren den GEdanken, dass ein megasturz kommt, mh.

Wie seht Ihr das Ganze denn? Mal abgesehen von long oder nicht, die letzte News war fantastisch und der Kurs geht nicht los? Muss der MM covern oder wollen SIe nur mehr Shares oder diluted einer sehr elegant?

Danke für Eure Einschätzung.

Ich bin gespannt, wie sich POTP dann entwickelt. Nach 2 Tagen der Konsolidierung scheint der angriff auf den 1 $ wieder zu beginnen.

Was meint Ihr?

Point hat 39,31 Mio Aktien ausgegeben.
Wenn DARA 96,4 % nach Abschluss des Mergers hält,

Bei dem aktuellen Handelsvolumen, muss DARA m.E. noch viel kaufen.

Den Kursverlauf dieser Aktie kann man mit Übertreibungen
die es ja gelegendlich drüben immer wieder gibt nicht berechnen
Meiner Meinung nach hat genau diese Aktie ein enormes Potencial
und bietet zum jetzigen Kurs noch reichlich Möglichkeit,sie günstig zu kaufen.
Wenn sie Montag noch günstig zu haben ist,werde ich ausnahmsweise in Deutschland zuzkaufen,da ein weiterer starher Anstieg drüben schon am Montag zu erwarten ist

das ist meine Meinung und soll nicht zum Kauf ermuntern

Oct 10 (Reuters) - Biopharmaceutical company Point Therapeutics Inc (POTP.O: Quote, Profile, Research) said it agreed to be acquired by Dara BioSciences, a privately held development-stage pharmaceutical company.

The financial terms of the deal were not disclosed.

Point's shares nearly tripled in early electronic trade to 12 cents, after closing at 4 cents on the Nasdaq on Tuesady.

Dara stockholders will hold 96.4 percent of Point's outstanding shares, and Point will change its name to Dara BioSciences Inc, the two companies said in a statement.

The proposed acquisition will qualify as a "reverse merger" under a Nasdaq marketplace rule, the companies said. As a result, Dara intends to file an initial listing application, although Point's common stock is currently listed on Nasdaq.

In July, Point Therapeutics had terminated the employment of most of its top management team, including its chief executive and chief financial officer.

The company also cut about 76 percent of its workforce after U.S. regulators put its experimental cancer drug, talabostat, on hold. (Reporting by Deepti Chaudhary in Bangalore)

BOSTON (AP) -- Biotechnology company Point Therapeutics Inc. said Wednesday it is being bought by privately held DARA BioSciences for an undisclosed amount.
DARA shareholders will hold 96.4 percent of Point Therapeutics stock after the buyout. Point will change its name to DARA BioSciences Inc. The deal is expected to close during the first quarter of 2008.

The acquisition is intended to be a tax-free reorganization under Internal Revenue Code rules. The companies also expect the deal to be considered a "reverse merger" by Nasdaq, and DARA will file for initial listing on the exchange.

Point Therapeutics currently faces being delisted from the Nasdaq, because it does not meet the exchange's $1 minimum share price requirement.
Shares of Point Therapeutics gained 11 cents at 15 cents in premarket trading after closing at 4 cents Tuesday.

Point reported a net loss of $8,561,000, or $0.23 per basic and diluted share, in the first six months of 2007, compared with a net loss of $15,203,000, or $0.46 per basic and diluted share, for the first six months of 2006.

Point’s cash and restricted cash balance as of June 30, 2007 was $3,917,000.

Point recently terminated all but two of its employees and has relocated its corporate offices to a smaller temporary office space at 70 Walnut Street, Wellesley Hills, MA. Point plans to utilize some or all of the recently terminated employees as part of a more variable-cost consulting team to help the Company as it seeks a buyer or partner for its technology and related intellectual property and other assets, in bankruptcy or otherwise.

Der Merger macht für DARA nur Sinn, wenn Point dann noch an der Nasdaq gelistet ist !!!

Was passiert hier also:

DARA hat bereits 38,7 Mio Aktien gekauft, diese müssen nun zum Börsenhandel zugelassen werden = outstanding Shares werden !

Den Rest von 33,6 Mio muß DARA über die Börse kaufen. Ich vermute das dies bereits geschehen ist ( siehe Umsätze seit dem 10.10.07 )

Nun muß der Kurs noch über den 1,- USD kommen, damit POINT an der Nasdaq gelistet bleibt, bis die Aktien die Dara schon gekauft hat zugelassen werden ( 2-3 Monate ) !

Daras Assets verbriefen minimum 0,845 USD Wert !!!!

Ich denke kurzfristig kommt hier noch ein positiver Newsflow, der uns richtig steigen läßt !!!!

This is a classic recovery program taking place. 90% of the time they bounce it 3 times. then let it sleep a couple weeks. During the sleep most of the Day Traders will leave the stock. They try to convince an institutional buyer to put it into a clasiic 2-5% climb. If they dont get their (big)investor they will do it again looking 4 a higher consolidation. on the 3rd try they look 4 a consolidation of 1.01. If they get that they almost always get their institutional buyer who then completes the recovery. Thats Yahoo is putting their head on the choppin block and predicting 6.00/shr. They want the stock to be predictable so they can sell it to big buyers. The last 2 PR's came on Wed. Thats why I'm predicting wed again.

If you look at the 6 month chart of AVAN you'll see they using the same recovery attempt. The 1st major bounce was about 6 weeks ago. ( note too they were in a downward slide when they started, not good) . Ater the next sleep they do it again and attemp to hol the stock at 1.01 for 3 consecutive sessions.
and VOILA NASDAQ complient again .

Natürlich wird der Kurs mit neuen News gefüttert auch wieder zweistellig nach oben ziehen.

Point Therapeutics Reports Third Quarter 2007 Financial Results

Point Therapeutics, Inc. (NASDAQ: POTP) today reported financial results for the three and nine month periods ended September 30, 2007.

Point reported a net loss of $2,410,000, or $0.06 per basic and diluted share, for the three month period ended September 30, 2007, compared with a net loss of $7,826,000, or $0.24 per basic and diluted share, for the three month period ended September 30, 2006. Point reported a net loss of $10,971,000, or $0.29 per basic and diluted share, for the nine month period ended September 30, 2007, compared with a net loss of $23,028,000, or $0.70 per basic and diluted share, for the nine month period ended September 30, 2006. Point’s cash balance as of September 30, 2007 was $2,311,000.

For the three month period ended September 30, 2007, research and development expenses decreased 94.4% to $375,000 from $6,731,000 for the three month period ended September 30, 2006. Research and development expenses decreased 69.3% to $5,824,000 for the nine month period ended September 30, 2007 from $18,984,000 for the nine month period ended September 30, 2006. The decrease in both the three and nine month periods resulted primarily from the decision by the U.S. Food and Drug Administration (“FDA”) to put Point’s talabostat clinical program on clinical hold on May 21, 2007 and the subsequent downsizing of Point’s operations offset in part by severance recorded for terminated employees.

For the three month period ended September 30, 2007, general and administrative expenses increased 33.2% to $2,072,000 from $1,556,000 for the three month period ended September 30, 2006. For the nine month period ended September 30, 2007, general and administrative expenses increased 2.0% to $5,391,000 from $5,287,000 for the nine month period ended September 30, 2006. The increase in general and administrative expenses in both the three and nine month periods resulted primarily from severance recorded for terminated employees offset in part by a reduction in Point’s operations.

There was no revenue in the three or nine months ended September 30, 2007. Revenue in the three and nine month periods ending September 30, 2006 related to Point’s $600,000 Orphan Products Development Grant which funded a portion of Point’s Phase 2 study combining talabostat with rituximab in advanced chronic lymphocytic leukemia.

Interest income was $36,000 in the three months ended September 30, 2007 compared to $241,000 for the three months ended September 30, 2006. Interest income was $243,000 for the nine months ended September 30, 2007 compared to $884,000 for the nine months ended September 30, 2006. The decrease in interest income for both the three and nine month periods was due to a lower average cash balance as compared to the prior year.

About Point Therapeutics, Inc.:

Point Therapeutics, Inc. is a biopharmaceutical company which has studied its lead product candidate, talabostat, in a number of human clinical trials in late-stage cancers. In May 2007, interim clinical results caused Point's Independent Data Monitoring Committee to recommend stopping Point's two Phase 3 talabostat studies for patients in advanced non-small cell lung cancer. Subsequently, the talabostat clinical development program was put on clinical hold by the FDA. Point has also studied talabostat in several Phase 2 trials, including as a single-agent and in combination with cisplatin in metastatic melanoma, in combination with rituximab in advanced chronic lymphocytic leukemia, and in combination with gemcitabine in Stage IV pancreatic cancer. Due to cash limitations, Point is not currently funding any internal research or clinical operations.

On October 9, 2007, Point entered into a definitive agreement to merge with DARA BioSciences, Inc. (“DARA”). Pursuant to the merger agreement, DARA will merge with DP Acquisition Corp., a newly-formed subsidiary of Point, with DARA surviving as a wholly-owned subsidiary of Point. After giving effect to the merger, DARA stockholders will hold 96.4% of the combined company’s outstanding shares of common stock on a fully-diluted basis, and Point will change its name to DARA BioSciences, Inc. and be based in Raleigh, North Carolina. For information regarding the proposed merger, please refer to Point’s Report on Form 8-K filed with the Securities and Exchange Commission on October 10, 2007.

Point and DARA believe that the proposed merger will qualify as a “reverse merger” under NASDAQ Marketplace Rule 4340. As a result, although Point’s common stock is currently listed on the NASDAQ Capital Market, Point will be required to meet the NASDAQ requirements for initial listing upon consummation of the merger. On October 26, 2007, DARA filed an initial listing application with NASDAQ seeking listing of Point’s common stock upon completion of the merger. As previously announced on September 17, 2007, Point has received a determination letter from the staff of The NASDAQ Stock Market indicating that Point’s securities are subject to potential delisting from the NASDAQ Capital Market. The staff determination was based on the fact that Point does not currently meet the $1 minimum share price requirement for continued listing and that Point’s cessation of its clinical and research operations renders Point a "public shell," or non-operating company in the opinion of the staff. Point participated in a hearing before a NASDAQ Listing Qualifications Panel on November 1, 2007, at which it requested continued listing of its common stock pending the completion of the merger. The Listing Qualifications Panel has not yet rendered its decision with respect to Point’s request. If the Listing Qualifications Panel denies Point’s request, Point’s common stock will be delisted at the opening of trading two business days following such denial.

Lt. Vereinbarung uns sec. File kommt es zu einem 1:20 to 1:50 intended to be sufficient to cause the Point common stock to meet the NASDAQ Capital Market //

Es kommt zu Reverse Splitt...... jeder der hier auf 1 $ Marke wartet der wird bitter Enttäuscht werden!
DARA hat eine noch im Anfangs befindliche Pipeline...mit einem sehr hohen Risiko!

Erfahrungsgemäß gemäß verlieren Biotechs nach einem Börsenlisting etwa im ersten Jahr nach Listing 30% an Wert!
Ein Reverse Splitt kommt bei Anlegern meist negativ an und dürfte (wie die jüngsten Beispiele
Genta, Cenes ) zeigen noch mal mit einen kräftigen Ab schlag von 30% bestraft werden)
Zusätzlich muss die NASDAQ noch der Fusion zustimmen ...
Sollte dieses nicht Passieren ...war es das für Point...// Totalverlust!!!!!!!!!!!!!

Da sich Beide Aktionärs Parteien ( Stammaktien Halter ) der Fusion zustimmen müssen ...tut sich hier bis Ende Januar 2008 nicht mehr viel!

Fazit: Für Point ist der Reverse Splitt die Rettung / Für Aktionäre die hier auf den 1 Dollar als Weihnachtsgeschenk und als Zugabe erwartet haben werden leider Enttäuscht werden!
Wer sich noch nicht getrennt hat von diesem Papier sollte sich sehr genau Informieren wie Neuimissionnen der Biotechnologie an der NASDAQ nach unten hin durch gereicht werden!

oder gibt es nur die beiden von dir genannten Möglichkeiten ??

potp muss mindestens einen Dollar haben um an der nasdaq notiert zu sein, korrekt oder ??
Potp muss auf jeden Fall die 1 Dollarmarke halten und darf sie nur

Nein! Es gibt eine Grenze-Trennung Kurs 0,15 $......derzeit sind wir schon drüber!
1:20 to 1:50 // 1 Neue DARA Aktie!

Die NASDAQ muss diesem Antrag noch zustimmen! Ansonsten // Kannst Du Deine Papiere als Tapete für Zu hause verwenden! Ein Termin hängt von der Zustimmung der
NASDAQ ab!

Es ist egal wie der Kurs von Point vor dem Splitt steht ......man geht immer vom Trennung Kurs aus also 0,15 US/ CENT

Point kann es daher egal sein wie sich der Kurs entwickelt! Sie hängen nur noch von DARA News ab!

Persönlich bin ich hier ausgestiegen und mache diesen Splitt nicht mit!
Denke mal das die Kaufvereinbarungen viele nicht verstanden haben!

WELLESLEY HILLS, Mass.--(BUSINESS WIRE)--

Point Therapeutics, Inc. (NASDAQ: POTP) today announced that the NASDAQ Listing Qualifications Panel (the "Panel") has granted Point's request for the continued listing of its securities on The NASDAQ Capital Market. Point's continued listing is subject to the satisfaction of certain conditions by January 30, 2008, including completion of the previously-announced merger between Point and DARA BioSciences, Inc. ("DARA") and approval of the NASDAQ initial listing application filed by Point and DARA on October 26, 2007.

As previously announced on September 17, 2007, Point received a determination letter from the NASDAQ Listing Qualifications Staff (the "Staff") indicating that Point's securities were subject to delisting from The NASDAQ Capital Market because Point did not meet the $1 minimum share price requirement for continued listing and Point's cessation of clinical and research operations rendered it, in the opinion of the Staff, a "public shell," or non-operating company. As announced on November 19, 2007, the Staff also subsequently notified Point that it did not meet the $2.5 million stockholders' equity requirement for continued listing. Point participated in a hearing before the Panel on November 1, 2007, at which Point requested continued listing of its common stock, pending completion of the merger with DARA. On December 12, 2007, the Panel issued a decision granting Point's request.

Should Point be unable to meet the requirements set forth in the Panel's decision, there can be no assurance that NASDAQ will grant Point an additional extension of time to comply or that Point's securities will continue to be listed on The NASDAQ Capital Market.

(NASDAQ: POTP) today announced that it has adjourned its annual meeting of stockholders, which commenced at 10 a.m. this morning, until Tuesday, February 12, 2008. At the February 12 meeting, Point stockholders will vote on several proposals in connection with the proposed merger with DARA Biosciences, Inc. The meeting was adjourned to allow for the solicitation of additional votes in favor of the proposals. While proxies received to date have been overwhelmingly in favor of the merger-related proposals, approval of a majority of the outstanding Point shares is necessary for certain of the proposals to be approved. Point attributes the shortfall primarily to the fact that the Company currently has a large and diverse stockholder base.

The adjourned meeting is scheduled to be held on February 12, 2008 at 10:00 a.m., Eastern Time, at the law office of Ropes & Gray LLP, One International Place, 36th Floor, Boston, MA 02110.

Die Fusion steh kurz vor dem scheitern...es kommen derzeit nicht genügend Stimmen zusammen.. Wer in der nächsten zeit nicht seine Tapete zu Hause mit wertlosen Point Aktien bekleben will sollte so schnell wie möglich wählen und sich mit seiner Bank für die Bescheinigung der Proxy Card besorgen ... ansonsten wird der einen oder andere sich wohl die Augen reiben wenn hinter seiner Stückzahl den Wert der Aktien zwei Nullen vor finden wird!

RALEIGH, N.C. and WELLESLEY HILLS, Mass., Feb. 12 /PRNewswire/ -- DARA BioSciences, Inc. ('DARA') and Point Therapeutics, Inc. ('Point') (Nasdaq: POTP) announced the consummation of their merger transaction, effective as of the close of business on February 12, 2008.

The merger was completed after approval by the respective stockholders of DARA and Point. Immediately prior to the consummation of the merger, Point effected a reverse stock split of its common stock pursuant to which each 40 shares of Point common stock issued and outstanding was converted into one share of Point common stock. As a result of the merger, DARA stockholders will receive 1.031406 shares of Point common stock for each share of DARA common stock and preferred stock held immediately prior to the transaction.

In making the announcement, DARA's Chairman Richard A. Franco, Sr., commented, 'We are pleased to have completed this transaction and appreciate the confidence of the stockholders of DARA and Point as evidenced by their votes.'

Dr. Drutz was appointed to fill a Board vacancy and will serve on the Company's Compensation Committee as well as Corporate Governance and Nominating Committee. The appointment was effective February 26, 2008.
