FFP Entertainment klagt gegen Team Communications

Los Angeles, 06.09.2000 - FFP Entertainment hat beim Federal Court in Los Angeles Klage wegen Vertragsbruchs gegen die TEAM Communications Group und deren CEO Drew Levin eingereicht. TEAM wird vorgeworfen, im Rahmen des geplanten Joint-Ventures nicht vereinbarungsgemäß innerhalb von drei Wochen 800.000 Aktien bei einem Treuhänder hinterlegt zu haben. Außerdem habe sich TEAM geweigert, seine Verpflichtungen hinsichtlich der Durchführung des Vertrags zu erfüllen. Nachdem TEAM im Juli eine Frist zur Vertragserfüllung hatte verstreichen lassen, war von FFP erklärt worden, dass man künftig jede Erfüllung des Vertrags durch TEAM ablehnen werde.TEAM hatte Anfang der Woche bekannt gegeben, dass das Joint-Venture nicht zustande kommen werde und man über andere Formen der Zusammenarbeit nachdenke (wir berichteten). Laut FFP ist eine weitere Zusammenarbeit derzeit jedoch nicht geplant.

Ich weiß noch nicht wei das die weitere Entwicklung beeinflusst, aber zumindestens hat es den momentanen Kursverlust ausgelöst.

Cross Complaint Will Also Address Rescission of Any Agreements with FFP And Damages; Company Denies Allegations in FFP Press Announcement
LOS ANGELES, Sept. 6 /PRNewswire/ -- TEAM Communications Group, Inc. (Nasdaq: TMTV, news, msgs) (Neuer Markt: TME), a leading multinational production and distribution company, stated today that it has been advised through the dissemination of a press release, that Cologne-based FFP Entertainment GmbH ("FFP") has instituted a lawsuit against TEAM relative to the formation of a joint venture. TEAM, which has neither reviewed nor been served with the complaint, deems the action to be completely without merit and will vigorously defend the action.

The company states that FFP`s action is completely baseless because FFP has failed to satisfy several critical conditions precedent that were necessary to consummate a joint venture, despite repeated requests by TEAM`s management for compliance with the agreement. Furthermore, FFP has never delivered an operating budget that is satisfactory to TEAM`s Board of Directors, as required by the preliminary agreement, nor has FFP ever provided any documentation showing that a deal has been completed between FFP and Das Werks AG for the sale of FFP`s Cologne operations to Das Werks, AG.

TEAM has instructed its lawyers to immediately file a counter claim against FFP seeking, among other things, rescission of any agreements with FFP and/or damages for fraud and breach of contract. Furthermore, TEAM also disagrees with FFP`s characterization of the transaction as no escrow account was mutually agreed upon for the deposit of its shares. Moreover, TEAM reaffirms all of the statements made in its press release, dated September 1, 2000, respectively, regarding the non-performance by FFP of its obligations under the agreement.

FFP scheint ein mieser Laden zu sein.
Gehen gleich mit grosser Klappe an die Oeffentlichkeit.
Das hat TMTV am 01.09.2000 geschickter ausgedrueckt, auch ohne FFP dabei zu schaden.
FFP wird sich noch wundern.
Ausserdem wird keine Leistung ohne Gegenleistung erbracht.
Dass TMTV fuer 800.000 Aktien etwas besseres als einen Deal mit DAS WERK und FFP (wahrscheinlich
ob der terminlichen Folge ohne Absprache mit TMTV) ist wohl jedem klar.
FFP sollte wieder zurueck in den Kindergarten.

FFP Entertain/Team Commun-2: Team To Seek Pact Rescission

LOS ANGELES (Dow Jones)--Frankfurt Film Production Entertainment GmbH, or FFP Entertainment, filed a lawsuit against production and distribution company Team Communications Group Inc. (TMTV, news, msgs) over the formation of a joint venture.

On Sept. 1, Team said it was doubtful that FFP, based in Cologne, Germany, would be able to satisfy conditions for proposed joint venture between the two companies.

In a press release Wednesday, Team called the suit "completely without merit" and said it plans to file a counterclaim in federal court seeking the rescission of any pacts with FFP and seeking damages for breach of contract.

According to Team, FFP failed to deliver an operating budget, a precondition for the venture.

FFP couldn`t be immediately reached for comment.

TEAM Communications Group hat die Betrugsvorwürfe des Filmproduzenten FFP im Zusammenhang mit dem geplanten Joint Venture zurück gewiesen. Die Vorwürfe entbehren jeglicher Grundlage, teilt das Management mit. Im Gegenteil: FFP habe versäumt, wesentliche Vertragsbedingungen zu erfüllen, die Voraussetzung für das Joint Venture waren. Beispielsweise hat FFP weder die vereinbarten Aktiva in das Geschäft eingebracht, noch ein akzeptables Budget für die gemeinsame Arbeit vorgelegt. Zudem fehlen nach wie vor wichtige Finanzinformationen wie der Jahresabschluss 1999 oder der Nachweis für das Geschäft zwischen FFP und Das Werk. Dabei handelte es sich um den Verkauf von FFPs Kölner Aktivitäten an Das Werk.

Das Management von TEAM hat sich bemüht, die Verhandlungen voran zu bringen und gegebenenfalls neue Formen der Zusammenarbeit zu erörtern (siehe Pressemitteilung vom 4.9.00). Die Klage von FFP hat den Bemühungen bedauerlicherweise die Grundlage entzogen. TEAM hat deshalb seine Anwälte beauftragt, gegen die Klage von FFP eine Gegenklage vorzubereiten. Gegenstand ist Vertragsbruch und Betrug.
