      Company Overview
Whats For Free Technologies (WFFT) is positioned to become a globally dominant internet-based premium incentive marketing and branding company. The Company`s web site, whats4free.com, is designed to be the top search engine andportal for consumers looking for offers of free products and services. Tracking capabilities will monitor consumer behavior and provide measurable results with feedback loops for consumer information, feedback and follow-up. WFFT believes that high quality incentives and effective target marketing can drive conversion rates to 50% or higher. This compares to average purchase response rates for direct mail of 2% and Internet banner ads of less than 1% each.

The Company differentiates itself from potential competitors with a combination of services. These include its unique systems that are designed to increase traffic to advertiser sites, to identify and target appropriate user groups, to provide feedback information and to reduce effective advertising costs, since the advertiser pays only for new customers. The consumer database and automated processes are designed to allow WFFT to deliver highly targeted advertising at a lower, risk-free cost per conversion. The Company website permits rapid click-through so that consumers entering the site will be able to access their desired offer or information in no more than three clicks. This model is cost effective for WFFT since revenues are generated by conversions, as opposed to the model wherein the number of ads that can be presented to a user on the site is the principal revenue driver. The latter model encourages web operators to keep potential consumers on the site as long as possible-putting the user through an aggravating maze of screens and clicks.

      Market Overview

The Company`s primary target markets include corporate advertisers, sponsors of not-for-profit and charitable organizations, and the rapidly growing base of internet users. Global web users are projected to grow from 82 million in 1999, to 244 million in 2003. More impressively, worldwide retail spending on the web is projected to grow from $65 billion in 1999, to nearly $1 trillion in 2003. These forecasts clearly identify the internet`s role as an important sales and marketing channel. In the US alone, online advertising is forecasted to grow from roughly $3 billion in 1999 to $17 billion in 2003. In particular, incentive-based advertising and customer acquisition programs are becoming increasingly important marketing tools for effectively increasing trial and awareness among internet users. These programs, which are a form of permitted advertising, have been shown to generate significantly higher average response rates than other forms of advertising.

Another key market for WFFT is the charitable donations segment, which was estimated to be $28 billion in 1999. Serving the charitable giving market allows WFFT to profit from the dramatic increase in cash-rich corporations and high net worth individuals created by the advent of computer technology and the Internet. Annual growth in charitable donations has accelerated from 3% in 1996 to 11% in 1998. WFFT can provide corporate donors with measurable results and public recognition of their contributions, two of the most important goals of the corporate givers. The Company believes that neither of these goals is being adequately met today.

      Revenue Sources

Sales of the Company`s services to the corporate community will be greatly enhanced by WFFT`s ability to provide proof of efficacy before WFFT`s corporate account manager approaches a targeted client. WFFT simply uses its technology to drive higher hit rates and conversions on the site of a selected target customer, and then follows up with a sales call to negotiate ongoing services. Coupled with a no risk pay-for-performance pricing model, we believe the value to the client is compelling. Partnering. WFFT has formed alliances with a number of key infrastructure providers to secure high capacity bandwidth and data processing, to access state-of-the-art technology, and to participate in leading edge systems development initiatives. Other target partners include indirect marketing channels, such as advertising agencies and media groups, and content partners, such as those with offers of free products and services, and charitable organizations or corporate donors. Just look at some of the expected near-term revenue sources.

Fees, ranging from $1 per hit to $50 per conversion, for bringing new customers to corporate clients.

E-commerce revenues and transaction processing for other-than-free products and services.
Fees for design, positioning, and management of auction sites for both for-profit and non-profit entities .
Fees from corporate sponsors for support of charitable and related not-for-profit activities.
Fees and equity earned for developing related Affiliate web sites.
Sale of access to WFFT`s proprietary consumer and provider database.
