Fast eine Woche nach den vereitelten Terroranschlägen ist auf den Flughäfen in Großbritannien immer noch keine Normalität eingekehrt. Obwohl die Regeln für Handgepäck am Montag gelockert wurden, musste Britisch Airways am Mittwoch noch zehn Prozent der Flüge streichen, die meisten in London Heathrow und Gatwick. Zudem seien bis zu 20.000 Gepäckstücke in den vergangenen Tagen fehlgeleitet worden, teilte die größte Fluggesellschaft des Königreichs mit. Rund 5000 sollten am Mittwoch ihren Besitzern zugestellt werden. Die meisten der übrigen 15.000 wurden in den letzten Tagen bereits angeliefert.
Grund für die "verirrten" Gepäckstücke seien die enormen Massen an Koffern und Taschen gewesen, die wegen der verschärften Sicherheitskontrollen aufgegeben werden mussten. Darin befanden sich zum Teil auch Haustürschlüssel oder Geldbeutel. Passagiere müssten sich bis Freitag auf Verspätungen und Probleme vor allem auf Europas größtem Flughafen Heathrow einstellen, hieß es. Seit der großen Terror-Operation am vergangenen Donnerstag musste British Airways mehr als 1100 Flüge absagen.
Der Billigflieger Ryanair ging am Mittwoch davon aus, zum ersten Mal seit Donnerstag keine Flüge streichen zu müssen. Die neuen Richtlinien für Handgepäck seien aber "sinnlos". Nachdem die Terrorwarnstufe am Montag abgesenkt wurde, dürfen Gepäckstücke in der Größe einer Laptoptasche wieder mit an Bord, Flüssigkeiten sind darin immer noch verboten. Ryanair-Chef Michael O'Leary sagte, das Unternehmen erwäge, gerichtlich gegen die Regierung vorzugehen, "so dass die Flughäfen wieder zur Normalität zurückkehren können". Toth scheint nicht mehr Herr seiner Sinne zu sein ...
der kurs hält stabil. das hat zur folge das die shorties covern werden, da es weit besser shortwerte gibt. denn rest machen dann die mm und wenn dann noch nee news kommt. für mich läuft alles super. bin aber uach nicht im - wie evtl. einige andere hier.

Entscheidend sind nicht die leerverkauften Aktien, d.h. es wurden Aktien bezahlt aber nicht geliefert, sondern dass FTD = Failed to deliver, ähnlich Schuldscheine, geliefert werden, was wiederrum für uns heißt, dass uns diese FTD als tatsächliche Aktien in unseren Depots angezeigt werden, in Wirklichkeit aber uns keine gegeben wurden. D.h. nach meinen Recherchen fallen diese FTDs nicht in die SHO-List oder sonstige offiziellen Angaben über leerverkaufte Aktien. Auch keiner von uns kann sagen ob seine Aktien im Depot nun reale Aktien oder FTDs, die uns als Aktien angezeigt werden, sind.
Bitte mich korrigieren, sollte ich falsch liegen.
d.h. bei dem Zock, den wir hier alle machen, geht es nicht um die leerverkauften Aktien und die Eindeckung durch die MM, sondern um den Fall wann die FTDs tatsächlich in unseren Depots durch Aktien ersetzt werden müssen. Deshalb kann es durchaus sein, dass es ein Vielfaches an FTDs gibt als tatsächlich Aktien. Ob 10 oder 20 oder 80Mrd ist vollkommen egal.
Der Handel mit FTDs ist so alt wie es nicht mehr üblich ist Aktien in Form von Zertifikaten auszuhändigen, sondern virtuell in einem Rechnersystem in NewYork zu lagern.
Hier liegt RA insoweit richtig, daß es gewaltigste Kurssprünge geben muß, wenn die Saudis den gesamten Float haben und Ihre Zertifikate (in Papierform) nun anfordern sollten. Auch wir als Kleinaktionäre sollten dies im Falle des Falles tun. Dann und nämlich nur dann müssen die FTDs durch reale Aktien ersetzt werden.

Why Is Naked Short Selling/Failing To Deliver Such A Big a Deal, and Why Should I Care?
A) It is against the law. It actually violates a number of rules and sections of the 1934 Securities Exchange Act, as well as subsequent provisions. Those sections include 10(a)2, Rule 203 of SHO, Rule 15(c)6-1, 17(a) and a host of others.
B) It is against the law for a reason. It is used as a fraudulent act - essentially counterfeiting. The reason that it is counterfeiting is simple - the share that the buyer gets is represented to him as a legitimate share, when in fact it is not. That is fraud, wherein a fraudulently created and unregistered security is passed off to the buyer and represented as the real thing. Nobody in this case is told they are buying an IOU from the NSCC to the DTCC which likely isn't covered by a real share in the first place. Hence fraud, and the creation of an unregistered security for the purpose of creating a deception.
C) The recent NASD approach in the Compudyne case is consistent with this interpretation that naked short selling is the creation of an unregistered security, violations of Section 5 of the Securities Act of 1933 and thereby of NASD Conduct Rule 2110. Further, failing to make an affirmative determination (hand in hand with naked short selling) is a violation of NASD Conduct Rules 3370 and 2110. And the whole thing is a violation of 10(b)5 at a higher level - an artifice to defraud. There is also quite likely a violation in th NFI case of section 9(a)1 banning related party trading, the employment of a manipulative device by brokers/dealers - 10(b)3, and misappropriation (front running articles) - 10(b)5-2.
D) There's more. But that's the basics. Naked short selling is the Failing To Deliver a share that was promised - they took the buyer's money but didn't deliver the goods. The DTCC and NSCC's stock borrow program covers up that failure by "lending" a share from a virtual pool at the DTCC to the NSCC, who then delivers that share to the buyer on behalf of the seller. The problem is that the transfer of rights that the buyer is receiving is the literal definition of a sale, not a loan. The buyer didn't buy a loan, they bought a share. And the seller Failed To Deliver the share. So the DTCC violates its fiduciary obligation and "lends" a share to the NSCC so that it can make good on the seller's failure - but there's no mechanism to get the share back from the seller who "owes" the DTCC the share, thus in reality it is a sale, not a loan. The DTCC is calling a sale of a share to the NSCC a loan in order to circumvent the necessary event that would have to take place if it were called a sale. It does that to create a fraud, and perpetrate it, for profit, IMO. What it actually does is make a journal entry in a sub account, and then makes the false representation that it has delivered a legitimate share to the buyer, when in fact it has done no such thing.
Naked short selling/Failing To Deliver used to be pretty easy to curtail, as the paper certificate would be bought in if it wasn't delivered pretty quickly. The only way you could "Fail" would be to counterfeit a share of stock and deliver that instead. There was no computerized bookkeeping system to obfuscate whether the share was ever delivered. Now there's an elaborate and Byzantine system designed to create an electronic no-man's land, where nothing of substance ever has to change hands, and by converting a sale (buy-in) to a "loan" by creating this artifice the system has figured out a way to create an endless supply of unregistered, unauthorized shares - something that is illegal.
Imagine a pool of shares held by an entity entrusted with safeguarding them. That entity is the DTCC. Imagine an entity chartered with clearing trades in a timely manner – that entity is the NSCC.
How does the NSCC’s stock borrow program work, and how does it allow a fraud to be perpetrated wherein unregistered, unauthorized securities are produced and delivered as thought they are genuine?
The DTCC has a lending pool, say, of 100K shares of NFI. The NSCC has a fail on day T+3 of 50K shares from an entity we can call RP. The NSCC goes to the DTCC, and says “we need 50K shares to cover a fail” and the DTCC goes into its pool and gives them to the NSCC, who then gives them to the Buyer – whose broker is SB. Fine. SB gives the NSCC the money, who then gives it to the DTCC, who credits it against the lender’s pool.
Because of the way the DTCC handles the accounting, the DTCC sums the B account they fed the money from the “loan” into against the A account that represents the lending pool, and at the end of the day it shows 100K shares still there – because the cash from the loan offsets the share loan, the way they do the accounting. And now the DTCC also shows that broker SB has 50K shares in their lending pool account – the 50K they just had delivered from the NSCC. So now the DTCC shows 150K total shares available to lend, even though there are only 100K shares in the first place.
The next day another 50K fail occurs from RP, and the scenario is repeated. Now at the end of the day the DTCC shows 200K shares available to borrow – the original 100K, the 50K of “virtual” shares from day one, and a new 50K “virtual pool” from day 2.
Day 3 is a big day. Total fails from RP and 3 other related accounts are 200K shares. Not to worry, the DTCC shows 200K shares available to “loan”, in the 100K original pool, and now the 100K from day one and day two in SB’s account. So out the go, and now NFI has 400K “shares” trading where only 100K existed a few days before.
That’s why the lawyers are going after the DTCC – the hedge funds are guilty of violations of a slew of laws and regs, but the DTCC and NSCC makes those violations possible. And the regulators, who are completely aware of how this works, have elected to do nothing except help the DTCC and NSCC and the brokers who are complicit cover it up for as long as possible, in the hopes that they will somehow unwind the whole mess before the investing public catches on and the game stops. It’s musical chairs, where there are only 100K chairs, but perhaps a million or more folks that need chairs when the music stops. That’s why the DTCC “freezes” delivering paper certificates when they are demanded to on heavily shorted stocks – they would rather fight a five year legal battle than have to go into the market and buy enough legitimate shares to deliver the certificates.
The reason they would rather fight legal battles instead of complying with the law is the same reason that insurance companies would rather fight legitimate claims rather than settle them and pay like they were supposed to. Somewhere, someone has run a cost/benefit analysis and calculated that it is cheaper to keep stalling and fighting than it is to do the payout.
And in the meantime, they can always hope that the company gets driven out of business or down to pennies, which would allow them to solve their fail problem easily – either never closing out the position as the demoralized shareholders no longer trade the stock and it becomes de-listed, or closing it out for pennies over time.
It’s a pure financial play, and the felonies that abound at every level are simply the necessary “risk” associated with a lucrative venture. Given that our regulators have decided that their job doesn’t include enforcing the laws on the books, or demanding to see the DTCC’s books to assure themselves that counterfeit unregistered shares are not in fact being created electronically in the method described, and have further indicated that they are not responsible to ensure timely settlement of trades (in spite of the fact that it is part of their Congressional mandate), the odds favor the bad guys.
But now the cat is out of the bag. And inevitably what is going to happen is that this pattern of duplicity will be revealed, and the entities higher up the food chain are going to be at considerable risk – the clearing brokers, the banks, and the hedge funds that have all made fortunes abusing the system to perpetrate a fraud at the expense of the investing public and the companies that have been victimized.

And inevitably what is going to happen is that this pattern of duplicity will be revealed, and the entities higher up the food chain are going to be at considerable risk – the clearing brokers, the banks, and the hedge funds that have all made fortunes abusing the system to perpetrate a fraud at the expense of the investing public and the companies that have been victimized.

Ich bezweifle, dass die Umsatzangaben über Mengenvoluminas, die uns bei OTCBB oder Brokerageprogrammen, bei FTD-Handel tatsächlich stimmen. Bei Aktien mögen sie richtig sein.
Meiner Meinung nach sind die s.g. Doppeltrades, die man realtiv oft sehen kann, Anzeichen für FTD-Handel.
Ich bin am recherchieren, damit ich diese Aussage auch belegen kann und melde mich zu gegebener Zeit wieder.

Maybe it will all happen like a storm, all at once. Not sure if I mentioned previously one stock I was watching went from about a nickel, to $1.50 area in about 8 trading days recently. Hope that can happen here.

der Killergockel wurde ein paar Jahre später ein Matrose. Während alle anderen Matrosen Bilder von nackten Frauen mitnahmen um sich in der kargen Freizeit zu amüsieren, hatte der Killergockel ein Bild vom RA mit. Damit gab er dann bei allen anderen an und meinte, dass dies sein bester Freund sei und er in ein paar Monaten zu der Jacht von RA eingeladen werden würde.

He said he is happy to speak to any shareholder of his anytime. He said he has been very busy and next week he believes he will close on at least two acquisitions. He did not say which ones. I asked about airnet and he said still on the table. I asked about naked shorts and he said they will be a thing of the past when he gets through with them. He said he has partners who have very deep pockets and are not concerned about any matter with regard to his company whether it be naked shorts or Securities Exchange confrontation. He said his investors did their due diligence and are with him one hundred percent. He said the arab groups want to throw in altogether instead of one at a time and that had caused some delay because nobody wanted to go first and it has taken longer time to get everybody on the same page and he said when they are ready great actions will occur. He said they are united as a network and nobody has ever had second thoughts. When I asked if his stock could double he laughed and said yes about every twenty minutes. He was very confident and excited. He said business is great and the future looked so bright he needed shades. Call him yourself if you don't believe me. Coalition for Luggage Security Focuses on London Flight Diversion that Triggers Airline Fear
The Coalition for Luggage Security reports on a recent incident involving another London flight diverted to Boston's Logan Airport which reveals yet another "twist" in this ever emerging nightmare for today's most significant factor; the passengers!
Reports indicate that the incident which occurred on Aug. 11, 2006, was triggered by an emotional outburst from a passenger who was experiencing an acute claustrophobic reaction that has obviously been heightened by the escalating and helpless tensions in the past week for the average passenger. As a result of the incident, passengers were removed from the plane and escorted onto a separate bus. All luggage was searched by security agents and trained dogs on the airports asphalt as a consequence of the incident.
"At a significant moment in time, our security officials are still missing the mark by targeting innocent travelers. Apparently, our systematic strategies have fallen short of its intended purpose. In order to destroy the fear of terrorism one must separate itself from the enemy, meaning luggage," said Richard A. The Coalition for Luggage Security reports on a recent incident involving another London flight diverted to Boston's Logan Airport which reveals yet another "twist" in this ever emerging nightmare for today's most significant factor; the passengers!
Reports indicate that the incident which occurred on Aug. 11, 2006, was triggered by an emotional outburst from a passenger who was experiencing an acute claustrophobic reaction that has obviously been heightened by the escalating and helpless tensions in the past week for the average passenger. As a result of the incident, passengers were removed from the plane and escorted onto a separate bus. All luggage was searched by security agents and trained dogs on the airports asphalt as a consequence of the incident.

Hierzu folgender Beitrag:

D.h. nach meinen Recherchen fallen diese FTDs nicht in die SHO-List oder sonstige offiziellen Angaben über leerverkaufte Aktien. Auch keiner von uns kann sagen ob seine Aktien im Depot nun reale Aktien oder FTDs, die uns als Aktien angezeigt werden, sind.
D.h. bei dem Zock, den wir hier alle machen, geht es nicht um die leerverkauften Aktien und die Eindeckung durch die MM, sondern um den Fall wann die FTDs tatsächlich in unseren Depots durch Aktien ersetzt werden müssen. Deshalb kann es durchaus sein, dass es ein Vielfaches an FTDs gibt als tatsächlich Aktien. Ob 10 oder 20 oder 80Mrd ist vollkommen egal.
Der Handel mit FTDs ist so alt wie es nicht mehr üblich ist Aktien in Form von Zertifikaten auszuhändigen, sondern virtuell in einem Rechnersystem in NewYork zu lagern.
Hier liegt RA insoweit richtig, daß es gewaltigste Kurssprünge geben muß, wenn die Saudis den gesamten Float haben und Ihre Zertifikate (in Papierform) nun anfordern sollten. Auch wir als Kleinaktionäre sollten dies im Falle des Falles tun. Dann und nämlich nur dann müssen die FTDs durch reale Aktien ersetzt werden.
Aber irgendwann kann auch ein Kleinaktionär nicht mehr liefern (theorie), wenn alle Kleinaktionäre verkauft haben, d.h. es sitzen immer noch MM auf FTDs und suchen vergebens Aktien, die der Markt nicht mehr hergeben kann. Der Preis für die letzten verfügbaren Aktien geht in den Himmel.

Scheint, dass RA dabei ist, ein Krebsgeschwür auszurotten. Pro Tag ca. 6 Mrd FTDs an der DTCC und die SEC macht nichts dagegen !!

schau dir das interview an. bis jetzt hieß es erst, die meldung soll in 3-4 tagen kommen. deshalb ist noch nicht so viel passiert. da in den letzten 30min. soviel gehandelt wurde wie den ganzen tag über und der kurs noch um 15% up ging lässt hoffen das schon am montag die hammer meldung kommt. dann sollte es wie vor ein paar monaten schnell auf 4 cent gehen. diesmal müsste aber noch mehr drin sein....

Regulatory Focus Intensifies on Short Sale Regulation and Compliance Issues

NYSE Regulation recently fined four broker-dealers a total of $1.25 million for alleged violations of Regulation SHO ("Reg SHO"), which governs the short sales of equity securities. In general, NYSE Regulation found that the firms had deficient internal operations and supervisory systems that contributed to myriad violations of Reg SHO. The areas in which these firms were found to have been deficient underscore the myriad challenges presented to brokerdealers in achieving compliance with the provisions of Reg SHO.
On July 12, the Securities and Exchange Commission ("SEC") proposed amendments to Reg SHO to further modernize the regulatory framework for short sales. In particular, the changes are intended to further reduce the number of persistent fails to deliver associated with the existing grandfather provision contained in Rule 203(b)(3)(i) and the options market maker exemption set forth in Rule 203(b)(3)(ii), among other things. Public comment is requested on the proposal by September 19.
With these actions,1 the SEC has signaled the industry that it has focused its resources on issues related to the regulation of short sales. Accordingly, it has become increasingly important for firms to address the related challenges and issues. There are many steps that firms can take, in order to address associated regulatory challenges and to maximize their success in achieving compliance with the provisions of Reg SHO.
Overview of Rule Requirements
The SEC adopted Reg SHO under the Securities Exchange Act of 1934 ("Exchange Act") on July 28, 2004 It was designed to modernize the regulation of short sales and require broker-dealers to establish internal controls designed to detect and deter abusive short selling practices. Compliance with the provisions of Reg SHO was expected by January 3, 2005.
Regulation SHO consists of four substantive rules. Rule 200 sets forth definitions and uniform marking requirements. Rule 201 establishes the uniform price test. Rule 202T provides for the pilot program that is currently in effect, and Rule 203 establishes uniform "locate," "close-out" or "delivery" requirements of securities. Reg SHO primarily requires that brokerdealers:
Establish uniform "locate" and "close-out" or "delivery" requirements for securities;
Establish "reasonable grounds" to believe that the security can be borrowed prior to affecting any short sales;
Establish audit trails to document the process to locate borrowed securities;
Establish additional delivery requirements to address issues associated with "threshold securities," which are securities in which a substantial amount of fails have occurred (totaling 10,000 shares or more at a clearing firm for five consecutive settlement days);
Ensure uniform marking requirements for the sales of all equity securities relative to securities ownership definitions set forth in Reg SHO. Specifically, the rule addresses the aggregation of long and short positions, and requires firms to mark all equity security orders as either "long," "short," or "short exempt;"
Close-out all fails-to-deliver ("FTD") that exist in threshold securities for thirteen consecutive settlement days by purchasing securities of like kind and quantity;
Establish descriptive policies and procedures to monitor and test for compliance with substantive components of Reg SHO; and
Develop and maintain adequate internal controls over client account activity with regard to the practice of "naked" short selling.
Reg SHO also establishes a procedure to temporarily suspend SEC and selfregulatory organization ("SRO") short sale price tests, known as "tick" and "bid" tests (under Rule 10a-1 of the Exchange Act and NASD Rule 3350, respectively). The resulting short sale pilot program was recently extended by the SEC until August 6, 2007.
The pilot and the related extension are intended to afford the SEC's Office of Economic Analysis ample time to assess trading behavior and analyze pilot data to determine the effectiveness of such price tests and the impact of short selling in the absence of price tests. As part of this effort, the SEC will convene a roundtable discussion group on September 15 to explore issues related to the current short sale pilot. Results of such studies and the roundtable may impact future rulemaking regarding short sales.
Compliance Issues
Broker-dealers face many risks when they engage in short selling activities.
These include instances when shares of stock are not located prior to executing a short sale, especially when threshold securities are involved. Firms also face regulatory penalties, financial consequences and potential damage to client relationships in instances where borrowed shares are not delivered. In general, a broker-dealer's unique business model impacts its ability to achieve compliance with Reg SHO.
This includes factors such as a firm's size, operational capabilities, designation as prime or introducing broker, and the overall volume of short sale trading activity that it facilitates.
Many firms that engage in short selling activities have encountered similar issues in their efforts to achieve compliance with Reg SHO. A discussion of some of these problems, applicable regulatory guidance and suggested actions that firms may undertake to achieve resolution follows.
Issue #1: Locating securities to borrow prior to effecting a short sale, as required by the locate and delivery requirements of Rules 203(b) (1) and (2).
Steps to Achieve Resolution: The SEC has indicated that it would be prudent for firms to adequately document their efforts to locate securities intended to cover short sales. Further, the agency has provided guidance to firms that they need to annotate the source of the securities, particularly when provided by a customer. Firms may also wish to include supporting documentation to demonstrate the reasonableness of customer assurances upon which they relied. For example, an executing broker may elect to compile supporting documents which show that previous borrowings arranged by a particular customer resulted in timely deliveries of securities needed to settle that customer's transactions.
To facilitate compliance with these requirements, many broker-dealers have developed software in order to afford them the ability to create audit trails and document the relevant facts behind stock that will be borrowed to cover a short sale.
Issue # 2: Notifying certain customers (that have previously failed to deliver securities to cover a short sale) that the firm will be unable to facilitate a short sale transaction for that customer until the securities are, in fact, located and delivered.
Steps to Achieve Resolution: Firms need to establish procedures to diplomatically notify clients who are the source of borrowed stock that the firm will only be able to facilitate a short sale trade when the stock is within its possession.
Issue #3: Complying with Rule 203(b) (3) regarding short sales in threshold securities. In particular, firms are having difficulty in closing out FTD positions in threshold securities that have remained open for thirteen consecutive settlement days, as well as in documenting the actual close out.
Further, some firms have also encountered issues relative to being able to successfully determine the time frame in which they must initiate the close-out process.
Steps to Achieve Resolution: The SEC has specified that firms must begin the close-out process no later than the beginning of trading on the trading day following the thirteenth consecutive settlement day (i.e. the morning of day fourteen) with a net short settlement obligation.
Firms need to establish operational and supervisory procedures that will assist them in maintaining an aging log or schedule of FTD positions that are threshold securities. In connection with the SEC's guidance on the subject, any FTD position that is a threshold security and has remained open for thirteen consecutive days is required to be closed out the morning of the fourteenth day.
Issue # 4: Determining how to close out a continuous net settlement ("CNS") fail-to-deliver position. The SEC requires that the broker-dealer must take action to close out their CNS obligations. In instances where a fail was caused by a customer's short sale, the broker-dealer is restricted from having its customer close out the fail-todeliver position by purchasing securities of like kind and quantity.
Steps to Achieve Resolution: Firms need to develop operational and supervisory procedures that will assist them in the close-out process. Firms need to take action to ensure that they successfully close out their CNS FTD positions.
Issue # 5: Marking all equity security orders as either "long," "short," or "short exempt."
Steps to Achieve Resolution: In order to achieve compliance with this provision of Reg SHO under Rule 200(g) regarding order marking requirements, firms may wish to establish detailed procedures to assist them in appropriately marking their equity securities. For example, firms may need to establish procedures that will help them to mark an order as "long" when the seller owns the security being sold, and the security either is in the physical possession or control of the broker dealer or will be prior to settlement.
Firms also may elect to establish procedures to assist them in marking a sell order as "short exempt." In doing so, they need to address instances in which the transaction is a short sale affected pursuant to an exception in Rule 201 (the exception of the tick test or NASD bid test). Rule 201 institutes the consolidated bid test that permits short sales to be affected at a price one cent above the consolidated best bid. Moreover, firms may wish to address situations involving a sale by a client that owns the securities being sold where the securities are not in good form to effect delivery on settlement date, but will be in good deliverable form by trade date plus 35 days (T+35).
Issue # 6: Complying with the short sale pilot program and meeting the August 6, 2007 deadline.
Steps to Achieve Resolution: The short sale pilot program may cause firms to face challenges in determining what programming tools they need to develop to assist them in obtaining the data to be used for the short sale pilot program.
It would therefore be prudent for firms to establish sound procedures to aid them in retrieving the relevant data for the pilot. Ideally, these procedures will assist firms in making a determination as to what data to capture for the purposes of the pilot, and which securities would be subject to the price test. Regulation SHO provides that the pilot data must include monthly trading data that is provided by a self-regulatory organization ("SRO"). Accordingly, a firm's final pilot trading data would most likely contain transaction information relative to an executed short sale involving an exchange listed equity security that was reported by an SRO to a securities information processor.
KPMG Commentary
Working to achieve compliance with Regulation SHO is an ongoing challenge facing many broker-dealers today. There are, however, many things that a firm may do in order to facilitate this process and its success in meeting the applicable requirements under Regulation SHO.
These include establishing and implementing strong supervisory procedures and internal controls that address and reflect all applicable provisions of the rules. Importantly, firms need to make certain that all affected personnel are properly trained to understand their responsibilities when effecting short sales. Finally, firms need to ensure that their internal controls provide for an effective mechanism to continually monitor and test their systems for compliance with Regulation SHO.
Current Regulatory Guidance and Sources
The SEC, NASD and NYSE Regulation have published extensive guidance to broker-dealers and investors regarding Regulation SHO. In particular, the SEC's Division of Market Regulation has issued a series of answers to frequently asked questions regarding Regulation SHO, which are updated periodically. A Naked Shorting Primer for CEOs.Cale Smith, Senior Associate

The drama surrounding naked shorting has all the elements of a John Grisham novel. Sly, blue blood institutions conspire with shadowy hedge fund cowboys to unmercifully assault a well-meaning but outgunned CEO in his quest for shareholder value. Offshore accounts and corrupt foreign officials veil the crimes for decades, until finally being thrust into the open through the hyper-caffeinated efforts of hundreds of message board denizens throughout cyberspace.
As with most Grisham novels, however, liberties may have to be taken with the original story to romanticize an otherwise bland topic. After all, it’s hard to make CUSIP numbers and stock certificates sound sexy, but that’s really the heart of the naked shorting controversy.
Due largely to concerns raised by microcap CEOs and their shareholders, naked shorting is a hot topic on message boards. Opinions range widely on how common it is. Those claiming it pervades the markets and foreshadows a systemic meltdown are met with equally fervent arguments calling it an over-hyped, isolated problem that is becoming the grassy knoll conspiracy theory of Wall Street.
Everyone agrees, however, that risks of naked shorting are heightened in the microcap world. The sheer number of small public companies, combined with high volatility and an almost inevitable need for financing, make detecting this hard-to-prove crime that much more difficult for the microcap CEO. Although the odds seem small that a particular company will be victimized, there is no authoritative data indicating how many microcaps are being naked shorted.
Keeping those odds in perspective, then, this primer is for microcap CEOs curious about the naked shorting fuss. On the off chance that a company attracts naked shorts, CEOs should recognize that there is despairingly little that can be done to stop it from occurring. Due to the nature of the crime, legal expertise may not help.
Although there seem to be few bulletproof ways to stop naked shorts, there are a handful of things a proactive CEO can do to reduce the odds of being blindsided by this notorious lot. This primer includes a rough sketch of how naked shorting works and a brief familiarization with the main players. A worst-case scenario of what it means to be targeted by naked shorts is presented, as are suggestions for wary CEOs. The final section contains a list of links with more about the intriguing world of naked shorting.
WHAT IS NAKED SHORTING, AND WHY SHOULD A CEO CARE?
In its simplest terms, naked shorting involves selling shares of stock that don’t exist. It’s performed routinely by market-makers to keep an orderly market, but it is illegal when done to manipulate a company’s stock price. Only when someone intends to drive down the stock price is naked shorting breaking the law. Throughout the rest of this overview, any reference to naked shorting will refer to the illegal variety.
It’s also worth noting the important distinction between shorting and naked shorting. The former is perfectly legal and occurs extensively as either a way for an investor to mitigate risk or as a bet that a company’s share price will decrease (i.e. the short-seller or “short” believes the company is overvalued). Despite the wary glances often cast upon them, shorts are an essential part of a robust market and are often the first to discover financial fraud, as in the case of Enron.
A short will sell borrowed shares as a bet against a company because he believes the price will eventually drop. These borrowed shares come from his broker, which loans the short a certain number of shares (not dollars). As soon as the short receives the borrowed shares in his account, he sells them immediately for cash, which goes to his brokerage account. The short still has that pesky loan to pay back, though, and does so by waiting for the price of the stock to drop. Then he buys some cheaper shares using money from the same pool of cash he received after the original sale, gives the broker his shares back, and keeps whatever cash is left in his account.
Naked shorts, in contrast, are much more manipulative – they sell short shares that don’t exist and then attempt to actively lower the company’s share price through constant short-selling pressure. By using pretend shares, of which there is an unlimited supply, naked shorts can effectively control the share price through this constant pressure, eventually driving the price of a company’s shares into the basement.
Where do these fake shares come from? Naked shorts can create them out of thin air, depending on your point of view, due to either (a) glaring inefficiencies in the back-office world of certificate transfers, or (b) institutionalized fraud on a massive scale. Either way, the effects can be disastrous for companies who are victimized.
WHO IS INVOLVED?
Naked shorting is typically done by hedge funds with arm’s length support from several other parties. The extent of active assistance provided to the fund by these related groups is unclear but hotly debated. One player is the Depository Trust & Clearing Corp. (DTCC), which tracks the stock certificates of traded shares between brokerages. When a fund sells short a share of stock, the fund’s brokerage (another prominent player) has a settlement period of three days to deliver those shares to the buyer’s broker. If the transfer doesn’t occur, the DTCC notifies the fund’s broker that it has “FTD’d” (Failed to Deliver). The DTCC is required by the SEC to enforce delivery of missing shares. While waiting to account for shares, the DTCC may charge the brokerage to borrow similar shares from its own inventory.
The obvious conflict of interest here is that DTCC is policing its own customers - the brokerages. In response to complaints, the SEC required all exchanges to comply with Regulation SHO in January of 2005. Reg SHO establishes several requirements aimed at broker-dealers, but it does not specifically address the manipulative aspects of naked shorting, which fall under existing securities law.
Regulation SHO specifically requires the major exchanges to provide a daily list of Threshold Securities, defined as those that (1) have an aggregate fail to deliver position of over 10,000 shares (2) equal to 0.5% of the issuer’s total shares outstanding for (3) greater than five days. Reg SHO also requires a broker-dealer to close out any “open fail” position once it has been included on an exchange’s Threshold Security list for 13 consecutive days. The ironic effect of this policy, as noted by its detractors, is that it effectively requires shorts to cover (buy back shares) after they’ve had two weeks to drive the price down - meaning they profit from the trade. Needless to say, the effectiveness of such a regulation is often called into question among the cyberspace crowd.
Links to the Threshold Security list for each primary exchange are included at the conclusion of this article. It’s important to remember that seeing a company included on the Threshold Securities list does not mean that company is being naked shorted nor that its share price is artificially depressed. It means shares in that company are failing to deliver on time for what may be legitimate reasons, including simple human error. Even shares bought long could FTD and show up on the Threshold list. A daily presence on the Threshold list for more than 13 days at a time, however, might signal the need for deeper digging.
HOW DOES NAKED SHORTING ACTUALLY WORK?
Based on the accounts of CEOs who believe they have been the target of naked shorts, here is how the worst-case scenario might play out using an ill-intentioned hedge fund (“Fund Malicious”) as an example.
Fund Malicious first identifies a target in the microcap world for naked shorting, most likely an obscure company in the development stage or having otherwise questionable fundamentals. The hedge fund gets that firm listed on a foreign exchange in, say, Berlin, via a request funneled through a complicit broker or official in that country. Malicious then sells short shares it doesn’t have (naked shorts them), waits three days for the DTCC to call and ask for the shares, and then replies either, “I borrowed them on the Berlin exchange, and they’ll take some time to get here,” or “I’m a market-maker for that company’s shares in Berlin and naked shorting rules don’t apply there.” The DTCC then loans the fund shares from its inventory and charges the broker a fee until the stock loan is repaid. Malicious, in the meantime, continues to drive the price of the target’s shares down as long and as aggressively as possible. In the event the fund does cover to pay off the stock loan, it doesn’t take much effort to begin the naked shorting cycle again.
Other theories exist as to how the hedge fund might skirt additional rules. To prevent “piling on,” exchange rules mandate that a stock cannot be shorted on a downtick or decrease in stock price. In other words, Malicious must wait for the stock price to increase briefly before shorting the company. Rather than wait passively for an uptick, though, Fund Malicious can create an uptick in the stock itself by purchasing a few shares through a small offshore account. The hedge fund is then free to short (or naked short) the company with both barrels at home.
Malicious may get additional leverage out of the original naked short by choosing to target an ugly, obscure microcap company. By driving the price down, the fund hopes to scare existing shareholders into selling their shares, too, out of fear that something is going on that they don’t know about (i.e. the fund can “paint the tape”). This, of course, drives the price even lower while further obscuring the role of Fund Malicious.
There is plenty of room for additional mischief in the above scenario. According to the most vocal critics of naked shorting, funds like Malicious have relationships with reporters and/or message board regulars who are compensated to distribute negative news about the company in order to exaggerate the selling. There is also plenty of irony possible, in that a CEO can be her shareholders’ worst enemy by merely uttering the words “naked shorting.” Investors may panic, the stock might dive further and legitimate short-sellers could begin to circle.
KEEPING THINGS IN PERSPECTIVE
Given the mysterious nature of hedge funds and the convoluted nature of this crime, it’s easy to get carried away with paranoid scenarios regarding naked shorting. The skeptics, however, have some unanswered questions of their own. For instance:
• What’s in it for the brokerages? Are they supposed to take all the risk just to get a few more commissions or under-the-table money? Since when have they been that desperate?
• Has anyone ever been found guilty of naked shorting?
• Where is the proof? Are there other pieces of evidence that would suggest a crime is being committed?
• Why aren’t more companies making noise about it? Where are the whistleblowers?
• Wouldn’t the unintentional buyers of naked-shorted shares voice their concerns when they did not receive proxy votes?
• Why is there no outrage from legitimate funds and brokerages?
• How much regulatory burden should the SEC and other publicly traded companies have to bear to resolve the questionable problems of a few companies?
Both camps raise legitimate issues that simply cannot be addressed definitively yet. Reg SHO is not the deterrent the problem seems to demand. There have been numerous calls on the SEC to increase the scope of data provided in the daily Threshold Securities lists, which may help better gauge the seriousness of this problem. Until those issues are resolved, the SEC continues to consider the surveillance and enforcement of trading activity as the primary responsibility of the markets and exchanges. The DTCC considers its role to be reporting the FTDs. Brokerages are doing all they can to win commissions from hedge funds. Detection is difficult, accusations are nearly impossible to prove, and nobody has figured out a foolproof way to stop this crime.
So what’s all that mean for the microcap CEO? When it comes to naked shorting, you are your own best watchdog.
WHAT TO DO IF YOU THINK YOU MAY BE TARGETED
Above all else, be discrete with your public accusations.
A well-intentioned CEO can fulfill his own prophecy by going public with accusations of naked shorting. Investors may flee the stock, further lowering the share price. Meanwhile, other funds may hover, waiting for an uptick to begin shorting your company themselves.
Watch your trading volume.
If you’re seeing four or five times your company’s float trade hands in an otherwise ordinary day, and you have no large share overhangs, pay attention. Start documenting those patterns.
Keep your focus on operations.
Your stock price is not declining exclusively due to naked shorting. Weakness in the business, industry, model, communications or management team exists well before naked shorting begins and allows it to continue. In most cases, the best deterrent for shorts of any kind is consistent execution and credible communications with your shareholders.
Always surprise on the upside.
By maintaining absolute secrecy before good news, you give yourself the best chance to catch the shorts off guard and maybe even squeeze them. Be conscious of unintended signals you may send when in public appearances, conference calls and analyst meetings before a particularly good quarter or other surprising good news. Keep your cards close to your chest and save those glowing press releases for the middle of the trading day.
Maintain a steady stream of news.
By communicating with your investors as often as possible, you remove some of the mystery surrounding a company that a naked shorter typically targets. In the absence of any company news, a continuously dropping stock price is the only communication your investors are hearing. Sales of stock by legitimate owners are sure to follow.
Put floors on your convertibles.
A floorless convertible bond (also known as a “convertible death spiral”) is an open invitation for its owners to short the stock as aggressively as possible. A constant decline in share price means the convertible owners will get more shares because the initial rate of conversion will change. While the original shareholders may very well lose their entire stake in the company, the convertible owners can continue to short the stock until they can effectively cover the original short with new shares created by a new rate. Should those convertibles be held offshore where naked shorting is not illegal, the potential for price depression becomes even greater. Ensuring you have a floor on those converts will prevent the worst case scenario.
Monitor small international exchanges.
If your firm unexpectedly turns up on the Berlin-Bremen stock exchange and you, the CEO, did not request a listing there, that might be a sign of a problem. Request the removal of your company from that exchange immediately, and keep asking until it’s done.
Realize your choice of financing vehicle may attract naked shorting interest.
In addition to floorless convertibles, PIPEs may also attract undue attention from potential funders. Since shares in a PIPE are sold for below market price, the provider could short the stock down to that level with no risk of capital loss on his part. When issuing warrants with the deal, you’re also effectively pushing the price lower through increased dilution of existing shareholders. While it’s true that sometimes beggars can’t be choosers when it comes to raising funds, go into those negotiations with your eyes wide open.
Check the Threshold Security lists.
Links to the lists at each exchange are below. Keep in mind that inclusion on that list does not mean naked shorting or any other improper activity is occurring, just that some shares meet the three requirements mentioned above. An extended presence on the Threshold list, however, in combination with other signals may be an important sign.
Don’t read the message boards.
You’ll drive yourself nuts, waste a ton of time and eventually convince yourself you’re a victim of someone’s ill wishes, naked shorts or otherwise. If you’re that compelled to monitor the boards, ask your IR team to send you weekly summaries of any cogent posts.
Know your IR company.
Consider your choice of an investor relations firm as your first line of defense. Does the company have expertise in dealing with naked shorting? Does the price of your stock mysteriously rise or fall between the time you send your draft press releases and when they hit the wires? Do they have long-term clients willing to vouch for their integrity? And do they have processes in place to handle sensitive information?
Know your transfer agent.
Given that the process of naked shorting begins at the brokerage level, there’s not much your company’s transfer agent can do with regards to those shares. The responsibility for tracking them lies with the brokerage. It is theoretically possible, however, for a corrupt transfer agent to conceal the true float and otherwise manipulate the shares themselves.
Both your transfer agent and IR firm should be able to advise you on the effectiveness of combating naked shorts by changing CUSIP numbers, reverse mergers, and/or reverse splits. Although the long-term effectiveness of these strategies is questionable, it may be useful as part of a larger strategy to deter naked shorting. After changing your company’s CUSIP number, for instance, all existing stock certificates must be exchanged for new ones. All issued and outstanding certificates from old shares will no longer represent an interest in the company until exchanged. This may be more trouble than it’s worth, however. Once the new shares are in circulation, there’s nothing to stop a new round of naked shorting by determined parties. Such tactics may represent a small part of an overall strategy to reduce naked shorting interest in your company.

The drama surrounding naked shorting has all the elements of a John Grisham novel. Sly, blue blood institutions conspire with shadowy hedge fund cowboys to unmercifully assault a well-meaning but outgunned CEO in his quest for shareholder value. Offshore accounts and corrupt foreign officials veil the crimes for decades, until finally being thrust into the open through the hyper-caffeinated efforts of hundreds of message board denizens throughout cyberspace.
As with most Grisham novels, however, liberties may have to be taken with the original story to romanticize an otherwise bland topic. After all, it’s hard to make CUSIP numbers and stock certificates sound sexy, but that’s really the heart of the naked shorting controversy.
Due largely to concerns raised by microcap CEOs and their shareholders, naked shorting is a hot topic on message boards. Opinions range widely on how common it is. Those claiming it pervades the markets and foreshadows a systemic meltdown are met with equally fervent arguments calling it an over-hyped, isolated problem that is becoming the grassy knoll conspiracy theory of Wall Street.
Everyone agrees, however, that risks of naked shorting are heightened in the microcap world. The sheer number of small public companies, combined with high volatility and an almost inevitable need for financing, make detecting this hard-to-prove crime that much more difficult for the microcap CEO. Although the odds seem small that a particular company will be victimized, there is no authoritative data indicating how many microcaps are being naked shorted.
Keeping those odds in perspective, then, this primer is for microcap CEOs curious about the naked shorting fuss. On the off chance that a company attracts naked shorts, CEOs should recognize that there is despairingly little that can be done to stop it from occurring. Due to the nature of the crime, legal expertise may not help.
Although there seem to be few bulletproof ways to stop naked shorts, there are a handful of things a proactive CEO can do to reduce the odds of being blindsided by this notorious lot. Realize your choice of financing vehicle may attract naked shorting interest.
In addition to floorless convertibles, PIPEs may also attract undue attention from potential funders. Since shares in a PIPE are sold for below market price, the provider could short the stock down to that level with no risk of capital loss on his part. When issuing warrants with the deal, you’re also effectively pushing the price lower through increased dilution of existing shareholders. While it’s true that sometimes beggars can’t be choosers when it comes to raising funds, go into those negotiations with your eyes wide open.
Check the Threshold Security lists.
Links to the lists at each exchange are below. Keep in mind that inclusion on that list does not mean naked shorting or any other improper activity is occurring, just that some shares meet the three requirements mentioned above. An extended presence on the Threshold list, however, in combination with other signals may be an important sign.
Don’t read the message boards.
You’ll drive yourself nuts, waste a ton of time and eventually convince yourself you’re a victim of someone’s ill wishes, naked shorts or otherwise. If you’re that compelled to monitor the boards, ask your IR team to send you weekly summaries of any cogent posts.
Know your IR company.
Consider your choice of an investor relations firm as your first line of defense. Does the company have expertise in dealing with naked shorting? Does the price of your stock mysteriously rise or fall between the time you send your draft press releases and when they hit the wires? Do they have long-term clients willing to vouch for their integrity? And do they have processes in place to handle sensitive information?
Know your transfer agent.
Given that the process of naked shorting begins at the brokerage level, there’s not much your company’s transfer agent can do with regards to those shares. The responsibility for tracking them lies with the brokerage. It is theoretically possible, however, for a corrupt transfer agent to conceal the true float and otherwise manipulate the shares themselves.
Both your transfer agent and IR firm should be able to advise you on the effectiveness of combating naked shorts by changing CUSIP numbers, reverse mergers, and/or reverse splits. Although the long-term effectiveness of these strategies is questionable, it may be useful as part of a larger strategy to deter naked shorting. After changing your company’s CUSIP number, for instance, all existing stock certificates must be exchanged for new ones. All issued and outstanding certificates from old shares will no longer represent an interest in the company until exchanged. This may be more trouble than it’s worth, however. Once the new shares are in circulation, there’s nothing to stop a new round of naked shorting by determined parties. Such tactics may represent a small part of an overall strategy to reduce naked shorting interest in your company.

Den Schaden welche NSS gerade für kleine OTC Firmen anrichtet, ist immens. RA hat sich schon vor Jahren als Sprecher gegen NSS präsentiert. Vielleicht wurde USXP aus diesem Grund besonders geschädigt. ( Nur eine Theorie ). Sollten tatsächlich die Saudis alle freien Shares gekauft haben und nun die Zertifikate anforden erleben wir einen Tsunami, mit positivem Ausgang für uns.

Keiner der Kleinaktionäre und auch die Saudis wissen nicht, ob sie tatsächlich Aktien oder FTDs im Depot haben. Die Saudis fordern nun die Zertifikate. Was heißt das: die MM suchen nach tatsächlichen Aktien. Je früher jetzt der Kleinaktionär verkauft, kann im schlimmsten Falle den MM zuspielen, wenn er tatsächlich Aktien hatte. Hatte er nur FTDs und verkauft diese hilft dies auch den MM, da 1) der Kurs gedrückt wird und 2) die MM froh sind, dass sie n u r Geld zahlen müssen, aber keine Aktien besorgen müssen.
Was ich hiermit sagen will: Wenn jemand verkaufen will, soll er warten und warten. Denn dann muß der Aktienpreis umso schneller steigen, da die MMs gezwungen sind ihre Ankaufpreise (Bid-Kurs) zu heben. Nicht vergessen: die Saudis wollen ihre Zertifikate und die MM müssen liefern.
Das betrifft im übrigen nicht nur USXP sondern viele andere Gesellschaften auch. RA mit USXP scheint hier der Vorreiter zu sein. Aber wie gesagt: nur Theorie.
Ich will keinen hier zum Kauf raten, jeder ist für seine Anlagesituation und Entscheidung selber verantwortlich.
Außerdem denke ich, dass wir Kleinanleger mit 100000 oder 20 Mio Aktien hier in Deutschland nicht die Entscheidung beeinflussen können. Hier gärt etwas gewaltigeres.
Kann nur jedem raten zum Thema zu googeln.

Damit will ich nichts verharmlosen. Aktionäre können sehr wohl durch diese Praktiken in den Ruin getrieben werden.
Für mich ist das Argument, dass RA den MMs auf den Senkel gegangen ist und diese deshalb seine Aktie extremst shorten, nachvollziehbar. May be. Wenn dem so ist und wenn durch die Anforderung der Zertifikate jetzt die Rakete zündet, freue ich mich.
Aber meine obige Frage bleibt ungeklärt.
