      Star TV to acquire sub-licence right in China Star <0326.HK>

      Hong Kong Economic Times quoted sources as saying that Star TV intends to enter into an agreement with China Star for the acquisition of the sub-licence right in respect of 100 new films from China Star for a consideration of $200 million to $300 million.

      In addition, the company will originate more TV programmes so as to increase the annual programme volume to 9,000 hours. The company will disclose the details on its self-originated Chinese programmes on Monday.

      NOTICE OF ANNUAL GENERAL MEETING
      NOTICE IS HEREBY GIVEN that the Annual General Meeting of China Star Entertainment Limited will be held at Unit 503C, Miramar Tower, 132 Nathan Road, Tsimshatsui, Kowloon, Hong Kong on Wednesday, 28th June, 2000 at 11:00 a.m. for the following purposes:--

      1. To receive and adopt the audited accounts of the Company and the Reports of the Directors and the Auditors for the year ended 31st December, 1999.

      2. To re-elect the retiring Director.

      3A. To confirm, ratify and approve the payment of Directors` fees in the aggregate sum of HK$240,000 to the Non-Executive Directors of the Company for the year ended 31st December, 1999.

      3B. To authorise the Board of Directors of the Company to fix the remuneration of the Directors for the year ending on 31st December, 2000 and for the period thereafter until the conclusion of the next annual general meeting of the Company.

      4. To re-appoint Messrs. Deloitte Touche Tohmatsu as the Auditors of the Company and to authorise the Board of Directors of the Company to fix their remuneration.

      At the Annual General Meeting to be held on 28 June 2000, the Group`s directors will not recommend the payment of a final dividend (1998: nil).

      REVIEW OF OPERATIONS

      Video

      During the year, this division contributed approximately HK$0.6. The decrease in contribution was mainly due to the reduction in selling price of video products in Hong Kong market and HK$1.9 million provision for stocks was incurred.

      Through a licence agreement signed on 24 March 1999 between one of its wholly-owned subsidiaries and Win`s Entertainment Limited ("Win`s") and its subsidiaries, the Group acquired exclusive distribution rights for 46 popular Chinese movie titles for a total consideration of about HK$42.5 million, thus allowing it to take advantage of the expected rise in demand from The People`s Republic of China (the "PRC").

      Our new video disc production facility started operations in the fourth quarter of 1999. This is destined to become a useful profit centre, particularly given increasing customer demand and the many new titles planned.

      Also in the fourth quarter of 1999, the Group acquired 9% interest at a consideration of about HK$14 million in Ocean Shore Group Limited ("Ocean Shore") which is subsequently listed on The Stock Exchange of Hong Kong Limited in February 2000. The directors believe that the Group will benefit from the association with Ocean Shore which is a major distributor of home entertainment products in Asia.

      Film Distribution

      During the year, this division contributed approximately HK$5.5 million. The decrease in contribution was mainly due to the depressive entertainment market in the South East Asia. However, the directors expect that the economic market condition will gradually improve and will thus continue their policy of sourcing and distributing quality titles for well established markets within this region.

      The directors are also exploring new markets, including the PRC, as well as new channels of distribution. One such channel is DVB, a company publicly listed in Hong Kong and the Group acquired an approximately 9% attributable interest in DVB for about HK$6.1 million on 19 January 1999. Under an agreement signed in June 1999 with DVB, the Group expects to leverage DVB`s extensive service connections to achieve further PRC market penetration.

      On 2 December 1999, a film and television drama series supply and distribution agreement was signed with Win`s, giving the Group exclusive worldwide distribution rights for film and television drama series produced by Win`s and its subsidiaries during the period from 1 January 2000 to 31 December 2003. The track records of Win`s Group productions show that they have proved highly successful commercially, and the agreement thus enhances the Group`s capability to source quality products with strong audience appeal.

      Television Drama Series Distribution

      During the year, this division contributed approximately HK$7.9 million. The decrease in contribution was a result of pricing strategy of the Group for market penetration and the turnover was increased under this policy.

      Under a production services agreement dated 24 March 1999, China Star Management Limited, a wholly-owned subsidiary of the Group, agreed with Win`s Music & Video Enterprises (Hong Kong) Limited ("Win`s MVE") that Win`s MVE would supply specified PRC production services for 300 programme-hours of the Group`s self-produced television drama series for a remuneration of HK$250,000 per completed programme-hour.

      The first two such series were completed by the Group during the year. This marked the establishment of a stable new source of income centred on attractive product placement opportunities for advertisers.

      The Group also continued to distribute television programmes in return for cash and/or advertising time, with advertising time being marketed on to programme syndicators and other enterprises.

      OUTLOOK

      The Group`s vision is a leader in providing Chinese language films and to become a dominant content provider of entertainment in cyberspace. It will take the fullest possible advantage of the fresh new opportunities continuously being generated by the internet and associated applications.

      Being in a strong financial position following the recent share placements, this vision is well within the Group`s reach. It is already a recognised leader in Chinese language film distribution and production with large popular library titles. New films scheduled to be released during the year will include those created by quality directors such as Johnnie To, Tsui Hark, Gordon Chan, Ringo Lam, etc. and acted by superstars such as Andy Lau, Sammi Cheng, Koo Tin Lok, Lau Ching Wan, Cecilia Cheung, Faye Wong, Leslie Cheung, Nick Cheung, Nicholas Tse, etc..

      The recent licensing agreement with top portal Yahoo! offers the Group a sure avenue to advertising revenue and other significant e-business over the internet with the co-branded broadcasting channel due for launch in the second half of 2000. As well as forming a major element in the Group`s Internet strategy, this new joint venture is a proactive means for the Group to protect its valuable intellectual property and help render piracy pointless.

      The Group`s carefully planned internet strategy calls for it to progressively dominate the internet`s Chinese language film and entertainment information sectors by joining forces with other strategic partners.

      During the coming year, the Group will increase the number of movies it distributes, expanding existing distribution networks and appointing new distributors in Hong Kong, United States and Europe as appropriate.

      Finally, now that China`s accession to the World Trade Organisation is closer in view, the Group expects to profit from being able to import and show a considerably increased number of Chinese language film titles. There is a considerable pent-up demand for quality films from overseas, particularly in China`s key cities, and the Group is planning well ahead to satisfy audience appetite.

      YEAR 2000 COMPLIANCE

      The details of the Group`s assessment of the Year 2000 problem, structure and progress were disclosed in the Company`s 1998 Annual Report and 1999 Interim Report. The Group has completed on schedule its Year 2000 compliance project and not experienced any Year 2000 non-compliance incidents. Accordingly, the contingency plan of the Group has not been put into use. The cost of Year 2000 project is approximately HK$700,000 which was treated as capital expenditure and will be amortised according to standard accounting practices. There was no further financial commitment for the project.

      PURCHASE, SALE OR REDEMPTION OF LISTED SECURITIES

      Neither the Company nor any of its subsidiaries purchased, sold or redeemed any of the Company`s listed securities during the year ended 31 December 1999.

      CODE OF BEST PRACTICE

      In the opinion of the directors, the Company has complied with the Code of Best Practice as set out in Appendix 14 of the Listing Rules throughout the year ended 31 December 1999, except that the non-executive directors were not appointed for a specific term since they are subject to retirement by rotation and re-election at the annual general meetings of the Company in accordance with the provisions of the Company`s Bye-laws.

      Charles Heung: no cap on Chinastar.com investment

      Chairman of Chinastar, Charles Heung said there would not be
      a upper investment limit on Chinastar.com. He however did not
      disclose the exact amount of investment so far, but expected
      to achieve cost-recovery within one year.

      He also said Chinastar.com, a wholly-owned subsidiary of
      Chinastar Entertainment, several hundred million dollars
      in cash with no immediate need to invite partners for funds

      Heung added that the company did not rule out any opportunities
      of cooperation with Stareastnet.com <8010.HK> of Star East
      Holdings <0198.HK> and andylau.com of CCT Telecom <0138.HK>.

      On a possible spin-off, Heung said that it is too early to say
      that for Chinastar.com.

      Heung added that income of Chinastar.com mainly comes from B2B
      e-commerce through selling movie copyrights and related products.

      China Star <0326.HK> to launch web portal

      A subsidiary of China Star Entertainment will be
      launching Chinastar.com a film and entertainment web portal.

      The chief operating officer of Chinastar.com said it has already
      launched Chinese language web portals in Hong Kong and the PRC
      and plans to launch an English web portal in the United States
      early next year and expand to Japan, Korea and Europe in mid-2001.

      Currently, Chinastar.com holds nearly 1,000 short movies and
      expects to double that in the near future.

      China Star <0326.HK> invests $400m-$500m in movies

      China Star Entertainment chairman Charles Heung has said the
      group will invest $400 million to $500 million in more than
      30 movies during the year. The movies may or may not be used
      for online broadcast.

      In addition, the group will announce the buyer of the broadcast
      rights in respect of its 100 new movies in the end of this month.
      Heung has said that the final decision has not yet been made.
      The potential buyers include Star TV, Cable TV, TVB<0511.HK> and
      C & W HKT<0008.HK>.

      Hallo China Star Investoren.

      Bin bei 0,15 Euro eingestiegen und erhoffte mir mehr von dem "tollen" "Filmladen". Was meint ihr, Verlust realisieren und auf einen anderen Chinesen hoffen, oder investiert bleiben, da der Wert eventuell in den nächsten Wochen wieder steigen wird. Gibts da überhaupt noch Hoffnung??

      Ähnlich gehts mir auch bei Stone Electr.. Ichhöre nichts von schlechten News doch der Wert sinkt und sinkt.
