Mid Year 2000 Report to Stockholders

Benchmarks:

We are pleased to report that in the first six months of this millennium, Bio-safe has begun a significant turn around. Benchmarks of the Company`s efforts are:

Initiating a restructure that will afford the widest range of options as we grow.
Successfully negotiating a settlement from an extremely resistant contract manufacturer who failed to produce product according to specification. While the settlement was but a fraction of documented economic damages, the onerous demands of litigation are behind us thus enabling the Company to get on with business.
Securing multi-year accounts with niche market distributors.
Expanding account bases, akin to what the Company has achieved in the law enforcement/corrections niche market – e.g., from local police departments, to county jails and sheriffs, to state correction systems.
Documented Industrial Risks:

Coincident with Bio-Safe securing a U S Patent on our formulas, and the process by which the co-polymer antibacterial skin protectant is formulated, major universities have published studies documenting that dermal absorption of solvents and chemical compounds (commonly used in the work place) not only damage the skin, but impair the function of the cardiovascular and reproductive systems as well! Concurrently the National Institute of Health has published studies on the effects of dermal absorption of Metal Working Fluids. In part, the report reads,

"It is likely that (changes in the 1980s directed at reducing nitrosamine exposures) have reduced the cancer risks, but the data are insufficient to conclude that these changes have eliminated all cancer risks. The risk of cancer from Metal Working Fluid exposures later than the mid-1970s remains to be determined."

NIOSH`s report on Metal Working Fluids will strengthen OSHA`s hand in proposing new Metal Working Fluid rules in April 2001. Additionally Bio-Safe projects the new rules will increase the rate of positive response from prospective customers.

Product Performance:

Equally impressive are the facts that

Bio-Safe`s, post-milking antibacterial sanitizing dairy dip formula achieved a 99.999% kill on two of three targeted bacteria, and a 99.9% kill on the third. The Company is in process of modifying the formula to achieve 99.999% kill on all three pathogens. Upon successful completion of the tests, Bio-Safe plans to reenter the dairy market this fall.
Frabrice Czarnecki, M.D., Medical Advisor to the U S Society of Law Enforcement Trainers attests "I have been using Bio-Safe on every single working day, including on a long medevac. I am extremely happy with Bio-Safe and would recommend it without reser-vation to any physician, EMT, firefighter or police officer."
Beginning this July, Dr Czarnecki is including basic information on Bio-Safe in his training of Law Enforcement Trainers; We believe this introduction will make sales to Police Departments easier.

Wins and Deterrents:

In six short years, Bio-Safe has developed, tested, registered, and patented this new technology in skin protection. Additionally Bio-Safe is successfully positioning the product in the Industrial and Corrections markets in the U S, and beginning to enter the medical market in Canada and Japan.

By any standard, these are significant wins. Wins though they are, and significant though they be, introducing this critically important new technology to industry, to health care, and to protective services has been slowed by

the inability of government regulators to keep abreast of technological advances,
the government`s repeated shifts in assigning responsibility to regulatory bodies
the health care industry`s reliance on government approval prior to changing protocols
the mid-stream, revolution and shifts in distribution.
Reluctantly and belatedly Bio-Safe has come to realize that initially, introducing, marketing, customer education and support of this new technology is front-end loaded in costs, and revenue negative as are product development, testing and patenting!

Bio-Safe Enterprises, Inc. (Milwaukie, Oregon) is pleased to notify its many customers, distributors, prospects and observers that on July 13, 1999, US PATENT #5,922,313 was awarded to Bio-Safe`s innovative, skin protectant polymer technology. The patent provides official confirmation that Bio-Safe`s formulas define a new standard both for skin protectants and for topical antibacterials. Additionally, patent applications have been filed in Australia, Canada, European Common Market, Japan, New Zealand, and the United Kingdom.

The patent declares Bo-Safe Skin Protectants to be unique and advantageous in their ability to provide a penetrant barrier which resists being washed off while providing broad spectrum anti-microbial efficacy for at least four hours after the lotion is applied to the skin. During that time period, bacteria which comes into contact with the antibacterial barrier is killed within seconds after contact.

In-vitro and in-viro tests tests document Bio-Safe®`s skin protective lotions are orally non-toxic, non-irritating, and non-sensitizing. Once dried on the skin, these products become inert and hydrophobic and do not transfer to other materials by contact. Distinct from alcohol-based sanitizers, they contain no ethyl alcohol.

This FDA registered product has been approved by the Ministry of Health in Japan, the Taiwanese National Health Authority, and is regulated as a drug by Health Canada (DINs 02231580 and 02171651), and approved by Agri-Food Canada and the Canadian Food Inspection Agency. Independent research confirms the products long term ability to kill pathogens continuously for up to four hours while research conducted at the University of Ottawa by Dr. Sattar has proven that Bio-Safe® Lotions kill the superbugs (MRSA and VRE), the control of which has become such a formidable challenge for hospitals and nursing homes. Additionally, customers have found Bio-Safe® to be an effective deterrent to many forms of Contact Dermatitis like poison ivy.
