Covad to delay earnings release

SANTA CLARA, Calif., Feb 16 (Reuters) - Broadband services provider Covad Communications Group Inc. (NASDAQ NM:COVD) on Friday said it will postpone its fourth-quarter and 2000 earnings release to deal with accounting issues.
Covad, which had planned to report earnings on February 27, said the accounting issues are related to revenue recognition, restructuring charges, new accounting rules and asset impairments.
The company said a review of its revenue recognition procedures may affect previously reported results. Covad also said it expects to take a larger fourth-quarter charge than the $20 million it originally expected. The charge is related to employee layoffs and facilities closings.
Covad said its earnings release will coincide with the filing of its 10-K annual earnings report with the Securities and Exchange Commission.
Covad shares closed unchanged at $2-7/8 in trading on the Nasdaq, well below their 52-week high of $66-5/8 and above a yearly low of $1-1/4.

Im Rechtsstreit zwischen dem ISP DSLnetworks und dem Anbieter von Breitband-Kommunikationsdiensten Covad Communications (mehr dazu hier) gibt es bereits eine erste Entscheidung. Richter William Elfving entschied gestern zu Gunsten von Covad Communications Inc. und lehnte den Unterlassungsantrag des ISPs ab. DSLnetworks erwägt jetzt weitere rechtliche Schritte. "Was uns betrifft, ist die Sache noch nicht zu Ende", sagte Marketing Direktor Dan Melmed.
Am Mittwoch hat der Provider eine Klage eingereicht und behauptet, Covad habe versucht, viele seiner 3.500 Kunden durch Anrufe, Fax- und E-Mail-Nachrichten abzuwerben. Was die Meldung zu bedeuten hat, ist schon mal wieder in anderen Threads zu Covad hier nachzulesen.
Es kommt zu Verzögerungen im Ermitteln der korrekten Bilanzzahlen und die Kosten, die für Entlassungen Personal und Schliessen einiger Knotenpunkte angenommen wurden (rd. USD 20 Mio) sollen signifikant höher ausfallen.
Aus diesem Grund hat die NASDAQ bei Covad genauere Infos angefordert und den Handel vorerst ausgesetzt.

SAN JOSE, Calif., Feb 16, 2001 (AP Online via COMTEX) -- Trading in shares of Covad Communications Group Inc. was halted Friday after the provider of high-speed Internet access postponed its 2000 earnings announcement and said its restructuring plan will be more costly than previously thought.
Covad executives said they need more time to review the company`s accounting procedures, and the cost of closing facilities and laying off 800 workers. That restructuring cost had been estimated at $20 million but now is expected to be "substantially larger." The company also is looking at other ways to cut costs.
The Santa Clara-based seller of digital subscriber lines was scheduled to report fourth-quarter earnings and full-year results on Feb. 27. Analysts surveyed by First Call/Thomson Financial were expecting Covad to lose $1.51 a share in the quarter and $4.36 a share for the year.
The new date for the earnings report was not announced.
"We have made a number of significant changes to our business in the past several months to put Covad on a quicker path to profitability," chairman Chuck McMinn said in a written statement. "Accurately accounting for these changes is essential, and we simply need the extra time to ensure we review these changes and report them correctly."
Soon after the announcement, the Nasdaq Stock Market halted trading in Covad at $2.88 and requested further information from the company. Covad traded as high as $66.67 in the past year.
Covad is one of the leading providers of digital subscriber lines, which transmit signals over copper phone wires. The technology speeds up Internet downloads at least tenfold over dial-up modems and leaves the phone free for regular calls.
The company is backed by a $150 million investment from giant SBC Communications, a former Baby Bell. But Covad and competing DSL companies suffer from a complicated business landscape, service disruptions and installation delays in many areas.
One rival, NorthPoint Communications Inc., filed for bankruptcy protection last month, blaming its woes on a canceled merger with Verizon Communications Inc.
Covad primarily sells its high-speed hook-ups to Internet service providers - a strategy that has become troublesome as some ISPs have encountered financial trouble - but also sells directly to some customers.
In 1999, the stock market greatly rewarded Covad for what amounted to an "overly ambitious business plan" - to deploy its network in as much of the country as possible, even in places where that wasn`t profitable, said Mark Langner, an analyst at Epoch Partners in San Francisco.
Covad recently announced plans to shrink the network by closing 200 of its nearly 2,000 "central offices" - the small but costly spaces in telephone-switching stations where Covad maintains its DSL equipment. Covad said Friday it is increasing that number of closed central offices to 260, and suspending plans for 500 new ones.
Langner called that "a step in the right direction."
"They need to pare back a lot before they figure it out," he said.
